SoftwareDevelopmentAgreement

ThisSoftwareDevelopmentAgreement（"Agreement"）ismadeandeffectivethis__________（Date）,byandbetween______________________________________________（"Developer"）and_______________________________________________________________（"Buyer"）.

InconsiderationofthemutualpromisescontainedinthisAgreement,thepartiesagreeasfollows:

1.DutiesandResponsibilities.

DevelopershallserveasacontractorofBuyer,definedbytheIRSasa1099Contractor,andshalldesign,develop,andimplementapplicationssoftware（"Software"）accordingtothefunctionalspecificationsandrelatedinformation,ifany,attachedheretoasExhibitAandincorporatedhereinbythisreference（"Specifications"）andasmorefullysetforthinthisAgreement.Developeracknowledgesthatithasbeencontractedforthisspecifictask,andthatitshallreportallfindingsandmakeallrecommendationsdirectlytothemanagementofBuyer.TheSoftware,includingallversionsineithersourcecodeorobjectcodeform,shallbedeliveredtoBuyernotlaterthan___________（Date）.

2.OwnershipofSoftware.

DeveloperagreesthatthedevelopmentoftheSoftwareis"workforhire"withinthemeaningoftheCopyrightActof1976,asamendedfromtimetotime,andthattheSoftwareshallbethesolepropertyofBuyer.DeveloperherebyassignstoBuyer,withoutfurthercompensation,allofitsright,titleandinterestinandtotheSoftwareandanyandallrelatedpatents,patentapplications,copyrights,copyrightapplications,trademarksandtradenamesintheUnitedStatesandelsewhere.DeveloperwillkeepandmaintainadequateandcurrentwrittenrecordswithrespecttotheSoftware（intheformofnotes,sketches,drawingsandasmayotherwisebespecifiedbyBuyer）,whichrecordsshallbeavailabletoandremainthesolepropertyofBuyeratalltimes.AllversionsoftheSoftwareshallcontainBuyer'sconspicuousnoticeofcopyright.DeveloperwillassistBuyerinobtainingandenforcingpatent,copyrightandotherformsoflegalprotectionfortheSoftwareinanycountry.Uponrequest,Developerwillsignallapplications,assignments,instrumentsandpapersandperformallactsnecessaryordesiredbyBuyertoassigntheSoftwarefullyandcompletelytoBuyerandtoenableBuyer,itssuccessors,assignsandnominees,tosecureandenjoythefullandexclusivebenefitsandadvantagesofthiswork.

3.Compensation.

A.BuyershallpayDeveloperasfollows:

B.SubjecttoBuyer'spriorapproval,BuyerwillreimburseDeveloperforallreasonableout-of-pocketexpenses,including,butnotlimitedto,airfare,lodging,mealsandrentalofautomobilesincurredbyDeveloperduringthedevelopmentoftheSoftwareonbehalfofBuyer,ifanyoftheseactivitiesaredeemednecessary.

4.IndependentContractor.

DeveloperisactingasanindependentcontractorwithrespecttotheservicesprovidedtoBuyer.NeitherDevelopernortheemployeesoftheDeveloperperformingservicesforBuyerwillbeconsideredemployeesoragentsofBuyer.BuyerwillnotberesponsibleforDeveloper'sactsortheactsofDeveloper'semployeeswhileperformingservicesunderthisAgreement.NothingcontainedinthisAgreementshallbeconstruedtoimplyajointventure,business,partnershiporprincipal-agentrelationshipbetweentheparties,andneitherpartybyvirtueofthisAgreementshallhaveanyright,powerorauthoritytoactorcreateanyobligation,expressorimplied,onbehalfoftheotherparty.

5.DevelopmentStaff-Monitoring.

A.Developerwillutilizeemployeesand/orcontractorscapableofdesigningandimplementingtheSoftwaretobedevelopedperthisAgreement.Allworkshallbeperformedinaprofessionalandworkmanlikemanner.Developershallarrangeforsuchemployeesand/orcontractors,ifany,toexecuteanddeliveranydocumentorinstrumentreasonablyrequestedbyBuyertoreflectBuyer'sownershipoftheSoftwareorinconnectionwithanyapplicationforpatentorcopyright.

B.BuyershallhavetherighttoreasonablyobserveandmonitorallaspectsoftheperformancebyDeveloperofitsobligationshereunderandDevelopershallusereasonableeffortstofacilitatesuchobservationandmonitoring.Information,functionsandoperationsofDevelopernotdirectlyrelatedtoitsobligationshereundershallnotbesubjecttoobservationandmonitoring.

6.ChangeinSpecifications.

Buyermay,initssolediscretion,requestthatchangesbemadetotheSpecifications,orotheraspectsoftheAgreementandtasksassociatedwiththisAgreement.IfBuyerrequestssuchachange,DeveloperwilluseitsbesteffortstoimplementtherequestedchangeatnoadditionalexpensetoBuyerandwithoutdelayingdeliveryoftheSoftware.Intheeventthattheproposedchangewill,inthereasonableopinionofDeveloper,requireadelayindeliveryoftheSoftwareorwouldresultinadditionalexpensetoBuyer,thenBuyerandDevelopershallconferandBuyershall,initsdiscretion,electeithertowithdrawitsproposedchangeorrequireDevelopertodelivertheSoftwarewiththeproposedchangeandsubjecttothedelayand/oradditionalexpense.

7. Confidentiality.

A. DeveloperacknowledgesthatallmaterialandinformationsuppliedbyBuyerwhichhasorwillcomeintoDeveloper'spossessionorknowledgeofDeveloperinconnectionwithitsperformancehereunder,istobeconsideredBuyer'sconfidentialandproprietaryinformation（the"ConfidentialInformation"）.Bywayofillustration,butnotasalimitation,ConfidentialInformationincludestheSoftware,tradesecrets,processes,data,know-how,programcodes,documentation,flowcharts,algorithms,marketingplans,forecasts,unpublishedfinancialstatements,budgets,licenses,prices,costs,andemployeeandcustomerlists.Developer'sundertakingsandobligationsunderthisSectionwillnotapply,however,toanyConfidentialInformationwhich:

（i）isorbecomesgenerallyknowntothepublicthroughnoactiononDeveloper'spart,（ii）isgenerallydisclosedtothirdpartiesbyBuyerwithoutrestrictiononsuchthirdparties,or（iii）isapprovedforreleasebywrittenauthorizationofBuyer.UponterminationofthisAgreementoratanyothertimeuponrequest,DeveloperwillpromptlydelivertoBuyerallnotes,memoranda,notebooks,drawings,records,reports,files,documentedsourcecodesandotherdocuments（andallcopiesorreproductionsofsuchmaterials）initspossessionorunderitscontrol,whetherpreparedbyDeveloperorothers,whichcontainConfidentialInformation.DeveloperacknowledgesthatConfidentialInformationisthesolepropertyofBuyer.Developeragreesthatdisclosureofsuchinformationto,oruseby,thirdparties,eitherduringorafterthisAgreement,willcauseBuyerirreparabledamage.DeveloperagreestousebesteffortstoholdConfidentialInformationinthestrictestconfidence,nottomakeuseofitotherthanfortheperformanceofitsobligationshereunder,toreleaseitonlytotheDeveloper'semployeesorcontractorswithaneedtoknowsuchinformationandnottoreleaseordiscloseittoanyotherparty.DeveloperfurtheragreesnottoreleasesuchinformationtoanyemployeeorcontractorwhohasnotsignedawrittenagreementbetweenDeveloperandtheemployeeexpresslybindingtheemployeenottouseordisclosetheConfidentialInformation,exceptasexpresslypermittedinthisAgreement.Buyershallbelistedasathird-partybeneficiaryofanysuchagreement.DeveloperwillnotifyBuyerinwritingofanycircumstanceswithinitsknowledgerelatingtoanyunauthorizedpossession,use,orknowledgeofsuchConfidentialInformation.Atanytime,uponrequest,theDeveloperwillreturnanysuchinformationwithinitspossessiontoBuyer.

B.DeveloperacknowledgesthatBuyer'spurposeinpursuingthedevelopmentoftheSoftwareistogainasignificantcompetitiveadvantageovercompetitorsoperatingwithoutsuchSoftwareandthatsuchadvantagewillbejeopardizedifsuchcompetitorslearnofBuyer'snegotiationswithDeveloperortheperformancebyDeveloperofitsobligationshereunder.Accordingly,DeveloperagreestokeepsuchnegotiationsandperformanceofitsobligationshereunderstrictlyconfidentialandnottodiscloseanyinformationtoanythirdpartyorentitywithoutthepriorwrittenpermissionofBuyer.Innoevent,shallDeveloperoranyofitsemployeesuseBuyerasareferenceinmarketingDeveloper'sservicestoanythirdpartyorentitywithoutBuyer'spriorwrittenpermission.

8.Training.

DevelopershallprovideBuyeranditsemployeeswithtrainingconsultationswithrespecttotheuseoftheSoftwareasmayreasonablyberequestedbyBuyerfromtimetotimeforafteracceptanceatnoadditionalcoststoBuyer（"TrainingPeriod"）.Developershalldeliveradetaileduser'smanualtoBuyeronorbeforecompletionofacceptancethatwillenableBuyer'semployeeswhoareotherwiseunfamiliarwiththeSoftwaretobecomeadequatelyinformedaboutusingthesoftware.AlltrainingthatDeveloperisrequiredtoprovidehereundershallbeperformedatsuchlocationsandatsuchtimesasaremutuallyagreedtobythepartieshereto.UpontheexpirationoftheTrainingPeriodandfollowingBuyer'srequest,DeveloperwillprovideanysupportservicesnecessarytoinsureBuyer'scontinueduseoftheSoftware.SuchserviceswillbeperformedonatimeandmaterialbasisatDeveloper'sthencurrenthourly

ratesforsuchservices.

9.Warranties.

A.Developerwarrantsthatforaperiodof_______________followingacceptance,theSoftwarewilloperatesubstantiallyaccordingtotheSpecifications.Intheeventofanybreachofthewarrantyin
