TheLENDERwilllendSecuritiestoBORROWER,andBORROWERwillborrowSecuritiesfromLENDERinaccordancewithtermsandconditionsofthisAgreement.
按照此协议规定条款，出借人将证券借给借用人，借用人向出借人借用证券。

TheBORROWERwillsignthisAgreementandinthesametime,within7bankingdaysaftersignature,willtransfertothedesignatedEscrowAgent,theamountofEUR
asperattachedinvoicetopermittocoverthe“callOption”expensedtoreservethesecurityinfavorofthistransaction.Atthismomenttheloanprocedurewillcommence.ThisamountshallbetransferredbyBORROWERwithin7daysofthesignatureofthisAgreementandwillberefundedaftersuccessfulcompletionofthistransactionbytheLENDER,asperarticle5）.TheBORROWERhastherightalsotodeducttheabovementionedamountfromtheservicefeestotalamountasperart.7）.
借用人在签定此协议后7个银行工作日内，将所附发票中的规定金额
欧元转到指定的托管代理人帐上，以支付完成本交易所需的“看涨期权”费用。
完成这一步，出借合同即时生效。
借用人必须在签订协议后7日内完成转账。
在交易完成后，出借人将根据条款5将款项全部退还给借用人。
根据条款7，借用人也有权选择从服务费中扣除以上金额的费用。
Aftersignatureofthisagreementandthewiretransferoftheabovementionedamountagreed,within48hours,theLENDERwillpostonthemarkentthe“calloption”toreservethetrancheoftheabovementionedbankingsecurityonthestockexchange.AfterthatwillsendtotheBorroweraOfficialCorporateInvoicewithalldetailsoftheInstrument,CorporateDeedofAssignment,BondPowerifrequested,ConfirmationofEuroclearorBloomberg,PrintoutofClearstream,SecurityCardoftheStockExchangemarketwheretheintrumentisquoted,ProspectusoftheIssuingProgramoftheBankifavailable,topermitthedesignatedBORROWER’sBankOfficertocheckandauthenticatethebankintrument.
TheinstrumentisscreenableinEuroclear,ClearstreamorBloombergsystems.
在借用人签署了协议、并按以上条款约定的金额汇款以后，出借人将在48小时之内在证券交易市场上买入“看涨期权”，预订相应份额的证券。
并随后向借用人寄出正式的公司发票，同时附上与银行票据相关的全部细节，包括公司转让契约、证券出售或过户授权书（如果需要）、欧洲票据清算所（Euroclear）或彭博公司的证明、国际结算系统（Clearstream）输出数据、用于股票交易市场报价的安全卡、以及银行发行程序相关章程（如果有），允许借用人的指定银行检查和核实银行票据的有效性。
此票据可在Euroclear、Clearstream或彭博公司系统中查询。
Aftertheverificationandauthenticationoftheabovementioneddocuments,BORROWERwilltransfertoLenderacollateralgrantingthepaymentoffullamountoftheservicefeesasfollowings:
以上条款所述文件经过检查核实后，借用人应向出借人交付抵押物，承诺支付全部服务费，程序如下
Uponreceiptoftheabovementionedcollateral,theESCROWLENDERshallimmediatelyrefundtheclearingandsettlementexpensespaidortheBORROWERwilldeductthesameamountintheservicesfeescollateral.Pleasenotethatifthedeliveryofcollateralwillnottakeplacewithin20daysoftheproformaofinvoiceissuingdate（asperart.4）,thecontractwillbeconsiderednullandvoid.
在收到上文所述抵押物后，出借代理人应立即退还借用人支付的结算交割费用。
或者借用人从将支付的相关服务费中扣除这部分数额的费用。
请注意，如果借用人不能在出借人开具估价发票后的20日内发出抵押物（根据条款4），则此合同被视为无效。
AtthismomenttheLENDERwillconfirmtotheclearingoperatorthepurchasingandafterthenecessaryduediligencebytheLender’sbankonbanktobankbasis,willcausethedeliveryoftheBankInstrumenttowhichtheAgreementrelates,bySwiftMT760,totheBORROWER’sDesignatedBank.ThetransactionwillbeclosedonaBank-to-Bankbasisusingtheswiftsystemorcertifiedbankingemailmessagesystem.
此时，出借人应向结算人员确认购买行为，并在提起借用人银行应有注意的基础上，采用行对行的方式，经信汇760向借用人银行递送与协议相关的银行票据。
在行对行基础上使用Swift系统或可靠的银行邮件系统完成交易。
BORROWERshallpaytotheLENDER,inthemannerprescribedinparagraph5）,theagreedservicefeeof..%（
PERCENT）oftheamountoftheinstrumentforaperiodofoneyearandoneday.Thelesseehasthepossibilitytoextendtheleasingperiodforupto5years,payingtheservicefeeyearly,fifteendaysbeforethematuritydate.
借用人应采用第5段描述的方式，按双方协定向出借人支付服务费，金额为票面价值的…%（百分之
），有效期为一年零一天。
如果借用人采用年付形式，并早于到期日15天支付服务费，就有可能将出借期延长，延长期最长可达5年。
BORROWERmayterminatethisAgreementatanytime,bysendingawrittennoticetoLENDER.BORROWERshallreturntheInstrumentimmediately.
借用人可以随时向出借人发送书面通知终止协议，并应立即将借用票据归还出借人。
BORROWERmustreturnthebankinstrumentunencumberedtotheLENDER15daysbeforehismaturitydate.Inanymomenttheownershipoftheintrumentwillnotbetransferred.
借用人必须在到期日前15天将银行票据无负担（无抵押、债务等）归还出借人。
在整个出借过程中，票据所有权不发生转移。
IntheeventthatasaresultofthefailureoftheTransferrertofulfillitsredeliveryobligationsa“buy-in”isexercisedagainsttheTransferee.TheBorrower,afterapprovalbytheLender,shallredeliveryalsoequivalentsecuritiesonterminationoftheLoan.
在转让方无法完成归还义务的情况下，受让方可以执行补购。
借用人在经出借人批准的情况下，可以在出借到期时归还证券。
BORROWER,priortothedateofmaturityofthebankinstrumentlent,mayhavedeliveredordeliversAlternativeCollateralacceptabletoLENDERorcashintheamountoftheaggregatemarketvalueofthelentInstrumentonthesamebusinessday.
借用人在银行票据租借到期日之前，可以以出借人允许的形式置换抵押物，或者按置换当天租借票据的全部市场价格折算成一定的现金做为抵押。
ThisAgreementmaynotbeassignedtoanythirdpartywithoutpriorwrittenconsentfromtheLENDER.
在未经出借人书面同意的情况下，本协议不得被转让给任意第三方。
BorrowerherebyundertakespromptlytopayandaccountforanytransfereeorsimilardutiesortaxeschargeableinconnectionwithstandtransactioneffectedpursuanttoorcontemplatedbythisAgreement,andshallindemnifyandkeepindemnifiedLenderagainstanyliabilityarisingasaresultofBorrower’sfailuretodoso.
在本协议下，借用人负有支付责任以及任何受让人相关责任，并负担因协议规定交易或协议计划交易所导致的相关税费。
如借用人无法完成此义务，应及时补偿出借人，并保证其不受损失。
TheLENDERherebywarrantsandundertakestotheBORROWERonacontinuingbasistotheintentthatsuchwarrantiesshallsurvivethecompletionofanytransactioncontemplatedhereinthat,whereactingasaLENDER:
•LENDERgrantsBORROWERanexclusivelicensetousetheInstrument.TheLicenseistransferabletootherthirdpartiesonlyafterauthorizationoftheLENDER.
•LENDERgrantsBORROWERthatthedeliveryofthedocumentsasperarticle4,willbedonewithin48hoursafterthereceiptofthedepositintheDesignatedEscrowCompanyClearingandSettlementaccountasperarticle3）.
•LENDERgrantsBORROWERthatthedeliveryofthebankInstrumentasperarticle6）willbeeffectedwithin7bankingdaysafterreceiptofthecollateralasperarticle5）.
出借人在此向借用人作出保证和承诺。
本保证以持续合作为基础，不因任何协议计划交易的完成而失去效力。
出借人保证：
•出借人授予借用人使用票据的专用许可证。
许可证未经出借人批准不得转让给第三方。
•出借人承诺在指定代理公司清算交割帐户收到存入款（依据条款3）后，在48小时内向借用人递送文件（依据条款4）。
•出借人承诺在收到抵押物后（依据条款5），在7个银行工作日内向借用人递送银行票据（依据条款6）。
TheBORROWERherebywarrantsandundertakestotheLENDERonacontinuingbasistotheintentthatsuchwarrantiesshallsurvivethecompletionofanytransactioncontemplatedhereinthat,whereactingasaBORROWER:
a）
BORROWERisobligatedtoobserveduecarewhenusingthebankinstrumentandshallensurethattheamountoftheInstrumentiscoveredbyreasonableasset,insurance,orsamevaluecollateral
b）
BORROWERalsograntsthathehasthecapabilityinfundsorcreditlinealreadyapprovedtopaythelending/borrowingfeesatthemomentofsignatureofthisagreementandwithinthemomentofthesuccessfulconclusionofthistransaction.
c）
BORROWERalsograntsthatthebankinstrumentwillnotbepledged,mortgagedorencumbered.
d）
BORROWERpresentsandwarrantsthatnoprovisionofthisAgreementisinviolationoforcontradictsanyagreementorcontractbetweenBORROWERandhisDesignatedBank.
e）
BORROWERgrantsthattheBankOfficer,asbelow,iscompletelyawareoftheaboveandothertermsofthetransactionandisreadytoconfirmandgranthisawarenessalsounderverificationbyLENDER’sBankOfficerdesignatedfortheduediligenceonbanktobankbasis.
f）
BORROWERdesignatesthefollowingreceivingbank:
