AccordingtotheprovisionsoftheContractLawofthePeople’sRepublicofChina,Labor

LawofthePeople’sRepublicofChina,LaborContractLawofthePeople’sRepublicofChinaandotherrelevantlawsandregulations,andinlinewiththeprincipleofequalityandmutualbenefits,thetwopartiesenterintothisLaborServiceContract(hereinafterreferredtoas“this

Contract”)throughfriendlyconsultationwithregardtoPartyA’slaborserviceforPartyB.

Chapter1GeneralProvisions

Article1Application

ThisContractappliestotherelatedissuesregardingPartyB’susingPartyA’slaborservice.

Article2ApplicableLaws

ThisContractandrelatedmattersshallbesubjecttolawsandregulationsofthePeople’sRepublicofChina.IncaseofanydiscrepancybetweenthearticlesofthisContractandthelawsandregulationsofthePeople’sRepublicofChinaforanyreasons,includingbutnotlimitedtothechangeoflawsandregulations,thelattershallprevail.

Article3Definitions

3.1PartyA’sStaff:

PartyA’sStaffrefertoanyKoreancitizensneededbyPartyBand

dispatchedbyPartyAtoPartyBafterPartyAhashandledrelevantproceduresinaccordancewithlaw.

3.2Attachments:

Attachmentsrefertoallsupplementaryorrelatedagreementssignedbythetwoparties;

theAttachmentsareintegralpartsofthisContractandhavethesameeffectasthisContract.

3.3ManagementFee:

ThetotalsumofallchargesandexpensesthatPartyBshouldpaytoPartyAfortheuseofPartyA’sStaff.Itgenerallycovers:

3.3.1ServicefeechargedbyPartyAforserviceprovidedunderthisContractandtaxesleviedbythestateagreeduponbythetwoparties.

3.4Pay:

LaborremunerationpaidbyPartyBtoPartyA’sStaffforlaboruse.

3.5Law(s):

Anyandalllaws,rules,regulations,institutions,statutesandthelike,ofthePeople’sRepublicofChina.

Chapter2RightsandObligations

Article4RightsEnjoyedbyPartyA

4.1PartyAisentitledtoconciliatebetweenPartyBandthePartyA’sStaffwithregardtothedisputesarisingfromlaborservice.

4.2PartyAisentitledtonegotiatewithPartyBandtoproposesuggestionsandrequestsofrectificationwithregardtotheviolationofChineselawandtheinfringementoflawfulrightsandinterestsofPartyA’sStaff.

4.3PartyAisentitledtochargeManagementFeeandSalaryfromPartyBonamonthlybasisaccordingtothestipulationsinthisContractandtheAttachmentshereto.

Article5RightsEnjoyedbyPartyB

5.1PartyBisentitledtotheserviceitemsprovidedbyPartyAaccordingtothisContractandtheAttachmentshereto.

5.2PartyBisentitledtodecideonthedispatchtermofPartyA’sStaffandthedispatchtermshallgenerallynotbeshorterthantwoyears.PartyBmayreturnPartyA’sStaffuponthe

expirationofthedispatchtermunlessotherwiseagreedbythetwoparties.

5.3PartyBisentitledtoconcludeotheragreements(includingbutnotlimitedtoAgreementonServiceTermforTraining,Non-disclosureAgreementandthelike)withPartyA’sStaffto

specifyrightsandobligationsbetweenthetwoparties.

5.4PartyBisentitledtoset,modifyordeterminerulesandregulationsormajorissueswithregardtolaborremuneration,workinghours,leavesandholidays,laborsafetyandhealth,training,labordisciplineandlaborquotamanagement,etc.whichareindirectrelationtothepersonalinterestsofPartyA’sStaff;

howeversuchrules,regulationsormajorissuesshallnotconflictwithlawinanysubstantiveorproceduralissuesandshallbedisclosedornotifiedamongPartyA’sStaff.

5.5IfthefemalestaffdispatchedbyPartyAisfoundtobepregnant,orisinpregnancyorisinlactation,PartyBhastherighttoreturnherunconditionally,andtherelatedchargesandlossesareallbornebyPartyA.AndPartyAshallberesponsibletoprovideastaffwithequalorbetterabilitythanthereturned.ThelossesofPartyBareallbornebyPartyAbeforethestaffwhowithequalorbetterabilitythanthereturnedarrivingatPartyB.

5.6IfPartyBneedstoreduceorreturnthestaffofPartyAduetothechangeofcompanyoperating,PartyBneedstonotifyPartyAinwritingaheadof30workdays.PartyBneedstosettleupthechargesstipulatedinthisagreement.AfterbeingconsultedbetweenPartyAandPartyB,PartyAisresponsibletohandlerelevantprocedures.

Article6ObligationstoBePerformedbyPartyA

6.1PartyAshallhandlerelevantproceduresinaccordancewithlawforPartyA’sStafflawfullyservingPartyB.

6.2PartyAshallprovideselectedserviceitemsforPartyBaccordingtothisContractandtheAttachmentshereto.

6.3PartyAshallinstructPartyA’sStafftoconscientiouslyabidebythelawsandregulationsofthePeople’sRepublicofChinaaswellastherulesandregulationsormajorissuesset,modifiedordeterminedbyPartyBinaccordancewithlaw.

6.4PartyA,uponPartyB’slawfulrequest,mayassistPartyA’squalifiedstaffinhandlingentryandexitprocedures.

6.5PartyA,uponPartyB’srequest,mayofferassistancetoPartyA’squalifiedstaffinhandlingproceduresforassumingthe(chief)representativeofPartyB.

6.6PartyA,upontherequestofPartyB,shallassistPartyBinrecoveringeconomiclossescausedbyPartyA’sStaff.Iftheirretrievablelossesaremade,PartyAshallcompensateforallthelosses.

6.7PartyAshalltakechargeofthelaboremploymentmanagementofthedispatchedlaborservice,singingthelaborcontractwiththem,andwhichshallbeprovidedtoPartyBforreference.

6.8PartyAshalldispatchqualifiedlaborservicetoPartyBtowork.ForthelaborservicewhoarestoppeddispatchingandreturnedtoPartyAbyPartyBaccordingtothetermsofthisContract,PartyAshouldreceivethemandhandlethefollowingworkoflaborrelationswiththem,andtryto

avoidadverseeffectstothenormalproductionandoperationofPartyBandsolike.

Article7ObligationstoBePerformedbyPartyB

7.1PartyBshallprovidePartyAwithnecessaryassistanceforitsserviceinaccordancewiththisContractandtheAttachmentshereto.

7.2PartyBshallpunctuallymakefullpaymentofthesalariesonamonthlybasistoPartyAasstipulatedinthisContractandtheAttachmentshereto.

7.3PartyBshallrespectethicalcustomandreligiousbeliefofPartyA’sStaff.Anyracialorgenderdiscriminationisstrictlyforbidden.

7.4PartyBshallimplementthelaborstandardofChina,providerelevantlaborconditionsandlaborprotection.

7.5IfPartyBdirectlypaysPartyA’sStafflaborremuneration,includingbutnotlimitedtoperformancebonusandthelike,PartyBshallpaytheremunerationtoPartyA’sStaffinfullandwithholdandpaythefullamountofindividualincometaxforPartyA’sStaffinatimelymanneraccordingtolaw.

7.6HousingandTransportationTreatmentofEmployee

7.6.1Onebedroom,privatebathroom,sharedlivingroomandsharedkitchenareprovidedfortheProjectManager;

7.6.2Onebedroom,sharedbathroom,sharedlivingroomandsharedkitchenareprovidedfortheProjectDeveloper;

7.6.3Onechanceofvisitingfamilyisprovidedeveryyear,andtheroundtripairticketcanbereimbursed(China-Korea),andthehighestamountofreimbursementis$1,000.

Article8RightsandObligationsSharedbyBothParties

8.1ThisContractandtheotherrelateddocumentsmadeintheprocessofperformingthisContract,includingbutnotlimitedtodraftofthisContract,theAttachments,quotations,faxesandletters,aretradesecretsofthetwopartiesandshallnotbedisclosedtoathirdpartybyeitherpartyinanyform,unlessforlawfulreasonsandwithpriornoticetotheotherparty.Otherwise,thedisclosingpartyshallbearliabilitiesforbreachofcontractandeconomiccompensationaccordingly.

8.2IfonepartybreachesthisContract,theotherpartyshallbeentitledtonegotiatewiththebreachingpartyandtoproposesuggestionsandrequestsofrectification.Thebreachingpartyshallcompensateforallthelossesaccordingly.

8.3EitherpartyisentitledtorequiretheotherpartytoimplementandmodifyarticlesofthisContractaccordingtothenewlyenactedoralteredlaws,regulationsandrulesofthePeople’sRepublicofChina.Suchrequirementshallbeimplemented.

8.4Eitherpartyshall,asrequiredbytheotherparty,providerelevantlaws,regulationsandrulesofthePeople’sRepublicofChina.

8.5Incasethateitherpartychangesindustrial&

commercialregistrationorbusinessaddress,thepartyinchangeshallinformtheotherpartyinwriting15daysinadvance.Ifitcausesanylosstotheotherpartyforfailingtodoso,thepartyinchangeshallbeartheliabilitiesforeconomiccompensationaccordingly.

8.6Thechangeofeitherpartyregardingname,legalrepresentative,personincharge,investorandthelike,shallnotimpacttheperformanceofthisContract;

IfPartyBundertakessplitormerger,thesuccessortoPartyB’srightsandobligationsshallcontinuetoperformthisContract.

Chapter3UseandReturnofPartyA’sStaff

Article9UseofPartyA’sStaff

9.1PartyB,priortotheconclusionofthisContract,shallprovidePartyAwithdocumentsevidencingitsvalidindustrialandcommercialregistrationinChinasoastousePartyA’slaborservice.PartyBshallberesponsiblefortheauthenticityandvalidityofsuchdocuments.

9.2PartyA,priortotheconclusionofthisContract,shallprovidePartyBwithdocumentsevidencingitsvalidindustrialandcommercialregistrationinKorea.PartyAshallberesponsibleforthea
