2Thiscontractismadeonthe15thdayofAugust,2004byandbetweenABCCorporation（hereinafterreferredtoasSellers）,aJapanesecorporationhavingitsprincipalofficeat___Tokyo,Japan,whoagreestosellandSOHOCorporation（hereinafterreferredtoasBuyers）,aNanjingcorporationhavingitsprincipalofficeat___Nanjing,China,whoagreestobuythefollowinggoodsonthetermsandconditionsasbelow:

3Qualityinspectedbyanindependentpublicsurveyoratthetimeofshipmenttobefinal.

4Goodssoldbysampleguaranteedbythesellertobefullyequaltothesampleuponarrivalatthedestination.

5Thesellershallguaranteeallshipmentstoconformtosamplessubmittedwithregardtoquality.

6Shouldthegoodsbeslightlyinferiorinqualitytothesample,thebuyershalltakedeliveryofthegoodsonconditionthatareasonableallowancebemadeonthecontractpricebysubsequentmutualnegotiation.Goodsmustnotbereturnedexceptbypermissionoftheseller.

7Thebuyershallacceptsecondqualityuptofivepercentofthetotalquantitywithanallowanceoffivepercent.

8Astothequalityofthegoodsthebuyershallappointaninspectortoinspectthegoodsin____priortodeliverywith15daysfromtheeffectivedateofthiscontract.Intheeventthebuyer’ssuchappointmentdoesnotarriveinduecourseoftime,theseller’sinspectionistobefinalandbindinguponparties.

10Weightcertificateby____atthedischargingporttobetakenasfinalwithonepercentweightallowanceagainsttheinvoiceweight.

11Wherethesellerdeliverstothebuyeraquantityofgoodslargerthanhehascontractedtosell,thebuyermayacceptthegoodsincludedinthecontractandrejecttherest,orhemayrejectthewhole.Ifthebuyeracceptthewholeofthegoodssodeliveredhemustpayforthematthecontractprice.

12Thesellershallhavetheoptionofdelivering5%moreorlessonthecontractquantity.Suchsurplusordeficiencyshallbesettledatthemarketpriceonthedayofthevessel’sarrival.Thevalueshallbefixedbyarbitrationunlessmutuallyagreedupon.

13ThetradetermsshallbegovernedandconstruedbyIncoterms2000.

14US$25perdozenCIFNewYork,includingyourcommissionof3%.Thecommissionshallbepayableonlyafterthesellerhasreceivedthefullamountofallpaymentduetotheseller.

15PricesshallbeFOBnetinUSdollarwithoutthebuyer’scommissionunlessotherwisestipulatedoragreeduponbybothparties.

16CanvasWoodenChairsatUSD12perpieceCFRSanFrancisco.Thesellerreservestherighttoadjustthecontractedprice,ifpriortothedeliverythereisanysubstantialvariationinthecostofrawmaterialsorcomponentpartsused.

17Thepriceshereinstatedarebasedoncurrentfreightratesandanyincreaseordecreaseinfreightratesatthetimeofshipmentistobethebenefitofthebuyer,withthesellerassumingthepaymentofalltransportationchargestothepointofplaceofdelivery.

18Fluctuationsinthefreightandcontingentimpositionofexportleviesshallbeforthebuyer’saccountafterthecontractiseffective.

19ThequotedpriceofforeigncurrencyisbasedontheprevailingofficialexchangerateinChinabetweenthesaidforeigncurrencytoRMB.AnydevaluationoftheforeigncurrencytoRMBatthetimeofnegotiatingthedraftshallbeforbuyer’srisksandaccount.

20Eachpairinabox,then24pairsofassortedsizesandcolorstoastrongexportcarton.

21Onedozentoapolythenebag,10polythenebagstoapaperbox,10paperboxestoawoodencaseof1/2inchthickness.

22Tobepackedinseaworthyexportcartons,eachcontaining100lbs,measurementofwhichis12”X13”X13”.Thecartonsshallbelinedwithplasticfilmandreinforcedwithironhoops.

23Packingmustbesuitableforoceanshippingandsufficientlystrongtowithstandroughhandling.Balesmustbepress-packedandhooped,withadequateinsidewaterproofprotectionandtheouterwrappingmustcomprisegoodqualitycanvas.Casesorotheroutsidecontainersmustbeexternallyofthesmallestcubicdimensionconsistentwithadequateprotectionofthegoods.Packagesmustbearfullmarksstenciledingoodqualitystencilinkinlargeplaincharactersontwosidesandoneendofeachpackage.Allbalesmustbemarked“Usenohooks.”

243000metrictonsplusorminus5%,attheseller’soption.January,February,Marchshipment,equallydivided.Eachshipmentshallberegardedasaseparateandindependentcontract.

25Thebuyersshallundertaketocharterthecarryingvessel.Thebuyersortheircharteringagentshalladvisethesellersbyfax,10dayspriortothearrivalofthecarryingvesselattheportofshipment,ofthecontractnumber,nameofthecarryingvessel,approximateloadingcapacity,laydaysandportofloadinginordertoenablethesellerstomakepreparationsforloading.Thesellersshallconfirmbyfaxuponreceiptoftheabovefax.Thebuyers’agentshallmakecontactswiththesellersfromtimetotime.

Shouldforcertainreasonsthebuyersnotbeabletoinformthesellersoftheforegoingdetails10dayspriortothearrivalofthevesselattheportofloadingorshouldthecarryingvesselbeadvancedordelayed,thebuyersortheircharteringagentshalladvisethesellersimmediatelyandmakenecessaryarrangements.

26Shouldthesellersfailtoeffectloadingintimewhenthevesselcharteredbythebuyersarrivesattheportofshipment,thesellersshallbeheldresponsibleforthedeadfreight,demurrage,andallotherlossessustained.

27Loadingrate:

10,000metrictonsperweatherworkingdayof24consecutivehours（weatherpermitting）.Sundaysandholidaysattheportofloadingareincluded.

28Demurrage/DispatchMoneyistobesettleddirectbetweentheshippersandtheshipownersaccordingtothecharterparty.

29Shipmentwithinthetimestipulatedshallbesubjecttoshippingspacebeingavailable.IncaseofFOBcontract,thebuyerisboundtogiveshippinginstructionintimeandprovidenecessaryshippingspace;

otherwise,thesellercandisposeofthegoodsforthebuyer’saccountandrisk.

Incaseofshipmentininstallments,eachlotshallberegardedasaseparateandindependentcontract.Thedateofbillsofladingistobetakenasthedateofshipment.

30Thegoodsmustbestrictlyshippedwithintheperiodstipulatedherein.Intheeventofdelayinshipment,thebuyermaycancelthecontractandclaimdamagesforbreachofthecontract;

providedthatshipmentbedelayedinwholeorinpartbyreasonofActsofGod,thebuyermayextendthetimeofshipmenttotheextentofthedelaynotexceedingonemonth.Ifshipmentisdelayedoveronemonth,thebuyershallhavetheoptiontocancelthecontractatanytime.Ifshipmentisnotpossiblewithin___monthsofthelatesttimeforshipmentasoriginallystipulatedherein,thecontractshallbecomevoid,unlessotherwiseagreedupon.Incaseofcancellationand/orthecontractbecomingvoid,thesellershallrefundallmoneypaidinadvancebythebuyerwithrespecttoanyundeliveredgoods.

31Thesellershallnotberesponsiblefornon-shipmentorlateshipmentofthecontractedgoodsoranypartthereofduetoForceMajeureoranyothercausesbeyondtheseller’scontrolorduetofailureofthebuyertoprovideintimealetterofcredit.

32Insuranceshallbeeffectedfortheamountoftheseller’sinvoiceplus10%.Anyadditionalinsurancerequiredbythebuyershallbeathisownexpense.ThesellermayinsureagainstWarRiskatthebuyer’srequestandexpenses.Incasetherateofrelevantinsurancepremiumshouldberaisedbetweenthetimeofclosingthecontractandthatoftheshipment,theexcesspremiumshallbeforthebuyer’saccount.

33Anyadditionalpremiumforinsurancecoverageover110%oftheinvoiceamount,ifsorequired,shallbebornebythebuyerandaddedtotheinvoiceamount,forwhichtheL/Cshallstipulateaccordingly.

34InsuranceistocoverW.A.plusT.P.N.D.andWarRiskfor110%oftheCIFvalue.Claims,ifany,arepayableinNewYorkintheUScurrency.

WarRiskpremiumiscalculatedat0.1%.Ifitishigherthan0.1%aftertheconclusionofthecontract,theexcesspremiumshallbeforthebuyer’saccount.IfWarRiskinsuranceisnotobtainable,thesellermaybeexemptedfromprovidingsuchinsurance..Therefore,theL/Cmustincludethefollowingclause:

“IfWarRiskpremiumishigherthan0.1%,thebeneficiaryisauthorizedtodrawthedifferenceinexcessoftheL/Camountortobeexemptedfromprovidingsuchinsurance.”

35Uponfirstpresentationthebuyersshallpayagainstthedocumentarydraftdrawnbythesellersatsight.Theshippingdocumentsaretobedeliveredagainstpaymentonly.

36Thebuyersshalldulyacceptthedocumentarydraftdrawnbythesellersat_____days’sightuponfirstpresentationandmakepaymentonitsmaturity.

37_____%ofthevalueofthegoodsistobepaidbyanirrevocableL/Candtheremaining____%byD/Pat____sight.Thefullsetofshippingdocumentsaretoaccompanythecollectionitem.Allthedocumentsarenottobereleasedtothebuyersuntilfullpaymentoftheinvoicevalueismade.Incaseofnon-paymentofthe____%inthecollectionitem,thedocumentsshallbeheldbytheissuingbankattheentiredisposalofthesellers.

38Payment:
