TechnologyTransferandRoyaltyAgreement技术过户合同-

ThisTechnologyTransferandRoyaltyAgreement（thisAgreement）isenteredintobyandbetweenAAACorporation,a_________（PLACENAME）corporation（AAA）andBBBCorporation,a_________（PLACENAME）corporation（BBB）effectiveasof_________,_________,_________（M/D/Y）.

A.AAAdesirestowaiveandreleasecertainrightsofreversionithaspursuanttoacertainAssignmentofInventionsdatedasof_________,_________,_________（M/D/Y）,andtotransfertoBBBallrightsincertaintechnology.

B.Inconsiderationfortheforegoing,BBBiswillingtopayAAAcertainroyalties,allassetforthmorefullyherein.

NOWTHEREFORE,thepartiesagreeasfollows:

1.CERTAINDEFINITIONS.

（a）AssignmentmeansthatcertainAssignmentofInventionsdatedasof_________,_________,_________（M/D/Y）.

（b）GrossRevenuesmeansonehundredpercent（100%）ofallamountsaccruedbyBBB,itssubsidiariesanditsaffiliates,asrevenues,undergenerallyacceptedaccountingprinciplesconsistentlyapplied,fromallsourceswhatsoeverworldwide,includingwithoutlimitationrevenuesfromsalesofproperty,whetherreal,personal,tangibleorintangible,fromsalesofservices,andfromleasesandlicensesofpropertyrightsofeverykind,butshallnotincludeanyamountsreceivedforsales,useorothertransactiontaxes,dutiesorshippingcosts.

（c）ReversionRightsmeansthoserightsofreversionprovidedtoAAAintheAssignment.

（d）RoyaltyTermmeanstheforty-eight（48）consecutivecalendarquarters,commencingwiththefirstcalendarquarterafterthedateofthisAgreementinwhichBBBhasoperatingrevenuesfromcommercialsubscriptions,advertisingsalesand/orconsumerproductroyaltiesor,attheelectionofAAA,anycalendarquarterpriorthereto.

（e）TechnologymeansalltechnologydevelopedbyAAAduringtheperiodbeginningonthedateoftheAssignmentandendingonthedatehereof,whichrelatesdirectlytotheinventionsassignedbyAAApursuanttotheAssignment.

2.RELEASE,WAIVERANDTRANSFER.InconsiderationofthepaymentofroyaltiesbyBBBassetforthinSection3below,AAAherebyreleasesandwaivestheReversionRights,andtransferstoBBBallofitsrightsinandtotheTechnology.

3.PAYMENTOFROYALTIES.Inconsiderationoftherelease,waiverandtransfermadebyAAApursuanttotheprovisionofSection2above,BBBherebyagreestopaytoAAAroyaltiesequaltotwopercent（2%）ofBBB’sGrossRevenuesforeachcalendarquarterintheRoyaltyTerm.BBBshallmakethepaymentsduetoAAAhereunderwithrespecttoGrossRevenuesforeachofthefirstfour（4）calendarquartersintheRoyaltyTermnotlaterthansevenhundredfifty（750）daysaftertheendofsuchcalendarquarter.BBBshallmakethepaymentsduetoAAAhereunderwithrespecttoGrossRevenuesforeachofthesecondfour（4）calendarquartersintheRoyaltyTerm（i.e.,thefifththrougheighthcalendarquartersintheRoyaltyTerm）notlaterthanthreehundredeighty-five（385）daysaftertheendofsuchcalendarquarter.BBBshallmakethepaymentduetoAAAhereunderwithrespecttoGrossRevenueforeachcalendarquarterintheRoyaltyTermthereafternotlaterthantwenty（20）daysaftertheendofsuchcalendarquarter.EachquarterlypaymentshallbeaccompaniedbyareportstatingtheamountofGrossRevenuereceivedbyBBBduringthequarter.

4.AUDITEDFINANCIALS,RECORDKEEPINGANDINSPECTION.BBBherebyagreestoprovidetoAAAunauditedfinancialstatementsforeachcalendarquarterintheRoyaltyTermwithinthirty（30）daysfollowingtheendofsuchcalendarquarter.BBBherebyagreestoprovidetoAAAfinancialstatementsauditedbyaBigSixaccountingfirmforeachcalendaryearincludinganycalendarquarterintheRoyaltyTermwithinninety（90）daysfollowingtheendofsuchcalendaryear.IftheGrossRevenuesreportedonsuchauditedfinancialstatementsdiffersfromthecumulativeamountsshownonthequarterlyreportsforsuchcalendaryear,BBBshallmakeanadjustmentpaymenttoAAAiftheamountsshownonthequarterlyreportsweretoolow,orAAAshallmakeanadjustmentpaymenttoBBBiftheamountsshownonthequarterlyreportsweretoohigh,withintwenty（20）daysfollowingdeliveryoftheapplicableauditedfinancialstatement.BBBshallkeepatitsusualplaceorplacesofbusinesscompleterecordsofitsGrossRevenuesforeachcalendarquarter,foraperiodofnotlessthanthree（3）yearsfollowingtheendofsuchcalendarquarter,andtoregularlymakeentriesinsuchrecordsatitsearliestbusinessconvenienceforthepurposeofshowingtheamountspayabletoAAAhereunder.Onnotlessthanten（10）dayswrittennotice,AAAshallhavetheright,notmorethanonceduringanytwelve（12）monthperiodatmutuallyagreedupontimesduringnormalbusinesshoursatAAA’sexpense,toexamineanyandallofBBB’srecordsreflectingGrossRevenuesforthesolepurposeofverifyingtheaccuracyofBBB’sreportsofGrossRevenuesandtheperformanceofBBB’sobligationstomakepaymentshereunder.IntheeventthatanysuchexaminationbyAAAdisclosesanerrorinthedeterminationofanyamountsduehereunderthatisconfirmedbyBBB’sindependentauditors,BBBshallmakeanadjustmentpaymenttoAAAiftheamountpreviouslypaidwastoolow,orAAAshallmakeanadjustmentpaymenttoBBBiftheamountpreviouslypaidwastoohigh,withintwenty（20）daysfollowingsuchindependentauditor’sconfirmationoftheerror.IntheeventthatanysuchexaminationbyAAAdisclosesanerrorinthedeterminationofanyamountsduehereunder,thatisconfirmedbyBBB’sindependentauditors,suchthatamountpreviouslypaidtoAAAwastoolow,AAAthereaftershallbeentitledtoexamineBBB’sbooksandrecordsonaquarterlybasis.

5.NOVATION.IfafirstunderwrittenregistrationoftheofferingofthecommonstockofAAAdoesnotbecomeeffectiveonorbefore_________,_________,_________（M/D/Y）,theneffective_________,_________,_________（M/D/Y）thisAgreementshallbeextinguished,andallrightsandobligationscreatedherebyshallterminate.

6.ATTORNEYS’FEES.IntheeventeitherpartyshallcommenceanyactionorproceedingagainsttheotherpartybyreasonofanybreachorclaimedbreachintheperformanceofanyofthetermsorconditionsofthisAgreementortoseekajudicialdeclarationofrightsunderthisAgreement,theprevailingpartyinsuchactionshallbeentitledtorecoverreasonableattorneys’feesandcostsfromthenon-prevailingparty.

7.CONTROLLINGLAW.ThisAgreementisenteredintoandtobeperformedin_________（PLACENAME）,anditshallbeinterpretedandenforcedunder,andallquestionsrelatingtheretoshallbedeterminedinaccordancewiththelawsoftheStateof_________（PLACENAME）.

8.WAIVER.NowaiverofanyprovisionofthisAgreementshallbedeemedorshallconstituteawaiverofanyotherprovision,whetherornotsimilar,norshallanywaiverconstituteacontinuingwaiver.Nowaivershallbebindingunlessexecutedinwritingbythepartymakingthewaiver.

9.PARTIALINVALIDITY.Theillegality,invalidityorunenforceabilityofanyprovisionofthisAgreementunderthelawofanyjurisdictionshallnotaffectitslegality,validityorenforceabilityunderthelawofanyotherjurisdictionnorthelegality,validityorenforceabilityofanyotherprovision.

10.ENTIREAGREEMENT.ThisAgreementisintendedbythepartiesasafinalexpressionoftheiragreementandasacompleteandexclusivestatementofthetermsoftheiragreementwithrespecttoitssubjectmatter.ThisAgreementmaynotbecontradictedbyevidenceofanypriororcontemporaneousagreement,oralorwritten,andthisAgreementmaynotbeexplainedorsupplementedbyevidenceofconsistentadditionalterms.ThisAgreementsupersedes,merges,andvoidsallpriorrepresentations,statements,negotiations,understandings,proposedagreements,andotheragreements,writtenororal,relatingtoitssubjectmatter.

11.AMENDMENTS.ThisAgreementmaynotbeamended,modifiedorsupplementedexceptbyawritingexecutedbybothparties.

12.COUNTERPARTS.ThisAgreementmaybesignedincounterparts,eachanoriginalbutalloneandthesameinstrument.

13.SUCCESSORSANDASSIGNS.ThisAgreementshallinuretothebenefitofthesuccessorsandassignsofCompanyandanysuccessorsandpermittedassignsofBBB,andshallbebindinguponthesuccessorsandassignsofCompanyandofBBB.

14.FURTHERASSURANCES.ThepartiesheretoshalldoandperformorcausetobedoneandperformedallsuchfurtheractsandthingsandshallexecuteanddeliverallsuchotherdocumentsasanyotherpartymayreasonablyrequestfromtimetotimeinordertocarryouttheintentandpurposeofthisAgreementcontemplatedhereby.NeitherAAAnorBBBshallvoluntarilyundertakeanycourseofactioninconsistentwithsatisfactionoftherequirementsapplicabletothemsetforthinthisAgreementandeachshallpromptlydoallsuchactsandtakeallsuchmeasuresasmaybeappropriatetoenablethemtoperformasearlyaspracticabletheobligationshereinrequiredtobeperformedbythem.

15.NOTICES.AnynoticeorothercommunicationrequiredorpermittedunderthisAgreementshallbeinwritingandeitherpersonallydeliveredordepositedinthefirstclassUnitedStatesmail,prepaid,certifiedorregistered,returnreceiptrequested,addressedasfollows:
