FORMOFAGREEMENT

协议书

Agreement

ThisAgreement,madethe14thdayofJuly,2008betweentheRoadDevelopmentAgency,acorporatebodyconstitutedundersection3ofthePublicRoadActNo.12of2002（hereinaftercalled“theEmployer”）andChinaGeo–EngineeringCorporationdulyincorporatedundertheprovisionsoftheCompaniesActChapter388oftheLawofZambia（hereinaftercalledthe“Contractor”）oftheotherpart.

本协议书于2008年7月14日由公路发展局（依照公共公路法第三部分第12条之规定依法设立的法人机构）（以下简称:

业主）与中国地质工程集团公司（根据赞比亚公司法第388章节之规定依法设立的独立法人机构）（以下简称:

承包人）共同订立.

NowthisAgreementwitnessedasfollows:

现签定以下协议:

1.InthisAgreement,wordsandexpressionsshallhavethesamemeaningsasarerespectivelyassignedtothemintheConditionsofContracthereinafterreferseto,andtheyshallbedeemedtoformandbereadandconstruedaspartofthisAgreement.

1.本协议中用词与表达必须与以下合同条件中提到的内容具备一一对应的相同的含义,合同条件中的表述可视做对本协议的形成,解读与分析.

2.InconsiderationofthepaymentstobemadebyEmployertotheContractorashereinaftermentioned,theContractorherebycovenantswiththeEmployertoexecuteandcompletetheworksandremedyanydefectsthereininconformityinallrespectswiththeprovisionsoftheContract.

2.作为报酬业主向承包人付款,承包人就此向业主承诺按合同约定的条款实施完成本工程并负责修缮

3.TheherebycovenantstopaytheContractorinconsiderationoftheexecutionandcompletionoftheworksandtheremedyingofdefectswhereintheContractPriceorsuchothersumasmanybecomepayableundertheprovisionsoftheContractatthetimesandthemannerprescribedbytheContract.

3.业主向承包人承诺按合同规定的时间和方式向承包人支付费用,作为实施完成本工程和包含在合同价内的缺陷修缮及合同规定的其他可支付项目的报酬.

4.ThePartiesherebymayamend,modify,supplementorwaiveanyprovisionsofthisAgreementbymutualwrittenagreementsignedbybothparties.

4.合同各方如需改进,修改,补充或放弃任何本协议书的条款均需各方签定书面协议

5.TheAuditorGeneraloranyPublicOfficerinaccordancewithsection8

（1）ofthePublicAuditAct,Chapter378oftheLawsofZambiaisempoweredtohaveaccesstoexamineallbooks,records,papers,reportsandotherdocumentsrelatingtothiscontract.

6.审计局及任何政府部门可根据赞比亚公共审计法第8

（1）部分378章之规定,有权进入,检查与合同相关的所有书籍,记录,报表,报告和其他文件.

InWITNESSwhereofthepartiesheretohavecausedthisAgreementtobeexecutedtheDayandYearfirstwritten.

本协议书自双方签署的日期正式生效

2.0IntroductoryRemarks

TheChairmanwelcomedallpresentandinformedthemeetingthatauthoritytoawardthecontractforthetenderfortheaboveprojectwasgivenabout2weeksagoandthecontractwasawardedtothesuccessfulbidderlastFriday,4thJuly,2008.

会议主席欢迎与会代表,并告知会议,在2周前已确定了授予合同给上述工程的投标人的权利,上周五2008年7月4日将合同授予中标人.

TheChairmanexplainedthatthepurposeofthemeetingwas:

·todiscussissueswhichmayhaveamaterialimpactontheContract;and

·todiscussissueswhichmayhaveamaterialimpactontheCommencementandcompletionoftheContract.

会议主席说明本次会议的目的是:

讨论对合同有实质影响的问题与对合同的开竣工有实质影响的问题.

3.0Deliberations协商

Themeetingdeliberatedandagreedasfollows:

本次会议经协商对以下内容达成一致

3.1Programmeofworks施工组织

Contractorwillsubmittheprogrammeofworksaftercontracthasbeensigned.合同签订后承包人提交施工组织设计.

3.2Constructionperiod工期

Constructionperiodof9monthsastenderedshallbemaintained.However,extensionoftimewillbeconsideredforinclementweatherandwillbeassessedaspercurrentprovisioninthetenderdocument.

投标书承诺的9个月工期维持不变,然而,考虑到恶劣气候与评估投标文件的每条现有条款可延长工期

3.2StartDate开工时间

Thecurrentprovisionofthe14daysstartdateismaintained.TheClientwillgivetheContractoraccesstothequarrywithinonemonthfromthestartdate.

按现有条款14天开工时间维持不变.代理机构将在开工时间之后1个月内向承包人提供料场的使用权

3.3Quarry料场

Contractorshallassoonaspossiblebegivenaccesstothequarry.RDAtodiscusswithRaubexwhoarecurrentlyleasedthequarryinordertoreachanunderstandingallowingaccesstoCGC.TheTeamleaderforZuluBurrowLimited,CGCrepresentativesandtheRegionalEngineerforSouthernProvincewillvisitthequarryatearliestconveniencetodeterminetherequirementsforCGCregardingthecrushingplant,stockpilingandasphaltplantarea.Fromthecontractor’sassessmenttheblastingareaissufficientforbothRaubexandCGCoperations.HowevernoexclusiverightshallbegiventoCGCtooperatethequarry.

承包人需尽快获得进入料场的权利.RDA为使中地集团获得进入料场的许可与料场的出租方Raubex进行商讨.ZuluBurrowLimited的首领,中地集团的代表,南方省区域工程师会在便利的时候尽早查验料场以确定碎石场,堆料场,沥青加工厂能否满足中地集团的要求.经承包人的评估,采石区域足够Raubex与中地共同使用.但是中地集团没有对该料场的占有权.

3.5Cement水泥

CementshallbeZambiamanufacturedcementasspecifiedinthetender.RDAshallassistthecontractorbyrequestingLafargeCementCompanyofChilangatosupplysufficientcement.ThenCGCshouldsubmittoRDAitsrequirementuponwhichRDAwillbaseitsrequesttoLafarge.

按照投标文件所列的条款,水泥必须使用赞比亚本地生产的水泥.RDA会帮助承包人向Lafarge水泥公司提出充足的供货要求.中地集团需把水泥的用量提交给RDA,RDA将要求Lafarge水泥公司按需供货.

3.6Camp,Laboratory,Engineer’sOfficesandVehicles

宿舍,实验室,工程师办公室,交通工具

ContractorinformedthemeetingthattheCampwillbelocatedatZimba;

承包人在会上提出宿舍需要建设在津巴布韦;

Prefabricatedbuildingarespecifiedhenceitwilltake2to3monthstoimportthesefacilitiesintothecountry.However,CGCshallprovideacontainerofficeandrentedaccommodationfortheEngineerwhiletheprefabricatedbuildingarebeingawaited;

清单所列活动房将在2到3个月后进口到国内.但在活动房没有安装使用前,中地集团将提供集装箱办公室并为工程租赁宿舍.

Engineershallapprovethelocationofallfacilitiesbeforeanyworkisdone

任何设施进入现场需在工作完成前获得工程师批准进入

Noworksrequiringtestingshalltakeplaceuntilthelaboratoryequipmentisinplace.实验室设备进入需进行测试

TheContractortoplaceordersfortheEngineer’svehicles.CGCproposedthesupplyofToyotavehicles.Thisordertobeexpeditedassoonaspossible.

承包人为工程师订购车辆。

中地集团提供的丰田汽车必须尽快落实到位。

3.7DateforContractorSigning

TheContractorforbothcivilworksandsupervisionwillbesignedonMonday,14thJuly,2008at14:

30HrsintheConferenceRoomatRoadDevelopmentAgencyHQ.

承包人包括施工单位代表与监理单位代表在2008年7月14日下午2点在公路发展局的会议室签定合同。

Havingnoanyotherbusinesstodiscussthemeetingwasclosedat11:

05Hrs.

11点05分，会议事项全部讨论完毕，会议结束。
