ThisLetterAgreement,effectiveasof_________,_________,_________（M/D/Y）（theEffectiveDate）setsforththeessentialelementsofanagreementbetweenAAACorporation,_________（PLACENAME）corporationhavingitsprincipalplaceofbusinessat_________,USA,facsimilenumber_________togetherwithitssubsidiaryCCC,Ltd.,withofficesat_________,facsimilenumber_________,ontheonepart（collectivelyAAA）,and,ontheotherpart,BBBTechnologies,Inc.a_________（PLACENAME）corporationhavingitsprincipalplaceofbusinessat_________andanoperatingsubsidiaryBBBTechnologies,Ltd.withofficesat_________,facsimilenumber_________（collectivelyBBB）,relatedto（i）AAA’sintenttomakeaUS$,_________equityinvestmentinBBB,（ii）theparties’intentforAAAtomarketunderexclusivelicensecertainmusicCDCopyProtectionTechnologytobejointlydevelopedbyBBBandAAA,and（iii）BBB’sintenttoexclusivelylicensetheCD-Technology（asdefinedinSection11below）toAAA.

1.MUSICCDCOPYPROTECTIONPROJECTDESCRIPTION.BBBandAAAagreetojointlydevelopandmarketmusiccopyprotectiontechnologyforopticalmedia,includingbutnotlimitedtocopyprotectionforCDsandDVDs（theTechnology）throughoutthetermofthisLetterAgreement.TheTechnologyshallinclude,butnotbelimitedto,aprocessspecification,LBRencodermodules,manufacturingtestmodules,andqualitycontrolmodules.ThepartiesintendthattheTechnologymeetthefollowingfunctionalrequirements:

a.Thequalityoftheprotecteddisk,whenplayedon[]oftheworldwideinstalledbaseofCDplayers（redbookandyellowbook,includingbutnotlimitedtoportableplayerswithanti-shockcapability）,shallmatchthequalityoftheoriginalunprotecteddisk[].

b.Theprotecteddisk,whenplayedon[]oftheinstalledbaseofCDplayers（redbookandyellowbook,includingbutnotlimitedtoportableplayerswithanti-shockcapability）,[]andotherwiseperforminthesamemannerastheoriginalunprotecteddisk.

c.Copiesofprotecteddiskssourcedfromatleast[]oftheworldwideinstalledbaseofCD-Readersasdescribedinsubsection（d）belowshallbedegraded,suchthatthecommercialentertainmentvalueofthemusichasbeeneliminated,whenplayedontheworldwideinstalledbaseofCDplayers（redbookandyellowbook,includingbutnotlimitedtoportableplayerswithanti-shockcapability）andmini-discplayers.

d.Thetracksrecordedonaprotecteddiscshallnotbetransferrable（directlyorindirectly,exceptifthecommercialvalueofthemusiciseliminatedduringthetransferthroughtheCDReader-PCDataInterface）fromatleast[]oftheworldwideinstalledbaseofCD-Readersontothehard-driveofaPCusingfileformatssuchas.WAVor.BIN,includingbutnotlimitedtobyusingsoftwareprogramssuchasGoldenhawkCDRWin,AdaptecEasyCDCreator,andNero.

2.PROJECTRESPONSIBILITIESOFBBB.BBBshalldevelopacompleteproductspecificationaswellasacompletedproductsuitableforCommercialLaunch（asdefinedbelow）,includingcompletelyfunctionalLBRencodermodulesfortheDCA,Eclipse,andMediamorphicsmasteringsystems.ThepartiesintendthatthreeLBRencodermodulesshallbedevelopednolaterthan[],onebeingfortheDougCarsonAssociatesmasteringsystem,onebeingfortheEclipseCorporationmasteringsystem,andonebeingfortheMediamorphicsmasteringsystem.BBBshallalsoperformallongoingtechnologydevelopment,enhancement,and2ndleveltechnicalsupportactivities.

3.PROJECTRESPONSIBILITIESOFAAA.AAAshallperformallsales,marketing,installation,andreplicatorliaison,andfirstleveltechnicalsupportactivities.AAAshallhavetheoptioninitssolediscretion,incoordinationwithBBB,tocontributetothedevelopmentofLBRencodermodulesandtoperformongoingtechnologydevelopmentandenhancements.

4.TECHNOLOGYDEVELOPMENTANDPROJECTMANAGEMENT.BBBagreestoassignasufficientnumberoftechnicalpersonnelfora[]yearperiodbeginningontheEffectiveDateofthisLetterAgreement,todevelop,enhance,andmaintaintheTechnology.DuringtheperiodbeginningontheEffectiveDateandendingthreemonthsfollowingthedateonwhichtheCommercialLaunch（assuchtermisdefinedinSection7below）hasoccurred,BBBagreestocause[]tobeassignedonafulltimebasistodevelop,enhance,andmaintaintheTechnologyandtoperformsuchactivitiesonathreequartertime（i.e.,threeweeksoutofeveryfour）basisatAAA’sCCCofficeslocatedinWoodley,UK.BBBshallpayalltravelandlodgingexpensesrelatedto[]workintheUKduringthisperiod.AAAagreestodesignateatleastonetechnicalliaisontointeractwith[]andtheotherBBBpersonnelwhoareinvolvedwiththeTechnology.AtAAA’soption,uptothreeprojectstatusmeetingsmaybeheldatAAA’sSunnyvale,Californiaoffice,andineachsuchcaseBBBagreestocause[]toattend,andAAAagreestoreimburseBBBforthereasonabletravel（coachclassairfare）andlodgingcostsof[]relatedtoeachsuchmeeting.Telephoneconferencecallswillalsobeheldweeklyatmutuallyagreedupontimes.

BBBalsoagreesto,uponrequestfromAAA,cause[]tobepresentatBBB’sexpense（exceptasdescribedbelow）atAAA’sSunnyvale,CAUSAlocation,oratanyotherlocationintheUSA,England（exceptforWoodley,UKwhere[]willbeworkingonathreequartertimebasisasdescribedabove）orWesternEuropeasrequestedbyAAAforuptooneweekpermonthbeginningontheEffectiveDateandendingthreemonthsfollowingthedateonwhichtheCommercialLaunch（assuchtermisdefinedinSection7below）hasoccurred.AAAagreestoreimburseBBBforthereasonabletravel（coachclassairfare）andlodgingcostsof[]orotherBBBpersonneliftheyarerequestedbyAAAtotraveltotheUSA.

AllengineersandotherstaffwhichmaybeassignedbyBBBorAAAtodeveloptheTechnologyshallatalltimesbeemployeesofBBBorAAA,respectively.BBBandAAAmay,attheiroption,individuallyemploytheservicesofcontractorsorconsultantstoassistinthedevelopmentoftheTechnologysolongassuchcontractorsorconsultantsareboundbyappropriateconfidentialityagreementsandhaveagreedtoassignallright,titleandinteresttotheirworkproducttoBBBorAAAasappropriate.BBBorAAA,asappropriate,shallbefinanciallyresponsibleforthesalaries,benefits,expenses,andequipmentrequiredbytheirrespectiveengineers,contractors,consultants,andotherstaff.

5.OWNERSHIPOFTHETECHNOLOGY.TMandAAAshalleachindividuallyownallrighttitleandinteresttothoseportionsoftheTechnologywhichcanbeshowntohavebeendevelopedindependentlybythem.Inaddition,AAAacknowledgesBBB’sownershipoftheintellectualpropertycomprisingtheCD-Technology,asdefinedinSection11below.AllotherportionsoftheTechnologyshallbeownedjointlybyBBBandAAA（JointlyOwnedTechnology）.Eachpartyagreestofileandprosecute,andshallbeartheexpenseoffilingandprosecuting,atleastintheUnitedStatesofAmerica,Canada,Mexico,UnitedKingdom,France,Benelux,Scandinavia,Germany,Spain,Italy,KoreaandJapan,anypatentsonthoseportionsoftheTechnologyitownsasoftheEffectiveDateorwhichitindependentlydevelopssubsequenttotheEffectiveDateandwhicharecommerciallyimportanttoprotectingtheintellectualpropertyrightsunderlyingtheTechnology.

Exceptasprohibitedbylaw,thepartiesshalljointlyfile,withrespecttoJointlyOwnedTechnology,suchpatentandcopyrightapplicationsandamendmentsthereofasthepartiesagreeareusefultoprotecttheirjointinterestsintheTechnology,andshallthereafterusecommerciallyreasonablediligencetoprosecuteandmaintaininforcesuchapplicationsandanyresultantpatentsandcopyrights.Thecostsandexpenses（includingattorneys’fees）incurredinthefiling,prosecutionandmaintenanceofsuchpatentsandcopyrightsshallbesharedequallybytheparties.Asanadditionalright,eitherparty,atitsownexpense,mayfilepatentandcopyrightapplicationscoveringtheTechnologyinthosecountrieswherethepartiesdonotmutuallyagreetofilesuchapplications.AllpatentandcopyrightapplicationsforJointlyOwnedTechnologydevelopedunderthisLetterAgreementshallbefiledinthenameofbothparties.

6.LICENSEGRANT.SubjecttothetermsofthisLetterAgreement,BBBgrantstoAAA,duringthefulltermofthisLetterAgreement,anexclusive,worldwide,royalty-bearinglicense,withintheFieldofUse（asdefinedbelow）,includingtherighttosublicense,touseallpatentrights,softwarealgorithms,encodermodules,applicabletrademarksandtradenamesincludingbutnotlimitedtoMusicGuard,andotherintellectualpropertyownedbyorlicensedtoBBB,ordevelopedbyBBB,whichisrequiredtodevelopandgeneratecommercialbenefitfromtheTechnology.FieldofUseshallmeanmusic（includingmusicvideo）copyprotectionforopticalmedia,includingbutnotlimitedtocopyprotectionforCDsandDVDs,andforinternetdigitalrightsmanagementformusicapplications.

BBBwillensure,nolessfrequentlythanmonthly,thatAAAhasafullcopyofthelatestversionoftheTechnology（includingcopiesofallpertinentnotes,plans,diagrams,schematics,sourcecode,objectcodeandtechnicalspecifications）,itbeingunderstoodthattheintentofthepartieshereinistoprovideforAAAtobeabletofullyutilizetheTechnologyintheeventofadissolutionorcorporatereorganizationofBBBand/orintheeventthat[]ceasestobeintheemployofBBB.

7.LICENSEFEES.ExceptasprovidedbelowinthisSection7AAAagreestopaytoBBBthirtypercent
