I.Therightsandresponsibilitiesofthetwoparties:

Buyer’sresponsibilityandrightsareasfollows:

1.thebuyerisresponsibleforthedeliveryoftheR&

Drequirementsandplansoftheseller’sproject,andprovidesthesalesforecastasfaraspossible.

2.thebuyerisresponsibleforthedeliveryoftheproductdesigndrawingsandotherrelatedtechnicalinformationrequiredbythesellertothesellerandthetechnicalsupport.

3.,thebuyerhasthesolerighttointerprettheproductdesigndrawingsandrelatedtechnicaldatadeliveredtotheseller.Whenthereisambiguity,theSellershallconsultthebuyer’sopinionandconfirmitbythebuyer.

4.afterthesellercompletesthedesignandmanufactureofthemould,thebuyerwillgototheseller’ssitetoverifythemold,ortoprovidetheproductsampletothebuyerforconfirmationandconfirmationbytheseller.Themouldsreferredtointhiscontractincludethemouldoftheproductitselfandthefixtureandmouldneededforthesubsequentproduction.

Therightsandresponsibilitiesofthesellerareasfollows:

1.thesellerisresponsibleforthedesignandmanufactureofthemouldsaccordingtotheproductdesigndrawingsandotherrelatedtechnicalinformationprovidedbythebuyer.

Beresponsibleforcompletingthemoldaccordingtothebuyer’sdesignrequirementsinaccordancewiththestipulationsofthecontract.

2.theSellershallberesponsibleforprovidingtimelycertificationandsampletest,trialproductionofdesiredproducts.Atthesametimethesellermustprovidethedetailsoftherelatedproducts.

Thedetailedtestreportisforthebuyer’sconfirmation.Incaseofrepair/modification,thetestreportisalsoattachedatthesametime.

Thebuyerdoesnotbearanyresponsibility.

1.5theSellershallgivethebuyerthecorrespondingcompensationintheformofthebuyer’sapprovalasthesellercausesthebuyertospendthelaborandcostoutsidethenormaltechnicalsupportasaresultoftheseller’scause.

2.theprogressofthemodel:

2.1thesellerafterthereceiptofthebuyeraftertheconfirmationofproductdrawing,whichbegantoenterthemolddesignandproductionstage,opencyclefor________days

2.2duetobuyer’scausethedelayofmoldmakingprogressisnotcalculated.

2.3iftheseller’smoldmakingprocessandothermistakesleadtothefailureofthemoldtobeacceptedandthebuyerisinurgentneedofproduction.

Atthesametime,theproductionshouldbearrangedwiththeexistingmold,andthedieshouldbereopenedaccordingtotherequirementsofthedrawingsandsamples.

3.modeofpayment:

PartyBagreesthatPartyAwillpaythepaymentasfollows.

3.1separatesettlement:

Monthlyknot,60daysaftertheopeningoftheticket,open17%VATinvoices.

3.1.1ofthetotalamountofthecontractmanufacturingbatchmould（includingVAT）forRMB_________yuan（RMB________yuan）,thebuyertopaythetotalamountof_____%mold,mold___%residualcostallocationinthefirst50Kproducts,ifthenumberoforderslessthan50K,thebuyershallsupplytheselleraftertheunamortizedtoolingcost.

3.1.2fromthetwosidesafterthesigningofthecontract,thesellertoprovidevalue-addedtaxinvoices（moldtotal____%）,thebuyerwithintwentyworkingdaysofpayment.

4.productorder:

onlyafterthequalityacceptanceoftheproductsampleisqualifiedandthebuyer’swrittenconfirmation,thesellermayaccepttheorderofthethirdpartyauthorizedbythebuyerorthebuyer.Theordercontractsignedbythirdpartiesauthorizedbythebuyerwiththebuyer’ssellerissubjecttothiscontract.

Four,productqualityassurance

Afterthesellerhascompletedthemold,theSelleragreestoguaranteethequalityoftheproductinaccordancewiththebuyer’squalitystandard（thefirstconfirmationreport）.

Thebuyerreservestherighttomodifythecontentofthequalitystandardinaccordancewiththeactualneeds.

Five.Theownershipofthemold

1.theownershipofallmouldsandclampingfixturesandtheirassemblydrawingsandpartsdrawings（including2Dand3D）involvedinthecontractshallbeownedbythebuyer,andtheSellershallnotinterferewiththebuyer’sdispositionofthemolds.Ifthesellerisresponsibleforthecustodyoftheseller,theSellershallnotsupplythemouldtothethirdpartywithoutthebuyer’sconsent,otherwisethebuyershallhavetherighttoaskthesellertoreturnthemoldfeeandcompensatefortheloss.

2.whenthebuyerpaysthemoldcost,thesellermustcooperatewiththebuyerorthethirdpartydesignatedbythebuyertotransfertheinspectionandacceptthereplacementofthediefromtheseller’splace,andwillreplacethewornpartsattheexpenseofitself,soastoensuretherestartofproduction.Thesellerisobligedtoassemble,rustandpackthemouldsandsendittotheplacedesignatedbythebuyer.Allmoldassemblydrawingsandpartdrawings（including2Dand3D）andallclampingdevicesmustbetransferredtothebuyeratthesametime.

3.,duringtheprocessofmoldtransfer,suchastheimproperassembly,rustpreventionorpackagingoftheseller,itwillcausedamagetothemold,andalldirectandindirectlossesarisingtherefromshallbebornebytheseller.

Six,moldmaintenance

1.,theSellerguaranteestheservicelifeofthemould500thousandtimes,andthesellerisresponsibleforfreemaintenanceduringthisperiod.Ifthemoldisnotusedduringtheservicelife,theSellershallberesponsibleforchangingorreopeningthemoldandtakingthecorrespondingcost.

2.thesellershoulddiechanges,maintenanceandrepairsinatimelymannerandregister,whethersuchamodification,maintenanceandrepairare

Thebuyermadeit.Ifthebuyeristoasktherelevanttechnicaldetailsorevidence,thebuyermayregisterwiththetimewithoutnotice.TheSellershallgivethebuyeracopyoftherecordonceeverythreemonths.Thesellershouldtaketheinitiativetocompletethistaskonaregularbasiswithoutthebuyer’srequest.

Six.Intellectualpropertyrights

Theproductandthebuyer1.involvedinthiscontracttoprovidedesigndrawingsandotherinformationintheintellectualpropertyisownedbythebuyer,thebuyerwithoutpermission,theSellershallnotdisclosetoanycompanyorindividual,otherwiseallthelossesresultingfromtheseller;

thebuyeronlyagreedtoalldataandinformationprovidedbythesellerbythebuyerthepurposeofthiscontractbasedonthe,

withoutwrittenpermissionfromthebuyer,theSellershallnotinpublications,advertisingorotherwrittenandoralformtothesellertoprovideorhaveprovidedanydataandinformation.

3.,withoutthebuyer’slicense,itisstrictlyprohibitedforthesellertousethismouldtosupplyothercustomersotherthanthebuyerorthebuyer’sdesignatedcustomer,otherwisealldirectandindirectlossesarisingfromitshallbetheseller’sresponsibility.

4.otherundisclosedmattersofconfidentialityarecarriedoutinaccordancewiththe“confidentialityagreement”signedbythebuyerandtheseller.

Seven.Liabilityforbreachofcontract

1.theSellershallbeliableforbreachofcontractifthesellerfailstocompletethemoldmakingandsampledeliveryaccordingtotheprogressofeachstagespecifiedinthe2.1.TheSellershallpaythebuyerafineof2%ofthetotalamountofthiscontractatatimeofonedayofdelay.Theamountofthepenaltyisnotmorethanthetotalamountofthecontract.

2.,iftheseller’scausecausestheseller’squalitytobesuppliedtothebuyercan’tmeetthebuyer’srequirements,andtheothermaterialswillbelostandscrappedduringtheassemblyprocess,thesellerwillfullycompensateforthelossandscrapmaterialsandtheresultingartificial/stoplinecosts.Thetwopartiesmaysignseparatelytherawmaterialforproduction.

3.thequalityandprogressoftheproductprovidedtothebuyerbythesellerfortheseller’scausecannotreachthebuyer.

4.forallthemoldsproducedbythebuyer,theSellershallprovidethebuyerwithdetaileddesigndrawings.AlldrawingsmustbemadeinAutoCADorpro-eng（pro-el2）andmustbetransmittedtothebuyerinelectronicformbeforethemoldopeningforapproval.
