ThiscontractisherebymadeandenteredintobetweenGuangdongJiaxingIndustrialCo.,Ltd.（hereinafterreferredtoasPartyA）andTailongElectronics（Singapore）Co.,Ltd.（hereinafterreferredtoasPartyB）onOctober12,1995inGuangzhou,Chinaonthebasisofequalityandmutualbenefitandthroughamicableconsultation.

1.ContentsofTransactions

1.1PartyAagreestobuyfromPartyBandPartyBagreestoselltoPartyAAssemblyLinesforColorTVSets,whosespecifications,technicalrequirements,priceanddeliveryscheduleshallbespecifiedinanadditionalcontracttobemadebetweenbothparties,whichshallserveasanintegralpartofthiscontract.

1.2PartyBshallbuyfromPartyAColorTVSetsturnedoutontheAssemblyLinessuppliedbyPartyBinanamountapproximatelyequaltothatoftheAssemblyLines.Thequality,quantity,unitprice,packinganddeliveryscheduleshallalsobespecifiedinanadditionalcontract,whichshallconstituteanintegralpartofthiscontract.

2.TermsofPayment

PaymentofthetransactionsstipulatedinArticle1shallbeeffectedbyreciprocalLs/C.PartyAshallopenausanceL/CinfavorofPartyBtopaybyinstallmentstheentirecostoftheAssemblyLinestobesuppliedbyPartyB；whereasPartyBshallopenasightL/CinfavorofPartyAtopayeachshipmentofColorTVSetstobedeliveredbyPartyA.ThetenoroftheusanceL/CshallbeinconsistencewiththetermofcompensationstipulatedinArticle3.ThetotalproceedsreceivedbyPartyAfromsellingColorTVSetstoPartyBwithinthedurationofthiscontractshallbeequalto,andusedtocover,thetotalvalueoftheAssemblyLines.IncasethetotalproceedsreceivedbyPartyAfromsellingColorTVSetstoPartyBisnotenoughtocoverthetotalvalueoftheAssemblyLines,thebalanceshallbemadeupbyPartyBwithdownpaymentbeforetheusanceL/CopenedbyPartyAexpires,thusenablingPartyAtoeffectpaymentdueundertheusanceL/C.

3.TermofCompensation

PartyAshallpaythetotalcostoftheAssemblyLinesbyexportingColorTVSetstoPartyBwithin10monthsfromthe4thmonthafterallpartsoftheAssemblyLinesaredelivered.Inprinciple,theamounttobepaidbyPartyBforitsimportsfromPartyApermonthshallbe10percentofthetotalamountduetobepaidfortheAssemblyLines.PartyAcanmakepaymentaheadofschedulewithanoticetoPartyB1monthsinadvance.

4.CurrencyforPricing

BoththeAssemblyLinesandtheColorTVSetsshallbepricedintermsofUSDollars.IftheColorTVSetsarealsotobesoldonthehomemarketwithinthetermofcompensationandthushaveapriceinRMB,theirexportpriceshallbeitsequivalentinUSDollarsaccordingtotheexchangeratethenprevailing.

5.InterestRate

PartyAshallbeartheinterestontheusanceL/CandthedownpaymentofPartyB.Theannualinterestrateisagreeduponat7.5%.

6.TechnicalService

Afterarrivalatthedestination,theAssemblyLinesshallbeinstalledbyPartyA.WhenPartyAbelievesitisnecessary,PartyBshallsenditstechnicianstoprovideon-the-spotinstructionsandothertechnicalassistanceinthecourseofinstallation.PartyBshallbeliableforexpensesofthetechniciansandlossesincurredinthecourseofinstallationasaresultoftechnicaldefaultonitspart.

7.Insurance

7.1ThebuyingandsellingoftheAssemblyLinesandtheColorTVSetsshallbeonFOBbasis,thustheoceanmarinecargoinsuranceonthemshallbeeffectedbyPartyAandPartyBrespectively.

7.2Inthedurationofthiscontract,theAssemblyLinesshallbeinsuredbyPartyA.Shouldanylossordamageoccur,PartyAshalllodgeclaimsagainsttheinsurerandpayapartoftheindemnificationreceivedfromtheinsurertoPartyB,whichshallbeinproportiontothepaymentPartyAhasnotmadeforthepartofmachineryinvolvedinthelossordamage.

8.LiabilityforBreach

Eitherpartyshallbeliableforitsbreachofcontractandindemnifyforalllossesthusincurredtotheotherparty.Inaddition,thebreachingpartyshallpaytotheotherpartyafine,whichshallaccountfor15%ofthetotalamountinvolved.

9.PerformanceGuarantee

Toguaranteetheimplementationofthecontract,eachpartyshallsubmittotheotheraperformanceguaranteeissuedbyabankagreedbybothparties.TheguaranteebankofPartyAisTheBankofChina,GuangzhouBranch,whilethatofPartyBisSanwaBank.

10.ForceMajeure

10.1Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthecontractduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredictedatthetimeofconclusionofthiscontract,andcouldnotbecontrolled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysofitsoccurrence.

10.2IftheeventofForceMajeurelastsover120days,bothpartiesshallhavetherighttoterminatethecontract.

11.Arbitration

11.1Alldisputesarisingfromtheperformanceofthiscontractshallbesettledthroughfriendlynegotiations.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission（Beijing）andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbefinalandbindinguponbothparties.Thearbitrationfeeshallbebornebythelosingpartyunlessotherwiseawardedbythecommission.

11.2Duringthecourseofthearbitration,thecontractshallbeperformedexceptforthepartunderarbitration.

12.AmendmenttotheContract

Thecontractcanbeamendedonlyaftertheamendmentisagreeduponbybothparties.

13.LanguageandValidity

13.1ThecontractshallbewritteninChineseandEnglish.Bothversionsareequallyauthentic.Intheeventofanydiscrepancybetweenthetwoversions,theChineseversionshallprevail.

13.2Thecontractshallcomeintoeffectassoonasitisdulysignedbybothpartiesandshallremaineffectivefortwoyears.

下列双方在平等互利的基础上，通过友好协商，于1995年10月12日在中国广州订立本合同。

1、交易内容

1.1甲方同意从乙方购买、乙方同意向甲方出售彩电装配线，其规格、技术要求、价格和交货日程安排，由双方另行签订合同，作为本合同不可分割的一部分。

1.2乙方从甲方购买乙方提供的装配线生产的彩色电视机，其金额与装配线的金额相等。

彩电的质量、数量、单价、包装和交货日程安排，亦由双方另行签订合同，作为本合同不可分割的一部分。

2、支付条件

第一条所订交易的支付通过对开信用证进行。

甲方开出以乙方为受益人的远期信用证，分期支付乙方所供装配线的全部价款；乙方开出以甲方为受益人的即期信用证，支付甲方交付的每一批彩电。

远期信用证的期限应与第三条所订补偿期限相一致。

甲方在本合同期限内得自向乙方出售彩电的全部收入应等于并用于支付装配线的价款，假使甲方得自向乙方出售彩电的全部收入不足以支付装配线的全部价款，余额由乙方在甲方开出的远期信用证到期前用预付款补足，以使甲方能够履行远期信用证项下的付款。

3、补偿期限

从装配线的所有部分交付以后第4个月起，甲方应在10个月内通过向乙方出口彩电支付装配线的全部价款。

原则上，乙方为每月自甲方的进口所支付的金额，是装配线应付总金额的10%。

甲方可提前付款，但须提前1个月通知乙方。

4、定价货币

装配线与彩色电视机均使用美元计价。

如果彩电在补偿期内也在国内市场上销售，因而具有人民币价格，其出口价格应为按当时汇率折算的美元价格。

5、利息率

甲方负担远期信用证及乙方预付款的利息。

年利息率双方同意按7.5%计。

6、技术服务

装配线运达目的地后，由甲方安装，当甲方认为必要时，乙应派遣技术人员在安装过程中提供现场指导和其他技术协助，乙方负担技术人员的花费及安装过程中由于技术人员的过失造成的损失。

7、保险

7.1装配线与彩色电视机的买卖均在FOB基础上进行，其海运保险分别由甲方和乙方办理。

7.2在本合同期限内，装配线由甲方投保。

如果发生损失或损坏，由甲方向保险人提出索赔，并将从保险人处获得的赔偿的一部分付给乙方，这部分应与受损机械设备中甲方未支付的部分成比例。

8、违约责任

任何一方均要对其违约行为负责，并赔偿由此给另一方造成的损失。

此外，违约方须向另一方支付一笔罚金，其金额占违约金额的15%。

9、履约保证

为保证本合同的履行，任一方须向另一方提交由双方同意的银行签发的履约保函。

甲方的保证银行是中国银行广州分行，乙方的保证银行是三和银行。

10、不可抗力

10.1由于水灾、火灾、地震、干旱、战争或合同一方在签约时无法预见且无法控制、避免和克服的其他事件导致不能或暂时不能履行全部或部分合同义务，该方不负责任。

但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生后15天内将有关机构出具有不可抗力事件的证明寄交对方。

10.2如果不可抗力事件持续120天以上，任何一方有权终止合同。

11、仲裁

11.1因履行本合同所发生的一切争议应通过友好协商解决；如协商不能解决争议,则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则进行仲裁。

仲裁裁决是终局的，对双方都有约束力。

除非仲裁委员会另有裁定，仲裁费由败诉方承担。

11.2仲裁期间，除仲裁部分以外的合同条款应继续执行。

12、合同的变更

只有经双方一致同意，合同方可变更。

13、文字、生效

13.1本合同用中文和英文写成，两种文字具有同等效力。

上述两种文字如有不符，以中文本为准。

13.2本合同经双方签字生效，有效期两年。
