CONFIDENTIALCONTRACTFORLOGISTICSSERVICES

ThisConfidentialContractforLogisticServices（the“Agreement”）iseffective[DATE],

BETWEEN:

[LOGISTICSERVICEPROVIDER]（the"LogisticServiceProvider"）,acompanyorganizedandexistingunderthelawsofthe[State/Province]of[STATE/PROVINCE],withitsheadofficelocatedat:

[COMPANYNAME]（the"Company"）,acompanyorganizedandexistingunderthelawsofthe[State/Province]of[STATE/PROVINCE],withitsheadofficelocatedat:

[COMPLETEADDRESS]

RECITALS:

WHEREAS,[COMPANYNAME]importsgoodsfromoverseasandhasneedofaLogisticsServiceProvidertohelpmanageandcoordinatetheimportingprocess;and

WHEREAS,LogisticsServiceProviderhasexpertiseandexperienceinprovidingtheseservices;and

WHEREAS,[COMPANYNAME]wishestoutilizeLogisticsServiceProvider’sservicesinconnectionwiththeimportationof[COMPANYNAME]’sgoods;

NOW,THEREFORE,inconsiderationofthepremisesandthemutualagreementssetforthhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,the[COMPANYNAME]agreeasfollows:

1.RECITALS

TherecitalssetforthaboveareintegraltoandmadeapartofthisAgreementbyreference.

2.TERM

ThisAgreementshallremaininforcefromthedatefirstsetforthaboveforaperiodof[NUMBER]year（s）andshallbeautomaticallyrenewedthereafteronayear-by-yearbasis.Thistermshallalwaysbesubjecttotheterminationprovisionssetforthherein.

3.APPOINTMENTOFLOGISTICSSERVICEPROVIDER

（a）[COMPANYNAME]agreestoemployLogisticsServiceProvidertoperformtheservicessetforthhereinandLogisticsServiceProvideragreestoperformtheseservices.Thescopeofthisemploymentwillbeasfollows:

Theseserviceswillencompassallmodesoftransportation.

（b）Thisisanon-exclusiveagreement.LogisticsServiceProviderisfreetoperformservicesforothershippersand[COMPANYNAME]isfreetoemployotherproviderstoperformservicescoveredbythisAgreement.

Notwithstandingtheforegoing,LogisticsServiceProvidershallnotprovidelikeservicesfordirectcompetitorsof[COMPANYNAME]insamegeographicscopeasdescribedinSection3（a）.

4.LOGISTICSSERVICES

LogisticsServiceProvidershallhavethefollowingresponsibilities:

（a）Receipt,management,andtransmissionof[COMPANYNAME]shippingdata;

（b）Managementof[COMPANYNAME]’simportprogramonaPurchaseOrderbasis;

（c）Managementof[COMPANYNAME]vendors;

（d）Receiving,booking,routinganddispatchof[COMPANYNAME]’scargo;

（e）Warehousing,cargoconsolidationandLCLservices;

（f）Preparationandmanagementofshippingdocumentation,includingdocumentationnecessarytoeffectimportationintothedestinationcountriesandreleaseofcargo;

（g）Preparationofreportsto[COMPANYNAME];

（h）Coordinationwithother[COMPANYNAME]serviceprovidersintheimportationprocess;and

（i）Suchothertasksasmaybereasonablynecessarytoeffectuatethesafe,expeditious,andefficientflowof[COMPANYNAME]’simportgoodsandrelateddocumentation.

ThespecifictasksencompassedbytheseservicesshallbesetforthintheStandardOperatingProcedures（“SOP”）forthisAgreement,whichareattachedheretoasExhibitA[Note:

ExhibitAalreadyusedfor[COMPANYNAME]affiliatelistings]andmadeaparthereofbyreference,and/orinwritteninstructionsfrom[COMPANYNAME].LogisticsServiceProvideragreestoperformalltasksreasonablyrelatedtotheservicessetforthabove.

5.AGREEMENTADMINISTRATION

（a）AccountManagement.LogisticsServiceProvidershalldesignateaseniorlevelexecutivetobetheAccountManagerresponsibleforoverseeing[COMPANYNAME]’saccount.TheAccountManagermusthavetheauthoritytomakedecisionsconcerningallelementsof[COMPANYNAME]’saccount.

OtherresponsibilitiesoftheAccountManagerwillinclude:

（i）workingwith[COMPANYNAME]toestablishastrategicrelationship;（ii）overseeingcoordinationofallofLogisticsServiceProvider’sactivitiesrelatingto[COMPANYNAME]’saccount;（iii）insuringthatallservicerequirementsofthisAgreementareperformedsatisfactorily.TheAccountManagerwillmeetwith[COMPANYNAME]’smanagementonaregularbasistodiscussLogisticsServiceProvider’sperformanceandservicelevels.

（b）ProceduresandMetrics.LogisticsServiceProviderand[COMPANYNAME]shallcooperateindevelopingandcontinuallyimprovingtheSOPforactivitiesunderthisAgreement.LogisticsServiceProviderand[COMPANYNAME]shallalsoagreeonperformancelevelsandservicequalitycriteria（“ServiceStandards”）tomeasureandevaluateLogisticsServiceProvider’sservicesunderthisAgreement.TheseServiceStandardsshallbemadeapartoftheSOPinExhibitA[Note:

ExhibitAalreadyusedfor[COMPANYNAME]affiliatelistings].LogisticsServiceProviderwillprovidereportsinaformatandatintervalsdeterminedby[COMPANYNAME]measuringitsperformanceundertheServiceStandards.[Note:

WehavenotreviewedSOPsorServiceStandards]

6.COMPENSATIONANDPAYMENT

（a）[COMPANYNAME]agreestopaytoLogisticsServiceProvidertheratesandchargessetforthinExhibitB,attachedheretoandincorporatedhereinbyreference,asfullandcompletecompensationfortheservicestobeprovidedhereunder.Suchratesmaybeamendedorchangedonlywiththemutualwrittenagreementofbothparties.

（b）LogisticsServiceProvidershallinvoice[COMPANYNAME]withintwotofivebusinessdaysoftheendofeachweekforallcompensableservicesperformedduringthatweek.InvoicesshallbeintheformattachedtothisAgreementasExhibitC.Paymentofeachinvoiceshallbemadeby[COMPANYNAME]within[NUMBER]daysfollowingreceipt.LogisticsServiceProvideragreesthatnopenaltiesorinterestwillbeassessedto[NUMBER]daysforpastdueamounts.

7.INDEPENDENTCONTRACTOR

LogisticsServiceProviderisanindependentcontractorandshallhavesoleandexclusivecontroloverthemannerinwhichit,itsemployeesandagentsperformtheservicestobeprovidedunderthisAgreement.LogisticsServiceProvidershallhavetherighttoengageandemploysuchindividualsandagentsasmaybenecessaryinconnectionwiththeservicestobeprovidedunderthisAgreement,providedthatsuchindividualsandagentsshallbesubjecttocontrol,contractualorotherwise,solelyandexclusivelybyLogisticsServiceProvider.

8.LIABILITY

（a）LogisticsServiceProvideragreesthatitwillbefullyresponsible,withoutlimitation,foranylossordamageto[COMPANYNAME]’scargowhilesuchcargoisinthepossessionorcontrolofLogisticsServiceProvider.LogisticsServiceProvider’sliabilityshallbeforthecostofthecargoplusanyexpensesincurredby[COMPANYNAME]pertainingtothecargotothetimeofthelossordamageincluding,withoutlimitation,duties,transportationcharges,forwardingandbrokeragefees,etc.Thisprovisionshallnotlimitordetractfrom[COMPANYNAME]’srighttoassertclaimsagainstotherpartiesforthesamedamagesincluding,withoutlimitation,theoceancarrierunderwhosethroughbillofladingthecargoiscarried.

（b）LogisticsServiceProvideragreesthatitwillalsobeliable,withoutlimitation,foranydirectextraexpensesincurredby[COMPANYNAME]arisingfromLogisticsServiceProvider’sfailuretodischargeitsobligationsandresponsibilitiesunderthisAgreement.

（c）[COMPANYNAME]shallhave（i）twelvemonthsfromthedateofdelivery,or（ii）areasonabletimeifthegoodsarenotdelivered,inwhichtofileaclaimwithLogisticsServiceProvider.Iftheamountorextentoftheclaimcannotreasonablybedeterminedwithinthe[NUMBER]monthperiod,thetimeforfilingtheclaimshallautomaticallybeextendedforanadditional[NUMBER]months.

（d）Allclaimsshallbepaid,settled,ordisallowedbyLogisticsServiceProviderwithin[NUMBER]daysoffiling.Ifnoresponseisreceivedwithinthistime,[COMPANYNAME]willassumetheclaimhasbeenallowedanddeducttheamountclaimedfromthenextpayment（s）ofLogisticServiceProviderinvoices.WheneverLogisticsServiceProviderdisallowsaclaimby[COMPANYNAME],itshallprovidealawfulreasonfordoingso,whichshallbestatedinwritingbyLogisticsServiceProvideritself,notitsinsurer.[COMPANYNAME]shallhave[NUMBER]yearsand[NUMBER]dayfromthedateofLogisticServiceProvider’sresponsetoitsclaiminwhichtofilesuitagainstLogisticServiceProviderforlossordamagesarisingfromsuchclaim.

（e）LogisticsServiceProvidershallindemnify,defendandholdharmless[COMPANYNAME],itsofficers,employees,agents,representativesandaffiliatesfromandagainstanyandallliability,loss,damages,claims,suits,costsorexpenses,includingreasonableattorneys’fees,assertedagainst[COMPANYNAME]basedupon,arisingoutoforinconnectionwith（i）anyactsoromissionsbyLogisticsServiceProvideroritsagents,sub-agents,representativesoremployees,（ii）anybreachornon-fulfillmentofanyrepresentation,warrantyorcovenantofLogisticsServiceProviderprovidedherein,or（iii）anyclaim,losses,damages,costs,orexpensesassertedagainst[COMPANYNAME]byLogisticsServiceProvider,itsemployees,agentsoranyotherpersonforanyinjury（includingsickness,diseaseordeath）orclaimorinjurytopropertyarisingoutoforinconnectionwiththeperformanceofthisAgreement.

（f）Nosalvageofanykindornatureshallbesoldorofferedforsaleorinanyotherwaydisposedoftoanythirdpartywithoutthepriorwrittenconsent
