1.INTERPRETATION1.01DefinitionsandConstruction.InthisDeed,unlessthecontextrequiresotherwise:

（a）termsandexpressionsdefinedinorconstruedforthepurposesoftheAESLoanAgreementshallhavethesamemeaningsorbeconstruedinthesamemannerwhenusedinthisDeed;（b）AESChigenLimitedGuaranteemeansthelimitedguaranteedated_________（M,D,Y）issuedbyAESChigeninfavoroftheBorrower;（c）AESLoanAgreementmeanstheloanagreementdated_________（YEAR）andmadebetweentheJuniorLenderandtheBorrower;（d）AnhuiLiyuanLoanAgreementmeanstheloanagreementdated_________（M,D,Y）andmadebetweenAnhuiLiyuanandtheBorrower;（e）ConversionAgreementmeanstheagreementdated_________（M,D,Y）andmadebetweentheBorrowerandtheConversionBank;（f）EPCContractmeanstheengineering,procurementandconstructionservicescontractdated_________（M,D,Y）andmadebetweentheBorrowerandAnhuiPowerinconnectionwiththePowerPlant;（g）EventofDefaultmeansanyeventspecifiedassuchinClause7;andprospectiveEventofDefaultmeansanyeventwithwhichthegivingofnoticeand/orthepassageoftimeand/orthefulfilmentofanyotherconditionwouldbeanEventofDefault;（h）InterconnectionContractmeansthecontractdated_________（M,D,Y）andmadebetweentheBorrowerandAnhuiPowerforthepurposeofconnectingthePowerPlanttotheAnhuigrid;（i）JuniorSecuredIndebtednessmeansallandanysums（whetherprincipal,interest,feesorotherwise）whichareoratanytimemaybecomepayablebytheBorrowerundertheAESLoanAgreementoranySubordinatedSecurityDocumenttowhichitisapartyandallothermoniesherebysecured;（j）OperationandOfftakeContractmeansthecontractdated_________（M,D,Y）andmadebetweentheBorrowerandAnhuiPowerfortheoperationofthePowerPlantandthesaleandpurchaseofelectricity;（k）PerformanceGuaranteemeanstheperformanceguaranteedated_________（M,D,Y）issuedbyEastChinaPowerinconnectionwithAnhuiPower’sobligationsundertheEPCContract;（l）ProjectContractsmeanstheEPCContract,theOperationandOfftakeAgreement,theInterconnectionAgreement,thePerformanceGuarantee,theAnhuiLiyuanLoanAgreement,theWuhuLoanAgreement,theAESChigenLimitedGuaranteeandtheConversionAgreement,includingallenclosures,amendmentsandsupplementstheretoandallbenefitsthereofincluding,withoutlimitation:

（i）therighttoreceiveanyandallmoneysdueortobecomeduetotheBorrowerunderorpursuanttotheProjectContracts;（ii）allclaimsinrespectofanybreachoftheProjectContracts;（iii）theright（butnottheobligation）oftheBorrowertoperformandtocompelperformanceoftheProjectContracts;and（iv）anyrightoftheBorrowertorescindorotherwiseterminatetheProjectContracts;and（m）WuhuLoanAgreementmeanstheloanagreementdated_________（M,D,Y）andmadebetweenWuhuandtheBorrower.1.02SuccessorsandAssigns.TheexpressionsBorrowerandJuniorLendershallwherethecontextpermitsincludetheirrespectivesuccessorsandpermittedassignsandanypersonsderivingtitleunderthem.1.03AESLoanAgreement.Totheextentapplicableandrequiredbyrelevantlaw,thetermsandconditionsoftheAESLoanAgreementshallbedeemedtobeincorporatedintothisDeedbyreferenceandthisDeedshallbereadandconstruedasifsuchtermsandconditionshadbeensetoutinfullherein.1.04Miscellaneous.InthisDeed,unlessthecontextrequiresotherwise,referencestostatutoryprovisionsshallbeconstruedasreferencestothoseprovisionsasreplaced,amended,modifiedorre-enactedfromtimetotime;wordsimportingthesingularincludethepluralandviceversaandwordsimportingagenderincludeeverygender;referencestothisDeed,theAESLoanAgreement,anyotherSubordinatedSecurityDocument,anyProjectContractoranyotherdocumentreferredtohereinshallbeconstruedasreferencestosuchdocumentasthesamemaybeamendedorsupplemented（providedthatanyrequiredconsentorapprovalforsuchamendmentorsupplementhasbeenobtained）fromtimetotime;unlessotherwisestated,referencestoClausesandSchedulesaretoclausesofandschedulestothisDeed.ClauseheadingsareinsertedforreferenceonlyandshallbeignoredinconstruingthisDeed.2.ASSIGNMENTOFPROJECTCONTRACTS2.01ChargeandAssignment.InconsiderationoftheFacilitybeingmadeavailablebytheJuniorLendertotheBorroweruponthetermsandconditionsoftheAESLoanAgreement,theBorrowerwithfulltitleguaranteeassignsandgrantstotheJuniorLenderathird-prioritysecurityinterestinabsolutelyalltheBorrower’sright,title,interestandbenefitinandtotheProjectContractsuponthetermshereinsetoutasacontinuingsecurityforthedueandpunctualpaymentoftheJuniorSecuredIndebtednessandthedueandpunctualperformanceandobservancebytheBorrowerofallotherobligationsoftheBorrowercontainedintheAESLoanAgreementoranySubordinatedSecurityDocumenttowhichitisaparty.THISASSIGNMENTISSUBORDINATEINRIGHTTOTHECHARGESCREATEDTOSECURETHEOBLIGATIONSOFTHEBORROWERUNDERTHESENIORLOANAGREEMENT,ANDTHEENFORCEMENTOFTHISASSIGNMENTSHALLBELIMITEDINACCORDANCEWITHTHEPROVISIONSOFTHESENIORSUBORDINATIONAGREEMENTANDTHEPRIORITYDEED.2.02Notice.TheBorrowerwill,forthwithupontheexecutionofthisDeed,givenoticeoftheassignmenthereincontainedtoandobtainanacknowledgmentfromeachoftheotherpartiestotheProjectContractsintheformsetoutintheScheduleor,ifnotinthatform,inaformsatisfactorytotheJuniorLender.2.03DealingwithParties.NotwithstandingtheassignmenthereincontainedbutotherwisesubjecttothetermsofthisDeed,theJuniorLenderherebyauthorizestheBorrowertocontinuetodealwiththeotherpartiestotheProjectContractsinrelationtotheProjectContractsasiftheBorrowerremainedsolelyentitledtoalltherights,title,interestandbenefitsthereunderbut,saveashereinprovided,notdirectlytowaive,amend,varyorotherwisemodifyanyprovisionofanyProjectContract,providedthatifanEventofDefaultorprospectiveEventofDefaultoccurstheforegoingauthorityshallimmediatelyceasetohaveeffect.3.CONTINUINGSECURITYThisDeedshallbeacontinuingsecurityandshallremaininfullforceandeffectuntiltheJuniorSecuredIndebtednesshasbeenpaidinfull,notwithstandingtheinsolvencyorliquidationoranyincapacityorchangeintheconstitutionorstatusoftheBorroweroranyotherpersonoranyintermediatesettlementofaccountorothermatterwhatsoever.ThisDeedisinadditionto,andindependentof,anyCharge,guaranteeorothersecurityorrightorremedynoworatanytimehereafterheldbyoravailabletotheJuniorLender.4.REPRESENTATIONSANDWARRANTIES4.01RepresentationandWarranty.ExceptfortherelevantChargescreatedunderthisDeedandtosecuretheobligationsoftheBorrowerundertheSeniorLoanAgreementandtheCPILSecurity,theBorrowerherebyrepresentsandwarrantstotheJuniorLenderthatnoChargeexists,andtheBorrowerhasnotcreatedoragreedtocreateanyChargeover,alloranyofitsrights,titleandinterestinandtotheProjectContractsotherthanrightsarisingbyoperationoflaw.4.02ContinuingRepresentationandWarranty.TheBorroweralsorepresentsandwarrantstoandundertakeswiththeJuniorLenderthattheforegoingrepresentationandwarrantywillbetrueandaccuratethroughoutthecontinuanceofthisDeedwithreferencetothefactsandcircumstancesexistingfromtimetotime.5.UNDERTAKINGSTheBorrowerundertakesandagreeswiththeJuniorLenderthroughoutthecontinuanceofthisDeedandsolongastheJuniorSecuredIndebtednessoranypartthereofremainsowingthattheBorrowerwill,unlesstheJuniorLenderotherwiseagreesinwriting:

（a）takeallstepswhichmaybenecessaryorexpedienttokeeptheProjectContractsinfullforceandeffectandprotecttheinterestsoftheBorrowerandtheJuniorLenderthereinandshalldoorpermittobedoneeveryactorthingwhichtheJuniorLendermayfromtimetotimerequireforthepurposeofenforcingtherightsoftheJuniorLenderhereunder;（b）notwaive,release,settle,compromiseorabandonanyclaimortheliabilityofanypersonunderthePro
