PartyAwouldliketoretainPartyBasitslegalcounsel,accordingto"LawonLegalCounselofthePeople'sRepublicofChina"Thetwopartiesthroughconsultationherebyagreeupon,andshallbeboundby,thefollowingterms:

ArticleⅠ

PartyAwilldesignate【】,asthelawyeremployedbyB,toworkasA'slegalcounsel.【】willprovidelegalassistanceandprotectA'sinterestsvestedbylaw.

ArticleⅡPartyB’sscopeofresponsibility

ⅰ.AnswerquestionsonlegalissuesfromClientandgiveopinionsoranyadviceonsuchissues;

ⅱ.Upontheclient’srequest,PartyBshallparticipateincommercialnegotiations,inwhichClientisaparty,andbeconcernedwithdrafting,modification,reviewingandexaminationofthelegaldocumentssuchascontractsandagreementsorpreparinglegaldocumentsthatisneededinthenegotiations;

ⅲ.Provideeconomicandlegalinformationpertaintothebusinessoperationoftheclient;

ⅳ.Representtheclientinthelitigationofcriminal,civil,economicandadministrativecases;offerstrategiclegaladviceinlitigationandarbitrationasalegaladvisor,preventingornegatinglegalrisk；

ⅴ.Helptosetupandorganizefilesoflegaldocumentsandalarmanylegalrisk;

ⅵ.Renderlegalconsultancyforbusinessoperationandmanagementofclient;

ⅶ.Participateinimportanteconomicactivitiesofclient,offeringallfollowupservicesifnecessary;

ⅷ.Providelegaldocumentssuchaslegalopinion,lawyer’sadvice,lawyer’stestimonyandlawyer’sletteretc;

ⅸ.Credibilityinvestigationuponrequest:

investigationontheentityqualification,businessregistration,legalstatus,trueidentity,background,statusquoofbusinessoperationandmanagementandassetsstatusofthecooperationpartnersandclientsofclient;

ⅹ．UponClient’srequest,PartyBshouldresearch,gatherandexplainanyrelatedlaw,rules,andregulations,andprovidepracticaloperationalguidelinesfortheclients;

xi.PartyBmaysign,sendanddeliverlegaldocumentswiththeauthorityoftheclients;

xii.Otherservicesafternegotiationandagreementbythetwoparties.

ArticleⅢPartyA’sObligations

ⅰ.PartyAshallprovideconveniencetolegalcounselsappointedbyPartyBandspeciallyappointapersontokeepregularcontactwiththecounselsofPartyB;

ⅱ. PartyAshallofferchancestothecounselsappointedbyPartyBforattendingclient’sbusinessmeetingsthatareconcernedinorderthatPartyBcanrenderbetterlegalservices; 

ⅲ.PartyAshouldcomprehensively,objectivelyprovideinformation,materialsand/ordocumentsregardingthelegalaffairtoPartyBwithinareasonabletime;

ⅳ.PartyAhastheresponsibilitytomakeindependentjudgmentsanddecisions.PartyBshallnotberesponsibleforanylossincurredbyPartyAthatisnotcausedbythenegligentadviceofPartyB.

ArticleⅣPartyB’sObligations

ⅰ.ThePartyBacceptstheauthorizationofthePartyAandassignslawyer【】astheattorneytodealwithPartyA’slegalaffairs;

ⅱ.TheattorneyassignedbyPartyBshouldtakefullresponsibilityto

PartyA’slegalaffairstipulatedinArticleⅡ;

ⅲ.PartyBattorneyshouldmakethebesteffortstomaintainPartyA’sbenefitbymakingjudgmentbasedonthelaw;

ⅳ.PartyBattorneymustcompletePartyA’slegalaffairspromptlyafterobtainingthematerialsprovidedbyPartyA;

ⅴ.TheattorneyactingforthePartyBshallnotdealwithanotherpartyinatransactionoradispute,withouttheagreementofPartyB,iftheotherparty’sinterestconflictswithPartyB;

ⅵ.TheattorneyactingforPartyBhasanobligationofnotdisclosinganytradesecretstoathirdparty,unlessagreedbyPartyBorsanctionedbylaw;

ⅶ.PartyBshallkeeparecordofPartyA’sservices;therecordmusthaveacompletelogofPartyA’sservices,alongwiththeoriginalevidences,legaldocumentsoranybelongingswhichshouldbekeptproperly.

ArticleⅤretainingfeeandworkexpense

ⅰ.Theretainingfeeis【】yuan;

ⅱ.PartyAshallbearthecostincurredbytheappointedlawyerofPartyBduringthecourseofbusiness.ThecostthatshallbebornebyPartyAisincludedinthelist,thelistisnotexhaustiveandthecostthatshallbeboreisnotrestrictedbythelist.Thelistconsistsof:

Thecommissionofsurvey,certificationfee,translationfee,outstationexpenses（food,travelandaccommodation）.

PartyBshalldisbursetheexpensesuponagreeingwithPartyA.

ArticleⅥTerminationofthecontract

ⅰ.Contractmaybeterminatedbymutualagreementafterconsultation;

ⅱ.Ifthecontractisterminatedbeforeconsultation:

a.IfPartyB’sappointedlawyerisreplacedarbitrarilywithouttheagreementofPartyA,PartyAmayterminatethecontractif,bytheresultofthereplacement,PartyAsufferssignificantlossordropinqualityofwork;

b.IfPartyAsuffersalossbecauseofPartyB’sdelayandderelictionofduty,PartyAmayterminatethecontract;

c.IfPartyAsuffersanimportantlossindocumentthatiscausedbyPartyB’snegligenceinsecurityobligationanddisadvantageouslegalopinion,PartyAmayterminatethecontract;

d.IfPartyAhasnotpaidtheagreedfeetoPartyBinthestipulatedtimeandafterPartyBhasservedanoticetoPartyAregardingthismatter,PartyBmayterminatethecontractifPartyAstilldoesnotpaywithinthetimegiveninthenotice.

ArticleⅦLiabilitiesforBreachofContract

ⅰ.ThePartiesshallstrictlyabidebythisContractandshallnotunilaterallyterminatethisContractbeforetheexpiringdateof thisContract;otherwisethedefaultingpartyshallpaythenon-defaultingpartyapenaltywhichisequaltotheproportionofretainingfeefortheremainingtermofthisContract;

ⅱ.PartyAshallbeliableforanydamagecausedbyPartyA’sfailureofprovidingthelegaladvisorwithnecessaryinformationormaterialsconcernedintime;

ⅲ.IfPartyAfailstopaytheattorneyfeeontime,PartyBshallhavetherightnottoperformitsobligationshereunderortoterminatethisContract；

ⅳ.IfPartyB,withoutproperreason,violatestheagreementordoesnotfulfillitsobligationunderthecontract,PartyAmayrequestPartyBtoreturnallorpartoftheretainingfees.

ArticleⅧDisputesolution

Intheeventofadispute,bothpartiesmustresolvethedisputeinafriendlymanner.Ifthedisputecouldnotberesolvedbymutualagreement,anypartiesmaymakeanapplicationtothePeople’scourtforthedisputetobeheard.

ArticleⅨActivationoftheContract
