6、leofcollectivebargainingasameansofestablishingwages,hoursandworkingconditionsofthecoveredemployeesandbeingdesirousofcontinuingtodosoforthepurposeoffosteringrelationsofmutualinterest,andWHEREAS,itisthepurposeandintentofthepartiestopromotesoundandpeacefullaborrelations,WITNESSETH:NOW,THEREFORE,inconsi
7、derationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesdoherebyagreeasfollows:I.UNIONRECOGNITION1.TheCompanyrecognizestheUnionasthesolecollectivebargainingagentforpurposesofcollectivebargainingwithrespecttoratesofpay,wages,hoursandothertermsandconditionsofemploymentforallitsfull-time
8、andregularpart-timeemployeesemployedbytheCompanyatitsfacilitiespresentlylocatedat_(address),_(address)and_(address);e_cludingofficeclericalemployees,professionalemployees,maintenancetradeandengineeringemployees,laboratoryemployees,FoodServiceemployees,Groundskeepingemployees,andguardsandsupervisorsa
9、sdefinedintheNationalLaborRelationsAct.However,itisagreedthatallnewhiresforhelperandanyadditionalcraftsmanbeyondthecurrentthree(3)slotsinplantmaintenancewillberepresentedbytheUnion.II.MANAGEMENTRIGHTS1.TheCompanyhas,retainsandshallpossessande_erciseallrightsandfunctions,powers,privilegesandauthority
10、notspecificallyande_presslycontractedawayorlimitedbythetermsofthisAgreement.2.AsillustrativeoftherightstheCompanypossessesandretains,butinnowaytobeconstruedasalimitation,theCompanyshallhavethee_clusiverightto:managealloftheCompanysoperationsanditsbusinessaffairs;directtheworkforce;determineproductio
11、nmethodsandprocedures;assignwork,evaluatejobsandtheperformanceofjobsforpaypurposesandtoreevaluatethem;decidethemethods,meansandprocessesofmanufacture,typeofmachineryandequipmenttobeused,thenumberandclassificationsofemployeestobeusedinthevariousaspectsoftheCompanysoperationsorforparticularassignments
12、,typesandquantityofbusinesstobescheduledforproduction,qualityofmaterial,andthestandardsofefficiencyandqualityofworkmanshiprequired;decidesellingpricesandproducts,methodsofsellinganddistributingproducts;determinethelocationofthebusinessandtorelocateanypartoralloftheCompanysoperations;discontinueopera
13、tionsinwholeorinpart;allocateandtransferproduction;introduceneworimprovedmethodsorfacilities,ortochangee_istingmanufacturingpractices,decidemethodsandfacilities,maintainorderandefficiency;therighttohire,promote,demote,transfer,suspend,discharge,orotherwisedisciplineemployees;determinethesizeandcompo
14、sitionoftheworkforceandrelieveemployeesfromdutybecauseoflackofworkorotherreasons;determinethehoursofworkandschedulehoursanddetermineovertime;establish,adjustandrevisejobclassifications,hourlyrates,establishrulespertainingtotheoperationoftheplantanddisciplineemployeesforviolationofsuchrules;determine
15、anemployeesqualificationstoperformworkinanyparticularpositionandtoreassessandupgradequalificationstandardsforemployees,includingincumbents,inparticularpositionswheneverandtowhatevere_tentdeemedbytheCompanytobestservetheCompanysoverallinterestsinensuringregulatorycomplianceandproductqualityandintegri
16、tyandma_imizingproductivity,efficiencyandsafety;performscientificandengineeringstudies;tocontractoutorsubcontractwork;establishordiscontinuee_trashifts,e_ceptase_presslyamendedorchangedashereinaftersetout;toenforceproceduresdesignedtoensurethatemployeesdonotreportforworkorperformworkundertheinfluenc
17、eofdrugs,alcoholorothersubstancesthatmayordoimpairorreducementalacuity,motorcoordination,and/orotherperformancecapabilitiesthatcouldaffectregulatorycompliance,productqualityandintegrity,orsafety;tomakeandimplementunilaterallyanydecisionsthatintheopinionofmanagementarerequiredtoensureregulatorycompli
18、ance,productqualityandintegrity,andthesafeoperationofCompanyfacilities;andtoimplementmeasuresdeemednecessarybyCompanymanagementtoma_imizeproductivityandefficiency.TheenumerationofspecificrightsinthisSectionshallnotbeconstruedassupportinganegativeimplicationthatotherrightsoftheCompanyhavebeenwaivedor
19、compromisedinanyway.Norshalltheenumerationofsuchrightsbeconstruedase_pandingorcontractinginanywaytheUnionsright,tothee_tentotherwisesecuredbyapplicableprecedentsundertheNationalLaborRelationsActasamended,todemandthattheCompanyengageincollectivebargainingovertheeffectsofthee_erciseofsuchrightsonthewa
20、ges,termsandconditionsofemploymentandemploymentsecurityofemployeescoveredbythisAgreement.3.Furthermore,theCompanyretainstherighttotakewhateverstepsitdeemsnecessarytomeetandcomplywithallFederal,stateorlocalregulationsincludingbutnotlimitedtothosepromulgatedbyDEA,FDAandanyregulatoryagency.4.Withinthel
21、imitsprescribedinArticleXII,Section4ofthisAgreement,Managementhastherighttousesupervisorsandothernon-bargainingunitpersonneltoperformunitwork.5.Withrespecttoanyrightsheretoforee_ercisedbyorinherentintheCompanyandnote_presslylimitedbythetermsofthisAgreement,andwithrespecttoanyrightsretainedbyorconfer
22、redupontheCompanyinthetermsofthisAgreement,anyfailurebytheCompanytoe_ercisesuchrights,orthee_erciseofsuchrightsbytheCompanyinaparticularmanner,shallnotbeconstruedtobeawaiveroforlimitationonanysuchright,awaiveroforlimitationontherighttoe_erciseanysuchright,orawaiveroforlimitationontherighttoe_ercisea
23、nysuchright,orawaiveroforlimitationontherighttoe_erciseanysuchrightinadifferentmanner.NorshallenumerationofrightsreservedtotheCompanyinthisAgreementbeconstruedas,orconsideredasevidenceof,animpliedlimitationonorpreclusionofanyCompanyrightsnotsoenumerated.III.UNIONACTIVITIES1.Thereshallbenogrievancein
24、vestigated,presented,discussed,processedorhandledduringworkinghourswithouttheVicePresidentHumanResourcesortheManagerHumanResourcesfirstbeingnotifiedandherpermissiontodosoobtained,norshalltheinvestigation,presentation,discussion,processingorhandlingofgrievancesinterfereinanywaywiththenormalandefficie
25、ntconductoftheCompanysoperations.InthecaseofDepartmentalStewards,however,thisSectionshallbedeemedtohavebeencompliedwithincaseswheresuchStewardsfinditnecessarytobee_cusedfromtheirregularworkresponsibilitiesforbriefperiodsoftimeforsuchpurposesifnoticeisprovidedandpermissionobtainedinadvancefromtheStew
26、ardsPlantManager.2.AnauthorizedagentoftheUnionshallbepermittedtovisittheplantduringworkinghours,afterfirstnotifyingtheVicePresidentHumanResourcesorherdesignee,forthepurposeofinvestigatingandsettlinggrievancesandinsuringtheproperadministrationofthecontract;provided,however,thatsaidrepresentativeshall
27、conducthisbusinessinsuchmannersoasnottointerferewiththenormalandefficientconductoftheCompanysoperations.TheUnionshallkeeptheCompanycurrentlyadvised,inwriting,oftheofficerorrepresentativeoftheUnionwhoisauthorizedtodealwiththeCompany,andnooneshallbedeemedsucharepresentativeunlessheissodesignatedbytheU
28、niontotheCompany.IV.HOURS1.Thestandardworkweekshallbefiveconsecutivedays,fortyhoursperweek;eighthoursperday,from12:01a.m.Mondayto12:00p.m.thefollowingSunday,e_clusiveoflunch.Thestandardworkdayshallconsistofeightandone-half(8-1/2)consecutivehourswithaone-halfhourunpaidlunchbreakbetweenthehoursof7:00a
29、.m.and5:00p.m.However,theCompanyretainssoleandunrestricteddiscretiontochangeworkschedulesforemployeesinanypartorallofitsoperationstobestservetheCompanysoverallinterestsinensuringregulatorycomplianceandproductqualityandintegrity,andma_imizingproductivity,efficiencyandsafety.TheUnionandemployeesaffect
30、edbysuchachangewillbeprovidednoticeatleasttwoweeksinadvanceofimplementationofthechange.ShiftsmaybeestablishedordiscontinuedinthesoleandunrestricteddiscretionoftheEmployeronnoticetotheUnionandtheaffectedemployeesofthirtycalendardayswheneverreasonablypracticable,butinanyeventnotlessthanfourteencalenda
31、rdays.Wheneverashiftchangeisimplementedforlessthanalloftheemployeesinadepartment,theCompanyshallfirstseektoobtainenoughemployeestostaffthenewshiftbyaskingforvolunteersfromamongtheemployeesinthedepartment.Intheeventtherearemorevolunteersthanopenings,employeesshallbeselectedonthebasisoftheirseniority.
32、Intheeventaninsufficientnumberofvolunteerscomeforth,theCompanymayhavetheworkdonebynonbargainingunitemployeesforuptotwomonths,hireforsuchpositionsfromoutsidethebargainingunit,and/orrequireadditionalemployees,inreverseorderofseniority,toeitherworkthenewshiftorgoontolayoffstatus.TheEmployermayimplementaTuesdaythroughSaturdayworkweekorWednesdaythroughSundayworkweekprovidedthefollowingcriteriaaremet:(a)Employeesassignedt
