WHEREAS,bothpartieshavingacceptedtheprincipleofcollectivebargainingasameansofestablishingwages,hoursandworkingconditionsofthecoveredemployeesandbeingdesirousofcontinuingtodosoforthepurposeoffosteringrelationsofmutualinterest,and WHEREAS,itisthepurposeandintentofthepartiestopromotesoundandpeacefullaborrelations, WITNESSETH:
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesdoherebyagreeasfollows:
I.UNIONRECOGNITION 1.TheCompanyrecognizestheUnionasthesolecollectivebargainingagentforpurposesofcollectivebargainingwithrespecttoratesofpay,wages,hoursandothertermsandconditionsofemploymentforallitsfull-timeandregularpart-timeemployeesemployedbytheCompanyatitsfacilitiespresentlylocatedat_________(address),_________(address)and_________(address);e_cludingofficeclericalemployees,professionalemployees,maintenancetradeandengineeringemployees,laboratoryemployees,FoodServiceemployees,Groundskeepingemployees,andguardsandsupervisorsasdefinedintheNationalLaborRelationsAct. However,itisagreedthatallnewhiresforhelperandanyadditionalcraftsmanbeyondthecurrentthree(3)slotsinplantmaintenancewillberepresentedbytheUnion. II.MANAGEMENTRIGHTS 1.TheCompanyhas,retainsandshallpossessande_erciseallrightsandfunctions,powers,privilegesandauthoritynotspecificallyande_presslycontractedawayorlimitedbythetermsofthisAgreement. 2.AsillustrativeoftherightstheCompanypossessesandretains,butinnowaytobeconstruedasalimitation,theCompanyshallhavethee_clusiverightto:
managealloftheCompany’soperationsanditsbusinessaffairs;directtheworkforce;determineproductionmethodsandprocedures;assignwork,evaluatejobsandtheperformanceofjobsforpaypurposesandtoreevaluatethem;decidethemethods,meansandprocessesofmanufacture,typeofmachineryandequipmenttobeused,thenumberandclassificationsofemployeestobeusedinthevariousaspectsoftheCompany’soperationsorforparticularassignments,typesandquantityofbusinesstobescheduledforproduction,qualityofmaterial,andthestandardsofefficiencyandqualityofworkmanshiprequired;decidesellingpricesandproducts,methodsofsellinganddistributingproducts;determinethelocationofthebusinessandtorelocateanypartoralloftheCompany’soperations;discontinueoperationsinwholeorinpart;allocateandtransferproduction;introduceneworimprovedmethodsorfacilities,ortochangee_istingmanufacturingpractices,decidemethodsandfacilities,maintainorderandefficiency;therighttohire,promote,demote,transfer,suspend,discharge,orotherwisedisciplineemployees;determinethesizeandcompositionoftheworkforceandrelieveemployeesfromdutybecauseoflackofworkorotherreasons;determinethehoursofworkandschedulehoursanddetermineovertime;establish,adjustandrevisejobclassifications,hourlyrates,establishrulespertainingtotheoperationoftheplantanddisciplineemployeesforviolationofsuchrules;determineanemployee’squalificationstoperformworkinanyparticularpositionandtoreassessandupgradequalificationstandardsforemployees,includingincumbents,inparticularpositionswheneverandtowhatevere_tentdeemedbytheCompanytobestservetheCompany’soverallinterestsinensuringregulatorycomplianceandproductqualityandintegrityandma_imizingproductivity,efficiencyandsafety;performscientificandengineeringstudies;tocontractoutorsubcontractwork;establishordiscontinuee_trashifts,e_ceptase_presslyamendedorchangedashereinaftersetout;toenforceproceduresdesignedtoensurethatemployeesdonotreportforworkorperformworkundertheinfluenceofdrugs,alcoholorothersubstancesthatmayordoimpairorreducementalacuity,motorcoordination,and/orotherperformancecapabilitiesthatcouldaffectregulatorycompliance,productqualityandintegrity,orsafety;tomakeandimplementunilaterallyanydecisionsthatintheopinionofmanagementarerequiredtoensureregulatorycompliance,productqualityandintegrity,andthesafeoperationofCompanyfacilities;andtoimplementmeasuresdeemednecessarybyCompanymanagementtoma_imizeproductivityandefficiency.TheenumerationofspecificrightsinthisSectionshallnotbeconstruedassupportinganegativeimplicationthatotherrightsoftheCompanyhavebeenwaivedorcompromisedinanyway.Norshalltheenumerationofsuchrightsbeconstruedase_pandingorcontractinginanywaytheUnion’sright,tothee_tentotherwisesecuredbyapplicableprecedentsundertheNationalLaborRelationsActasamended,todemandthattheCompanyengageincollectivebargainingovertheeffectsofthee_erciseofsuchrightsonthewages,termsandconditionsofemploymentandemploymentsecurityofemployeescoveredbythisAgreement. 3.Furthermore,theCompanyretainstherighttotakewhateverstepsitdeemsnecessarytomeetandcomplywithallFederal,stateorlocalregulationsincludingbutnotlimitedtothosepromulgatedbyDEA,FDAandanyregulatoryagency. 4.WithinthelimitsprescribedinArticleXII,Section4ofthisAgreement,Managementhastherighttousesupervisorsandothernon-bargainingunitpersonneltoperformunitwork. 5.Withrespecttoanyrightsheretoforee_ercisedbyorinherentintheCompanyandnote_presslylimitedbythetermsofthisAgreement,andwithrespecttoanyrightsretainedbyorconferredupontheCompanyinthetermsofthisAgreement,anyfailurebytheCompanytoe_ercisesuchrights,orthee_erciseofsuchrightsbytheCompanyinaparticularmanner,shallnotbeconstruedtobeawaiveroforlimitationonanysuchright,awaiveroforlimitationontherighttoe_erciseanysuchright,orawaiveroforlimitationontherighttoe_erciseanysuchright,orawaiveroforlimitationontherighttoe_erciseanysuchrightinadifferentmanner.NorshallenumerationofrightsreservedtotheCompanyinthisAgreementbeconstruedas,orconsideredasevidenceof,animpliedlimitationonorpreclusionofanyCompanyrightsnotsoenumerated. III.UNIONACTIVITIES 1.Thereshallbenogrievanceinvestigated,presented,discussed,processedorhandledduringworkinghourswithouttheVicePresidentHumanResourcesortheManagerHumanResourcesfirstbeingnotifiedandherpermissiontodosoobtained,norshalltheinvestigation,presentation,discussion,processingorhandlingofgrievancesinterfereinanywaywiththenormalandefficientconductoftheCompany’soperations.InthecaseofDepartmentalStewards,however,thisSectionshallbedeemedtohavebeencompliedwithincaseswheresuchStewardsfinditnecessarytobee_cusedfromtheirregularworkresponsibilitiesforbriefperiodsoftimeforsuchpurposesifnoticeisprovidedandpermissionobtainedinadvancefromtheSteward’sPlantManager. 2.AnauthorizedagentoftheUnionshallbepermittedtovisittheplantduringworkinghours,afterfirstnotifyingtheVicePresidentHumanResourcesorherdesignee,forthepurposeofinvestigatingandsettlinggrievancesandinsuringtheproperadministrationofthecontract;provided,however,thatsaidrepresentativeshallconducthisbusinessinsuchmannersoasnottointerferewiththenormalandefficientconductoftheCompany’soperations.TheUnionshallkeeptheCompanycurrentlyadvised,inwriting,oftheofficerorrepresentativeoftheUnionwhoisauthorizedtodealwiththeCompany,andnooneshallbedeemedsucharepresentativeunlessheissodesignatedbytheUniontotheCompany. IV.HOURS 1.Thestandardworkweekshallbefiveconsecutivedays,fortyhoursperweek;eighthoursperday,from12:

00p.m.thefollowingSunday,e_clusiveoflunch.Thestandardworkdayshallconsistofeightandone-half(8-1/2)consecutivehourswithaone-halfhourunpaidlunchbreakbetweenthehoursof7:

00p.m.However,theCompanyretainssoleandunrestricteddiscretiontochangeworkschedulesforemployeesinanypartorallofitsoperationstobestservetheCompany’soverallinterestsinensuringregulatorycomplianceandproductqualityandintegrity,andma_imizingproductivity,efficiencyandsafety.TheUnionandemployeesaffectedbysuchachangewillbeprovidednoticeatleasttwoweeksinadvanceofimplementationofthechange.ShiftsmaybeestablishedordiscontinuedinthesoleandunrestricteddiscretionoftheEmployeronnoticetotheUnionandtheaffectedemployeesofthirtycalendardayswheneverreasonablypracticable,butinanyeventnotlessthanfourteencalendardays.Wheneverashiftchangeisimplementedforlessthanalloftheemployeesinadepartment,theCompanyshallfirstseektoobtainenoughemployeestostaffthenewshiftbyaskingforvolunteersfromamongtheemployeesinthedepartment.Intheeventtherearemorevolunteersthanopenings,employeesshallbeselectedonthebasisoftheirseniority.Intheeventaninsufficientnumberofvolunteerscomeforth,theCompanymayhavetheworkdonebynonbargainingunitemployeesforuptotwomonths,hireforsuchpositionsfromoutsidethebargainingunit,and/orrequireadditionalemployees,inreverseorderofseniority,toeitherworkthenewshiftorgoontolayoffstatus. TheEmployermayimplementaTuesdaythroughSaturdayworkweekorWednesdaythroughSundayworkweekprovidedthefollowingcriteriaaremet:
