3、)$(.ad-hidden).show(););add: tel: fax: 2. 委任 appointment甲方指定乙方为其在中国的全权采购代理，采购甲方指定的合法产品。the party a appoints the party b as its exclusive purchasing agency in china, purchasing the goods as part a refers. 3. 双方的职责 duties of two parties:(1) 甲方所需的采购业务应提交给乙方详细的询价单，比如材质、尺寸、数量、品质等具体要求，乙方须在7天内提供产品报价单给甲方(若遇

4、特殊情况和不可抗拒力因素除外)。 (2) 甲方直接下订单给乙方，由乙方全权负责从接单到出货服务。包括寻找甲方需要的样品以及物品，为甲方取样、验货、出货等事宜。(3) 乙方应保证所采购产品的合法性以及保证产品符合订单的要求。 4. 货款的支付方式甲方正式下单给乙方后，须在两个工作日内支付采购总额的-%定金给乙方以备采购，交货时，乙方须提供有效提单给甲方，甲方在两个工作日内支付余下的货款给乙方，货款须汇入乙方指定银行。5. 佣金的计算、给付方式、给付时间： commission甲方同意按照每笔采购发票总金额的-%支付佣金给乙方，在出货后的?天内汇入乙方指定银行。for the purchasing

8、rued as a continuing waiver or consent to any subsequent breach thereof. 8. 不可抗力 force majeure由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。either party shall not be held responsible for failure or delay to perform
