2.委任appointment

　　甲方指定乙方为其在中国的全权采购代理，采购甲方指定的合法产品。

（1）甲方所需的采购业务应提交给乙方详细的询价单，比如材质、尺寸、数量、品质等具体要求，乙方须在7天内提供产品报价单给甲方（若遇特殊情况和不可抗拒力因素除外）。

（2）甲方直接下订单给乙方，由乙方全权负责从接单到出货服务。

包括寻找甲方需要的样品以及物品，为甲方取样、验货、出货等事宜。

　　（3）乙方应保证所采购产品的合法性以及保证产品符合订单的要求。

4.货款的支付方式

　　甲方正式下单给乙方后，须在两个工作日内支付采购总额的---%定金给乙方以备采购，交货时，乙方须提供有效提单给甲方，甲方在两个工作日内支付余下的货款给乙方，货款须汇入乙方指定银行。

8.协议的修改modification

　　此协议书只有经双方共同签字后才能作修改，

　　由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。

但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

　　因履行本协议所发生的一切争议应通过友好协商解决。

如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则进行仲裁。

仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。
