1、涉外知识产权许可协议涉外知识产权许可协议（Intellectual Property License Agreement）知识产权许可协议（Intellectual Property License Agreement），是知识产权人在把如专利、商标、著作权等自己所有的知识产权许可给他人使用时订立的协议，是一种债权与债务关系的协议。根据具体知识产权的形态，知识产权可以划分为专利权、商标权、商业秘密权、著作权等，而专利权、商标权、商业秘密权又统一被称为工业产权。因此，知识产权许可包括专利权许可、商标权许可、著作权许可、商业秘密许可等形式。而根据许可范围的不同，可分为以下三种许可：1.Exclus

2、ive license独占许可The Licensor grants the Licensee an exclusive license of the Rights for theTerritory for the duration of this Agreement.The Licensor shall not，subject asprovided below，actively sell the Products in the Territory nor appoint otherlicensees for the Territory（独占许可，又称为独家许可，是指在一定期限和一定的区域范围

3、内，被许可方对许可使用的知识财产享有独占使用权，许可人不得许可第三人在该时间、地区使用此知识财产，也不得将此知识财产转让，并且许可人自己也不得实施知识产权的许可）。2.Sole license排他许可The Licensor grants the Licensee a sole license of the Rights for theTerritory and for the duration of this Agreement.The Licensor shall not，subject as provided below appoint other licensees for the T

4、erritory，but may itselfmanufacture and sell the Products in the Territory（排他许可，是指在一定期限和一定的区域内，被许可方对许可使用的知识财产享有排他使用权，仅许可人和被许可人可以在该时间、地区使用此知识财产的许可）。3.Non-exclusive license普通许可It leaves the licensor free to compete or appoint other licensees in theterritory without restriction（普通许可，是指在一定期限和一定区域内，许可人除许可

5、给被许可人使用外，还可以自己继续使用，并且可以将知识财产许可给其他人使用的许可合同）。除了以上三种许可方式之外，还有一种政府介入的强制许可（CompulsoryLicense），具体是指：A compulsory license is to work a patent or use acopyright without the consent of the owner but based on a license that isissued by a government.They arise when the owner of the intellectualproperty，in part

6、icular patents or copyrights，refuses or is unable to work theproperty in a particular country within a certain period of time（强制许可，是指国务院专利行政部门依照专利法规定，不经专利权人同意，直接允许其他单位或个人实施其发明创造的一种许可方式，又称非自愿许可）。可见，强制许可是为防止滥用专利垄断权、保护社会公共利益的重要武器，历来是各国专利制度的重要组成部分。一、许可授予条款（Grant of License）许可授予条款，英文中可写作License，Grant，Lic
