涉外知识产权许可协议
（IntellectualPropertyLicenseAgreement）
知识产权许可协议（IntellectualPropertyLicenseAgreement），是知识产权人在把如专利、商标、著作权等自己所有的知识产权许可给他人使用时订立的协议，是一种债权与债务关系的协议。
根据具体知识产权的形态，知识产权可以划分为专利权、商标权、商业秘密权、著作权等，而专利权、商标权、商业秘密权又统一被称为工业产权。
因此，知识产权许可包括专利权许可、商标权许可、著作权许可、商业秘密许可等形式。
而根据许可范围的不同，可分为以下三种许可：
1.Exclusivelicense独占许可
TheLicensorgrantstheLicenseeanexclusivelicenseoftheRightsfortheTerritoryforthedurationofthisAgreement.TheLicensorshallnot，subjectasprovidedbelow，activelyselltheProductsintheTerritorynorappointotherlicenseesfortheTerritory（独占许可，又称为独家许可，是指在一定期限和一定的区域范围内，被许可方对许可使用的知识财产享有独占使用权，许可人不得许可第三人在该时间、地区使用此知识财产，也不得将此知识财产转让，并且许可人自己也不得实施知识产权的许可）。
2.Solelicense排他许可
TheLicensorgrantstheLicenseeasolelicenseoftheRightsfortheTerritoryandforthedurationofthisAgreement.TheLicensorshallnot，subjectasprovidedbelowappointotherlicenseesfortheTerritory，butmayitselfmanufactureandselltheProductsintheTerritory（排他许可，是指在一定期限和一定的区域内，被许可方对许可使用的知识财产享有排他使用权，仅许可人和被许可人可以在该时间、地区使用此知识财产的许可）。
3.Non-exclusivelicense普通许可
Itleavesthelicensorfreetocompeteorappointotherlicenseesintheterritorywithoutrestriction（普通许可，是指在一定期限和一定区域内，许可人除许可给被许可人使用外，还可以自己继续使用，并且可以将知识财产许可给其他人使用的许可合同）。
除了以上三种许可方式之外，还有一种政府介入的强制许可（CompulsoryLicense），具体是指：
Acompulsorylicenseistoworkapatentoruseacopyrightwithouttheconsentoftheownerbutbasedonalicensethatisissuedbyagovernment.Theyarisewhentheowneroftheintellectualproperty，inparticularpatentsorcopyrights，refusesorisunabletoworkthepropertyinaparticularcountrywithinacertainperiodoftime（强制许可，是指国务院专利行政部门依照专利法规定，不经专利权人同意，直接允许其他单位或个人实施其发明创造的一种许可方式，又称非自愿许可）。
可见，强制许可是为防止滥用专利垄断权、保护社会公共利益的重要武器，历来是各国专利制度的重要组成部分。
一、许可授予条款（GrantofLicense）
许可授予条款，英文中可写作License，Grant，LicenseGrant或GrantofLicense，一般是知识产权许可协议（除序言条款、定义条款外）正文中的第一条。
请看下例：
范例一：
ForthetermofvalidityofthisAgreement，_____anditsAffiliates，asLicensor，granttoCompanyandAffiliatesofCompany，asLicensee，anon-exclusive，indivisible，non-transferable，royalty-freelicenseintheTerritories，withouttherighttosublicense.
参考译文：
在本协议有效期内，作为许可人的_____及其关联公司，授予作为被许可人的公司及其关联公司，在区域内非独占、不可分、不可转让、不可转许可、免费的许可。

除了授予许可本身外，有的许可还要求对许可技术的改良也授予许可，如下例所示：

参考译文：
除授予的许可外，许可方还应向被许可方授予关于许可产品改良的非独家许可，但条件是该等改良应是许可方在本协议期限内作出。
授予该等非独家许可不得提高许可费。

三、不侵权承诺（Non-infringementCommitment）
在知识产权许可协议中，许可人一般会作出所许可的知识产权不侵犯第三方知识产权的声明，确保权利无瑕疵，如：
