1、保密协议 Non-Disclosure AgreementThis Non-Disclosure Agreement (the “Agreement”) is made on January 26th, 2022 (the “Effective Date”) in P.R. 5、的其他内容，无论是口头、视觉还是有形的，以及反映该等信息的载体。Confidential Information shall mean unpublished information which is disclosed by or for Party A to Party B relating to Party A. Confidential scope including design concept, design elements, proprietary secrets, business information, cost information, and other conten

6、ts related to the design and construction disclosed to the parties by the parties and their affiliates in any form, whether verbal, visual or tangible, and the carrier reflecting such information.2.乙方应: 为甲方的利益而对以下提供的机密信息进行保密，将保密信息的使用限制在与甲方业务关系相适应的范围内，并将机密信息的披露限制在只有其雇员需要知道的范围内，且该雇员受本协议或其他协议的约束，为了甲方的利

7、益而对机密信息保密。乙方不得使用或向任何第三方披露机密信息。Party B shall: hold the Confidential Information provided hereunder in confidence for the benefit of Party A, restrict its use of Confidential Information to purposes commensurate with its business relationship with Party A, and restrict disclosures of Confidential Info

8、rmation to only those of its employees who have a need to know for the purposes hereof and who are bound by agreement or otherwise to maintain the confidentiality thereof for the benefit of Party A. Party B shall not use or disclose Confidential Information to any third parties. 3.协议双方进一步同意，若由于接收方违反

9、本协议的任何约定，披露方有权要求接收方向其赔偿由此产生的一切直接或间接的损失、损害、成本及费用。The parties have further agreed that if any breach of any term of this Agreement is made by the receiving party, the disclosing party is entitled to claim compensation from the receiving party for all and any losses and damages, costs and expenses dire

10、ctly or indirectly arising therefrom.4.协议双方明确认可并同意本协议具有非排他性，本协议不得被理解为一方可强制另一方与其达成任何形式的合同关系，且任何情况下不得禁止或限制，也不得被理解或解释为禁止或限制一方的在全球任何地方单独或与他方一同寻找其他商业机会的权利及自由。The parties expressly acknowledge and agree that this Agreement is non-exclusive, does not compel any party to enter into any form of contractual r

11、elationship with the other and under no circumstances shall restrict or limit, nor shall it be construed or interpreted to restrict or limit, each partys ability and freedom to explore other business opportunities anywhere in the world on its own or in concert with others. 5.保密信息的接收方应自本协议文首所述之签署日起两年

12、内对保密信息承担保密义务。The undertakings given by the parties in this Agreement shall have a term of two years commencing on the Effective Date first indicated above in this Agreement.6.本协议受中华人民共和国法律管辖。This Agreement shall be governed by the laws of the Peoples Republic of China.7.本协议原件一式两份，协议各方各执一份，两份具有同等法律效力

13、。本协议以中英文书就。中英文表述如有不一致之处，应以中文为准。This Agreement may be executed in two counterparts, each of which when executed and delivered is an original, but the counterparts constitute the same document. This Agreement is written in English and Chinese.
