保密协议Non-DisclosureAgreement

ThisNon-DisclosureAgreement（the“Agreement”）ismadeonJanuary26th,2022（the“EffectiveDate”）inP.R.China.

本保密协议（“本协议”）于2022年2月12日于中国签署（“签署日”）

鉴于WHEREAS

1.甲方是一家在中国杭州注册设立的公司。

PartyAisacompanyincorporatedandregisteredinHangzhou,P.R.China.

2.对协议签署目的的表述：

甲方与乙方有意向就业务拓展****展开商业合作（此类潜在的商业合作应在本协议中被引述为“目的”）。

各方均认可为达成上述目的需向对方披露保密信息（定义于下文）。

Descriptionofpurpose：

InconnectionwithbusinesscooperationbetweenPartyAandPartyBfor****businessdevelopment（suchpotentialbusinesscooperationshallhereinafterbereferredtoasthe“Purpose"）.ThepartiesheretoacknowledgethattheimplementationofthePurposerequiresthedisclosureofConfidentialInformation（asdefinedbelow）toeachother.

3.协议双方均同意甲方及乙方的所有及任何保密信息应被各方依本协议各项条款约定而保密。

ThepartieshaveagreedthatallandanyConfidentialInformationofPartyAandPartyBshallbekeptconfidentialbyeachsideinaccordancewiththetermsofthisAgreement.

协议双方在此同意如下条款NOWITISHEREBYAGREEDASFOLLOWS:

为本协议之目的：

ForthepurposesofthisAgreement:

1.机密信息是指甲方或其代表向乙方披露的与甲方有关的未公开信息。

保密范围包括设计概念、设计元素、专有秘密、商业信息、成本信息以及双方及其关联公司以任何形式向双方披露的与展台设计搭建有关的其他内容，无论是口头、视觉还是有形的，以及反映该等信息的载体。

ConfidentialInformationshallmeanunpublishedinformationwhichisdisclosedbyorforPartyAtoPartyBrelatingtoPartyA.Confidentialscopeincludingdesignconcept,designelements,proprietarysecrets,businessinformation,costinformation,andothercontentsrelatedtothedesignandconstructiondisclosedtothepartiesbythepartiesandtheiraffiliatesinanyform,whetherverbal,visualortangible,andthecarrierreflectingsuchinformation.

2.乙方应:

为甲方的利益而对以下提供的机密信息进行保密，将保密信息的使用限制在与甲方业务关系相适应的范围内，并将机密信息的披露限制在只有其雇员需要知道的范围内，且该雇员受本协议或其他协议的约束，为了甲方的利益而对机密信息保密。

乙方不得使用或向任何第三方披露机密信息。

PartyBshall:

holdtheConfidentialInformationprovidedhereunderinconfidenceforthebenefitofPartyA,restrictitsuseofConfidentialInformationtopurposescommensuratewithitsbusinessrelationshipwithPartyA,andrestrictdisclosuresofConfidentialInformationtoonlythoseofitsemployeeswhohaveaneedtoknowforthepurposeshereofandwhoareboundbyagreementorotherwisetomaintaintheconfidentialitythereofforthebenefitofPartyA.PartyBshallnotuseordiscloseConfidentialInformationtoanythirdparties.

3.协议双方进一步同意，若由于接收方违反本协议的任何约定，披露方有权要求接收方向其赔偿由此产生的一切直接或间接的损失、损害、成本及费用。

ThepartieshavefurtheragreedthatifanybreachofanytermofthisAgreementismadebythereceivingparty,thedisclosingpartyisentitledtoclaimcompensationfromthereceivingpartyforallandanylossesanddamages,costsandexpensesdirectlyorindirectlyarisingtherefrom.

4.协议双方明确认可并同意本协议具有非排他性，本协议不得被理解为一方可强制另一方与其达成任何形式的合同关系，且任何情况下不得禁止或限制，也不得被理解或解释为禁止或限制一方的在全球任何地方单独或与他方一同寻找其他商业机会的权利及自由。

ThepartiesexpresslyacknowledgeandagreethatthisAgreementisnon-exclusive,doesnotcompelanypartytoenterintoanyformofcontractualrelationshipwiththeotherandundernocircumstancesshallrestrictorlimit,norshallitbeconstruedorinterpretedtorestrictorlimit,eachparty’sabilityandfreedomtoexploreotherbusinessopportunitiesanywhereintheworldonitsownorinconcertwithothers.

5.保密信息的接收方应自本协议文首所述之签署日起[两年]内对保密信息承担保密义务。

TheundertakingsgivenbythepartiesinthisAgreementshallhaveatermof[twoyears]commencingontheEffectiveDatefirstindicatedaboveinthisAgreement.

6.本协议受中华人民共和国法律管辖。

ThisAgreementshallbegovernedbythelawsofthePeople’sRepublicofChina.

7.本协议原件一式两份，协议各方各执一份，两份具有同等法律效力。

本协议以中英文书就。

中英文表述如有不一致之处，应以中文为准。

ThisAgreementmaybeexecutedintwocounterparts,eachofwhichwhenexecutedanddeliveredisanoriginal,butthecounterpartsconstitutethesamedocument.ThisAgreementiswritteninEnglishandChinese.Intheeventofanydiscrepancybetweenthetwolanguageversions,theChineseversionshallprevail.
