PTBAmadeaprehensivemeaningfulpresentationregardingthenewmininglaw,itsimpacttosignedJVCCoalMineandPTBAopinionfornewcoalsupplyschemeaswellasresponsetoCDBletterof11August20xx.

ThesummaryofPTBA’sproposalschemeinitspresentationisasfollows:

1PTBAcannotassignitsrightandobligationasminingpermitsholdertootherpartypursuanttothenewmininglaw.

2itisPTBAasminingpermitholderwhoshalldecidethecoalprice,hence,therevenuesaountshallbereckonedinPTBA’sbook.（whichmayaffecttoroyalty,tax,etc）

3coalsupplyagreementshallbeestablishedbetweenJVCpowerandPTBA.

TheChairmanreportedthathehadmetMr.NathanRosenbergconcerningXYZ’sinterestsinputersoftwaredevelopmentandtheservicesMr.RosenbergispreparedtoextendtoaidXYZindevelopingtheseinterests.FortheinformationoftheChairman,Mr.RosenbergoutlinedthegrowthofthesoftwareindustryfromthetimehelaunchedABCSoftwareCompanyin1987untiltoday.

REPORTBYGENERALMANAGER:

ThomasKilroysummarizedhisdetaileddiscussionswithJayJefferson,ChiefExecutiveOfficerofHudsonAudiovisualProductions（“Hudson”）andBZN’sinterestsinaudiovisualinstructionalmaterials.TheclassroomuseofaudiovisualinstructionalmaterialsintheUnitedStates,Canada,theUnitedKingdom,andothercountriesoftheEuropeanUnionhasbeenamajoreducationaltrendandhashadphenomenalgrowth.AtrendthateducatorsinNorthAmericaandWesternEuropepredictingislikelytocontinue.

SincetherearemanywaysthatHudsoncanhelpBZNdevelopaninternationalaudiovisualprogramforuseinEnglish-speakingcountriesandwithtranslationforotherpartsoftheworld,Mr.Kilroymadethefollowingproposal,secondedbyNicholsRaines,toauthorizeafeasibilitystudytocoverthefollowing:

a）ThepresenteducationalaudiovisualmarketplaceintheUnitedStates,Canada,andtheUnitedKingdom,anditspotentialforexpansion.

b）Presentpaniesoperatinginthismarketplaceandtheirshare.

c）Growthpatternsofdifferenttypesofaudiovisualmaterialsandtheirpotentialforcontinuedgrowthandchange.

REPORTBYMARKETINGMANAGER:

ThomasKilroygaveasummaryofastudyonthefeasibilityofacquiringanaudiovisualinstructionalmaterialspanyinNorthAmericaandtheUnitedKingdom.Resultsindicatemoreinvestigationisneeded.

-ToselectthepaniesthatseemtoofferthebestopportunitiestoBZNandtoinvestigatethepossibilityofacquiringthem.

-ToinquireaboutthetermsofsalesfromtheownersofthepaniesselectedbyBZNandreportthesetermstoBZN.

MOTION:

ChairmanBrownproposedamotion,secondedbySharonMoretti,thatanadhocmitteeofdirectorsshouldbeinstitutedtostudyMr.Rosenberg’sinvolvementingreaterdetail.Theboardagreedtovoteonthismotionatthenextmeeting.
