Licenseemayreceiveafullrefundifwithinthirty（30）days

fromthedateofdelivery（the"AcceptancePeriod"）Licensee

doesnotacceptthetermsandconditionsofthisLicenseandthe

applicableAddendum,orifLicenseeterminatesthisLicensefor

anyreason,withintheAcceptancePeriod.

LICENSEGRANT.TheMathWorks,Inc.（"MathWorks"）herebygrants

toLicenseeanonexclusiveLicensetoinstallandusethe

ProgramsandaccompanyingDocumentationasprovidedherein.The

licensedProgramsandDocumentationshallatalltimesremain

thepropertyofMathWorksand/oritsLicensors,andLicensee

shallhavenoright,title,orinteresttherein,exceptas

expresslysetforthinthisAgreement.

LICENSEFORTHIRDPARTYSOFTWARE.MathWorkshasbeengranted

licensestodistributecertainthirdpartysoftware.Asa

conditionofthoselicenses,MathWorksisrequiredtodistribute

thesoftwaresubjecttospecifictermsandconditions,whichmay

bedifferentfromoradditionaltothosecontainedhereinfor

MathWorks'Programs.Licenseeunderstandsandagreesthat

acceptanceofthisAgreementalsoconfirmsLicensee'sacceptance

oftheapplicableprovisionsforuse,includingtherestrictions

onuse,ofsuchthirdpartysoftware.Thecurrentapplicable

provisionsmaybeviewedat

contactMathWorkstoobtainthecurrentapplicableprovisions.

Licensee'sbreachoftheapplicableprovisionsofanythird

party'slicensetermsshallalsobeconsideredamaterialbreach

ofthisAgreement.

DEFINITIONS

Affiliate.Alegalentitywhichiscontrolledby,orcontrols,

orisundercommoncontrolwithLicensee.Controlmeans（i）

beneficialownershipofatleastfiftypercent（50%）ofthe

votingsecuritiesofacorporationorotherbusiness

organizationwithvotingsecurities,or（ii）afiftypercent

（50%）orgreaterinterestintheprofitsandcapitalofa

partnershiporotherbusinessorganizationwithoutvoting

securities.

ConcurrentKeys.Thecombinednumberofusersthatmay

simultaneouslyoperateaProgramonaConcurrentLicense.

Distribution.Thedistributiononphysicalmediaand/or

electronicdistribution.

Documentation.Theuserguidesandinstructionalmaterial,if

any,accompanyingdeliveryofaProgramasmaybeupdatedfrom

timetotime.Documentationmaybedeliveredinprintedand/or

onlineforms,andinoneormorelanguages.

InstallationType.OneormoreoftheStandaloneNamedUser,

NetworkNamedUser,NetworkCountedUser,orNetworkConcurrent

Userinstallationtype（s）availablewithrespecttotheLicense

Optionselected.

InternalOperations.TheuseofaProgrambyemployeesof

LicenseeoranAffiliateforthepurposeofperformingservices

onbehalfoftheLicenseeorAffiliate,orintheperformanceof

servicesforThirdPartieswhoengageLicenseeoranAffiliate

forsuchservices.Asusedherein,"employees"includesstudent

internsandconsultantsofLicenseeoritsAffiliates.

License.MathWorks'granttoLicenseeofanonexclusiveright

toinstallanduseaPrograminaccordancewiththeLicense

Optionpurchased.

LicensedUsers.ThoseusersofthePrograms,designatedbythe

LicenseeasauthorizedtousetheProgramsforLicensee's

InternalOperations,totheextentpermittedbytheLicense

Optionpurchased.

Licensee.TheindividualorentitytowhomMathWorksgrantsthe

License.TheLicenseeisresponsibleformeetingthe

contractualobligationsoftheLicense,andensuringthatanyone

permittedaccesstotheProgramsalsomeetssuchobligations.

LicenseOption.Thespecificrights,restrictions,and

obligationsunderwhichLicenseemayinstallanduseaProgram

pursuanttothisAgreement,includingthoserelatedtothe

permittedInstallationType（s）associatedwiththeLicense

Optionselected,andtheapplicableAddendum.Byacceptinga

ProgramduringtheAcceptancePeriod,Licenseealsoacceptsthe

applicablerightsandagreestobeboundbytheapplicable

obligationsandrestrictionsoftheLicenseOptionpurchased.

Licensor.Thepersonwho,orentitywhich,grantsalicenseto

MathWorkstoredistributethatperson'sorentity'sintellectual

property.

MAT-files.Thedefaultdatafileformatforimportingand

exportingdatatoMATLAB.Usuallyhasthefilenameextension

".mat".

M-file.Afilecontainingaprogramorfunctionwritteninthe

MATLABlanguage.Usuallyhasthefilenameextension".m".

MDL-file.AfilecontainingaSimulinkmodel.Usuallyhasthe

filenameextension".mdl".

NamedUser.Aspecificindividual,designatedbytheLicensee,

whoisassignedtherighttousetheProgram（s）undera

particularLicense.Licenseeisresponsibletoensurethatthe

totalnumberofNamedUsersofeachProgramonaLicensedoes

notexceedthenumberlicensedforeachProgram.

P-file,P-code.Apre-parsedversionoftheoriginalM-file

codeforexecutiononMATLAB.Usuallyhasthefilename

extension".p".

Program（s）.Thecomputersoftwaredeliveredhereunder,

includingenhancementsanderrorcorrections.Eachproductfrom

MathWorksisaseparateProgram.

ThirdParty.Anypersonorlegalentitythatisnotan

Affiliate.

TLC-file.AfilecontainingTargetLanguageCompiler

instructionsthatexplicitlycontrolthewaycodeisgenerated

byReal-TimeWorkshop.

INSTALLATIONANDUSE.Specificrights,obligations,and

restrictionsapplytoeachLicenseOption.Licensee'srightto

installandusetheProgramsisdeterminedbytheLicenseOption

selected,includingthepermittedInstallationType（s）with

respecttosuchLicenseOptionassetforthinthetablebelow.

ByacceptingthetermsandconditionsoftheAgreement,Licensee

alsoacceptstheLicenseOptionpurchased.

Individual:

StandaloneNamedUser

Group:

StandaloneNamedUser,NetworkNamedUser

Concurrent:

NetworkConcurrentUser

Open:

StandaloneNamedUser,NetworkCountedUser

EnterpriseSuite:

StandaloneNamedUser,NetworkNamedUser

Insomecountries,StandaloneNamedUserisnotavailableon

Group,Open,andEnterpriseSuiteLicenseOptions.Contactyour

localMathWorksrepresentativeformoreinformation.

LICENSEOPTIONS.

Individual.TheIndividualLicenseOptionprovidesthe

StandaloneNamedUserInstallationType.Programuseis

restrictedtothesingle,designatedNamedUser.

Group.TheGroupLicenseOptionprovidestheStandalone

NamedUserandNetworkNamedUserInstallationTypes.The

ProgramsmaybeoperatedbyacombinedworkgroupofNamed

Users（uptothemaximumnumberofNamedUserslicensedto

useeachProgram）.Itisnotnecessarytohaveanequal

numberofNamedUsersintheworkgrouplicensedforeach

Program,thereforeLicenseemusttakeactiontoensure

thatonlytheappropriatelicensedusercountisinstalled

foreachProgram.ThisLicenseOptionmustbecentrally

administeredandmaintained.Licensee'scentral

administratorisresponsiblefor（i）accuratelyinstalling,

administering,counting,andcontrollingthenumberof

NamedUsersallowedaccesstoeachProgram,and（ii）the

distributionofnewversionsoftheProgramsdelivered

duringanypaidSoftwareMaintenanceServiceterm.

Concurrent.TheConcurrentLicenseOptionprovidesthe

NetworkConcurrentUserInstallationType.

Open.TheOpenLicenseOptionisanAnnualLicensethat

providestheNetworkCountedUserInstallationTypeandthe

StandaloneNamedUserInstallationType.Thecombined

totalofNamedandCountedUsersallowedaccesstoeach

Programmaynotexceedthenumberlicensedforeach

Program.

EnterpriseSuite.TheEnterpriseSuiteLicenseOptionisa

Three-yearTermLicensethatprovidestheStandaloneNamed

UserandNetworkNamedUserInstallationTypes.The

ProgramscomprisingtheSuitearechosenbyLicensee.An

EnterpriseSuitelicensemusthavethesamenumberofNamed

UsersforeachProgramintheSuite.TheLicensefeeshall

bedueandpayableinthree（3）equalinstallments;the

firstinstallmentshallbedueandpayableupon

commencementofthelicense;thesecondshallbedueand

payableatthebeginningofthethirteenthmonth,andthe

thirdshallbedueandpayableatthebeginningofthe25th

monthoftheTerm.LicenseeshallhaveaTermlicenseto

usethePrograms,whichiscontingentuponthepaymentof

allthree（3）Licensefeeinstallments.

INSTALLATIONTYPES.

StandaloneNamedUser.Programsmaybeinstalledand

operatedononeormoreindividual,standalonecomputers,

providedtheProgramsareonlyaccessibleto,andoperated

by,asingleLicensedUserdesignatedbytheLicenseeas

the"NamedUser"forthatLicense.Thelocation（s）ofthe

standalonecomputer（s）usedbytheNamedUsertorunthe

Programsisnotlimited;thecomputersmaybelocatedat

work,home,inalaboratory,oronalaptop.Onlyone

LicensedUsermaybedesignatedbyLicenseetoaccessor

usetheProgramsundereachNamedUserLicense.Licensee

mayreplacetheNamedUserfortheLicense,onatemporary

orpermanentbasis,providedonlyoneLicensedU
