　　BindingEffect合同约束力的范围

　　ThisContractismadeforthebenefitofthePartiesheretoandtheirrespectivelawfulsuccessorsandassigneesandislegallybindingonthem.本合同对本合同双方以及该方合法的继受者和受让人有法律约束力。

　　Amendment修改

　　ThisContractshallnotbechangedverbally,butonlybyawritteninstrumentsignedbytheParties.本合同不得以口头方式修改，而须经双方签署书面文件后方可修改。

买卖双方确认其已经审阅并理解本合同的条款且已经就条款相关的任何疑问得到满意的解释。

　　NoPublicity合同内容保密

　　TheexistenceofthisContract,aswellasitscontents,shallbedeemedtofallwithinthescopeofConfidentialInformationandsubjecttoArticle16,andshallnotbedisclosedinwholeorinparttoanypersonorentity,except（i）toPermittedDisclosureParties,（ii）toauthorizedsecuritiesregulatorsorexchangesinaccordancewithApplicableLawsortherelevantrulesofthesecuritiesexchangetowhichthePartyinquestionissubject,（iii）toofficialsinrelevantgovernmentdepartmentspursuanttotherequirementsofApplicableLaws（iv）inordertofulfilanyconditionsprecedenttotheeffectivenessofthisContract,（v）forthepurposeoftheperformancebyaPartyofitsobligationsorexerciseofitsrightshereunderorrelatinghereto[,or（vi）tofinancialinstitutionsforthepurposeofarrangingdebtfinancingforeitherParty].本合同的存在及其内容应被认为属于保密信息，须遵照16条进行保密，不得向任何人或实体予以全部或部分披露，但向以下各方的披露的除外：

（i）向允许披露方披露；（ii）依据有关法律或该方为规制对象的证券交易所的规则，得到授权的证券市场监管机构或交易所；（iii）依据有关法律向有关政府机构的官员披露；（iv）为了满足本合同的生效条件；（v）一方为履行其于本合同项下或与本合同相关的义务或行使其于本合同项下或与本合同相关的权利[；或者（vi）金融机构（为各方安排债务融资的目的）]。

NoSolicitation禁止招揽另一方雇员

　　NeitherPartyshall,duringtheTermorwithinone

（1）yearaftertheExpirationDate,directlysolicitforemploymenttheotherParty'spersonnelwhoareengagedinthe

　　performanceofthisContractwithoutthepriorwrittenconsentoftheotherParty.在本合同有效期内以及合同期满日后一

（1）年内，任何一方均不得直接向另一方参与本合同执行的雇员发出招聘要约，经另一方书面同意的除外。

　　Notices通知

　　（a）AnynoticeorwrittencommunicationprovidedforinthisContractbyeitherPartytothe

　　other,includingbutnotlimitedtoanyandalloffers,writings,ornoticestobegiven

　　hereunder,shallbemadein[language]anddelivered:

（a）本合同规定一方向另一方发出的通知或书面函件（包括但不限于本合同项下所有要约、书面文件或通知）均应以[语言]制作，并以以下方式送达相应一方：

　　Waiver不放弃权利

　　EitherParty'sfailuretoexerciseordelayinexercisinganyright,powerorprivilegeunderthisContractshallnotoperateasawaiverthereof,andanysingleorpartialexerciseofanyright,powerorprivilegeshallnotprecludetheexerciseofanyotherright,powerorprivilege.如果一方未行使或延迟行使其在本合同项下的某项权利、权力或特权，不构成该方对此项权利的放弃，并且单独或者部分行使某项权利、权力或特权，并不妨碍其行使其他权利、权力或特权。

　　Assignability可转让性

　　ThisContractmaynotbeassignedinwholeorinpartbyanyPartywithoutthepriorwrittenconsentoftheotherPartyhereto,providedthatSellermaysolelyuponwrittennoticetoBuyerassignSeller'srightstoreceivepaymentsandotherbenefitsofthis

　　Contracttooneormorefinancialinstitutionsforpurposesofarrangingdebtfinancingorsimilarfinancialarrangements,butinsucheventSellershallremainfullyliablefortheperformanceofitsobligationsunderthisContract.未经另一方事先书面同意，任何一方不

　　得部分或全部转让本合同。

但是，为获得贷款或其他融资，卖方可以书面通知买方将卖方在本合同项下获得付款的权利及其他利益转让与一家或多家金融机构，但是，在上述情形中，卖方应继续就本合同项下义务的履行承担全部责任。

　　Severability可分割性

　　TheinvalidityofanyprovisionofthisContractshallnotaffectthevalidityofanyotherprovisionofthisContract.本合同某一条款的无效不影响本合同其他条款的效力。

EntireAgreement全部协议

　　ThisContractandtheSchedulesandAnnexesheretoconstitutetheentireagreementbetweenthePartiesheretowithrespecttothesubjectmatterofthisContractand

　　TheSchedulesandAnnexesheretoaremadeanintegralpartofthisContractandareequallybindingwiththemainbodyoftheContract.IntheeventofanyconflictbetweenthetermsandprovisionsofthemainbodyoftheContractandtheSchedulesorAnnexes,thetermsandprovisionsofthemainbodyofthisContractshallprevail.本合同的附录以及附件为本合同不可分割的部分，并且与本合同正文的条款具有同等效力。

　　SCHEDULEA–DEFINITIONSANDINTERPRETATION附录一-定义和解释PartA-Definitions第一部分-定义

　　UnlessthetermsorcontextofthisContractotherwiseprovide,thefollowingtermsshallhavethemeaningssetoutbelow:

除非本合同条款另有约定或上下文另有所指，下列用语的含义如下：

　　"Acceptance"inrespectofanyEquipmentcomprisinganyShipment,meansthe

　　acceptancebyBuyerofsuchEquipment,asreferredtoandinaccordancewithArticle“验收”指就某一批合同设备而言，买方按照本合同第条的规定对该批设备进行的验收。

“AcceptanceCertificate”referstothecertificateintheformattachedasAnnex6tothisContract.“验收合格证书”指按照本合同附件6格式出具的证书。

　　"AcceptanceTest"referstotheseriesoftestsoftheEquipmentsetforthinthe

　　AcceptanceTestPlanandperformedbeforeInstallationbyBuyer'sfullyqualified

　　technicalpersonnel.“验收测试”指由验收测试方案所规定的由买方完全合格的技术人员对合同设备的一系列测试。

　　"AcceptanceTestPlan”referstotheAcceptanceTestPlanattachedheretoasAnnex5assuchplanmaybesupplementedorrevisedinwritingsignedbytheProjectSupervisors.TheAcceptanceTestPlanshallidentifytheindividualSub-Networkscomprisingthe

　　Project,ifany.“验收测试方案”指作为附件五附于本合同的验收测试方案，该方案可经项目负责人签署书面文件予以补充或修订。

验收测试方案应注明构成项目的单个分（如有）。

"Affiliate"meansanyentitywhich,directlyorindirectly,iscontrolledby,undercommoncontrolwith,orincontrolof,aParty;“关联机构”指任何直接或间接被一方控制、与该方受共同控制、或者控制该方的公司；

　　theterm"control"beingusedinthesenseofpowertoelectorappointamajorityof

　　directorsortodirectthemanagementofacompany.“控制”这一用语的含义指拥有选举或委派董事会多数董事或指示公司管理部门的权力。

　　"aggrievedParty"shallhavethemeaningsetoutinArticle“受损害方”应具有第条中所给出的含义。

　　"ApplicableLaws"meansthelaws,regulations,rules,notices,andotherlegislative,

　　executiveorjudicialdecisionsorpronouncementsbindingoneitherPartyorinrelationtothesubjectmatterofthisContract.“有关法律”指对本合同一方或本合同标的适用的法律、法规、规章，以及立法、行政或司法机关颁布的通知、命令、决定或其他公示文件。

　　"breachingParty"shallhavethemeaningsetoutinArticle“违约方”应具有第条中所给出的含义。

　　"BusinessDay"means:

　　（a）inrespectofanyactiontobetakeninthePRC,anydayonwhichthecompaniesinthePRCaregenerallyopenforbusinessinthePRC,includingaSaturdayorSundaywhich

　　thePRCgovernmenttemporarilydeclarestobeaworkingday（"WorkingRestDay"）,butexcludingastatutoryholiday,oraSaturdayorSundayothe
