ContractNo.[]1.DEFINITIONS.InadditiontothosedefinitionssetforthelsewhereinthisContract,thefollowingcapitalizedtermsshallhavethemeaningsspecifiedbelow:

除本合同中另外列明的该等定义之外，下列黑体词语应有如下含义：

“Buyer’sSite”meansthelocationwheretheSystemwillbeinstalledandusedassetforthinAnnex2;“买方场所”指附件2中列明的系统的安装和使用地点；“Contract”meansthisEquipmentPurchaseandSaleAgreement,includingitsAnnexes;“合同”指本设备买卖协议，包括附件；“EffectiveDate”meansthedatefirstwrittenabove;“生效日”指文首所示日期；“FinalAcceptance”hasthemeaningsetoutinSection6herein;“最终验收”应有本协议第6条规定的含义；“FinalAcceptanceTest”meansoneormoretestsoftheSystemconductedinaccordancewithSeller’snormalproceduresatBuyer’sSitetodemonstratethattheSystemmeetsorexceedstheSpecification;“最终验收测试”指根据卖方的正常程序于买方场所进行的一次或多次系统性能测试，以证明系统满足或超过规格；“IntellectualProperty”meansalgorithms,concepts,data,databases,designs,documentation,drawings,formulae,hardware,know-how,ideas,inventions,materials,methods,plans,procedures,processes,schematics,software（inanyformincludingsourcecodeandexecutableorobjectcode）,specifications,techniques,tools,tradesecrets,worksofauthorship,andothertechnicalinformation,whetherornotprotectablebyanyformofIntellectualPropertyRights;“知识财产”指算法、概念、数据、数据库、设计、文件、图纸、配方、硬件、专有技术、创意、发明、资料、方法、计划、程序、工艺、图标、软件（任何形式的软件，包括源代码以及可执行代码或目标代码）、规格、技术、工具、商业秘密、有著作权作品以及其他技术信息，无论是否以知识产权的形式受保护；“IntellectualPropertyRights”meansallpresentandfuturepatentrights,copyrights,tradesecrets,databaserights,andotherproprietaryrights（excludingtrademarks,servicemarks,tradenames,andsimilarrights）inanyjurisdiction,andallapplicationsandregistrationstherefor;“知识产权”指任何司法辖区内的目前和将来的所有专利权、著作权、商业秘密、数据库权利和其他专有权利（不包括商标、服务标记、商号和类似权利）及其所有应用与注册登记；-4-FormdatedApril22,2009

ContractNo.[]“Services”meanscertaininstallationandcommissioningservicesrelatedtotheSystem;“服务”指与系统有关的特定安装和调试服务；“Shipment”ofaSystemoccurswhensuchSystemisdeliveredtothecarrieratSeller'sfactoryortheshippingpointdeterminedbySeller;“发货”，系统的发货指在卖方工厂或在卖方指定的发货点将该系统交付给承运人；“Specification”meansthetechnicaldescriptionandperformancespecificationofagivenSystemsetforthinAnnex1;and“规格”指附件1列明的某一系统的技术描述和性能规格；以及“System”meanstheequipmentdescribedinAnnex1.“系统”指附件1列明的设备。

2.SCOPEOFAGREEMENT.BuyeragreestopurchasetheSystemandServices,andSelleragreestoselltheSystemandperformtheServices,subjecttothetermsandconditionsofthisContract.合同适用范围。

买方同意按照本合同的条款和条件购买系统和服务，且卖方同意按照本合同的条款和条件出售系统和履行服务。

3.PRICINGANDPAYMENT价格和付款3.1Price.ThetotalpricefortheSystemandServicesisfourmillionandeightythousandSwissFrancs（CHF4,080,000）（the“Price”）.BuyershallpaythePricetoSellerasfollows:

买方应以下列方式向卖方支付合同价格：

（a）thirtypercent（30%）ofthePrice,withpaymentduethirty（30）daysaftertheEffectiveDate（“FirstInstallment”）;合同价格的百分之三十（30%），付款期限为生效日后的三十（30）日内（“首期付款”）；（b）sixtypercent（60%）ofthePriceuponShipmenttoBuyeroftheSystem,withpaymentduethirty（30）daysafterthedateofShipment;and系统向买方发货后支付合同价格的百分之六十（60%），付款期限为发货日期后的三十（30）日内；以及-5-FormdatedApril22,2009

ContractNo.[]（c）tenpercent（10%）ofthePricewithinten（10）daysofFinalAcceptance,butnotlaterthanninety（90）daysafterShipmentoftheSystemprovidedthattheinstallationandcommissioningoftheSystematBuyer’sSiteisdelayedbyreasonsnotcausedbySeller,withpaymentduefourteen（14）daysafterthedateofSeller’sinvoice.最终验收完成后的十（10）天内且不迟于系统发货后的九十（90）天（前提是系统在买方场所的安装调试非因卖方的原因而延迟）支付合同价格的百分之十（10%），付款期限为收到卖方开具的发票之日后的十四（14）日内。

3.2TaxesandFees.ThePriceshallnotincludeanyimportorbroker’sfees,taxes（includingwithholdingtaxes,importVAT,customsduties,andofficiallocalcharges）oranyothertaxesleviedonSeller（exceptthosewhicharebasedonincomeofSeller）,oranyotherchargesorcoststhatmightbeclaimedwithrespecttothesaleorshipmentorinstallationoftheSystemoranysparepart（s）toBuyer,allofwhichshallbepaidbyBuyer（orreimbursedtoSellerbyBuyerifSellermakespayment）.税费。

合同价格中不包括任何进口税费或经纪人税费（包括预扣税、进口增值税、关税和本地官方征费）或向卖方征收的任何其他税项（基于卖方收入的该等税费除外），或第三方就系统或任何备件的销售或运输或安装向买方主张的任何其他收费或费用，所有该等费用将由买方支付（如由卖方支付的，买方应予以报销）。

3.3Payment.UnlessotherwisesetforthinthisContract,BuyershallmakeallpaymentsunderthisContractexclusivelytoSellerwithinfourteen（14）daysafterthedateofSeller’sinvoicetherefor.UnlessanotheraddressisprovidedinwritingbyBuyertoS
