SoftwareLicenseAgreement软件许可协议-

WHEREAS,AAAwillprovideBBBwithAAALicensedSoftware（LicensedSoftware）inexecutableform,andAAAdocumentation（collectivelyAAAProducts）pursuanttothecertainSoftwareLicenseAgreementdated_________（M,D,Y）betweenBBBandAAA（UnderlyingAgreement）.Exceptasotherwiseindicated,allcapitalizedtermsinthisAgreementhavethesamemeaningasdefinedintheUnderlyingAgreement.WHEREAS,ThisEscrowAgreementprovidestoBBBonlyandnottoanySublicenseeorAffiliate,theavailabilitytoaccessSourceCodefortheLicensedSoftware（SourceCode）upontheoccurrenceoftheeventsdescribedinandsubjecttoSections4and5ofthisEscrowAgreement.NOWTHEREFORE,inconsiderationofthemutualcovenantssetforthinthisEscrowAgreement,BBB,AAAandEscrowAgentagreeasfollows:

1.DepositofSourceCode.（a）Nolaterthanonehundredtwenty（120）daysfollowingtheEffectiveDateofthisEscrowAgreement,AAAshalldepositandEscrowAgentshallaccept,forstoragepurposesonly,thebuildableavailableSourceCodeofeachLicensedSoftwareandanyadditionalLicensedSoftwarecoveredbytheUnderlyingAgreementasatanytimeamended.DepositshallbemadeatDataSecuritiesInternational,_________.（b）SourceCodeshallincludeforLicensedSoftwarecopiesofallcurrentsourcecodelinesandanyassociatedsupportdocumentation,excludingthoseportionsoftheSourceCodewhichbelongtothirdpartiesandareunavailabletoAAAorwhichAAAhaslicensedfromthirdpartieswhichAAAdoesnothavetherighttosublicenseordisclosetoBBB.2.TitletoSourceCode.AAAwillretainownershipofallintellectualpropertycontainedinthedepositedSourceCodeincludingallcopyright,tradesecret,patentorotherintellectualpropertyrightssubsistinginsuchSourceCode.3.ReleaseofSourceCodetoBBB.ThecopyoftheSourceCodeondepositinescrowpursuanttothoseAgreementshallbereleasedtoBBBonlyinaccordancewiththetermsofthisAgreement.4.ReleaseEvent;EscrowasSupplementary.（a）IntheeventAAAvoluntarilycommencesaChapter7proceedingundertheFederalBankruptcyActandtheproceedingremainsundismissedforaperiodofonehundredtwenty（120）days,thenBBBshallsonotifyEscrowAgentinwriting,providingevidenceofthefilingandthedurationofsuchproceedingsandmakeaformaldemandthattheEscrowAgentreleasetheSourceCodetoBBB.Followingexpirationofsuchonehundredtwenty（120）dayperiod,theprovisionsofSection5shallnotbeapplicableandEscrowAgentshallpromptlyreleasetheSourceCodetoBBB.（b）AAAandBBBacknowledgethatthisEscrowAgreementisanagreementsupplementarytotheUnderlyingAgreementasprovidedinSection365（n）ofTitle11,UnitedstatesCode（theBankruptcyCode）.AAAacknowledgesthatifAAAasadebtor-in-possessionorifatrusteeinbankruptcyinacaseundertheBankruptcyCoderejectstheUnderlyingAgreementorthisEscrowAgreement,BBBmayelecttoretainitsrightsundertheUnderlyingAgreementandthisEscrowAgreementasprovidedinSection365（n）oftheBankruptcyCode.UponwrittenrequestofBBBtoAAAorthebankruptcytrustee,AAAorsuchbankruptcytrusteewillnotinterferewiththerightsofBBBasprovidedintheUnderlyingAgreementandthisEscrowAgreementtoobtaintheSourceCodefromthebankruptcytrusteeorfromtheEscrowAgent,andwill,ifrequested,causeacopyoftheSourceCodetobeavailabletoBBB.5.FailureofAAAtoPerformSupportServices.（a）（i）IfAAAorAAA’ssuccessorininterestisunabletoprovideSupportServicesasrequiredbytheUnderlyingAgreement（andinbreachofitsobligationunderthatUnderlyingAgreement）becauseoftheinsolvencyofAAAasdefinedinArticle1-201（23）oftheUniformCommercialCode,BBBshallsonotifyAAAinwriting（DeficiencyNotice）,specifyinginreasonabledetailthebasisforAAA’sfailureorinabilitytoprovideSupportServices.BBBshallserveacopyoftheDeficiencyNoticesimultaneouslyupontheEscrowAgent.（ii）IfAAAorAAA’ssuccessorininterestisunabletodischargeanyofitsSupportServicesobligationsasrequiredbySection8oftheUnderlyingAgreement（andinbreachofitsobligationsunderthatUnderlyingAgreement）,BBBshallsonotifyAAAinwriting（DeficiencyNotice）,specifiedinreasonabledetailthebasisforsuchfailure.BBBshallserveacopyoftheDeficiencyNoticesimultaneouslyupontheEscrowAgent.（b）Foraperiodofsixty（60）daysafterserviceoftheDeficiencyNotice（CurePeriod）,AAAshallhavetherighttocuretheallegeddeficienciesandshallcorrespondwithanddealdirectlywithBBB;provided,however,AAAandBBBshallpromptlyeffecttheSoftwaresupportandProgramerrorcorrectionsprocessdescribedInExhibitC-1heretoandBBBshallbeentitledtoseektheinjunctivereliefdescribedtherein,withoutrecoursetoSection6below.（c）IfattheendoftheCurePeriodtheallegedsupportdeficiencieshavenotbeencuredBBBshallnotifyAAAandtheEscrowAgentinwriting,specifyinginreasonabledetailthedeficiencywithrespecttotheSupportServicesandmakeaDemandNotice.（d）IfAAAdisagreeswiththeDemandNoticespecifiedinParagraph5（c）above,AAAshallsonotifytheEscrowAgentandBBBinwriting（ObjectionNotice）withinthirty（30）calendardaysafterreceiptoftheDemandNoticeandEscrowAgentshallnotreleasetheSourceCodeunlessotherwisedirectedbyAAAandBBBjointly.FailureofAAAtogivetimelyObjectionNoticeshallconclusivelyestablishitsconsenttotheimmediatereleaseoftheSourceCodetoBBBunderthetermsofthisAgreement.6.DisputeResolution.6.1IntheeventofanydisputeinvolvingthereleaseoftheSourceCodeunderSection5,authorizedrepresentativesofAAAandBBBshallmeetpursuanttoSection10.4oftheUnderlyingAgreement（DisputeResolution）andthepartiesshallattempttoexpeditiouslyresolvesuchdisputesinaccordancethereunder.6.2IntheeventofaDeficiencyNoticegivenpursuanttoParagraph5（a）（ii）abovewhichleadstoadisputepursuanttoParagraph6.1andthedisputefailstogetresolvedpursuanttothetimeframesspecifiedinSection10.4oftheUnderlyingAgreement,theneitherpartymayseekbindingarbitrationinaccordancewiththecommercialrulesoftheAmericanArbitrationAssociationthenineffecttoresolvethedispute.SucharbitrationshalltakeplaceinSantaClara,_________andshallbeconductedbythree（3）arbitrators,one

（1）whichshallbeselectedbyeachpartyandthethirdwhichshallbeselectedbytheothertwoarbitratorswithinthetimelimitsestablishedbytheexistingrulesoftheAmericanArbitrationAssociation.Thechairmanofsuchpanelofarbitratorsshallbeanattorneyatlaw,andtheotherarbitratorsshallhaveabackgroundortrainingineithercomputerlaw,computerscienceormarketingorcomputerindustryproducts.Eacharbitratorshallbeknowledgeableinbusinessinformationanddataprocessingsystems.Thearbitratorsshallhavetheauthoritytopermitdiscovery,theextentdeemedappropriatebythearbitrators,uponrequestofaparty.Thearbitratorsshallhavenopowerorauthoritytoaddtoordetractfromtheagreementsoftheparties,andthecostofthearbitrationshallbeborneequally.Thearbitratorsshallhavetheauthoritytograntinjunctivereliefinaformsubstantiallysimilartothatwhichwouldotherwisebegrantedbyacourtoflaw.Thearbitratorsshallhavenoauthoritytoawardpunitiveorconsequentialdamages.Theresultingarbitrationawardmaybeenforced,orinjunctivereliefmaybesought,inanycourtofcompetentjurisdiction.ThepartiesstipulatethattheSuperiorCourtoftheCountyofSantaClara,_________ortheUnitedStatesDistrictCourtfortheNorthernDistrictof_________arecourtsofcompetentjurisdictionforthispurpose.7.LicenseofSourceCode.7.1IftheSourceCodeisdeliveredoutofescrowtoBBBpursuanttoSection4（Bankruptcy/Insolvency）ofthisEscrowAgreement,BBBshallbelicensedbyAAAsubjecttotheconditionsofthisEscrowAgreementandtheUnderlyingAgreementpursuanttoanon-transferable,non-exclusive,fully-paid,licensetotheSourceCodeforatermofthelesseroftheremainingdurationofthetermoftheUnderlyingAgreementoruntilAAAshallhaveorAAA’ssuccessor-in-interestshallhaveareasonablydemonstrablecapabilityofmeetingtheSupportServicesobligationsundertheUnderlyingAgreement.ThelicenseentitlesBBBsolelytouse,copy,modify,maintainandupdatetheSourceCodeinallsuchrespectsasmaybenecessaryforBBBtomaintainandupdateLicensedSoftware.AAAalsograntsBBBtherightsspecifiedinSection8below.7.2IftheSourceCodeisdeliveredoutofescrowtoBBBpursuanttoSection5（FailuretoPerformSupportServices）ofthisEscrowAgreement,BBBshallbelicensedbyAAAsubjecttotheconditionsofthisEscrowAgreementandtheUnderlyingAgreement,pursuanttoanon-exclusive,non-transferablelicensesolelytouse,copy,modify,maintainandupdatetheSourceCodeinallsuchrespectsasmaybenecessaryforBBBtomaintainandupdatetheexistinglicensesreceivedandsublicensesgrantedbyorthroughBBBundertheUnderlyingAgreementfortheLicensedSoftware.BBBshallhavenolicensetograntnewsublicenses.AAAalsograntsBBBtherightsspecifiedinSection8below.7.3BBBshallindemnifyAAAagainstanylossesactuallyincurredbyAAAasaresultofBBBwrongfullygainingaccesstotheSourceCodeand/orfailingtoobservetherestrictionsandconditionsastoitsuseassetforthherein.8.ConfidentialityandUseofSourceCode.（a）UponreleaseoftheSourceCodetoBBBpursuanttothisE
