StatementofWorkforNetworkStaffAugmentation
ThisStatementofWork（“SOW”）ismadeandenteredintobetweenCiscoSystems,Inc.,aCaliforniacorporation,withofficesat170WestTasmanDrive,SanJose,California95134（“Cisco”）andKPMGConsultingLLCaDelawareregisteredlimitedliabilitycompany,withofficesat500EastMiddlefieldRoad,MountainView,California94043（“Subcontractor”）asofthedatelastwrittenbelow（"EffectiveDate"）.
ThisSOWisgovernedby,incorporatedinto,andmadepartoftheProfessionalServicesSubcontractAgreement（"Agreement"）betweenCiscoandSubcontractor.ThisSOWdefinestheservicesanddeliverablesthatSubcontractorshallprovidetoCiscounderthetermsoftheAgreement（“Services”）.ThetermsofthisSOWarelimitedtothescopeofthisSOWandshallnotbeapplicabletoanyotherSOWs,whichmaybeexecutedandattachedtotheAgreement.

1.PROJECTSCOPE.SubcontractorshallprovideNetworkArchitectureDevelopmentServicesattheCustomerlocation（s）specifiedinsection1.3.
1.1Services:
1.1.1SubcontractoragreestoprovidealeadNetworkArchitecttoCiscoforathreemonthdurationsupportingGeneralMotorsasoutlinedbelow:
∙ProvidealeadNetworkArchitecttoworkwithCustomeronafulltimebasisbeginningaboutApril3,2000forathreemonthengagement.
∙DevelopablueprintdocumentwhichlinksCustomer’sbusinessinitiativeswiththearchitectureforthenetworkinitiative
∙DevelopaNetworkArchitectureandDesignTemplates
TheNetworkArchitecturewillincorporatethenewdatacenter,whichconsistsofaUnix/Novellenvironmentsupportingalaboratory/engineering/officeenvironment;connectivitytoGM’sdesigncenterslocatedinWarren,Italy,Russelsheim,andCalifornia;connectivitytosuppliers,connectivitytoGM’scorporatenetwork,dialincapability;andknowledgetransfersystemsforGMemployees.

1.2.1Kick-offMeeting:
On-sitekick-offmeetingwiththeprojectteamtoreviewobjectivesandgoalsforthenetworkarchitecturedevelopmentpriortobeginningtheassessmentphase.
1.2.2RequirementsAssessmentPhase:
SubcontractorwillperformadetailedrequirementsassessmenttogatherinformationonthebusinessdriversforCustomer’snetworkinitiatives.Understandingtheunderlyingbusinessdriversfornetworkinitiatives,andparticularly,thebusinessimpactwhicheachinitiativewillhave,willallowthedevelopmentofaneffectivedesign.
Theassessmentwillbeaccomplishedbyconductinginterviewswithkeymanagementandtechnicalpersonnelaswellasbygatheringdatafromexistingnetworks,systems,andprocesses.
TheoutputofthisphasewillbeanAssessmentReportdocumentsummarizingtheinformationcollectedduringtheassessment.
1.2.3RequirementsDefinitionPhase:
UsingtheoutputfromtheAssessmentPhase,outlinethespecificnetwork,system,andprocessrequirementstomeetoverallNetworkArchitectureDesignobjectives.
TheoutputofthisphasewillbeaGapAnalysisReportdocumentwhichdetailsthe"gaps"betweenthecurrentstatenetworkandwhattherequirementsareforkeyforwardnetworkarchitectureinitiatives,includingnetworksecurityproceduresanddefinitions.
1.2.4DesignPhase:
TheGapAnalysisReportwillbeusedtodesignafunctionalarchitectureforthenetwork.ThisarchitecturewillbevalidatedbyleveragingexpertinputfromvariousCiscotechnologyareasincludingInternetworkDesignandEngineering,InformationSecurity,NetworkManagement,andBusinessProcessEngineering.
1.2.5FinalReport:
Oncethefunctionalarchitecturehasbeenestablished,andverified,SubcontractorwillprovideCiscoadetailedNetworkArchitecturedocumentforCustomer.

2.RESPONSIBILITIESOFTHEPARTIES.
2.1SubcontractorshallprovideNetworkArchitectureDesignandEngineeringServicesasspecifiedinSection1.1.
2.2CiscoshallensurethefollowingCustomerresponsibilitiesarecompleted:
2.2.1CustomershalldesignateapersontowhomallSubcontractorcommunicationsmaybeaddressedandwhohastheauthoritytoactonallaspectsoftheServices.Suchpersonshallbeidentifiedbelow.
2.2.2Customershallprovidereasonableaccesstocomputerequipment,facilities,workspaceandtelephoneforCisco’suseduringtheproject.
2.2.3Unlessotherwiseagreedtobytheparties,Customershallrespondwithintwo
（2）businessdaysofSubcontractor’srequestfordocumentationorinformationneededfortheproject.
2.3CiscoshallprovideasinglepointofcontactdesignatedastheprimaryCiscoProjectManager.SuchpersonshallbeidentifiedinSection1.4ofthisSOW.TheCiscoProjectMangershallhaveauthoritytoactonbehalfofCiscotoresolveanyandallissuesthatariseduringtheexecutionofthisProject.
3.COMPLETION.AcceptanceoftheServicesandSubcontractorWorkProductdescribedinthisSOWshalloccuronthedatesuchServicesandSubcontractorWorkProducthavemetthecompletioncriteriaspecifiedintheStatementofWorktothesatisfactionofCisco,asevidencedbyissuanceofwrittenconfirmationofcompletionandacceptancebyCisco（AppendixA）.FinalacceptanceofServicesorSubcontractorWorkProductmay,inCisco'sdiscretion,beheldinabeyancependingfinalacceptanceofsamebytheCustomer.

4.1.2Expenses:
CiscowillbereimburseSubcontractorforone-halfofanyreasonabletravelandlivingexpensesand/ormaterialexpensesincurredinsupportofthisStatementofWork.Suchexpenseswillbeinvoicedseparatelyatactualcostandshallbesupportedbydocumentationofactualchargesincurred（i.e.receipts）.ActualbillableexpensesshallbejointlyagreeduponbySubcontractorandCiscoinaccordancewiththisSOW.Totalestimatedexpensesforcompletionoftheworkhereinshallnotexceed$7,500.
4.1.3PricingisbasedonSubcontractor’sServicesassetforthinthisSOW.AnychangestothoseServicesmustbeapprovedinadvancedbyCiscoandshallbemanagedpertheproceduresspecifiedundertheSectiontitledChangeManagementProcedures.PartiesacknowledgeandagreethatanychangetotheServicesmayresultinanadjustmentinSubcontractor’spricing.
4.2PurchaseOrderIssuance:
CiscoshallplaceordersforServicesbyissuingawrittenPurchaseOrdertoSubcontractorforthetotalcombinedamountindicatedinSections4.1.1and4.1.2（$81,900.00）.SubcontractorshallnotcommenceServicesuntilaCiscoPurchaseOrderisreceived.ThetermsandconditionsoftheSOWandtheAgreementprevailregardlessofanyconflictingtermsonthePurchaseOrder,othercorrespondenceandanyandallverbalcommunications.
4.3InvoicingandPayment:
4.3.1SubcontractorshallinvoiceCiscoinaccordancewiththefollowinginvoicingschedule.
