为保障实现编号为_________的借款合同项下债权，甲方愿意以其有权处分的单位定期存单项下权利作质押，乙方经审查同意接受甲方的质押担保。

第三条质押担保的范围
甲方质押担保的范围为借款合同项下贷款本金、利息、复利、罚息、违约金、损害赔偿金和乙方为实现质权而发生的费用以及所有其他应付费用。
第四条存单的开立与确认
一、甲方于本合同签订前，向乙方提前交开户证实书、预留印鉴或密码、委托乙方开具或申请开具存单的委托书等有关文件;
二、乙方凭上述文件负责开具或申请开具存单和单位定期存单确认书;
三、存单签发行出具单位定期存单确认书时，应确认存单真实有效，并保证在质押期间除乙方外不接受其他各方存单挂失或提前支取的申请，同时，应保证乙方质权的实现及承担相应的责任。
第五条存单的移交与保管
一、甲方应将存单和单位定期存单确认书等权利凭证于本合同签订之日交由乙方保管，保管期限至本合同终止时。
二、乙方应妥善保管存单及预留印鉴和密码。
因保管不善致使其灭失、毁损或泄密的，乙方承担相应责任。
第六条质押的费用
质物的评估、保管、提存和质押公证、鉴定等质押费用及实现质权的费用由甲方或借款合同项下借款人承担。
由乙方代缴的，甲方授权乙方从其账户直接扣收。
第七条质押的效力
一、质押期间，甲乙双方及有关第三方不得以任何方式处分存单，除乙方外的其他各方不得申请挂失、提前支取或提起公示催告程序。
二、质押期间，甲方必须处分存单的，经乙方书面同意后，其所得价款应向乙方提前清偿担保债权或向与乙方约定的第三人提存，不足部分由甲方和或借款合同项下借款人继续清偿。
甲方也可以提供乙方认可的新的担保，以保证乙方债权的实现。
三、质押期间，存单所产生的法定利息作为质物的组成部分，乙方可以直接用于清偿担保债权或向与甲方约定的第三人提存。
四、存单有价值明显减少的可能，足以危害乙方权利的，乙方有权要求甲方提供新的担保。
甲方不提供的，乙方可以依法处分存单，并将所得价款用于提前清偿担保债权或向与甲方约定的第三人提存。
五、存单期限先于贷款期限届满的，乙方可以在贷款期限届满前提前兑现，并与甲方协议将兑现的价款用于提前清偿担保债权或者向与甲方约定的第三人提存。
六、甲方和或借款合同项下借款人以质押方式提供新的担保的，按照本合同的约定执行。
七、因存单所征收的存款利息税由甲方承担。
第八条质权的实现
一、质押期间，甲方和或借款合同项下借款人可能或已经发生停业整顿、解散、破产、关闭等情况时，应及时通知乙方，乙方有权要求甲方和或代借款合同项下借款人提供由乙方认可的新的担保，或采取停止发放贷款，并或提前收回贷款等措施，或将存单兑现或提前支取从而提前实现质权。
二、贷款期间，借款合同项下的借款人未履行合同义务，乙方按照合同约定采取停止发放贷款，并或提前收回贷款措施时，乙方有权在债权未受到清偿时提前实现质权。
三、贷款期限届满，乙方债权未受清偿的，乙方有权将存单兑现或提前支取，从而实现质权。
所得价款不足清偿的，由甲方和或借款合同项下借款人继续清偿。
四、贷款按次分期归还的，如果某期应还款项已届清偿期而未受清偿的，乙方有权将存单兑现或提前支取，所得价款直接用于清偿该期应还款项，剩余部分可用于提前清偿所担保债权或向与乙方约定的第三人提存。
五、乙方对存单享有优于其他任何债权人的受偿权。
六、甲方采取其他方式清偿担保债权的，须经乙方书面同意。
第九条质物的返还
贷款期限届满，借款合同项下借款人履行还款义务或者甲方提前清偿担保债权的，乙方应当返还存单。
第十条违约责任
一、甲方隐瞒存单争议、申请挂失、提起公示催告程序或提前支取，或伪造、变造权利凭证，或涉及诉讼、仲裁等其他严重情况危害质权实现时，应向乙方支付担保债权数额百分之_________的违约金。
并且，乙方有权采取停止发放贷款，并或提前收回贷款等措施从而提前实现质权，或由甲方提供乙方认可的新的担保等其他补救措施。
