独家代理协议

供货公司（厂）：

光电有限公司（以下称甲方）

PartyASupplier（Factory）:

  OptoelectronicCo.,Ltd

代理公司（厂）：

（以下称乙方）PartyBAgent（Company）:

一、委任Appointment

甲方指定乙方为其独家代理，为第二条所列商品和第三条所列区域的顾客中招揽订单，乙方接受上述委任。

PartyAherebyappointsPartyBasitsExclusiveAgenttosolicitordersforthecommoditystipulateinArticle2fromcustomersintheterritorystipulatedinArticle3,andPartyBacceptsandassumessuchappointment.

二、代理商品Commodity

1、独家代理权ExclusiveRight　　　　　　　　　　　　　　　　

2、乙方同意，在本协议有效期内从上述代理区域内的顾客处招揽的上述商品的订单价值不低于     。

PartyBshallundertaketosolicitordersfortheabovecommodityfromcustomersintheaboveterritoryduringtheeffectiveperiodofthisagreementfornotlessthan     .

3、基于本协议授予的独家代理权，甲方不得直接或间接地通过乙方以外的渠道向或出口第二条所列商品，乙方不得在所在国家经销、分销或促销与上述商品相竞争或类似的产品。

Inconsiderationoftheexclusiverightsgrantedherein,PartyAshallnot,directlyorindirectly,sellorexportthesell,distributeorpromotethesalesofanyproductscompetitivewithorsimilartotheabovecommodity.

4、违反此项规定，甲方有权追究乙方经济责任，最低以实际供货的结算价值作为罚金，并有权追究乙方责任，包括但不限于追偿因此导致的任何经济损失

IfPartyBviolatesthisregulationArticle2,PartyAhasrighttopursueeconomicresponsibility,uponthelowestfinalsettlementvalueofactualsupplyproductsasapenalty,andkeepstherighttopersuetheresponsibilityofPartyB,includingbutnotlimitedtoanyeconomiclossescausedbyrecovery.

四、商情报告MarketReport

为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场报告，内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。

乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。

InordertokeepPartyAfullyunderstandtheprevailingmarketconditions,PartyBshouldundertaketosupplyPartyA,atleastonceaquarteroratanytimewhennecessary,withmarketreportsconcerningchangesofthelocalregulations,localmarkettendencyandthebuyer'scommentsonquality,packing,price,etcinconnectionwiththeimportandsalesofthecommoditycoveredbythisagreement,PartyBshallalsosupplypartyAwithquotationsandadvertisingmaterialsonsimilarproductsofothersuppliers.

五、广告及费用AdvertisingandExpenses

乙方负担本协议有效期内向甲方提交所用于广告的声像资料，供甲方事先核准。

PartyBshallduringthevalidityofthisagreementsubmittoPartyAallaudioandvideomaterialsintendedforadvertisingforpriorapproval.

六、代理期限和保证金ValidityofAgreementandmarginscollateral

1、本协议经有关双方如期签署后生效，有效期为1年，除非作出相反通知，本协议期满后将延长12个月。

Thisagreement,whendulysignedbythebothpartiesconcerned,shallremainforcefor12monthsfromsignatureofagreementanditshallbeextendedforanother12monthsuponexpirationunlessnoticeinwritingisgiventothecontrary.

2、为确保乙方在合同有效期内在代理区域内拥有独家销售权，甲方向乙方收取美元的保证金，于本合同签字生效之日起7日内汇达甲方指定账户。

如逾期未能汇达，甲方有权单方解除本合同。

InordertomakesurethatPartyBholdstheexclusivedistributionrightswithinthemarketingterritoryduringthevaliddeposittoPartyBwithin7daysaftersignthisagreement.PartyBthatexceedthetimelimitfailstotransfer,PartyAhastherighttodounilateralterminationofthecontract.

七、货物供应、运输与货款支付Productsupply,shipping,payment

1、乙方应提前15天提交书面订货计划（传真或电子邮件），以便甲方有足够时间备货。

PartyBshouldputintheorderplan（byFaxoremail）15daysinadvance,sothatPartyAhasenoughtimetopreparetheproducts.

2、乙方提交订货计划后15天内，甲方得到确认后，乙方须在10个工作日内将货款汇致甲方所指定的帐户里，如在10个工作日内未收到货款，甲方有权把此订单视为无效。

PartyBsubmitstheorderwithin15days,PartyBconfirmstheorder.PartyBneedtotransferthepaymentofproductstotheBankAccountthePartyAappointswithin10days.After10days,thepaymentshasn’tbeentransferred,PartyAhastherighttoregardtheorderasinvalidone.

3、甲方应在收到货款后在双方协商后的7–15工作日提供产品。

Afterreceivethepayment,PartyAshoulddeliverytheproductswithin 7–15 workdaysundertheconsultationofbothparties.

4、甲方负责将货物运达乙方指定地点，运输工具由双方协定后再做决定，不得善自决定。

PartyAtakeschargeofshippingtheproductstotheappointedplacebyPartyB,themeansoftransportisconsideredunderthemutualagreement,cannotdoitwithoutauthorization.

八、品质保证GuaranteeforProductsQuality

货物验收以双方确认的样品为准，如对质量有异议，买方应自产品收到之日起三日内书面告知卖方并保持货物完好，对产品安装使用后出现的质量问题，在产品质量保证期内，卖方只负责维修或更换所供应产品外，不承担任何其他责任。

Thatthecheckandacceptthedeliveredgoodsisthebasisoftheconfirmedsamplesbybothparties.Ifthereisobjectionofquality,theBuyershouldinformtheSellerinwrittenformandkeepintacttheproductswithin3daysaftertheBuyerreceivetheproducts.Aboutthequality-problemafterinstallation,withinqualityguaranteeperiodofproducts,theSellerisonlyresponsibletomaintainorchangethesupplierproducts,notbearothers.

九、违约及合同解除Breachandterminationofthecontract

1、双方应严格按照合同执行，遇到有分歧的情况，应友好协商，达成新的一致意见，并形成补充合同，与本合同具有同等效力。

BothPartiesshouldbestrictaccordancewiththeagreementandcarryout.Ifthereisadisagreement,bothPartiesshouldconsultfriendlyandreachanewagreement,furthermoreformsupplementaryagreementwiththesameefficacyasthisAgreement.

2、在合同有效期内，双方中任何一方，由于以下原因造成违约时，另一方可以解除合同。

Duringthetermofthisagreement,anyPartywhobreachesthecontractcausedbyfollowingreasons,theotherPartycanterminatethecontract.

（1）如乙方对代理区域内的客户疏于管理或其它原因导致给甲方造成物质损失或使甲方的企业形象受到影响时；

WhenthePartyBtreatsthecustomersinTerritoryregionwithlackofmanagementorotherreasonswhichmakesthePartyAbearsthematerialdamageormakesthecorporateimageofPartyAwithanybadeffect,thePartyAcanterminatethecontract.

（2）符合本合同第三条第2项情形时；

IftheconditionmeetswiththeCondition2,theThirdArticleoftheagreement

（3）乙方违反甲方的规定价格政策，造成销售市场混乱时；

ThePartyBviolatesprescriptivePricePolicybyPartyA,causethesalesmarketconfusion.

（4）乙方未按实际情况向甲方通报市场情况，或所通报的内容不实，给甲方的业务造成严重影响时。

ThePartyBwon’tinformtheactualstateofmarkettoPartyA,orthenotificationisnottruth,whichcausestheseriouseffectonthebusinessofPartyA.

十、合同解除后的处理Treatmentupontermination

1、合同解除后，双方清算完毕后，如无其它异议时，甲方应于方交纳的保证金。

AfterterminatetheconstractandbothPartieshavesettledaccounts,ifthereisnotanyobjection,PartyAneedtoreturnthesecuritydepositbacktoPartyBwithin7workdaysaccordingtothisagreement.

2、合同解除后一年之内，乙方或乙方的工作人员不得利用在代理甲方产品期间获得来自甲方的经营信息进行同类业务的拓展；

Uponterminationofthecontract,PartyBoranystaffofPartyBcan’tusethebusinessoperationinformationfromPartyAduringPartyBasanagentofPartyB’sproductstoproceedtheexpansionoftheSimilarbusinesswithinoneyear.

十一、不可抗力ForceMajeure

由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。

但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,drought,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,theparty,whoisaffectedbytheeventofForceMajeure,shallinformtheotherpartyitsoccurrenceassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence..

十二、仲裁Arbitration

因履行本协议所发生的一切争议应通过友好协商解决。

如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则进行仲裁。

仲裁裁决是终局的，对双方都有约束力。

Alldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Ifthenegotiationfails,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission（Beijing）,bearbitratedbytherulesofthisCommission.Theawardofthearbitrationshallbefinalandbindinguponbothparties.

十三、其它事项

1、本合同中未尽事宜，双方协商解决，并可签订补充协议。

TheunaccomplishedmatterinthisAgreement,bothpartiesconsultandsolve,thensignasupplementaryagreement.

2、本合同一式两份，双方各执一份。

自签字盖章之日起生效。

　　甲、乙双方根据民事及中国软件相关法律，并根据诚信及互利的原则，经友好协商一致，签定此合同。

双方申明都已理解并认可了本合同的所有内容，同意承担各自所应承担的权利与义务，严格执行本合同如下内容：

　　一、甲方授权乙方为__________地区总代理，享受甲方制定的一切优惠政策。

　　二、甲方的权利与义务

　　1．甲方保证给乙方提供产品均为正版产品并保证乙方所在区域即________地区的独家代理权，且不得自行直接向乙方所在区域的客户销售本合同的标的物。

　　2．甲方新品上市应及时通知乙方，甲方有义务及时为乙方提供与产品销售相关的技术支持、信息及资料便于乙方开展销售及宣传工作，乙方在销售方面应积极密切配合。

　　3．甲方对乙方所提供的销售、市场、库存等信息严格保密，不得泄露给第三方。

　　4．每次发货量由双方协商决定。

首次订货量不得低于__________万元（折扣后）。

　　三、乙方权利与义务

　　1．乙方应积极主动推广甲方的产品并配合甲方做好相应的市场活动，便于促进销售。

　　2．如果发现产品存在质量问题，应在三日内书面通知甲方进行调换。

（乙方造成的人为损坏如划伤、压裂等情况不在甲方负责调换范围内）。

　　3．乙方对甲方所提供的产品相关价格、代理规定等情况严格保密，不得泄露给第三方。

但是，甲方如有欺诈行为，即销售给乙方的价格高于其他代理商的，那么乙方不受上款规定约束。

　　4．乙方保证不对甲方产品做任何侵权行为，不侵害产品发版权及商标权，在销售过程中，一但发现版权被他人侵犯，应及时通知甲方并提供帮助。

　　5．乙方可自行向其下属经销商或专卖店供货。

　　四、违约责任

　　1．乙方一旦发生违约，违规行为对甲方名誉、经济造成损失时，甲方有权立即取消其特约经销商的资格，同时乙方向甲方支付违约金__________万元。

　　2．甲方如果在乙方代理区域内增设代理或者直接实施销售行为的或有价格欺诈行为的，甲方向乙方支付违约金__________万元。

　　五、销售政策

　　1．乙方须销售甲方的全部产品，甲方销售给乙方价格为零售价的__________折（除特殊产品以外）。

零售价见附表。

　　2．结算方式为：

款到发货。

　　六、交货方式

　　1．甲方收到乙方货款后三天内将货发出。

　　2．铁路：

甲方负责将乙方所须产品走铁路运输运送到乙方所在城市的车站，由乙方负责从车站提货。

　　3．公路：

甲方负责将乙方所须产品走公路运输公司运送到乙方所在城市的货运公司，由乙方负责从货运公司提货。

　　4．乙方应在收到货后应立即验货核查，如有问题须在三天内书面通知甲方，甲方三天内没收到乙方的通知视为本批货与甲方的出库单数量、品种核对无误。

　5．运输费用由甲方承担，但调货时的运输费用由乙方承担。

　　七、其它事项

　　1．本协议一式两份，双方各执一份，本协议经双方签字盖章后生效。

　　2．本协议传真复印件有效。

　　3．本协议有效期限为________年______月_____日至_________年________月_______日。
