A.PreconditiontotheCooperation

1.PartyAisabusinessentityincorporatedundertheapprovalofHenanProvincial

Government.Itisresponsibleexclusivelyforcoalbedmethane（CBM）exploration,extractionandproduction,developmentandutilizationinHenanProvinceandisthefirstprovincialCBMdevelopmentandutilizationcompanyinChina.PartyAhasobtainedthequalificationtoexclusivelycooperatewithforeignenterprises.

2.PartyBisacompanyincorporatedandoperatingunderthelawsofSingapore.The

companyhasthetechnicalandcapitalcapabilitiesoftassessingCBMresources,designingappraisalandpilotdrillingprogramsandsubjecttotechnicalsuccessofthoseprograms,movingtodevelopingandproducingcommerciallyviableCBM.Ithasdevelopedinnovative,lowcosthorizontalandverticaldrillingtechnologythatisinstrumentalinestablishingthesustainablegrowthofcommercialCBMproductionandpre-drainageofseveralcoalminingareas.

3.PartyCfocusesoncleanenergyandisengagedindevelopmentandutilizationof

automotivenewenergy,includingLPG,CNGandCBM.NowthecompanyhaseightCNGgasstations,twoLPGgasstationsandoneL-CNGgasstationinoperation.

4.ItistheintentionofthepartiesthatPartyAandPartyBwillcooperateandcarryout

explorationworkinthe6CBMblocksundertheprincipleof“easierblock/cherry-pickdevelopmentfirst”subjecttotheconditionthatthechoiceisbeneficialtoallparties.

5.AspartoftheprocessofenteringintothePSCs,thepartieswishtocommencea

technicalevaluationwithaviewtodeterminingthefeasibilityandscaleofCBMexplorationanddevelopmentwithinthecorrespondingareas.Tothisend,allpartiesagreetoincludeaconfidentialityclauseinthisLOIwiththeaimoffacilitatingtheprovidingandsharingofappropriatedata.

6.PartyBandPartyCagreetocoverthecoststocarryoutthetechnicalduediligence

andevaluation,andthepartiesagreetoformulatetheindicativetimetableforthenegotiationofthePSCindetailsafterthecompletiondetailsafterthecompletionofthetechnicalduediligenceandevaluation.

B.CooperationIntention

1.Evaluation.Thepartiesproposetocarryoutatechnicalcommercial&legal

evaluationofthefeasibleareaselectedbyPartyAtodeterminethepotentialforCBMresources.Theevaluationshallalsoidentifyapreliminaryviewofthemostpromisingareasforinitialexplorationactivities,follow-upappraisalandpotentialdevelopmentofafull-scaleCBMprojectinthecorrespondingarea.

2.Technicaldata.PartyAwilluseitsbestendeavorstocoordinatethecollectionof

technicaldataforthecooperatedareas,asmaybenecessarytoconductthetechnical,commercialandlegalevaluation.Atthesametime,PartyAwillalsoarrangeforPartyBandPartyCtocarryoutsiteandundergroundminevisit（s）ofthecorrespondingareasasappropriateand,ifpossible,carryoutanalysisofphysicalcoalsamplesandavailabledrillcoresavailablefrompreviousdrillcoreprogramsundertakeninrespectofthecorrespondingareas.

PartyAshallendeavortoarrangeappropriatestaffandpartyBandPartyC’stechnicalpersonneltoworktogether,inordertocompleteallthetechnical,commercialandlegalevaluation,andefficientlyhandlethemutualinterferenceissuesthatmaybeoccurintheevaluationandminingwork.

3.Thepartiesshallusetheirbestendeavorstoworkco-operativelyatalltimeswithin

thescopeofthecontentofthecooperationandshall,wherepossible,openlyshareinformationbetweenthemt

hatwillassistinaccomplishingtheobjectiveandpurposesofthisLOI.

4.ProductionSharingContract.Allpartiesshallusetheirbestendeavorstoconclude

andsignthePSCs.TherightsandobligationsofeachpartywillbedefinedinPSCs.ThePSCsshallbereportedtothevariouscompetentgovernmentauthoritiesafterbeingsigned,andshallsubjecttotheapprovaloftherelevantregulatoryauthoritiesandtheMinistryofcommerceofthePeople’sRepublicofChinaandothergovernmentauthorities.

5.JointVenture.ThreepartiesplantosetupajointventurecompanyoutsideofChina,

theproportionoftheJointVenturetentativelyis:

（1）HenanCBM38%,PartyB/PartyC62%,PartyBhastherighttobringinastrategicpartner,PartyB’sfinalshareratiomustbenotlessthan31%.

（2）TheJointVenturewillsignthePSCwithHenanCBM,theparticipatinginterestinDevelopmentperiodwillbeHenanCBM20%andtheJointVenture80%respectivelyConfidentiality

1.ThepartiesshallensurethatallDatareferredtoinClause2aboveanddataobtained

fromanysubsequentjointevaluationactivityrelatingtothecooperation,includinganyphysicalsamplinganalysisinformation:

（1）IsusedsolelyforthepurposesstatedinthisLOI;

（2）Isonlydisclosedtoitsemployees,officers,consultantsanddirectorsfor

achievingthecooperationpurposewhoshallexecuteconfidentialityagreement.

2.Nopartyshalldisclosetoanypersonorinstitutionwithoutpriorconsentofall

partiesanyinformation,includingbutnotlimitedtothecooperationpartnersandcontent,technology,operatingmethods,legaldocumentsandanyotherinformation.

3.Ifanypartybreachestheconfidentialityterms,thenon-defaultpartywillprosecute

againstthedefaultpartyforlegalliabilitiesandclaimforcompensationforitslosses.

C.Miscellaneous

1.GoverningLaw.ThislOIshallbegovernedby,andconstruedaccordingto,theLaws

ofChina.

2.Termination.ThisLOIshallterminate:

（1）AftersixmonthsofexecutiondateofthisLOI;

（2）signthePSC

Theconditionofitem

（1）andItem

（2）thatoccursthelatershallprevail.Theconfidentialitytermsinclause3shallsurvivetheterminationofthisLOI.

3.WhereasPartyAisaState-ownedenterpriseunderthesupervisionofHenan

provinceofthePeople’sRepublicofChina,accordingtotherelevantlawsandregulations,rulesandpolicies,ifthemattersofthecooperationandcontentthereofneedtobeapprovedorrecored,theyshallbesubjecttotheapprovaloftheadministrativeauthorities.PartyBandPartyCfullyunderstandthisandhavenoobjection.

4.ThisagreementisexecutedinChineseandEnglish.Ifthereisanyinconsistency,the

Chineseversionshallprevail.

ThisletterofIntentisexecutedinthemeetingroomatthe3thfloorofHenanCBMDevelopmentandUtilizationCo.,LtdofthePeople’sRepublicofChinaonMay29,2013.

羊毛衫加工分厂项目合作协议书

LetterofAgreement

（FortheCooperationOnKnittedSweaterWorkshop）

甲方PartyA：

乙方PartyB：

双方就羊毛衫加工车间项目的合作事宜,经过初步协商，达成如下合作意向：

Throughapreliminarydiscussiononthecooperationofknittedsweaterworkshop,bothpartieshavereachedtheintentsasfollowing：

一、同意就羊毛衫加工车间项目开展合作开发。

1.Agreementonthecooperativedevelopmenton该项目的基本情况是:

额的51%，乙方以生产加工设备为出资形式，占出资总额的49%。

Bothpartieswillinvest_***$ontheproject.PartyAwillprovidefundandworkshopfacilitiesasinvestment,accountingfor51%share.PartyBwillprovidetheprocessingequipment,accountingfor49%share.

二、甲乙双方各自负责

甲方应做好以下工作ResonsibilitiesForPartyA：

1、以租赁形式提供生产、办公场地2000平米（包括仓储），租金低于市场价，租金列入合作成本；

1）Rentouttheproductionandofficialfield2000m2（includingwarehouse）tothecooperativeworkshop.Therentalshouldbelowerthanthemarketpriceandshouldbelistedasaproductioncostofworkshop.

2、负责流动资金的融资，其利息列入合作成本；

2）Providecashflowwhichislistedastheproductioncostofworkshop.

3、负责设备进口的相关税费；

3）Relativeimportationtaxfortransportationoftheequipment.

4、负责中国境内的运输、安装费用，此费用列入合作分厂成本

乙方应做好以下工作ResponsibilitiesForPartyB：

1.负责产品开发、销售；

2.负责生产技术指导。

三、其他Others：

1.甲方负责加工生产，协助乙方销售；

1）PartyAisresponsiblefortheproductionandassistPartyBformarketingandsales.

2.乙方负责提供整套羊毛衫生产加工设备（包括从出发港口到目的港口的运输费用，和其他杂费）；2）PartyBisresponsibleforthecompletesetofproductionequipment（CIFtothedestinationport）

3.项目总负责人由甲方委派，助理负责人由乙方委派；

3）ChiefresponsiblepersonisappointedbyPartyA,andassistantshouldbeappointedbyPartyB.

4.此项目财务独立核算，专款专用。

经营过程中所产生的风险或利润分配按双方所占股份比例共同承担或享有

五、本协议书一式两份，自签字之日起生效，甲乙双方各执一份。
