ThisContractualagreementismadeontheXXthdayofXXXX2010between（hereinaftercalledtheSeller）and（hereinaftercalledtheBuyer）.
此買賣合同由（以下稱賣方）和（以下稱買方）于2010年11月13日簽訂。
WhereastheSellerisinapositiontosupplytheSteamingCoalofIndonesiatotheBuyerwiththefollowingtermsandconditionsherebyagreedbyandbetweenbothparties:
雙方同意按以下合同條款由賣方出售印尼動力煤予買方：
1.ProductandOrigin貨物名稱及產地
1.1Steamcoal,originisIndonesia.
動力煤，產地為印尼。
1.2Packing包裝
InBulk
海運散裝
1.3Loadport裝運港
MainPort/AnchorageofKalimantan,IndonesiaatSeller’soption.
印尼/加里曼丹主要口岸/錨地裝貨。
1.4Destinationport目的港
XXXPort,ShandongProvinceChina
XXX省XXX港
2．ProductQualityandSpecifications產品品質及規格
2.1TheSellerguaranteesthattheProducttobesuppliedwillconformtotheSpecificationsasstatedinClause2.2.TheProductshallbedeliveredandanalyzedaccordingtoISOStandardsandshallconfirmthespecificationsbeforeloading.Thedescriptionofallpercentagesisreferredtothepercentageweight.
賣方保證依照本合同所供應的產品按照ISO標準進行分析後，在裝船前都已符合以下規格。
所有的百分比乃指所提及的重量百分比。
2.2Thereshallbenostone,cokeandothernon-coalingredientsintheProduct.Otherwise,theBuyerhasthefullrighttorefusereceivingtheproductandallthelossesshallbeintheaccountoftheSeller.
煤炭內不得含有煤矸石、焦炭和非煤炭成份的雜質，否則買方拒收貨，所造成的一切損失由賣方自負。

3.RejectionfortheQuality拒絕收貨的品質參數
3.1ForNetCalorificValue（NCV）對於低位發熱量（收到基）
ThisUnitPriceoftheproductisbasedonContractualspecificationNetCalorificValue5500Kcal/kg（NCV）.IftheActualNetCalorificValueinspectedbytheindependentinspectionorganizationfallsbelow5500Kcal/kg,thepricepertonwillbeadditionallynegotiatedbybothpartiestoascertain,ifnoconsentcanbereached,Iftheactualnetcalorificvalueislowerthan5200Kcal/kg（ARB）,theRightofRejectionisgrantedtotheBuyerorre-negotiatetheprice.
本單價是建立在合同低位發熱量5500大卡（收到基）的基礎上。
若商檢報告顯示低位元發熱量（收到基）<5500大卡,價格可另行協商確定，如證實低位熱量低於5200大卡（收到基），買方有權拒收或再協商價格。
IftheActualNetCalorificValueexceeds5500Kcal/kg（ARB）,theUnitPriceshallbeaddedbyUSD1.00/MTforevery100Kcal/kgdifferenceonaproratabasisasbonusprice.
如果證實低位發熱量超過5500大卡（收到基），每100大卡增加1.00美元/噸作為獎勵。
Iftheactualnetcalorificvalueislowerthan5500Kcal/kg（ARB）,theunitpriceshallbedeductedbyUSD1.00/MTforevery100Kcal/kg.
如證實低位發熱量低於5500大卡（收到基），則每100大卡須扣減貨價每1.00美元。
Iftheactualnetcalorificvalueislowerthan5200Kcal/kg（ARB）,theunitpriceshallbedeductedbyUSD4.00/MTforevery100Kcal/kg.
如證實低位發熱量低於5200大卡（收到基），則每100大卡須扣減貨價每4.00美元。
3.2ForTotalMoisture（ARB）對於全水份（收到基）
IntheeventtheTotalMoistureexceeds16%,thenweightshownonInvoicewillbeformulatedasfollows:
如全水超過16%,發票金額按以下公式計算:
WeightshownonInvoice=BLWeight×[（100–ActualTM（ARB））]/（100-16）
發票結算重量=提單重量×（100–實際全水）/（100-16）
ThecargowillberefusedifTotalMoisture（ARB）exceeds18%.
拒收標準:
全水收到基高於18%。
3.3ForTotalSulfur（ADB）對於全硫份（空乾基）
TherightofRejectionisgrantedtotheBuyerifsulfurcontentintheproductinspectedbytheindependentinspectionorganizationisgreaterthan1.0%.
若顯示的全硫份（空乾基）>1.0%則買方有權拒收。
3.4ForAshcontent（ADB）對於灰份（空乾基）
TherightofRejectionisgrantedtotheBuyeriftheashcontentintheProductinspectedbytheindependentinspectionorganizationisinexcessof16%byweight.
若灰份（空乾基）>16%,則買方有權拒收。
4.ProductQuantity&Price貨物數量及價格
4.1Quantity:
ThefirstmonthtrialShipments50,000MT±10%andafterqualitysatisfyingClause2.2andalsoapprovedbyBuyer,inbeginofSecondmonthdeliveryquantityforpermonthwillbaseonShipmentSchedule（AsperAppendix1）,ThemonthlyshipmentwillbeshippedasperContractualshipmentscheduleandtheamounttoexecute,andeachshipmentshallarriveatdestinationportwithin30daysafterreceivingtheBuyer’sacceptanceviaSWIFTMT799（AsperAppendix3）,confirmingthepre-shipmentdocuments.Thepriceshallbeadjustedeverythreemonthbasetothemarketpricemutuallyagreedbybothparties.
數量：
第一個月試單50,000噸±10%品質符合條款2.2標準且買方認可後,在第二個月份開始交貨，每月貨量將立足於附表（附錄1）。
每月裝船將根據合同上的運送時間表和數量被運送執行，買方驗收確認通過SWIFTMT799（附錄3）的裝運前的文件30天之內收到。
單價按市場價格每3個月雙方談判調整一次。
4.2Shipload:
50,000Mtspershipload±10%atBuyer’soption.
船載量:
50,000公噸/船載量由買方根據實際裝運船舶情況允許±10%短溢裝。

ThetotalamountoftheContractis1,150,000MT–USD109,250,000.00.
合同涉及的貨物總值為1,150,000公噸=$109,250,000.00美元
5.Shipment裝船
5.1Period:
裝船期
FirstshipmentwillbeshippedoutonNovember,2010,subjecttothereceiptofBuyer’sacceptanceviaSWIFTMT799（AsperAppendix3）confirmingthepre-shipmentdocumentsbeforeshipment,followingshipmentaspermonthlyscheduleandsubjecttoreceiptoftheBuyer’sacceptanceviaSWIFTMT799（AsperAppendix3）confirmingthepre-shipmentdocumentsbeforeeachmonthshipment.
第一船在2010年12月裝運，在收到買方驗收確認通過SWIFTMT799（附錄3）的裝運前的文件後.船期會按每月裝船計畫執行，惟每月船會在收到買方驗收確認通過SWIFTMT799（附錄3）的裝運前的文件後30天內裝運。
6.PaymentTerms付款條款
6.1PERFORMANCEBONDANDLETTEROFCREDIT保函及信用證
TheBuyershallissueanIrrevocable60dayAfterSightDocumentaryLetterofCredit（AsperAppendix2）foreachmonthshipmenttobeissuedfromaprimebankinfavoroftheSellercoveringtherelevantshipmentvaluewithatoleranceof±10%inquantity.UponacceptanceviaSWIFTMT799（AsperAppendix3）againstthepre-shipmentdocumentspresented,2%PerformanceBond（PB）willbeissuedbytheSellertotheBuyer'sbankwithin3bankdays.
買方開出具不可撤銷的跟單見票遠期60天信用證（附錄2）的每月貨物貨款，由一個主要銀行開出。
有關貨物的價值與公差為±10％的數量。
當驗收通過SWIFTMT799（附錄3）對裝運前提交的文件後在3天內2％的履約保證金（PB）會由賣方銀行開出到買方的銀行。
Whenthefirsttrialshipmentiscompletedinsatisfactorymanner,theBuyershallissuea60daysaftersightDLCaspershippingscheduleuntilthecompletionofthisContract.
當第一船試單是令人滿意的方式完成，買方將按船期開出60天的遠期信用證，直至完成本合同.
6.1.1TermsofPayment:
付款條款
a）Everyshipmentof95%（totalshipment）valueispayable60daysaftersightagainstthefollowingdocuments.
每次運輸的百份之95％的總出貨值在見票後60天以以下的附議檔支付。
i）SignedPro-FormaInvoiceinThree（3）originalsandTwo
（2）copies.
簽名備考發票三份正本和兩份副本。
ii）CertificateofAnalysisreportbyCCICsingapoatthepointofstockpileinOne

由新加坡CCIC驗證的堆場品質分析報告一份正本和兩份副本。
iii）Beneficiary’sLetterofIndemnity,IndemnifyingtheBuyerthattheSellerwilldeliverthegoodingoodorderasperagreeddeliveryscheduleinThree（3）originalsandtwo
（2）copies.
受益人的保證信,賣方將提供按商定的裝卸物時間表秩序三份正本
和兩份副本。
b）Everyshipmentbalanceof5%±10%oftotalshipmentvalueispayable30daysaftersightagainstthefollowingdocumentsstateinArticle6.1.2
每一船的最終餘款5％±10％的總出貨值在見票後30天以以下6.1.2條款的附議檔支付。
6.1.2Documentsforbalanceof5%againsttheLetterofCredit:
最終餘款5％的附議檔。

由新加坡CCIC在裝貨港的水位重量報告一份正本和兩份副本。
e）Certificateoforigin:

原產地證書：
一份原件和三份副本。
g）InsuranceCertificatecoveringallriskfor110%InvoiceValueinfavouroftheBuyer:

保險憑證投保一切險發票價值的110％贊成買方：
一份原件和一份副本。
6.3AllbankchargesoftheissuingbankarefortheaccountofBuyer.AllbankchargesoutsidetheissuingbankincludingreimbursementchargesarefortheaccountoftheSeller.
所有銀行費用，在開證行以內由買方負責，開證行以外由賣方支付。
TheL/Cshouldbevalidfor90daysfromthedateofcreditissuing.
信用證:
從開證之日起60天內有效。
TheL/Cshallincorporatethefollowing:
a）CharterpartyB/L&ThirdPartyDocumentsacceptable.
可接受租船方出具的提單和協力廠商單據。
b）PartialShipmentallowed.允許分船裝運。
c）Transshipmentnotallowed.不允許轉船。
d）Availablewithanybankbynegotiation.允許任何銀行議討。
e）T/Treimburse.允許TT補償付款。
7.Procedures
a）SellerissueaDraftS&PContractopenforBuyertoreviewandamend.
賣方發出合同草案公開供買方審查和修改。
b）BuyerreturnsamendedContractfullyendorsedandsealedelectronically.
