Afterthreeday’sdiscussionwithyourrepresentativesaboutprocessingandassemblingColorTVSets,wehavethepleasureofsummarizingtheessentialpointsagreeduponasfollows:

敬启者:

在与你方代表就加工装配彩色电视机进行了三天的讨论之后,我们想把双方达成一致的

要点概括如下:

1.Wehaveagreedtoprocessandassemble...ColorTVsetswithintwoyears.

我方同意在两年内加工装配彩色电视机⋯⋯台。

2.Youhaveagreedtoprovideuswithmaterials,components,necessaryequipmentandtools,aswellastherelevanttechnicaldataandblueprintsneededfordoingtheprocessingandassembling.

你方同意向我方提供材料、部件、必需的设备和工具以及加工装配需要的技术资料和蓝图。

3.Afterprocessingandassemblingthematerialsandcomponentsintofinishedproducts（ColorTVSets）,weshalldeliveronceamonth...setstoyouorotherfirmsdesignatedbyyou.Theshippingexpensesforthefinishedproductsshallbeforyouraccount.

把材料、部件加工装配成为彩电成品后,我方每月一次向你方或你方指定的其他商号交付彩电⋯⋯台。

运送成品的各种费用由你方负担。

4.Thesuppliedmaterialsandcomponentsshallbedeliveredtoourwarehouseatyourexpense.Ifanydefectisfoundinthematerialsandcomponentssuppliedbyyou,wewilladviseyouofitimmediately,andyouwillsendoverreplacementsintime.Theallowancefordamagetomaterialsandcomponentsinthecourseofprocessingandassemblingis2.5%.

你方应将所提供的材料和部件自费送到我方仓库。

如果发现来料来件有缺点,我方将立即通知你方及时调换。

在加工装配过程中,材料、部件的损坏率为2.5%。

5.TheprocessingandassemblingchargesforeachsetareHK＄...andthepaymentistobemadebysightL/Ctobeopenedbyyounotlaterthan30daysbeforeshipment.

加工装配费为每台⋯⋯港元。

在成品装船30天前由你方开出即期信用证付款。

6.Insuranceforthematerials,componentsandfinishedorsemi-finishedproductswhileinourwarehouseorfactorypremises,andforfinishedproductsduringtransitfromZhuhaitodestinationistobetakencareofbyusonyourbehalf.Theinsurancepremiumshallbeforyouraccount.

材料、部件、成品、半成品存放在我方仓库或厂房时,以及彩电由珠海运往目的港时,保险均由我方代办,但保险费则由你方负担。

7.Thefinishedproductsaretobepackedeachsetinacardboardboxand...cardboardboxestoawoodencasesuitableforexport.Thepackingchargesaretobebornebyus.

彩电每台均用纸板箱包装;每⋯⋯个纸板箱装入一个适合出口的木箱。

包装费由我方负担。

8.Iflossisincurredduetoyourfailuretoprovidethematerialsandcomponents,orourfailuretodeliverthefinishedproductsintimeascontracted,theresponsiblePartyshallcompensatetheotherPartyforthelosssustained.

如果由于你方未能按合同及时来料来件或我方未能按合同及时交货而造成损失时,应负责任的一方必须向另一方赔偿所受的损失。

9.Youshallsendoveratyourexpense4techniciansand2administrativestaffmemberstoourfactorytorendertechnicalassistanceduringprocessingandassembling,inspectthefinishedproductsandtakethemoverbeforedelivery.Ontakingovertheproducts,yourrepresentativesshallgiveusaRECEIPTcertifyingthatthefinishedproductshavebeeninspectedandfoundtobeuptothestandardrequiredbyContract.

你方应自费派遣四名技术员和两名行政人员到我方工厂为加工装配提供技术援助,并在交接货物之前验收成品。

你方代表在接收成品时应开具收条,证明成品经检验达到合同要求的标准。

10.Afterexpirationofthecontractedperiodoftwoyears,thesuppliedequipmentandtoolswillbecomeourpropertyfreeofcharge.

Ifyouconfirmthattheabovearetheessentialpointsonwhichyourrepresentativeshaveagreedwithus,kindlyletushaveyourtele-replysothatwecangettheContractreadyforsignaturewhenyoucometoZhuhainextweek.

在两年的合同期满后,所提供的设备和工具将免费成为我方所有。

如果你方确认你方代表已与我方达成了上述要点,请即电复,以便我们准备好合同,在您下周来珠海时签字。

ABCElectronicIndustriesLtd.（hereinaftercalledPartyA）12/15,Nishi1-chome,Tokyo,JapanandGuangzhouElectronicIndustriesLtd.（hereinaftercalledPartyB）5,BeijingRoad,Guangzhou,ChinahavemutuallyagreedthatPartyAentrustsPartyBwiththemanufacturingoftransistorradiosinGuangzhouwithallnecessarypartsandcomponentssuppliedbyPartyAunderthetermsandconditionsspecifiedasfollows:

ABC电子工业有限公司（以下简称甲方）日本东京西一町目12/15号,与广州电子工业有限公司（以下简称乙方）中国广州北京路5号,已经相互同意,由甲方委托乙方在广州制造晶体管收音机,一切必需的零件和部件均由甲方供给,其条款如下:

1.CommodityandQuantitiesforAssembling:

装配的商品及数量:

Transistorradios商品:

晶体管收音机;

（2）Quantity:

500,000setsintotal数量:

共计50万部。

2.PartsandcomponentseithertobesuppliedbyPartyAortobepurchasedinGuangzhoubyPartyBareasperthelistattached.

一切需用的零件与部件由甲方供给,或由乙方在广州购买,详见附表。

3.Theassemblingchargeforeachmodelisasfollows:

每种型号的装配费如下:

（1）6-transistorsetatUS＄0.50each6管收音机每部美金伍角

（2）8-transistorsetatUS＄0.60each8管收音机每部美金六角

（3）9-transistorsetatUS＄0.65each9管收音机每部美金六角伍分

（4）10-transistorsetatUS＄0.70each10管收音机每部美金七角

（5）11-transistorsetatUS＄0.75each11管收音机每部美金七角伍分

（6）12-transistorsetatUS＄0.80each12管收音机每部美金八角

（7）14-transistorsetatUS＄0.90each14管收音机每部美金九角

4.

（1）Themainparts,consumptionarticlesandcomponentsrequiredforassemblingwillbesentintimetoGuangzhoubyPartyAandifthereisanyshortageof,ordamagetothesepartsandcomponents,PartyAshallberesponsibleforsupplyingreplacements.

装配所需的主要零件、消耗品及部件由甲方及时运至广州。

如有零部件短少或破损,甲方应负责补充替换。

（2）PartyAshallpayPartyBbyopeninganirrevocableL/Ccoveringthefullamountofassemblingchargesandcostsofparts,componentsandconsumptionarticlespurchasedinGuangzhoubyPartyB,onemonthbeforetheshipmentofthefinishedproductsconcerned.

甲方应于成品交运一个月前开出不可撤销的信用证以支付全部装配费和乙方在广州购买零件、部件和消耗品的费用。

（3）PartyBshallcompletethemanufacturingofalltransistorradiosandeffectshipmentwithinthetimemutuallyagreedunlesssomeunforeseencircumstancesbeyondcontrolhaveoccurred.

除不能预见的无法控制的情况外,乙方必须在双方约定的时期内完成晶体管收音机的制造和交货任务。

5.TheDamageRateofPartsandComponents:

零部件的损坏率:

Thedamagerateofpartsandcomponentsinassemblingis3%,andsucharateoflossofpartsandcomponentsshallbesuppliedfreebyPartyA.Incasethedamagerateexceeds3%,PartyBshallprovideatitsownexpensefortheexcessivedamagetopartsandcomponentsneededforassembling.

装配时的零部件损坏率定为3%。

这部分零部件应由甲方免费供给。

如损坏率超过3%,则其超过部分应由乙方自费补足。

6.PartsandcomponentssuppliedbyPartyAfortransistorradiosshallbeassembledbyPartyBstrictlyaccordingtothedesignspecifiedbyPartyAwithoutmakinganyalteration.

乙方将甲方供给的零部件装配成为晶体管收音机,应严格按照甲方的设计,不得变动。

7.TechnicalService:

技术服务:

PartyAagreestodispatchtechnicianstoGuangzhoutohelptrainingtechniciansofPartyBattherequestofthelatteratanytimeandallowsthesaidtechnicianstoremainwithPartyBforinspectionoffinishedproducts.Insuchacase,PartyBagreestopaymonthlysalaryRMB￥500foreachperson.Allotherexpenses（includingroundtriptickets）shallbebornebyPartyA.

甲方同意在乙方提出请求时随时派遣技术人员到广州,协助训练乙方技术人员,并允许他们留在乙方检验成品。

若出现这种情况,乙方同意付给每人月薪人民币500元。

其他一切费用（包括来回旅费）均由甲方负担。

8.AllimportandexportproceduresinconnectionwiththisContractshallbetakencareofbyPartyB.

一切与本合同有关的进出口手续,均由乙方办理。

9.AlltransistorradiosassembledbyPartyBwillbeshippedtoforeignbuyersdesignatedbyPartyA.TherelevantfreightandinsurancepremiumshallbebornebyPartyA.

乙方将所装配的晶体管收音机运交甲方指定的外国买主。

有关运费保险费由甲方负担。

10.OtherTermsandConditions:

其他条款:

（1）ThetrademarksoftransistorradioswillbesuppliedbyPartyAandshouldtherebeanyillegalinvolvement,PartyAistobeheldfullyresponsible.

晶体管收音机的商标由甲方供给,如有法律纠纷,甲方应负完全责任;

（2）AllpartsandcomponentspurchasedbyPartyBinGuangzhou,ifnecessaryforassemblingtransistorradios,mustmeasureuptothequalitystandardsof,andbeapprovedbyPartyAbeforehand.

如因装配晶体管收音机的需要,由乙方在广州购买的零部件必须达到品质标准,并应事先经过甲方核准;

（3）Forpromotingexportbusiness,PartyBmustgetreadysamplesoftransistorradiosandsendthematanytimebyairtoforeignbuyersdesignatedbyPartyA.AllpartsandcomponentsrequiredandairfreightpaidforthispurposeshallbesuppliedandbornebyPartyA.

为了推广出口贸易,乙方应准备各种晶体管收音机样品,随时航空寄送甲方指定的外国买主。

所需的零部件由甲方供应,空运费也由甲方负担。

11.ThisContractshallbemadeintriplicateandPartyAandPartyBshall,aftersigningallcopies,retainonecopyrespectivelyandsubmittheotheronetotheGovernmentauthoritiesconcernedinGuangzhouforregistration.

本合同写成一式三份,经甲乙双方签字后各留一份,另一份呈送广州有关政府机关登记。

第六课

AgreementonCompensationTrade补偿贸易协议

TheundersignedrepresentativesofPartyAandPartyBhaveagreedtoconcludethisAgreementaccordingtothetermsandconditionsstipulatedbelow:

在下面签名的甲乙双方代表同意订立本协议,其条款如下:

1.Commodity:

（1）PartyAundertakestosupplyinoneshipmentacompletesetofEquipmentforasparagusprocessingline,thedetailsofwhichareshownintheattachedListA.

甲方保证整批供应芦笋加工全套设备,细节详见附表一。

（2）PartyBundertakestocompensatePartyAforthecontractamountbyexportingintwolots3,000cartonsCannedAsparagus.SpecificationsaredetailedintheattachedListB.

乙方保证出口两批共3000纸箱芦笋罐头以向甲方补偿设备合同金额。

规格详见附表二。

加工设备每套的成本加运费到青岛价格为2220万日元,包括:

芦笋罐头每纸箱青岛离岸价7400日元。

加工设备在20年底;

（2）DuringJuly/August,20（forCannedAsparagus）

芦笋罐头在20年七、八月份。

4.PortofShipment:

装货港:

（1）Yokohama,Japan（forEquipment）加工设备在日本横滨;

（2）Qingdao,China（forCannedAsparagus）芦笋罐头在中国青岛。

5.PortofDestination:

目的港:

（1）Qingdao,China（forEquipment）加工设备到中国青岛;

（2）Yokohama,Japan（forCannedAsparagus）芦笋罐头到日本横滨。
