1.PARTIES.ThisSublease,dated_________,_________,_________(M,D,Y),ismadebetweenAAACorporation,a_________(PLACENAME)Corporation(Sublessor),andBBB,Inc.,a_________(PLACENAME)Corporation(Sublessee).2.MASTERLEASE.Sublessoristhelesseeunderawrittenlease(OriginalLeasedated_________,_________,_________(M,D,Y),whereinCCCCompany,A_________(PLACENAME)Corporation(Landlord,buthereinafterreferredtoasLessor)leasedtoSublessortherealpropertylocatedin_________(ADDRESS),describedasapproximately_________sq.ft.ofasingle-storyRDbuilding(theBuilding)locatedat_________(ADDRESS)(OriginalMasterPremises).LessorandSublessorntendtoenterintothatcertainFirstAmendmenttoLease,toexpandtheOriginalMasterPremisesbyleasingadditionalspaceconsistingofapproximately_________rentablesquarefeet,locatedat_________(ADDRESS)(ExpansionSpace).TheOriginalMasterPremisesandExpansionSpacearehereinaftercollectivelyreferredtoastheMasterPremises.TheOriginalLeaseandformofFirstAmendmenttoLeaseareattachedheretoasExhibitAandExhibitB,respectively,andarehereincollectivelyreferredtoastheMasterLease.3.PREMISES.SubjecttoParagraph18herein,SublessorherebysubleasestoSublesseeonthetermsandconditionssetforthinthisSubleasethefollowingportionoftheMasterPremises(Premises):

approximately_________sq.ft.locatedin_________(ADDRESS)withanaddressof_________(ADDRESS)(seeattachedExhibitOne).4.WARRANTYBYSUBLESSOR.SublessorwarrantsandrepresentstoSublesseethattheMasterLeasehasnotbeenamendedormodifiedexceptasexpresslysetforthherein,thatSublessorisnotnow,andasofthecommencementoftheTermhereofwillnotbe,indefaultorbreachofanyoftheprovisionsoftheMasterLease,andthatSublessorhasnoknowledgeofanyclaimbyLessorthatSublessorisindefaultorbreachofanyoftheprovisionsoftheMasterLease.5.TERM.TheTermofthisSubleaseshallcommenceon_________,_________,_________(M,D,Y)(CommencementDate),orwhenLessorconsentstothisSublease(ifsuchconsentisrequiredundertheMasterLease),whichevershalllastoccur,andendon_________,_________,_________(M,D,Y)(TerminationDate),unlessotherwisesoonerterminatedinaccordancewiththeprovisionsofthisSublease.IntheeventtheTermcommencesonadateotherthantheCommencementDate,SublessorandSublesseeshallexecuteamemorandumsettingforththeactualdateofcommencementoftheTerm.PossessionofthePremises(Possession)shallbedeliveredtoSublesseeonthecommencementoftheTerm.IfforanyreasonSublessordoesnotdeliverPossessiontoSublesseeonthecommencementoftheTerm,Sublessorshallnotbesubjecttoanyliabilityforsuchfailure,theTerminationDateshallnotbeextendedbythedelay,andthevalidityofthisSubleaseshallnotbeimpaired,butrentshallabateuntildeliveryofPossession.Notwithstandingtheforegoing,ifSublessorhasnotdeliveredPossessiontoSublesseewithin_________(_________)daysaftertheCommencementDate,thenatanytimethereafterandbeforedeliveryofPossession,SublesseemaygivewrittennoticetoSublessorofSublessee’sintentiontocancelthisSublease.Saidnoticeshallsetforthaneffectivedateforsuchcancellationwhichshallbeatleast_________(_________)daysafterdeliveryofsaidnoticetoSublessor.IfSublessorfailstodeliverPossessiontoSublesseeonorbeforesucheffectivedate,thisSubleaseshallbecancelled,inwhichcaseallconsiderationpreviouslypaidbySublesseetoSublessoronaccountofthisSubleaseshallbereturnedtoSublessee,thisSubleaseshallthereafterbeofnofurtherforceoreffect,andSublessorshallhavenofurtherliabilitytoSublesseeonaccountofsuchdelayorcancellation.IfSublessorpermitsSublesseetotakePossessionpriortothecommencementoftheTerm,suchearlyPossessionshallnotadvancetheTerminationDateandshallbesubjecttotheprovisionsofthisSublease,includingwithoutlimitationthepaymentofrent.6.RENT.6.1MinimumRent.SublesseeshallpaytoSublessorasminimumrent,withoutdeduction,setoff,notice,ordemand,at_________(ADDRESS),attention:

AAACorporationoratsuchotherplaceasSublessorshalldesignatefromtimetotimebynoticetoSublessee,thesumof_________Dollars($_________)permonth,inadvanceonthefirstdayofeachmonthoftheTerm.SublesseeshallpaytoSublessoruponexecutionofthisSubleasethesumof_________Dollars($_________)asrentfor_________,_________,_________(M,D,Y)through_________,_________,_________(M,D,Y).IftheTermbeginsorendsonadayotherthanthefirstorlastdayofamonth,therentforthepartialmonthsshallbeproratedonaperdiembasis.6.2AdditionalRent:

Section4(b)oftheMasterLeaserequiresSublessortopaytoLessoralltheexpensesofowningandoperatingtheMasterPremisesofwhichthePremisesareapartasAdditionalRent,includingbutnotlimitedtotaxes,utilities,insurance,commonareaexpenses,parkingcharges,maintenanceandrepaircosts,andlifeandsafetycosts.SublessorandSublesseeagreethatthisSubleaseisintendedtopassthroughtoSublesseeallfinancialobligationsimposedonSublessorforthePremisespursuanttothetermsoftheMasterLease,exceptforSublessor’sobligationtopayBaseRent.SublesseeshallpaytoSublessorasadditionalrentTwentypercent(_________%)oftheamountspayablebySublessorforAdditionalRentincurredduringtheTerm.SuchadditionalrentshallbepayableasandwhenAdditionalRentispayablebySublessortoLessor.IftheMasterLeaseprovidesforthepaymentbySublessorofAdditionalRentonthebasisofanestimatethereof,thenasandwhenadjustmentsbetweenestimatedandactualcostaremadeundertheMasterLease,theobligationsofSublessorandSublesseehereundershallbeadjustedinalikemanner;andifanysuchadjustmentshalloccuraftertheexpirationorearlierterminationoftheTerm,thentheobligationsofSublessorandSublesseeunderthisSubsection6.2shallsurvivesuchexpirationortermination.Sublessorshall,uponrequestbySublessee,furnishSublesseewithcopiesofallstatementssubmittedbyLessorofactualorestimatedcostsduringtheTerm.7.SECURITYDEPOSIT.SublesseeshalldepositwithSublessoruponexecutionofthisSubleasethesumTwenty-sixThousandFiveHundredand_________/_________Dollars($,_________)assecurityforSublessee’sfaithfulperformanceofSublessee’sobligationshereunder(SecurityDeposit).IfSublesseefailstopayrentorotherchargeswhendueunderthisSublease,orfailstoperformanyofitsotherobligationshereunder,SublessormayuseorapplyalloranyportionoftheSecurityDepositforthepaymentofanyrentorotheramountthenduehereunderandunpaid,forthepaymentofanyothersumforwhichSublessormaybecomeobligatedbyreasonofSublessee’sdefaultorbreach,orforanylossordamagesustainedbySublessorasaresultofSublessee’sdefaultorbreach.IfSublessorsousesanyportionoftheSecurityDeposit,Sublesseeshall,within_________(_________)daysafterwrittendemandbySublessor,restoretheSecurityDeposittothefullamountoriginallydeposited,andSublessee’sfailuretodososhallconstituteadefaultunderthisSublease.SublessorshallnotberequiredtokeeptheSecurityDepositseparatefromitsgeneralaccounts,andshallhavenoobligationorliabilityforpaymentofinterestontheSecurityDeposit.IntheeventSublessorassignsitsinterestinthisSublease,SublessorshalldelivertoitsassigneesomuchoftheSecurityDepositasisthenheldbySublessor.Within_________(_________)daysaftertheTermhasexpired,orSublesseehasvacatedthePremises,oranyfinaladjustmentpursuanttoSubsection6.2hereofhasbeenmade,whichevershalllastoccur,andprovidedSublesseeisnotthenindefaultofanyofitsobligationshereunder,theSecurityDeposit,orsomuchthereofashadnottheretoforebeenappliedbySublessor,shallbereturnedtoSublesseeortothelastassignee,ifany,ofSublessee’sinteresthereunder.IfSublessorfilesforprotectionasadebtorunderanystateorfederallaw,includingbankruptcylaws,thenSublesseeshallhavetherighttooffsettheamountoftheSecurityDepositagainstrentlastdueunderthisSublease.8.CONDITIONOFPREMISES.Sublessorshall,atSublessor’ssolecostandexpense,replaceacarpetstripinaconferenceroom,hangdoorsinconferenceroomsandpaintwalls,butonlyifsuchworkisnecessary,andreasonablydemisethePremisesassoonasreasonablypossible,butbothpartiesacknowledgeandagreethatsuchdemisemaynotbecompletepriortotheCommencementDate.Subjecttotheimmediatelyprecedingsentence,SublesseeshallacceptthePremisesintheirASISconditionontheCommencementDate,andSublessorandLessorshallhavenoobligationtopayforanyimprovementstothePremises.OnexpirationorsoonerterminationofthetermofthisSublease,SublesseeshallfullyremoveallofitspersonalpropertyandshallfullyvacatethePremises.Inaddition,SublesseeshallotherwisecomplywithallresponsibilitiesofthelesseeundertheMasterLeaseregardingsurrenderofthePremises,includingtheremovalofanyalterationsmadebySublesseeinaccordancewiththetermsoftheMasterLease.ByacceptingpossessionofthePremises,SublesseeacknowledgesthattheconditionofthePremisesisacceptableinallrespects.9.USEOFPREMISES.ThePremisesshallbeusedandoccupiedonlyforGeneraloffice,engineering,researchanddevelopmentandlightmanufacturing,andfornootheruseorpurpose.1
