AND

ThepartieswhoseparticularsaredescribedinPartTwooftheSchedulehereof（hereinafterreferredtoas“SECONDPARTY”）oftheotherpart,

RECITALS

A.WhereasFIRSTPARTYhasbeenappointedastheProjectManagementConsultantbytheApprovedPermitHolderasdescribedinSchedulehereoftosupplymarinesandtoSingaporeviaanApprovedPermit（hereinafterreferredtoasthe“SaidApprovedPermit”）bygrantingexclusiverightstoexportandsupplymarinesandtoXXXprojectsinSingapore（hereinafterreferredtoas“theContract”）.

B.WhereasFIRSTPARTYhasalsobeengiventheapprovalandpermittoextractandsupplysandofmarineorigin（hereinaftercalled"thesand"）andFirstPartyhasbeengivenfullpowerandauthorityandlicensetoutilizetheexportpermit（hereinafterreferredtoas“TheSaidApproval”）.

C.WhereasFIRSTPARTYhassecuredtherightstosupplysandtoXXXProjectsinSingaporeandalsotootheraffiliatedPurchasers（hereinafterreferredtoas“theContract”）.

D.WhereastheFIRSTPARTYhasappointedSECONDPARTYastheContractor/TransportertosupplymarinesandtoSingapore.FIRSTPARTYshallhavetheabsoluterightstodeterminetheportloadingdischargeandshippingschedulesasprescribebyXXX

E.WhereasFIRSTPARTYhasagreedtoawardtoSECONDPARTYandSECONDPARTYhasagreedtoprovideforthelogisticalsupportsuchasvessel,tug&bargeand/ordredgerfromadesignatedlocation（“LoadingLocation”）andtransportingthesandtodesignateddepositoryarea（s）eitherinPulauTekongandTuas,SingaporeandotherslocationinSingapore（“DischargeLocation”）tosupplymarinesandforFIRSTPARTYatacontractvaluedescribedinPartFouroftheSchedulehereoffromthedateofthecommencementofthecontractwithrollsandextensionsubjecttothetermsandconditionshereincontained.

F.SECONDPARTYhasrepresentedandwarrantedtoFIRSTPARTYthatithasthefinancialcapacitytoperformthecontractandtodoallotherworksthatmaybenecessaryandrelevantsubjectalwaystothetermsandconditionshereinaftercontained

NOWITISHEREBYAGREEDASFOLLOWS:

1.1CONDITONSPRECEDENT

ThepartiesherebyexpresslyagreethatthisAgreementisconditionaluponfulfilmentofthefollowingconditionsfailingwhichthisAgreementshall,unlessmutuallyagreedinwritingtobeextendedforsuchperiod（s）oftimeasthepartiesmaythinkfit,automaticallyterminateandbenoeffectwhatsoeverandthepartiesheretoshallhavenoclaimwhatsoeveragainstanyoftheotherpartiesheretoforanylossesdamagescostschargesorexpensessufferedorincurredbythem.Theconditionprecedentsare:

-

a.AllgovernmentalapprovalsandotherapprovalstoenableSECONDPARTYtomobiliseitsoperationtosupplyanddelivermarinesandtoXXXsitehavebeendulyobtainedinwritingunlessotherwiseagreedbytheparties;and

b.FinalisationandconclusionofFIRSTPARTYcontractwithSingaporeGovernment/representativeunlessotherwiseagreedbytheparties.

1.2DEFINITIONSANDINTERPRETATIONS

1.2.1Definition

InthisAgreementthefollowingwordsandexpressionsshallhavethemeaningsherebyassignedtothemexceptwherethecontextotherwiserequires:

“Business”meansthebusinessofsupplying（transportanddelivery）ofmarinesandtoXXXsitesinSingapore;

“ContractPeriod”meansaperiodasdescribedinPartFiveoftheSchedulehereofofwithrollsandextension;

“Concessionsite”meansthemininglocationandcoordinatesasdesignatedandshowninAppendixA;

“DeliverySite”meansthedeliveryforthemarinesandasinstructedbySECONDPARTY.ThedeliverysiteisasdesignatedandshowninAppendixA;

“Equipment”meanstheallequipment,machineries,hardware,vessel,barge,dredgersandallotherthingsnecessaryorexpedienttocarryouttheContract;

“Government”meanstheGovernmentofMalaysiaandGovernmentofSingaporerespectivelyandasmaybeappropriate;

“MarineSand’meansthemarinesandandaggregateextractedfromtheConcessionsite;

“ProjectManagementConsultant’meanstheConsultantappointedbytheFIRSTPARTYtomanagethecontractswithXXX;

“RulesandRegulations’meanstherulessetoutbyMalaysianAuthoritiesandSingapore/MarinePortAuthority..

“StandardOperatingProcedure’meanstheprocedurepreparedbytheSecondPartyasdesignatedandshowninAppendixB

“Works”meansallworksrelatingtotheextraction,transportationanddeliveryoftheMarinesand’.

1.2.2Interpretation

a.TheRecitalsandAppendicesheretoandanydocumentsthereinreferredtoandanyamendmentstheretoshallbetaken,readandconstruedasanessentialandintegralpartofthisAgreement.;

b.ReferencetoRecitals,ClausesandAppendicesaretobeconstruedasreferencetoRecitals,ClausesandAppendicesofthisAgreementunlessotherwiseprovidedtherein.

c.Allreferencestoprovisionsofstatutesincludesuchprovisionsasamended,modifiedorre-enacted.

d.Wordsapplicabletonaturalpersonsincludeanybodyofpersons,companies,corporation,firmorpartnershipwhetherincorporatedorunincorporatedandviceversa;

e.Theword“law”or“laws”meansanyexistinglawandanyconstitution,decree,judgment,legislation,order,ordinance,statute,treaty,directive,by-laws,rulesorregulationsasamendedfromtimetotime;

f.Theexpression“thisAgreement”oranysimilarexpressionshallcomprisetheClausesandAppendicesofthisAgreementandshallincludeanysupplementalwrittenAgreementtheretoasmaybeexecutedandbeinforcefromtimetotime;

g.Wordsimportinganygendershallincludeanyothergender.Wordsimportingthesingularnumbershallincludethepluralnumberandviceversa;wherethecontextrequires.

h.Theheadingsorsub-headingstotheClausesofthisAgreementareforconvenienceofreferenceonlyandshallnotaffecttheinterpretationandconstructionthereof.

i.WhereanywordorexpressionisdefinedinthisAgreement,thedefinitionshallextendtoallgrammaticalvariationsandcognateexpressionsofthewordorexpressionsodefined.

j.Forthepurposeofcalculatinganyperiodoftimestipulatedherein,orwhenanactisrequiredtobedonewithinaspecifiedperiod,afterorfromasspecifieddate,theperiodisinclusiveofandtimebeginstorunfromthedatesospecified.;

k.Wheneverthereshallappearanyreferencetoatimewithinwhichanactshouldbedoneoragreementreachedorconsentgiven,suchreferenceshallbedeemedtobereadasincludingtheexpression“oranyotherperiodagreedinwritingbetweenthePartiesfromtimetotime”.;

l.AnytechnicaltermnotspecificallydefinedinthisAgreementshallbeconstruedinaccordancewithgeneralpracticeofthoseinthatprofessioninSingapore;

m.Anyreferencetoa“workingday”istoadayotherthananonworkingSaturday,SundayandanyotherdaywhichdeclaredbyGovernmentasapublicholidayandanyreferencetoa“day”,“week”,“month”or“year”istothatday,week,monthoryearinaccordancewiththeGregoriancalendar;and

n.Anyreferenceto“writingorcognateexpressions”includeanycommunicationaffectedbytelex,cable,facsimile,transmission,electronicmailorothercomparablemeans.;and

o.WhenevertheFIRSTPARTYismentionitshallincludeitappointedProjectManagementConsultant,TechnicalandAssociates.

1.2.3EntireAgreement

ThisAgreementcontainstheentireunderstandingbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsorunderstandings,inducementsorconditions,expressorimplied,oralorwritten.

2.DURATIONOFCONTRACT

2.1ContractPeriod

ThisAgreementshallbeforaperiodasdescribedinXXXSchedulehereoffromthedateofthecommencementofthecontractbybothParties（hereinafterreferredtoas“CommencementDate”）totheexpirydatewhichshallbeconfirmed（hereinafterreferredtoas“ContractExpiryDate”）.Theeffectiveperiodbetweenthetwodatesisreferredtoas“ContractPeriod”.

2.2ExtensionofContractPeriod

SECONDPARTYshallnotifyFIRSTPARTYinwritingnotlessthantwo

（2）monthspriortotheContractExpiryDateifitintendstoextendtheContractPeriodforafurtherperiod.ThePartiesmayassoonasreasonablypracticableafterthereceiptofsuchnotificationbySECONDPARTYnegotiatesthetermsandconditionsofsuchextensionnotlaterthanone

（1）monthpriortotheContractExpiryDate.IntheeventthePartiesfailtoreachanagreement,thisAgreementshallautomaticallyexpireontheContractExpiryDate.

3.SCOPEOFWORKS

3.1TheScope

FIRSTPARTYshallcarryoutthedutiesasaProjectManagementConsultantandperformallmarinesandandaggregatemininganddredgingworksattheConcessionsitewithintheContractPeriodandtobecarriedoutorperformedbySECONDPARTYandallotherthingsnecessaryandexpedientfortheBusiness,whichshallincludethefollowing:

（a）SECONDPARTYshallconductandperformallaspectoftheextractionworksoftheMarineSand’withintheConcessionsite;

（b）SECONDPARTYshallprovidealloperationalsupportandancillaryservicesnecessaryorexpedientforth
