HROutsourcingServicesContract

[CompanyName],acompanyestablishedandexistingwithitsregisteredaddressatTelat

（hereinafterreferredtoasthe“PartyA”）

and

人力资源有限公司[CompanyName],acompanyestablishedandexistingwithitsregisteredaddressatTelat

（hereinafterreferredtoasthe“PartyB”）

Inaccordancewithstipulationofthe"ContractLawofthePeople''sRepublicofChina",the"LaborLawofthePeople'sRepublicofChina",the"LaborContractLawofPeople'sRepublicofChinaLaborContractLaw"andotherrelevantlawsandregulations,throughfriendlynegotiation,havesignedthisContract（hereinafterreferredtoasThisContract）onabasisofequalandmutualbenefitandagreedtothetermsandconditionsstipulatedbelowforHROutsourcingServices.

ARTICLE1GENERALTERMSANDCONDITIONS

1.EitherpartyshallprovidetheotherpartylegitimateandeffectivecopiesofdocumentsforregistrationandapprovalofgovernmentauthoritiesthatcanshowitisacompanydulyorganizedandexistingunderthelawsofChinesegovernment.Unlessotherwiseprovidedherein,"PartyB"includesBCompanyanditsaffiliatesorauthorizedcompanies.TheobligationsconcerningitsperformanceoftheContractshallbeatPartyB'sside.“Affiliateme”ansanycompanydirectlyorindirectlycontrolledby,controllingbyPartyB,includingcompanyunderdirectorindirectcommoncontrolbyCompanyornaturalindividual.“Controlm”eanseithertheownershipoffiftypercent（50%）ormoreoftheordinaryshareofcapitalofthecompanycarryingtherighttovoteatgeneralmeetings.

2.ScopeofServices

PartyBbeentrustedasagentofPartyAandshallhaveobligationtoprovidetheserviceslistedhereinafter

□2.1Socialinsuranceenrollmentandpayment

2.1.1toexerciseSocialInsurance,suchasEndowmentInsurance,MedicalInsurance,UnemploymentInsurance,EmploymentInjuryInsuranceandMaternityInsurance（hereinafterreferredtoas“FSI”e）,nrollmentinSocialInsuranceManagementSystem（hereinafterreferredtoas“SIMS”）.

2.1.2toremoveinsuredstafffromSIMSandexercisetransferproceduresinaccordancewithstateregulations.

2.1.3tomakechangetosalarybaseofsocialinsurance

2.1.4toreimbursemedicalexpenses

2.1.5toclaimformaternityallowance

2.1.6toclaimforworkinjurycompensation

2.1.7toprovidesocialinsurancepolicyconsultation

2.1.8tohandledisputes,unusualcircumstancesrelatedtosocialinsurance

2.1.9todealwithothermattersrelatedtosocialinsurance

2.2.1toconductenrollmentproceduresconcerninghousingfund（hereinafterreferredtoas“HF”）

2.2.2toremovestafffromtheHousingfundManagementSystemandexercisetransferprocedures

2.2.3tohelptodrawHousingfund

2.2.4toassisthousingfundloans

2.2.5tohandledisputes,unusualcircumstancesrelatedtohousingfund

2.2.6Othermattersrelatedtohousingfund

2.3.1tohandleandpayemployee'salary

2.3.2toapplyforbankcardsforsalarypayment

2.3.3toexerciseindividualincometaxdeclarationandpayment

2.4.1toprovidecommercialinsurance,medicalinsuranceandemployerliabilityinsuranceservices

2.4.2toclaimforcommercialinsurance,medicalinsuranceandemployerliabilityinsuranceservices

2.4.3Thepriceshallbesetforthashereunder:

2.5.1toexchangeandanswerquestionsonlaborpolicies.

2.5.2toprovideconsultationonlawsandpoliciesonhumanresource,laborand

2.5.3toprovidelegalassistanceforresolvinglabordisputesinabasisoffairnessandjustice.

ARTICLE2TERMS

3.ThisContractcomeintoeffectupondulysignedbybothpartiesandthedurationisyearsfrom_to.

4.TherenewalofthisContractshouldbenegotiatedbybothpartiesthirty（30）daysbeforeitsexpiry.Bothpartiess'ignaturesareneedediftheyagreetorenewtheContract.ShouldthepartiesfailtoconfirmtherenewalofthisContractbysignature,theContractshallextendoneyearautomatically,butinnocasetheextensionexceedsthreetimes.

ARTICLE3RIGHTSANDOBLIGATIONS

5.RightsandobligationsofPartyB

5.1PartyAmaydecidetheemployeessubmittedtoPartyBforserviceatitssoledecision.

5.2PartyAshalldecidethemeansofinsurancepaymentaccordingtopoliciesofcontributionplacesthroughnegotiationwithPartyA.

5.3PartyAshallconfirmtheinformationonemployeeadditionordeductionfromtheSocialInsuranceManagementSystemwithoutanydelay.

5.4PartyAshallbeobligatedtopaythepaymenttoPartyA'sdesignatedbankaccountviabanktransfer.“Payment”unlessotherwiseprovidedherein,shallmeansthetotalexpensesPartyApaytoPartyB,anditshallincludebutnotlimitedtosocialinsurancefeeandhousingfundsfeesthecompanyborn,soci

alinsurancefeeandhousingfundsfeesindividualborn,salaries,welfarefeesandmanagementexpenses.

5.5PartyAshallguaranteethelaborcontractsigningwithitsemployees,andshallundertakethedueobligationsprescribedbylawtotheemployeecoveredbytheServicesagreedherein

5.6ShouldemployeescoveredbytheServicesinjuredinthedurationofworkorfallinseriousillness,PartyAshallundertakethedueobligationsprescribedbylaw.

5.7RetirementprogressforemployeescoveredbytheServiceshallbeexecutedbyPartyAandexpensesarisingfromtherefromshallbebornbyPartyAwhilePartyBhasobligationstoprovidenecessaryassistance.

6.RightsandobligationsofPartyB

6.1PartyBshallhaveobligationstoprovideservicesagreedhereintimelyandaccurately.

6.2PartyBshallhaveobligationstoprovidePartyBadvisesandcoordinationservicesonrelevantpoliciesandregulationsinconnectionwiththeServicesagreedherein.AnytroublearisingfromtheperformanceofthisAgreementmayacquireassistancefromPartyB.

ARTICLE4PRICE

7.ServicefeesshallbesetforthaccordingtotheactualnumberofemployeesandmonthscoveredbytheServices.

Thepriceshallbe:

1-5person：

RMBYuan（SAYONLY）/person/month;

5-20person：

RMBYuan（SAYONLY）/person/month;

20-300person：

RMBYuan（SAYONLY）（）/person/month;Above300person：

RMBYuan（SAYONLY）（）/person/month.

8.PartyAshallalterthecontributionbasefollowingtheannualalterationofminimumaveragesocialsalary.Theexpensesarisingtherefromshallbepaidwithinonemonth.Inthecaseoftheinvoicevalueexceedstwo

（2）timestheactualsocialinsuranceexpenses,partyAshallpay6%theamountbywhichtheinvoicevalueexceedsthatoftheactualexpenses.

9.Theexpensesofdisabilityinsuranceorworkerunionfeeshallbecollectedaccordingtorelevantgovernmentregulations.PartyAmaypaytheamounttoPartyBwhilePartyBprovideinvoiceindicatingtherealexpenses.

10.MeansofPayment

10.1PartyAshallprovidePartyBinformationofemployeestobeaddedordeductedfromTheSocialInsuranceManagementSystembymailpriortothedayofeachmonth.AnydelayshallbeconsideredasnoalterationtotheSystem.

10.2PartyBshallsubmitExpenseSheettoPartyAforconfirmationpriortothedayofeachmonthafterreceiptoftheemployeealterationinformation.“ExpenseSheet”shallincludeallpaymentinconnectionwiththeServicesstipulatedherein.

10.3PartyAshallpaytoPartyBallthepaymenttothedesignatedbankaccountofPartyBpriortothedayofeachmonthafterconfirmationoftheExpenseSheet.PartyBshallexercisetheexecutionoftheServiceinconnectionwithsocialinsuranceuponpaymentreceivedandprovidePartyAinvoicewithinseven（7）businessdays.

10.4ShouldtheemployeenumberofPartyAcoveredbytheServicehereinnolessthanfive（5）people,paymentshallbepaidmonthlyotherwisequarterly.BankaccountinformationofPartyB:

ARTICLE5MISCEELLANEOUSPROVISIONS

11.PartyAshallprovidePartyBdocumentsandinformationsuchascopyofIDcard,photoandbankaccountetc.ofemployeescoveredbytheServiceswhichshallbefiledbyPartyB.AnytroublearisingfromservicedelayordatadeviationcausedbyanyfaultyintheinformationPartyAprovidedshallbebornbyPartyA..

12.PartyBshallcompletetheServiceStipulatedhereinwithoutanydelayandshallassumecorrespondingresponsibilityincaseofitssolefailure.

13.PartyBshallsubmitEmployeeadded/deductedSheettoPartyAforbackupandserviceprogressnotice.

ARTICLE6DEFAULTANDDISPUTE

14.ShouldeitherpartyfailstoimplementthetermsandconditionshereinormakeanychangesandamendmentstothisContractwithoutpriorconsentoftheotherparty,thelossresultingtherefromshallbebornbythepartyinbreach.

15.Incaseoflatepaymentofanyamountpayablethereunder,PartyAwillpayPartyBpenaltyequalto2‰oftheamountpayableforeverydelayedday.

PartyB'scontractualobligationsshallbesuspended,withoutpenaltyorliability.

16.AlldisputesarisingfromorinconnectionwiththisContractoranyexecutiondocumentssignedinaccordancewiththisContractshallbesettledthroughamicableconsultation.Uponfailureofnegotiation,disputesshallbesubmittedtolocalcourthavingjurisdiction.Notwithstandinganyreferencetoarbitration,bothpartiesheretoshallcontinuetoexercisetheirremainingrespectiverights

andfulfilltheirremainingrespectiveobligationsundertheContractunlessotherwiseagreed.
