集体服务合同

ThisServicesAgreement（this“Agreement”）isenteredintoasofJune1,2008byandbetweenBeijingGoldenStateHengyuanInvestmentConsultantCo.,Ltd.,acompanyregisteredinthePeople'sRepublicofChina（“BJGS-HY”）andGoldenStateEnvironmentCorporation,acompanyregisteredinCaymanIslands（“GSE”）andBeijingGoldenStateEngineeringCo.,Ltd.,acompanyregisteredinthePeople’sRepublicofChina（“BJGS”）andBeijingBCEGGoldenSourcesEnvironmentProtectionDevelopmentCo.,Ltd.,acompanyregisteredinthePeople’sRepublicofChina（“GSS”）andPacificWaterTreatmentEngineering,acompanyregisteredinthePeople’sRepublicofChina（“PWT”）andGSEDevelopmentCorporation,acompanyregisteredinCaymanIslands（“GSED”）.GSE,BJGS,GSS,PWTandGSEDarehereinaftercollectivelydesignatedas“theGSECLUSTER”.

此服务协议[协议]订立于公元二零零八年六月一日，由

北京金州恒源投资顾问有限公司[BJGS-HY]，注册所在地为中华人民共和国，与

金州环境股份有限公司[GSE]，注册所在地为开曼群岛，与

北京金州工程有限公司[BJGS]，注册所在地为中华人民共和国，与

北京建工金源环保发展有限公司[GSS]，注册所在地为中华人民共和国，与

太平洋水处理工程有限公司[PWT]，注册所在地为中华人民共和国，与

金州环境发展有限公司[GSED]，注册所在地为开曼群岛，共同订立。

[GSE][BJGS][GSS][PWT][GSED]以下统称为[GSE企业群]。

RECITALS前言

WHEREAS,GSEistheparentcompanyofBJGS,GSS,PWTandGSED;and

鉴于GSE为BJGS，GSS，PWT及GSED之母公司；

WHEREAS,onthetermsandsubjecttotheconditionssetforthherein,theGSECLUSTERdesirestoengageBJGS-HYasanindependentcontractortoprovide,directlyorindirectly,certainServicestotheGSECLUSTER;and

鉴于[GSE企业群]希望雇用[BJGS-HY]作为独立合同方，依照本协议之条款及条件，直接或间接为其提供特定[服务]；

WHEREAS,onthetermsandsubjecttotheconditionssetforthherein,BJGS-HYdesirestoprovide,directlyorindirectly,suchServicesto“GSECLUSTER””including（a）certainfinancialandaccountingmanagementandtransactionprocessingandreportingservices,asdescribedinmoredetailonScheduleIattachedtothisAgreement（the"FinanceandAccountingServices"）,（b）certainrecordanddocumentmanagementservices,asdescribedinmoredetailonScheduleIIattachedtothisAgreement（the"RecordandDocumentManagementServices"）,（c）certaininformationtechnologyservices,asdescribedinmoredetailonScheduleIIIattachedtothisAgreement（the"InformationTechnologyServices"）,（d）certainConsultingservices,asdescribedinmoredetailonScheduleIVattachedtothisAgreement（the"ConsultingServices"）,（e）certaincorporatecommunicationsservices,asdescribedinmoredetailonScheduleVattachedtothisAgreement（the"CorporateCommunicationsServices"）and（f）makingcertaininternalauditactivities,asdescribedinmoredetailonScheduleVIattachedtothisAgreement（the"InternalAuditActivities",and（g）certainadministrativeservices,asdescribedinmoredetailonScheduleVIIattachedtothisAgreement（the"AdministrativeServices"）togetherwiththeFinanceandAccountingServices,theRecordandDocumentManagementServices,theInformationTechnologyServices,theConsultingServices,theCorporateCommunicationsServicesandtheInternalAuditActivities,collectively,the"Services"）;and

鉴于BJGS-HY希望依照本协议之条款及条件为[GSE企业群]提供以下[服务]，包括：

（a）财务会计管理、相关事务处理及报告服务，详见本协议附表I，以下简称[财会服务]；

（b）档案、文件管理服务，详见本协议附表II，以下简称[资料管理服务]；

（c）信息技术支持服务，详见本协议附表III，以下简称[信息技术服务]；

（d）特定的咨询服务，详见本协议附表IV，以下简称[咨询服务]；

（e）公共宣传服务，详见本协议附表V，以下简称[企业传播服务]；

（f）内部审计工作，详见本协议附表VI，以下简称[内审服务]；

（g）行政管理工作，详见本协议附表VII，以下简称[行政服务]；

以上各项服务统称为[服务]。

NOW,THEREFORE,forgoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,BJGS-HYandtheGSECLUSTER,forthemselves,theirsuccessorsandpermittedassigns,herebyagreeasfollows:

有鉴于此，BJGS-HY和GSE企业群，同时代表各自的继受人及许可受让人，共同达成协议如下：

ARTICLE1

DEFINITIONS

Section1.01.Definitions.（a）AsusedinthisAgreement,thefollowingtermsshallhavethefollowingmeanings,applicablebothtothesingularandthepluralformsofthetermsdescribed:

“Actions”hasthemeaningsetforthinSection5.03.

"AdministrativeServices"hasthemeaningascribedtheretointherecitalstothisAgreement.

“Affiliate”means,withrespecttoanyPerson,anyPersondirectlyorindirectlycontrolling,controlledby,orundercommoncontrolwith,suchotherPerson.Forpurposesofthisdefinition,“control”meansthepossession,directlyorindirectly,ofthepowertodirectorcausethedirectionofthemanagementandpoliciesofaPerson,whetherthroughtheownershipofvotingsecurities,bycontractorotherwise,andtheterms“controlling”and“controlled”havemeaningscorrelativetotheforegoing.AnycontraryprovisionofthisAgreementnotwithstanding,membersoftheBJGS-HYGroup,ontheonehand,andmembersoftheGSEGroup,ontheotherhand,shallnotbedeemedtobeAffiliatesoftheother.

“Agreement”hasthemeaningsetforthinthepreamblehereto.

“ApplicableLaw”means,withrespecttoanyPerson,anyfederal,state,localorforeignlaw（statutory,commonorotherwise）,constitution,treaty,convention,ordinance,code,rule,regulation,order,injunction,judgment,decree,ruling,directive,guidance,instruction,direction,permission,waiver,notice,condition,limitation,restrictionorprohibitionorothersimilarrequirementenacted,adopted,promulgated,imposed,issuedorappliedbyaGovernmentalAuthoritythatisbindinguponorapplicabletosuchPerson,itspropertiesorassetsoritsbusinessoroperations,asamendedunlessexpresslyspecifiedotherwise.

“BusinessDay”meansadayotherthanaSaturday,Sunday,nationalpublicholidays,the“GoldenWeek”orotherdayonwhichcompaniesinBeijing,People’sRepublicofChinaareauthorizedorrequiredbylawtoclose.

“ChangeofControl”means（i）thedirectorindirectacquisition（bymerger,consolidation,businesscombinationorotherwise）byanyPersonorgroupofPersonsofbeneficialownershipof50%ormoreoftheTotalVotingPowerofGSE（ii）anymerger,consolidationorotherbusinesscombinationofGSEoraSubsidiaryofGSEwithanyPersonaftergivingeffecttowhich（x）theshareholdersofGSEimmediatelypriortosuchtransactiondonotownatleast50%oftheTotalVotingPoweroftheultimateparententityofthepartiestosuchtransactionor（y）individualswhoweredirectorsofGSEimmediately
