买卖双方经协商同意按下列条款成交：

日加工小麦250吨面粉加工成套设备一套,设备包括从原粮入仓到面粉打包的全部设备（具体设备配置详见合同附件）。

美元兑人民币的汇率为6.29。

3、本合同设备的技术要求：
Thetechnicalrequirementinthiscontract:
①、质量标准：
按照中华人民共和国的有关标准执行。
QualityStandard:
AccordingtotherelevantstandardsofthePeople’sRepublicofChina.
②、生产能力：
日加工小麦250吨。
Capacity:
Processingwheat250Tperday.
③、技术要求：
Technicalrequirement:
a、小麦：
容重750克/升以上，硬质率大于50%。
Wheat:
Volume-weight:
morethan750g/L,wheathardrate:
morethan50%.
b、产品结构：
可单产一种面粉，也可联产三种面粉。

c、面粉质量：
按照中华人民共和国的有关标准执行，根据买受人的意见，面粉质量应适应塔吉克斯坦市场的要求。

AccordingtotherelevantstandardsofthePeople’sRepublicofChinaandtherequirementofbuyer,theflourqualityshouldbesuitableforthemarketofTajikistan.
④、工艺设计：
Processdesign:
a、清理工艺：
采用四筛、二打、二去石、二着水、一洗麦、二磁选、一精选的湿法清理工艺，工艺完善，适应性强。

Foursieve,twoscour,twodestoner,twodamper,onewasher,twomagneticseparator,oneselector.Theprocessiswetcleaningprocess,perfectionandmoreadaptability.
b、制粉工艺：
采用四皮七心二渣二尾、五清、中后路打、刷麸的撞击制粉工艺。

fourbreak,sevenreduction,twoscratch,twotailing,fivepurifier,wheatscourerinthemiddle-backpartofflourmillingline,andbranbrushing.
c、粉路安排：
海啸系列气动磨粉机共十五台，磨辊总接触长度为3000cm。
FSFG6×24C高方筛八台，共四十六个仓位。

d、制粉工艺特点：
工艺采用中长粉路，加强心磨作用，强化物料分级。
皮磨多造高质量的麦渣、麦心，轻刮细分重打，尽量保证麸片完整。
心磨道数适当放长，采用光辊的心磨要求研磨效果好，多出优质粉。
本设计设置再筛和清粉，利用再筛和清粉对粗粉、麦心进一步分级提纯，为心磨系统提供质优量足的麦心，保证心磨系统多出粉，出好粉。

Theprocessusesmiddle-longmilldiagram,tostrengthentheeffectofreductionsystem,tostrengthenthegradeofgrain.Togetthehighqualitywheatgrits/wheatheartfromthebreakingsystem,dothebestprovethecompleteofbran.Increasethelengthofreductionsystem,togetthehighqualityflour.Thedesignaddsthere-sieveandflourpurifier,toselectthemiddlingfourandwheatheartfurther.
⑤、通风除尘与气力输送：
清理间共设置了四组风网，其中重力分级去石机为二组独立风网。
四组风网均采用二级除尘，先经刹克龙，再进入集尘室。
原粮初清设置了一组风网。
粉间气力输送采用二组高压风网，高压风机下安装减振器，以减少噪声及振动，并配置低压脉冲除尘器，以降低粉尘污染。
清粉机设置一组低压风网，并配置低压脉冲除尘器，以更好的降低粉尘污染。

Therearefourgroupsairnet,butthegravitygradedestonerusesitselfairnet.Thefourgroupsairnetallusetwogradesdustremoving,firstlythroughcyclone,thentakenintodustcollector.Thereisonegroupairnetintherawgrainprimarycleaning.Thepneumatictransmissioninflourmillingroomusestwogroupshighpressureairnet,therewillbeinstallshockabsorbertoreducethenoiseandvibrating,andinstallthelow-pressureimpulsedustcatcher,toreducethedustpollution.Flourpurifierusesonegroupairnet,toinstallthelow-pressureimpulsedustcatcherwithittoreducedustpollution.
4、出卖人对质量负责的条件及期限：
4.Theconditionandperiodofqualityguarantee:
①、属于出卖人产品质量确有缺陷，由出卖人负责处理，并承担由此产生的费用，期限为十二个月，时间从设备正常生产之日起计算。
Ifthereisdefectofmachineswasverified,thesellerwilldealwithitandtakechargeofallthecoststhatthedefectcausedin12months,thedateiscountedfromthedaywhentheflourmillingplanthasregularproduction.
②、属于买受人操作不当而造成的问题，由买受人负责，出卖人应立即协作处理，买受人承担由此产生的费用。
Iftheproblemscausedbyimproperoperation,thebuyermustberesponsibleforthematterandallexpensescausedbytheproblemsandthesellershouldhelptodealwiththeproblems.
③、超过规定的期限设备发生问题，出卖人应协作处理，保证正常生产，买受人承担由此产生的费用。
Afterthequalityguaranteeperiod,ifthereisanyproblemoftheequipment,thesellershouldhelpthebuyertodealwithittoprovetheregularproduction,butthebuyermustberesponsibleforalltheexpenses.
④、出卖人随机提供本合同设备部分易损零件如轴承、皮带、筛网、刷子、清理块等，详见设备备件清单。
Thesellershouldfurnishthesparepartsfortheequipment,suchas:
bearings,belts,sievestencil,brushers,cleaninglumpsetc,thedetailsaccordtothesparepartslist.
5、运输方式及费用负担：
运输方式采用铁路集装箱运输，共15个40尺集装箱，运输费用由出卖人负担，运输费用中包括购买集装箱费用。
出卖人负责装箱，并承担由此产生的费用。
交货地点：
在出卖人方交货。
Transportandexpenses:
Transportinggoodsbyrailwaywithcontainers,therewillbeneed15pcs40’containers,thefreightshallbebornebybuyer,andincludingthechargesofcontainers.Thesellershallberesponsibleforloadingequipmentintocontainersandcoverthecost.

6、交货期限：
合同定金支付后60天内交货，不允许延期。
在合同定金支付45天内，出卖人首先将设备钢结构件发出并派安装人员指导安装，其余设备在设备交货前一周出卖人通知买受人验货。
Deliverydate:
Thesellerwillsdeliverythegoodsin60workingdaysafterreceivingthecontractadvancepaymentandnoallowingdelaythedate.Notallowedpostponement.In45workingdaysafterreceivingthecontractadvancepayment,thesellershouldtransportthesteelstructurepartstobuyerfirstlyandarrangetechnicianstoguideinstallation,Abouttheothersequipment,sellershouldinformthebuyertoexaminegoodsatthetimeofoneweekbeforedelivery.
7、设备的安装和调试：
Theinstallationanddebugging:
①、本合同的设备安装调试由出卖人指导安装。
出卖人负责派一个电器工程师、一个机械工程师、一个制粉工艺师到现场指导。
Accordingtothecontract,thesellershouldarrangetechnicianstoinstallanddebug.Thesellshouldarrangeoneelectricalengineer,onemechanicalengineer,oneflourmillingtechnologisttoguideonthespot.
②、费用负担：
出卖人承担设备安装调试人员的往返机票及在中国境内的车票，并负责安装人员的工资、生活补助等费用。
买受人负责安装调试人员在塔吉克斯坦境内的食宿、交通、通讯等费用，并负责安装调试人员的出境签证及费用。
Expenses:
ThesellershouldpaytheroundtripairticketandtransportationcostscausedinChina,andthesalaryandlivingsubsidycostsfortheinstallationanddebuggingpersons;thebuyershouldpayalltheexpensesoftheaccommodation,transportationandcommunicationcausedinTajikistanforthetechnicians,andvisasforthetechnicians,thesellerwillpaythevisafee.
③、设备安装期限：
由于本套设备由出卖人指导安装和调试，具体完成设备的安装时间由买受人根据安排配合安装人员的多少而定。
Installingtime:
Theinstallingtimeshouldbeaccordingtotheconditiononthespot.
8、付款条件：
Payment:
a、合同签订，出卖人收到买受人支付的合同定金人民币314500元（美元：
50000＄），合同生效。
Contractsigning,whenthesellerreceivesthecontractadvancemoneyCNY314500Yuan（USD50000.00）,thecontractwilltakeaffect.
b、出卖人随本套设备提供装箱单、产品合格证、使用说明
书及相关单证，买受人负责清关及相关费用。
Thesellershouldofferpackaginglist,workcertificate,directionforuse,invoiceandrelevantdocuments.Thebuyerdefraycustomsclearanceandtherelevantexpenses.
C、经买受人现场验货确认后，付清余款人民币4001400元（美元：
636153＄）装箱提货。
Afterexamininggoods,thebuyershouldpaytheresidualbalanceCNY4001400Yuan（USD636153.00）,thenloadingandtakingdeliveryofgoods.
9、包装：
出卖人应对设备进行简易包装，并承担由此发生的费用。
Packaging:
Thesellershouldmakesimplepackagingfortheequipment,andpaytheexpensescausedbypackaging.
10、由于发生不可抗拒的因素，致使本合同不能履行，部分或全部设备延误交货，出卖人不承担责任。
本合同所指的不可抗力系指不可预见、不能避免的情况。
Thesellershallnotbeheldresponsibleforfailureordelayindeliveryoftheentirelotoraportionoftheequipmentunderthissalescontractinconsequenceofanyforcemajeureincidentswhichmightoccur.Forcemajeureasreferredtointhiscontractmeansunforeseeableandunavoidableconditions.
11、仲裁：
因凡本合同引起的或与本合同有关的任何争议，应先行协商解决，如果协商不能解决，应提交仲裁机构进行仲裁。
仲裁裁决是终局的，对双方均有约束力。
Arbitration:
Anydisputearisingfromorinconnectionwiththesalescontractshallbesettledthroughfriendlynegotiation.Incasenosettlementcanbereached,thedisputeshallthenbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission（CIETAC）,ZhengzhouCommissionforarbitrationinaccordingwithitsrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.
12、通知：
所有通知用英文写成，并按照合同地址用传真/电子邮件/快件送达给对方。
如果地址有变更，一方应在变更后5日内书面通知另一方。
Attention:
AllnoticeshallbewritteninEnglish,andservedtobothpartiesbyfax/e-mail/courieraccordingtothecontractaddresses.Ifanychangesoftheaddressesoccur,onepartyshallinformtheotherpartyofthechangeofaddresswithinfivedaysafterthechange.
13、本合同为中文文本，一式4份，双方各执2份。
自双方签字（盖章）合同定金支付之日起生效。
ThiscontractisexecutedintwocounterpartseachinChineseandEnglish,eachofwhichshallbedeemedequallyauthentic.Onecopieseachparty;thiscontractiseffectivesincethesellerreceivesthecontractadvancepayment.
