第一部分　建设工程委托监理合同

ThisAgreementissignedbetween（hereinafterreferredtoas"theClient"）andShanghaiTongjiProjectManagementandConsultingCo.Ltd.（hereinafterreferredtoasthe"Supervisor"）throughmutualconsultation.

委托人与监理人¬¬¬¬¬¬¬¬¬经过双方协商一致,签订本合同.

I.BriefinformationoftheprojectforwhichtheClientdesiresthosesupervisionservicesshouldbeperformedbytheSupervisor（hereinafterreferredtoas"theProject"）isasfollows:

II.InthisAgreementwordsshallhavethesamemeaningsasareassignedtotheminPartIIofthisSupervisionContract（hereinafterreferredtoas“theContract”）-StandardConditions.

本合同的有关词语含义与本合同第二部分<<标准条件>>中赋予它们的定义相同.

III.ThefollowingdocumentsshallbedeemedtoformpartofthisAgreement:

下列文件均为本合同的组成部分:

（1）ThisAgreement;

（4）SupplementarydocumentsandamendmentsjointlysignedbythetwopartiesduringtheexecutionoftheContract.

在实施过程中双方共同签署的补充与修正文件.

⑸监理人在报价时确定的的拟派现场监理人员名单和现场监理人员进场计划作为本合同附件。

IV.InconsiderationofthepaymenttobemadebytheClienttotheSupervisorashereinaftermentioned,theSupervisorherebycovenantswiththeClienttoperformsupervisionservicesinthescopeasstatedintheConditionsofParticularApplicationinconformitywiththeprovisionsoftheContract.

考虑到以下提到的委托人向监理人的付款，监理人向委托人承诺,按照本合同的规定,承担本合同专用条件中议定范围内的监理业务.

V.TheClientherebycovenantstopaytheSupervisor,inconsiderationoftheperformanceofthesupervisionservices,suchamountasmaybecomepayableundertheprovisionsoftheContractatthetimesandinthemannerandcurrencytypeprescribedbytheContract.

考虑到监理人提供的监理服务，委托人向监理人承诺按照本合同注明的期限,方式,币种,向监理人支付报酬.

InwitnesswhereofthepartiesheretohavecausedthisAgreementtobeexecutedfromApril,2007toOctober,2008.Ifforanyreasonstheprojectstopsformorethanonemonthuninterrupted,theendingdatewillbepostponedwithsameperiods.

本合同自施工单位进场时开始,至整个工程竣工验收止完成.如果项目进行中，被停止连续时间超过一个月，完成时间应该被顺延。

ThisAgreementhassixsetsoforiginalcopies,theyhavethesamelegaleffect,andeachpartyshallholdthreecopies.

本合同一式陆份,具有同等法律效力,双方各执叁份.

第二部分标准条件

Definitions,ApplicableLanguagesandLaws

词语定义,适用语言和法规

Article1Thefollowingwordsandexpressionsshallhavethemeaningsassignedtothemexceptwherethecontextotherwiserequires:

第一条下列名词和用语，除上下文另有规定外，具有如下所赋予的含义:

（1）"Project"meanstheprojectforwhichthesupervisionservicesaretobeprovided.

"工程"是指实施委托人委托监理人监理的工程。

（2）"Client"meansthepartywhoisresponsibleforthedirectinvestmentandwhoemploystheSupervisor,andlegalsuccessorstotheClient.

"委托人"是指承担直接投资责任和委托监理人的一方,以及其合法继承人。

（3）"Supervisor"meansthepartywhoisemployedbytheClienttoperformsupervisionservicesandassumesupervisionliabilities,andlegalsuccessorstotheSupervisor.

"监理人"是指受委托人委托承担监理业务和监理责任的一方,以及其合法继承人.

（4）"SupervisionTeam"meansthegroupofstaffsentbytheSupervisortocarryoutsupervisiononthesiteoftheProject.

"监理机构"是指监理人派驻本工程现场实施监理业务的组织.

（5）"ChiefSupervisionEngineer"meansthepersoncertificatedbythelocalauthorityasChiefSupervisionEngineeranddesignatedbytheClientandSupervisortobefullyresponsibleforsupervisingtheexecutionoftheContract.

"总监理工程师"是指经当地政府部门认证为的总监理工程师并且由委托人及监理人指定对监督履行本合同全权负责的人.

（6）"Contractor"meanstheperson（s）otherthantheSupervisorwithwhomtheClientsignscontractinrelationtotheconstructionoftheProject.

"承包人"是指除监理人以外,委托人就本工程的建设有关事宜签订合同的当事人.

（7）"NormalServices"meansthescopeofsupervisionworkprescribedintheConditionsofParticularApplication.

"正常工作"是指双方在专用条件中约定的监理工作的范围.

（8）"AdditionalServices"means:

1）worksoutsideofthescopeofsupervisionwork,andaddedtotheContractbywrittenagreementoftheparties;2）additionalworksasaresultofadditiontothescopeofconstructionworkorprogramdelayonthepartoftheClientortheContractor.

"附加工作"是指:

1）监理工作范围以外,通过双方书面协议另外增如本合同的工作;2）建设工作范围的增加或者由于委托人或承包人原因致使进度的延误,而造成的附加的工作.

（9）"ExceptionalServices"meanstheworksotherthantheNormalServicesandtheAdditionalServices,butwhicharenecessarilyperformedbytheSupervisorinaccordancewithArticle33.

"额外工作"是指正常工作和附加工作以外，根据第三十三条规定监理人需要完成的工作。

（10）"day"meanstheperiodbetweenanyone0:

"日"是指任何一个零时至第二天零时的时间段.

（11）"month"meansaperiodofonemonthaccordingtotheGregorianCalendarcommencingwithanydayofthemonth.

"月"是指根据公历从一个月份中任何一天开始的一个月的时间段.

Article2ThisSupervisionContractshallbegovernedbyChineselaws,statutes,administrativeregulations,anddepartmentalrules®ulations,locallaws,rules®ulationsspecifiedintheStandardConditionsandConditionsofParticularApplication.

第二条本建设工程委托监理合同适用的法律是中国的法律，条例,行政法规，以及标准条件及专用条件中载明的部门规章或地方法规，地方规章。

Article3TheContractshallbewritteninbothEnglishandChinese,bothofwhichshallbeequallybinding.

第三条本合同应以中文和英文记载，中英文应具有同等效力。

ObligationsoftheSupervisor

监理人的义务

Article4TheSupervisorshalldesignatetheSupervisionTeamandsuperintendentsnecessaryforcarryingoutthesupervisingworks;providetotheClientaname-listoftheChiefSupervisionEngineer,mainstaffoftheSupervisionTeamandasupervisionplanandperformthesupervisionserviceswithinthescopeofworkasstatedintheConditionsofParticularApplication.DuringtheexecutionoftheContract,theSupervisorshallsubmitsupervisionreporttotheClientatregularintervalasstatedintheContract.第四条监理人应派出监理工作需要的监理机构及监理人员，向委托人报送委派的总监理工程师及其监理机构主要成员名单，监理规划，完成监理合同专用条件中约定的监理工程范围内的监理业务。

在履行本合同义务期间，应按合同约定定期向委托人报告监理工作。

Article5TheSupervisorshallexercisereasonablecareanddiligence,provideadviceatanappropriatelevelintheperformanceoftheobligationsundertheContracttotheClientandindemnifythelawfulrightsandinterestsofvariousparties.第五条监理人应认真，勤奋地工作，在履行合同义务时为委托人提供与其水平相应的咨询意见，公正维护各方的合法权益。

Article6AnyfacilitiesandarticlessuppliedbytheClientforusebytheSupervisorshallbeproperlyusedandmaintainedandremainthepropertytotheClient.WhentheservicesarecompletedorterminatedtheSupervisorshalldelivertotheClientsuchfacilitiesandunconsumedarticlesingoodworkingorder.第六条监理人使用委托人提供的设施和物品属委托人的财产，应恰当使用和维护。

在监理工作完成或中止时，应将其设施和剩余的物品完好地移交给委托人。

Article7DuringthecontractperiodoraftertheContractisterminated,withouttheconsentoftheClient,theSupervisorshallnotdisclosetheconfidentialinformationinrelationtotheProjectandtheContract.第七条合同期内或本合同终止后，未征得委托人同意，不得泄露与本工程和本合同有关的保密信息。

ObligationsoftheClient委托人的义务

Article8TheClientshallpayanadvancepaymenttotheSupervisorpriortothecommencementoftheservicesoftheSupervisor,ifsuchadvancepaymentisstatedintheConditionsofParticularApplication.第八条委托人在监理人开展监理业务之前应向监理人支付预付款,如果该预付款在专用条件中陈述。

Article9TheClientshallberesponsibleforallcoordinationofexternalrelationshipsinrelationtotheconstructionoftheProject.IftheClientassignspartorallofsuchcoordinationworkstotheSupervisorasisnecessary,thentheworktobeassignedandrelevanttermsofremunerationshallbespecifiedintheSupplementalClauses.第九条委托人应当负责本工程建设的所有外部关系的协调（监理人所属协调关系除外）。

根据需要，如需将部分或全部协调工作委托监理人承担，则需在补充条款中明确委托的工作和相应的报酬条款。

Article10TheClientshall,withintheagreedtime,providetotheSupervisorfreeofchargeallinformationpertainingtotheProjectandnecessaryforthesupervisionservices.第十条委托人应当在双方约定的时间内免费向监理人提供与本工程有关的并为监理工作需要的所有信息。

Article11OnallmattersproperlyreferredtohiminwritingbytheSupervisor,theClientshallgivehisdecisioninwritingwithinthetimespecifiedintheConditionsofParticularApplicationoftheContract.第十一条委托人应当在专用条件约定的时间内就监理人向委托人以恰当的书面形式提交的一切事宜作出书面决定。

Article12TheClientshallappointaClient'sRepresentative（tobespecifiedintheConditionsofParticularApplication）whoisfamiliarwiththeProjectandabletomakedecisionwithinspecifiedtimeforthepurposeofcontactingtheSupervisor.ShouldtheClient'sRepresentativebereplaced,theClientshallnotifytheSupervisorinadvance.第十二条委托人应当授权一名熟悉本工程情况，能在规定时间内作出决定的委托人的代表（将在专用条件中明确）负责与监理人联系，更换委托人代表要提前通知监理人。

Article13TheClientshalltimelynotifytheawardedContractor,inwriting,ofthepoweroftheSupervisor,rolesandauthoritiesofmainstaffoftheSupervisor.Suchinformationshallbemadeclear
