第三条出卖人对质量负责的条件及期限
Item3ConditionsandtimelimitsthatSellersshallbeheldresponsibilityfor
1.质量负责条件和期限按正常运行12个月止执行。
1.Qualityresponsibleconditionsandtimelimitsshallnotbevaliduntiltheproducthasbeenfunctioningproperlyfor12months
2.出卖人对标的物的质量负责，产品均附质检报告单，质量保证书。
如果出卖人知道或者应当知道所处卖产品存在质量缺陷，所承担的质量保证期限不受前款质量负责期限的约束，应依法承担相应责任。
2.Sellersshallberesponsibleforthequalityofthemarks.TheproductsshouldincludetheQualityInspectionReportandQualityGuarantee.Ifthesellersknoworshouldknowtheproductstheysellwithdefectsinquality,thequalityassurancetimelimitsshouldnotbesubjecttothepreviousqualityresponsibilitydeadlineandtheyshouldbehelddueresponsibilityforit.
第四条包装标准：
标准包装，产品所需包装由出卖人合理包装，适合水运和长途内陆运输，防潮，防湿，防锈，防震。

Standardpackaging,thesellersshouldpackagetheproductsproperly,itshouldbesuitableforshipmentandlongdistanceinlandtransportation.Thepackagingoftheproductsshouldberesistantofdampness,moisture,rustandshock.

第六条合理损耗标准及计算方法
Item6Reasonablelossstandardandcalculationmethod
以双方共同确定的法定计量为准，合理损耗为无。
出卖人向买受人实际所交付的产品数量在本合同约定的误差范围内，出卖人不承担违约责任，甲乙双方也不互补差价。
Takingthemutualagreementoflegalmetrologyastheyardstick,thereisnoreasonablelossstandard.Ifthequantityofthegoodsdeliveredbythesellersareinthescopeoftheerror,thesellersshouldnotbeartheresponsibilityforbreachingthecontractandbothpartiesshouldnotpaythepricedifference.
第七条标的物的风险及所有权的转移
Item7Transferringtheriskandownershipofthemarksandthings
1.标的物的风险及所有权自交付之时转移至买受人，即在约定时间、约定地点交付之前标的物的风险由出卖人承担，交付之后标的物的风险由买受人承担。
1.Theriskandownershipofthemarkswillbetransferredtothebuyersatthedeliveringmoment,thatistosay,thesellersundertaketherisksofthemarksbeforethedeliveryattheprescribedplaceandtime,however,afterthedelivery,therisksistransferredtothebuyers.
2.迟延交付的，由造成迟延交付的一方承担迟延期间标的物的风险责任。

第八条交（提）货方式、地点：
买受人在出卖方产地自行提货。

按本合同第二条质量标准进行检验。

2.验收方式：
买受人自行提货的，在出卖人交付产品时，双方按规定提取产品样品，共同封存样品，以备检验。
买受人如有异议，应在交付后的5个工作日内书面提出。

分期支付：
预付款为合同总价的30%，在本合同生效后的3个工作日内支付，产品经买受人验收合格后买受人将合同总价款的70%（即元人民币），支付给出卖人。
买受人在收到出卖人开具的增值税发票后，支付该款项。
Installmentpayment:
Prepaymentis30%ofthecontracttotalamount,itshouldbepaidwithin3workingdayswhenthecontracttakeeffect.Afterthetestingoftheproducts,thebuyerspaytheother70%ofthecontracttotalamount.Paymentwillbemadefromthereceiptoftheinvoicefromthesellers.

第十四条不可抗力
Item14Forcemajeure
1.“不可抗力”是指不能预见、不能避免并不能克服的客观情况，包括但不限于：
天灾、水灾、地震或其他灾难，战争或暴乱，以及其他在受影响的一方合理控制范围以外且经该方合理努力后也不能防止或避免的类似事件。
1.“Forcemajeure”meanstheunforeseeable,inevitableandinsurmountableobjectiveconditions,includingnotjustnaturaldisasters,flood,earthquakeorothercalamity,warorriot,butalsoothersimilareventsthatcan'tbepreventedoravoidedevenifthesellersmakereasonableefforts.
2.由于不可抗力的原因，而不能履行合同或延迟履行合同的一方视不可抗力的实际影响免除部分或全部违约责任。
但受不可抗力影响的一方应在通知可能的情况下立即通知对方，并在不可抗力发生后15日内特快专递邮寄相关的主管部门签发的证明文件，以便其他各方审查、确认。
2.Becauseoftheforcemajeure,thesidecan'tcarryoutthecontractorpostponecarryingoutthecontractisexemptedfrompartoralltheresponsibilityforbreachingthecontract.Butthesideundertheforcemajeureshouldinformtheothersideinstantlyandaftertheforcemajeure,theyshouldexpressthemailoftherelevantdocumentsbytherelatedadministrativedepartmentswithin15days,sothatallsidescancheckorensureit.
3.发生不可抗力事件终止或消除后，受不可抗力影响的一方，应立即通知对方，发生不可抗力事件终止或消除后15日内特快专递邮寄相关的主管部门签发的证明文件确认不可抗力事件的终止或消除。
3.Aftertheendingoreliminatingoftheforcemajeure,thesideundertheforcemajeureshouldinformtheothersideinstantlyandexpressthemailoftherelevantdocumentsbytherelatedadministrativedepartmentswithin15daystoensuretheendingoreliminatingoftheenforcemajeure.
4.如果不可抗力的影响持续超过2个月，受不可抗力影响的一方应与对方取得联系，以便解决进一步履行合同的问题。
4.Iftheinfluenceofforcemajeurelastsmorethan12months,thesideundertheforcemajeureshouldcontactwiththeothersidesothattheycansolvetheproblemsincarryingonthecontractfurther.
第十五条合同的变更和解除
Item15Themodificationandrelievingofthecontract
1.双方协商一致可变更或解除本合同。
合同变更或解除应采取书面形式。
1.Thecontractcanbemodifiedorrelievedonthemutualagreement,anditshouldbedoneinwrittenform。
2.有下列情形之一者，可单方解除合同：
2.Ifitwereononeofthefollowingcircumstances,eithersidecanrelievethecontract:
（1）因不可抗力，不能实现合同目的；
（1）Becauseoftheforcemajeure,theycannotrealizethepurposeofthecontract;
（2）未经双方书面同意，将合同部分或全部权利义务转让给第三方；
（2）Withouttheconsentofthebothsidesinwrittenforms,onesidetransferspartoralltherightsandobligationsofthecontracttoathirdside;
（3）在履行期限届满之前，一方明确表示或者以自己的行为表明不履行主要债务；
（3）Beforetheexpiryofcarryingoutthecontract,onesideclearlystatesorindicatesbyhisconductthathedon'tperformthemajordebt;
（4）一方迟延履行主要债务，经催后在合理期限内仍未履行;
（4）Onesidepostponesperformingthemajordebt,andhestilldoesn'tperformitinreasonabletimelimitaftertheurging.
（5）一方迟延履行债务或者有其他违约行为致使不能实现合同目的；
（5）Onesidepostponesperformingthemajordebtorhehasotherbehaviorforbreachingthecontractsothatitcan'trealizethepurposeofcontract;
（6）法律规定的其他情形。
（6）Othercircumstancesruledbylaw.
3.解除合同方在解除合同时，应履行通知对方义务。

第十六条违约责任
Item16Responsibilityforbreachingthecontract
1.出卖人未按期交付标的，每逾期一日，应向买受人支付延迟交付标的付款金额的5‰的违约金，如出卖人逾期交货超过7日的，除应向买受人支付违约金外，买受人有权解除合同，并要求出卖人赔偿因逾期交货而造成的损失。
1.Ifthesellerscan'tdeliverthegoodsontime,onedayoverdue,thesellersshouldpay5‰paymentamountasliquidateddamages,if,thesellersoverduedeliverymorethan7days,besidesaskingthesellerstopayliquidateddamages,thebuyershavetherighttoterminatethecontractandaskthesellerstopaythecompensationforthelosscausedbythelatedelivery.
2.出卖人交付的标的不符合合同数量约定的数量，出卖人应按买受人要求在合理期限内补足标的数量，同时买受人有权要求出卖人赔偿因其不完全履约而造成的损失。
2.Ifthequantityofthemarkdeliveredbythesellersisnotinconformitywiththeagreedamount,thesellersshouldcomplementthemarkwithinareasonabletimeaccordingtotherequirementsofbuyers,atthesametime,thebuyershavetherighttoaskthesellerstopaythecompensationforthelosscausedbytheincompleteperformanceoftheselles.
3.出卖人交付的标的不符合合同约定的质量，买受人有权拒收和/或要求更换和/或终止合同，出卖人仍须对买受人的损失承担赔偿责任。
在出卖人对质量负责的期限内，如标的出现质量问题，出卖人应在合理期限内负责修理、更换或者退货，因标的质量问题给买受人造成的经济损失仍由出卖人承担。
3.Ifthequalityofthemarkdeliveredbythesellersisnotinconformitywiththeagreedquality,thebuyershavetherighttorefuseand/orrequirereplacementand/orterminatethecontract,thesellersshouldbeartheliabilityforcompensationoftheloss.Withinthetimelimitthatthesellersresponsibleforthequality,ifoccurqualityproblem,thesellersshouldberesponsibleforrepairing,replacementorreturning,thesellersshouldalsobeartheeconomiclossescausedbythequalityproblemtothebuyer
4.买受人未按期付款，没逾期一日，应向出卖人支付逾期付款金额的5‰的违约金，此项违约总额以预期付款金额的10%为限。
