租赁合同

leaseagreement

本租赁合同由下述双方于年月日于中华人民共和国北京市签订:

一、出租人:

4.3租期届满,乙方如要求续租,应在本合同期限届满前两个月提出书面申请，取得甲方同意后，甲、乙双方须另行签署租赁协议。

在租赁期内,乙方承租单元所用的电由大厦的物业管理机构每月按实际耗用量结算,乙方按单缴付。

免租期内承租单元所用的电费由乙方支付。

七、支付方式:

7.1租金应按预付,免租期届满后,乙方于应付款月的第【】号前向甲方支付下期租金。

乙方应按甲方指定的帐户支付本合同项下所有的到期款项，所有付款以人民币计算,以人民币支付。

九、保证金:

9.1自本合同签订之日起日内，乙方应向甲方缴付相当于【】个月的租金计人民币【】元作为保证金及首期租金人民币【】元，共计人民币

9.2本合同期满，如本合同不续租，甲方应在期满后三十（30）天内返还保证金（不计利息）。

如乙方因违约而导致违约金、赔偿金、费用和/或乙方尚未支付任何应付款项，甲方可从保证金中扣除此类违约金、赔偿金、费用和/或未付款项。

9.3在本合同期限内，如有任何应由乙方支付的违约金、赔偿金、费用和/或其他应付款项，甲方可直接从保证金中予以扣除，乙方应在接到甲方书面通知后五

（5）天内补足该部分保证金。

十、大厦及承租区域的交付状态:

甲方按现状交楼，具备办公条件。

十一、甲方的权利义务:

partya’srightsandresponsibilites:

11.1甲方在本租赁合同规定的期限内将房屋交付乙方。

partyashalldeliverthepremisestopartybwithinthetermspecifiedherein.

11.2甲方保证是房屋的合法权利人，有充分的权利出租房屋。

partyashallensurethatitislegalownerofthepremisesandhavefullrighttoleasethepremises.

11.3甲方的权利保留partyamayreservethefollowingrights.11.3.1使用公共设施；tousethepublicfacilities;

11.3.2进入房屋内对公共设施进行检查和维修。

甲方行使该项权利时，应提前通知乙方，紧急情况除外。

toenterintothepremisesforcheckandmaintenanceprovidedthatpartyashallinformpartybinadvanceexceptunderemergency.

11.3.3在发出通知后（紧急情况除外），有权暂停大厦设施进行维修和维护，可能导致水电的中断。

甲方无需为此承担责任。

torepairandmaintainthefacilitiesofthebuildingwhichmayresultinthesuspensionofwaterandelectricity,uponanotice（exceptunderemergency）withoutanyliabilitythereof.11.4甲方应协助提供乙方提供办理工商营业执照所需相关证明文件。

11.5甲方在承租期内促使物业管理机构提供水、电、空调、供暖及日常房屋维修。

partyashallprocurethemanagementdepartmenttoprovidewater,electricity,airconditioning,heatinganddailymaintenanceduringtheleaseperiod.

11.6如在租赁期届满前两个月，乙方未提出续租请求，或者虽然提出续租请求，但双方在三十天内未就续租合同条款达成一致，甲方有权在工作时间带领其他租户进入房屋查看。

ifpartybdoesnotsubmitanapplicationforrenewaltwomonthspriortotheexpirationofthisleaseagreement,orifpartybsubmitssuchapplicationbutthepartiesfailtoreachagreementontherenewal,party

ashallhavetherighttoenterthepremiseswithothertenantatworkhourstoreview.

十二、乙方的权利和义务

partyb’srightsandresponsibilites:

12.1自行负责房屋的装修和设施。

partybshallberesponsibleforthedecorationandfacilitiesofthepremises.

除非经消防局及甲方同意，乙方不得对房屋的主要结构及装置（包括烟感器及喷淋头）作任何变动、拆除或调整。

如乙方擅自做任何变动，应负责将其恢复原状并承担一切费用和相关责任。

partybshallnotalter,change,dismantleoradjustthemainstructureorfacilitiesincludingthesmokesensorandspraywithouttheconsentsofpartyaandfirecontrolauthority.ifpartybmakesanyalteration,dismantleoradjustmentasaforesaid,itshallberesponsibleforrestorationandbearallexpensesandrelatedliabilities.

12.2乙方应根据本合同第六、七、八条的规定按时缴纳租金及各项相关费用。

partybshallpaytherentandotherfeespursuanttoclauses6,7,and8ontime.

12.3乙方应按本合同的规定合理使用房屋，并保持房屋的清洁。

partybshallreasonablyusethepremisesasprovidedhereunderandkeepitclean.

12.4未得到甲方及大厦管理机构的事先同意,乙方不得在窗外、外墙、

公共走廊墙面、电梯间及其它共用区域悬挂、张贴、附置或以其它方式放置任何广告、标识、招贴或其它资料。

partybshallnothang,affix,ordisplayanyadvertisement,signboard,posteroranyothermaterialsonoutsidewindow,outsidewall,publicaislewall,elevatororotherpublicareawithoutthepriorconsentsofpartyaandmanagementdepartment.

12.5乙方在承租期内不得将全部或部分房屋转租、分租或借予第三方。

duringtheleaseterm,partybshallnotsub-letorassigntheleasetoanythirdparty.

12.6乙方在其经营活动中,不得宣称或令顾客误认为其与甲方关系属合作、合营、合伙、联营或关联企业关系。

partybshallnotrepresentorotherwisemisleadthecustomersthatithasanycooperation,jointoperation,partnershiporaffiliationrelationwithpartyaduringitsoperation.

12.7乙方应自行获取依据法律法规和政府有关部门规定应具备的所有许可、批准和证照,保证其营业活动的合法性。

partybshallberesponsibleforobtainingallapprovals,consentsandlicensesrequiredbylawstoensurethatitsoperationislegal.

12.8乙方应自行承担由于乙方工商注册、税务登记、迁址等行为所产生的税、费。

partybshallberesponsibleforanyandalltaxes,feesandexpensesincurredforitsindustrialandtaxationregistrationsandmovingintothepremises.12.9对于第三方因乙方对其造成或在房屋内发生的人身伤害或经济损失而提出的索赔，乙方应自行负责并保证甲方免于此类索赔。

如甲方因此类索赔而遭受损失，乙方保证进行赔偿。

partybshallberesponsibleforandholdpartyaharmlessagainstanyclaimsraisedbythecustomersforanypersonalinjuryandeconomiclossescausedtothecustomersbypartyborcausedinthepremises.partybherebywarrantiesthatitshallindemnitypartyaforanylossescausedtopartyabysuchclaims.

12.10乙方不得在房屋内放置易燃、易爆的物品其他危险物品。

partybshallnotkeeporstoreinthepremisesanyflammableorexplosivesubstancesorotherdangeroussubstances.

12.11乙方应严格遵守甲方和/或大厦物业管理机构制定并不时修改的大厦所有管理规定。

12.12乙方不得在房屋内从事任何违法活动。

partybshallnotcarryoutanyillegalactivityinthepremises.

12.13乙方不得将房屋用于除办公以外的用途。

partybshallnotusethepremisesforanypurposeotherthanasoffice.

12.14若乙方以租赁房屋作为其公司注册地址时，乙方应在租赁合同终止后15日内办理地址注销登记手续，乙方逾期办理的，应每日按月租金千分之三的标准向甲方支付滞纳金，造成甲方损失的，应予以赔偿。

十三、违约责任与合同终止

breachandtermination13.1违约

任何一方违反合同给另一方造成损失的，应当进行赔偿。

13.2在下列任何情况下，本合同终止

thisleaseagreementwillbeterminatedunderanyofthefollowingconditions:

13.2.1租赁期限届满:

theexpirationofthisleaseagreement

13.2.2当一方违反本合同中任何规定，并且另一方书面通知要求其予以纠正的三十（30）日内未能纠正违约行为或者如果该违约是无法纠正的，守约方有权立即终止本合同。

byoneoftheparties,withimmediateeffect,whentheotherpartyisinbreachofthisleaseagreementandsuchbreachisnotcurableorisnotremediedwithinthirty（30）daysafterthepartynotinbreachsendsawrittennoticerequestingthecureofsuchbreach;

13.2.3甲方可以提前六十（60）天的书面通知提前终止本合同，但应双倍返还乙方保证金。

partyamayterminatethisleaseagreementwithasixty（60）daypriorwrittennoticeprovidedthatitshallrefundthedepositindoubleamount.13.2.4如乙方延期支付租金和/或其他各项款项超过十（10）日，甲方有权解除合同，保证金不予退还。

乙方除应支付延期款项外，还应支付逾期付款违约金，数额延期支付金额的0.5%/日，直至乙方全额付清为止。

13.2.6如乙方在房屋内从事任何违法活动或未按照办公用途使用房屋，甲方有权立即书面通知乙方提前终止本合同，保证金不予返还。

ifpartybcarriesoutanyillegalactivityinthepremisesorusethepremisesforotherpurposethanoffice,partyashallhavetherighttoimmediatelyterminatethisleaseagreementwithawrittennoticeandthedepositshallnotberefunded.

13.2.7如乙方将房屋分租或转租第三方，甲方有权以书面通知立即终止合同，并且保证金不返还。

ifpartybsubletsorassignstheleasetoathirdparty,partyashallhavetherighttoimmediatelyterminatethisleaseagreementwithawrittennoticeandthedepositshallnotberefunded.

13.2.8不可抗力forcemajeure

13.2.9一方进入破产、清算、解散或任何类似程序，另一方可以终止本合同，但以善意管理费用或合并为目的的除外。
