Article1.PurposeoftheAgreement:

ForArgustoappointdistributorsofitsTelecommunicationproductsinthePeople’sRepublicofChina.

Article2.AuthoritytoContract:

PriortoorcoterminouswiththesigningofthisAgreement,allpartiestotheAgreementshallprovidenotariseddocumentarycertificationfromtheappropriateauthoritiesinCanadaorthePRC,asthecasemaybe,confirmingtheirlegalstatusandspecificallycapacitytoexecutethisAgreement.

ThepersonsexecutingthisAgreementonbehalfoftheircompanyherebywarrantthattheyhavereceivedallnecessaryauthorisationandthattheyareinallrespectslegallyauthorisedtosignthisAgreementonbehalfoftheircompany,andthattheyhavefulllegalcapacitytodoso,andtheyassumefullpersonalresponsibilityintheeventthattheyshouldbefoundnottohaveobtainedfullandproperauthorisationtoexecutethisAgreement.

Article3.Expenses:

EachpartytothisAgreementisliablefortheexpensesitincursoragreetoincurunderthisAgreement.NopartytothisAgreementmaycommitanyotherpartytopayanyexpansesexceptwiththeexpresswrittenagreementofthatotherparty.

Article4.Appointment:

ArgusherebyappointsWPTasexclusivedistributorofArgusproductsinthePRC（“Distributor”）andWPTherebyappointsBTEFasexclusive“Sub-Distributor”ofArgusproductsinthePRC.

ArgusherebystipulatesandWPTandBTEF,andeachofthem,herebyrecognisesandacknowledgesthatneitherWPTnorBTEFhaveanyauthorityunderanycircumstanceswhatsoevertoappointfurthersub-distributors.

Article5.NoAgency:

TheauthorityofWPTandBTEFisstrictlylimitedtothatofanindependentcontractorandneitherBTEFnorWPTshallbedeemedtobeanemployeeoragentofArgus.Eachpartyshallhave,asbetweentheparties,theexclusiverighttoselect,engage,fixthecompensationof,discharge,andotherwisetosuperviseandcontrolthepersonshiredbyitandshall,withrespecttoallsuchpersons,performallobligationsanddischargeallliabilitiesimposeduponemployersunderlabour,wagehours,workmen’scompensation,unemploymentcompensationorinsurance,socialsecurityandotherfederal,provincialandmunicipallawsandregulations.NeitherBTEFnorWPTshalllistitsplaceofbusinessasageneralofficeofArgus.

NeitherBTEFnorWPTshallhaveanyauthority,right,orpowerwhatsoevertoenterintoacontractorcommitmentonbehalfofArgusorobligateorbindArgusinanyway,norshallBTEForWPTholdthemselvesoutashavinganypower,right,orauthoritytodoso.

Article6.DistributionRightsandExclusivityofDistributorAppointment:

WPTandBTEFshallhavetheexclusiverighttopurchaseArgusproductsforresaleinChina,subjecttothefollowingconditionsandlimitation:

a）ArgusandWPTandBTEFmutuallyrecogniseandagreethat,becauseoftheglobalnatureofTelecommunications,ArgusmaynotbeabletopreventitsproductsfrombeingsoldinthePRCthroughotherchannels（includingbutnotlimitedtodistributors,integratorandcustomersbasedinHongKong,Macau,USA,Canada,etc.）

b）IntheeventthatArgusidentifiesanactualorpotentialcustomerinthePRCtowhomBTEF’ssaleshavenotbeensuccessful,ArgusshallformallyrequestBTEFtoselltothatcustomerortoincreasethesalestothatcustomer,asthecasemaybe.

i）IfBTEFdosenotmakeafirstsaleorincreasethelevelofsales,asthecasemaybe,tothecustomersoidentifiedbyArguswithinsixmonthsofformalnotificationbyArgus,Argusshallhavetherighttoselldirectlytothatcustomer.

Article7.TerritorialRestrictiononDistributorAppointment:

BTEFandWPTshallordinarilysolicitordersfortheresaleoftheproductssolelyformpersons,firmsorcorporationslocatedinthePRCandareexpresslyprohibitedfromsellingArgusproductstoanyentitywhichtheyknoworshouldknowwillre-sellsaidArgusproductsoutsidethePRC.ArguswillconsiderspecificrequestsfromWPTand/orBTEFforexemptionfromtherequirementsofthisarticleonacasebycasebasis.SuchexemptionbyArgusshallonlybeeffectiveifgivenbyArgusinwriting.Furthermore,anysuchexemptionshallnotconstituteawaiveroftherequirementsofthisArticle,whichshallcontinueinfullforceandeffectnotwithstandingthegrantingofexemptioninanyindividualcase.ArgusrecognisesthatWPT/BTEFmaynotbeabletopreventArgusproductsbeingsoldoutsidethePRCthroughotherchannelssuchascustomerswhointegrateorsupplyturnkeyprojects.

Article8.ReportingRequirement:

WPTandBTEFshallusetheirbesteffortstofurnishArguswithsuchreportsonmarketconditionasArgusmaydeemadviseableornecessaryfromtimetotime.inaddition,WPTandBTEFshallprovidetoArgusonaquarterlybasisparticularsofoverallsalesofArgusproductsandshallspecificallyidentifyallnewcustomersobtained.

Article9.ManufacturingOfArgusDesignProductsorProductsDerivedFromArgusDesignProducts:

Argusownsthetechnologyanddesignsincorporatedinallitsproductsand,intheabsenceofspecificprovisionstothecontraryinthisAgreement,doesnotconferuponBTEForWPTanyrightwhatsoevertomanufactureArgusproducts.

Unlessspecificallyauthorisedbytheprovisionsofseparate“LicencetoManufactureAgreement”forArgusproducts,BTEFandWPT,andeachofthem,andanypartiesrelatedtothem,shallnot,andshallensurethattheiremployeesshallnot,directlyorindirectlymanufactureanypowerproductssimilartoorderivedfromproductswhichArgusdesignsormanufactures,norwilltheydistributeanyproductsnotmanufacturedbyArgusthataresimilartoorderivedfromArgusproducts.BTEFandWPTmoreoverwarrantthatneithertheynoranyotherentitiesrelatedtothemorcontrolledbythemshalldirectlyorindirectlymanufactureanypowerproductssimilartoorderivedformproductswhichArgusdesignsormanufactures,norwilltheydistributeanyproductsnotmanufacturebyArgusthataresimilartoorderivedfromArgusproduct.

BTEFandWPTandeachofthemshallnot,andshallensurethatalltheiremployees,otherindividualsandcorporateentitiesrelatedoraffiliatedtoeitherofthemshallnotmanufactureACtoDCrectifiers,DCtoDCconverters,orsupervisorypanelsthatresembleinanyform,orarederivedfrom,theArgusACtoDCrectifiersorDCtoDCconverters,orsupervisorypanels（forexampleallArguspast,presentandfutureproducts,includingbutnotlimitedtotheRST48/50,RST48/100,RST24/100,REM48/30,RSM48/50,RSM48/100,RSM24/100,RSM48/30UPF,RSM48/50UPF,RSM48/100UPF,RSM-------）intermsofmechanicaldesign,circuitboardlayout,orelectricalschematicdesignatanytimeduringandfollowingtheterminationofthisagreement.

InconsiderationofthedistributionrightgrantedbyArgustoWPTandBTEF,WPTandBTEF,Andeachofthem,shallnotpurchase,import,sell,distribute,manufactureorotherwisedealinanyproductcompetitivewithorsimilartoArgus’sproducts.Moreover,WPTandBTEF,andeachofthem,shallnotandshallensurethattheiremployeesdonot,directlyorindirectly,competewithArgusorimitateorcopyanyArgusproductsorhaveaninterestinanybusinessorenterprisewhichshallcompetewhichArgusorimitateorcopytheArgusProductswhichWPTandBTEFareauthorisedhereundertodistribute.ThepartiestothisAgreementherebyexplicitlyrecogniseandagreethattheforegoingcovenantisreasonableandequitableinallthecircumstances.

Article10.CommercialTerms:

Thestandardpaymentterms（allin$UStoArgus）forArgusproductsoldtoWPTandBTEFare50%downpaymentwithorderand50%beforeshipment;orLetterofCreditfor100%ofordervalue,openedattimeoforder,unlessnon-standardtermsaremutuallyagreedinwritingbytheparties.BTEFandWPTarejointlyandseverallyliabletoArgusforpaymentforproductpurchasedbyeitherBTEForWPT.Wherepaymentisbyletterofcredit,WPTandBTEFshallusetheexactletterofcreditformatspecifiedbyArgus.UnlessagreedotherwiseinwritingArgusproductshallbeshippedFOBArgusfactory.

Article11.QuotedShipDates:

Argusquotesshipdatesinoriginalquotationsas“Afterreceiptofbothorderand50%downpaymentorvalidLetterofCredittoArgusformat（ARO）.Thisoriginalquotedshipdateisvalidfor5daysafterquotationdateasfactoryloadingmaychangecausingshipdatestoincreaseordecrease.

Article12.ActualShipmentDateOfProductFromArgusFactory:

NormallyproductwillbeshippedfromthefactoryontheshipdateformallyacknowledgedbyArgustotheorderingpartyaftertheirorderisprocessedbyArgus.Inthecaseofadelayintheshipmentdate（e.g.duetopartsdelays）beyondtheArgusacknowledgeddate,ArguswillnotbesubjecttopenaltiesofanykindunlessagreedtoinwritingbyasigningofficerofArgus.

Article13.Specifications:

ThespecificationsforproductssoldbyArgusareaspublishedinthedatesheetsprintedbyArgusorthoseagreedtoinwritingbyArgusaspart
