Article1ThisLawisenactedforthepurposeofpreventingandrestrainingmonopolisticconducts,protectingfairmarketcompetition,enhancingeconomicefficiency,safeguardingtheinterestsofconsumersandtheinterestsofthesocietyasawhole,andpromotingthehealthydevelopmentofsocialistmarketeconomy.
Article2ThisLawisapplicabletomonopolisticconductsineconomicactivitieswithintheterritoryofthePeople’sRepublicofChina;anditisapplicabletomonopolisticconductsoutsidetheterritoryofthePeople’sRepublicofChina,whichservetoeliminateorrestrictcompetitiononthedomesticmarketofChina.
Article3ForthepurposesofthisLaw,monopolisticconductsinclude:
(1)monopolyagreementsreachedbetweenundertakings;
(2)abuseofdominantmarketpositionbyundertakings;and
(3)concentrationofundertakingsthatlead,ormayleadtoeliminationorrestrictionofcompetition.
Article4TheStateshallformulateandimplementcompetitionruleswhicharecompatiblewiththesocialistmarketeconomy,inordertoimprovemacro-economicregulationandbuildupasoundmarketnetworkwhichoperatesinanintegrated,open,competitiveandorderlymanner.
Article5Undertakingsmay,throughfaircompetitionandvoluntaryassociation,getthemselvesconcentratedaccordingtolaw,toexpandthescaleoftheirbusinessoperationsandenhancetheircompetitivenessonthemarket.
Article6Undertakingsholdingadominantpositiononthemarketmaynotabusesuchpositiontoeliminateorrestrictcompetition.
Article7WithrespecttotheindustrieswhichareunderthecontrolofbytheState-ownedeconomicsectorandhaveabearingonthelifelineofthenationaleconomyornationalsecurityandtheindustrieswhichexercisemonopolyovertheproductionandsaleofcertaincommoditiesaccordingtolaw,theStateshallprotectthelawfulbusinessoperationsofundertakingsintheseindustries,andshall,inaccordancewithlaw,superviseandregulatetheirbusinessoperationsandthepricesofthecommoditiesandservicesprovidedbythem,inordertoprotecttheconsumers’interestsandfacilitatetechnologicaladvance.
Theundertakingsmentionedintheprecedingparagraphshalldobusinessaccordingtolaw,behonest,faithfulandstrictlyself-disciplined,andsubjectthemselvestopublicsupervision,andtheyshallnotharmtheconsumers’interestsbytakingadvantageoftheirpositionofcontrolortheirmonopolisticproductionandsaleofcertaincommodities.
Article8Administrativedepartmentsororganizationsauthorizedbylawsorregulationstoperformthefunctionofadministeringpublicaffairsmaynotabusetheiradministrativepowertoeliminateorrestrictcompetition.
Article9TheStateCouncilshallestablishananti-monopolycommissiontobeinchargeoforganizing,coordinatingandguidinganti-monopolyworkandtoperformthefollowingduties:
(1)studyinganddraftingpoliciesoncompetition;
(2)organizinginvestigationandassessmentofcompetitiononthemarketasawholeandpublishingassessmentreports;
(3)formulatingandreleasinganti-monopolyguidelines;
(4)coordinatingadministrativeenforcementoftheAnti-MonopolyLaw;and
(5)otherdutiesasprescribedbytheStateCouncil.
Thecompositionofandproceduralrulesfortheanti-monopolycommissionshallbespecifiedbytheStateCouncil.
Article10TheauthoritiesresponsibleforenforcementoftheAnti-monopolyLawspecifiedbytheStateCouncil(hereinafterreferredto,ingeneral,astheauthorityforenforcementoftheAnti-monopolyLawundertheStateCouncil)shallbeinchargeofsuchenforcementinaccordancewiththeprovisionsofthisLaw.
TheauthorityforenforcementoftheAnti-monopolyLawundertheStateCouncilmay,inlightoftheneedofwork,empowertheappropriatedepartmentsofthepeople’sgovernmentsofprovinces,autonomousregionsormunicipalitiesdirectlyundertheCentralGovernmenttotakechargeofrelevantenforcementoftheAnti-monopolyLawinaccordancewiththeprovisionsofthisLaw.
Article11Tradeassociationsshalltightentheirself-discipline,giveguidancetotheundertakingsintheirrespectivetradesinlawfulcompetition,andmaintainthemarketorderincompetition.
Article12ForthepurposesofthisLaw,undertakingsincludenaturalpersons,legalpersons,andotherorganizationsthatengageinmanufacturing,orsellingcommoditiesorprovidingservices.
ForthepurposesofthisLaw,arelevantmarketconsistsoftherangeofthecommoditiesforwhich,andtheregionswhere,undertakingscompeteeachotherduringagivenperiodoftimeforspecificcommoditiesorservices(hereinafterreferredto,ingeneral,as“commodities”).
ChapterIIMonopolyAgreements
Article13Competingundertakingsareprohibitedfromconcludingthefollowingmonopolyagreements:
(1)onfixingorchangingcommodityprices;
(2)onrestrictingtheamountofcommoditiesmanufacturedormarketed;
(3)onsplittingthesalesmarketorthepurchasingmarketforrawandsemi-finishedmaterials;
(4)onrestrictingthepurchaseofnewtechnologiesorequipment,orthedevelopmentofnewtechnologiesorproducts;
(5)onjointboycottingoftransactions;and
(6)othermonopolyagreementsconfirmedassuchbytheauthorityforenforcementoftheAnti-monopolyLawundertheStateCouncil.
ForthepurposesofthisLaw,monopolyagreementsincludeagreements,decisionsandotherconcertedconductsdesignedtoeliminateorrestrictcompetition.
Article14Undertakingsareprohibitedfromconcludingthefollowingmonopolyagreementswiththeirtradingcounterparts:
(1)onfixingthepricesofcommoditiesresoldtoathirdparty;
(2)onrestrictingthelowestpricesforcommoditiesresoldtoathirdparty;and
(3)othermonopolyagreementsconfirmedassuchbytheauthorityforenforcementoftheAnti-monopolyLawundertheStateCouncil.
Article15TheprovisionsofArticle13and14ofthisLawshallnotbeapplicabletotheagreementsbetweenundertakingswhichtheycanprovetobeconcludedforoneofthefollowingpurposes:
(1)improvingtechnologies,orengaginginresearchanddevelopmentofnewproducts;or
(2)improvingproductquality,reducingcost,andenhancingefficiency,unifyingspecificationsandstandardsofproducts,orimplementingspecializeddivisionofproduction;
(3)increasingtheefficiencyandcompetitivenessofsmallandmedium-sizedundertakings;
(4)servingpublicinterestsinenergyconservation,environmentalprotectionanddisasterrelief;
(5)mitigatingsharpdecreaseinsalesvolumesorobviousoverproductioncausedbyeconomicdepression;
(6)safeguardinglegitimateinterestsinforeigntradeandineconomiccooperationwithforeigncounterparts;or
(7)otherpurposesasprescribedbylawortheStateCouncil.
InthecasesasspecifiedinSubparagraphs
(1)through(5)oftheprecedingparagraph,wheretheprovisionsofArticles13and14ofthisLawarenotapplicable,theundertakingsshall,inaddition,provethattheagreementsreachedwillnotsubstantiallyrestrictcompetitionintherelevantmarketandthattheycanenabletheconsumerstosharethebenefitsderivedtherefrom.
Article16TradeassociationsmaynotmakearrangementsforundertakingswithintheirrespectivetradestoengageinthemonopolisticpracticesprohibitedbytheprovisionsofthisChapter.
ChapterIIIAbuseofDominantMarketPosition
Article17Undertakingsholdingdominantmarketpositionsareprohibitedfromdoingthefollowingbyabusingtheirdominantmarketpositions:
(1)sellingcommoditiesatunfairlyhighpricesorbuyingcommoditiesatunfairlylowprices;
(2)withoutjustifiablereasons,sellingcommoditiesatpricesbelowcost;
(3)withoutjustifiablereasons,refusingtoenterintotransactionswiththeirtradingcounterparts;
(4)withoutjustifiablereasons,allowingtheirtradingcounterpartstomaketransactionsexclusivelywiththemselvesorwiththeundertakingsdesignatedbythem;
(5)withoutjustifiablereasons,conductingtie-insaleofcommoditiesoraddingotherunreasonabletradingconditionstotransactions;
(6)withoutjustifiablereasons,applyingdifferentialpricesandothertransactiontermsamongtheirtradingcounterpartswhoareonanequalfooting;or
(7)otheractsofabuseofdominantmarketpositionsconfirmedassuchbytheauthorityforenforcementoftheAnti-monopolyLawundertheStateCouncil.
ForthepurposesofthisLaw,dominantmarketpositionmeansamarketpositionheldbyundertakingsthatarecapableofcontrollingthepricesorquantitiesofcommoditiesorothertransactiontermsinarelevantmarket,orpre
