INCOTERMS2000（PART）

　　FCAFREECARRIER（...namedplace）

　　"FreeCarrier"meansthatthesellerdeliversthegoods,clearedforexport,tothecarriernominatedbythebuyeratthenamedplace.Itshouldbenotedthatthechosenplaceofdeliveryhasanimpactontheobligationsofloadingandunloadingthegoodsatthatplace.Ifdeliveryoccursattheseller'spremises,thesellerisresponsibleforloading.Ifdeliveryoccursatanyotherplace,thesellerisnotresponsibleforunloading.Thistermmayheusedirrespectiveofthemodeoftransport,includingmultimodaltransport.

　　"Carrier"meansanypersonwho,inacontractofcarriage,undertakestoperformortoprocuretheperformanceoftransportbyrail,road,air,sea,inlandwaterwayorbyacombinationofsuchmodes.

　　Ifthebuyernominatesapersonotherthanacarriertoreceivethegoods,thesellerisdeemedtohavefulfilledhisobligationtodeliverthegoodswhentheymedeliveredtothatperson.

　　ＡTHESELLER'SOBLIGATIONS

　　A1Provisionofgoodsinconformitywiththecontract

　　Thesellermustprovidethegoodsandthecommercialinvoice,oritsequivalentelectronicmessage,inconformitywiththecontractofsaleandanyotherevidenceofconformitywhichmayberequiredbythecontract.

　　B1Paymentofprice

　　Thebuyermustpaythepriceasprovidedmthecontractofsale.

　　A2Licenses,authorisationsandformalities

　　Thesellermustobtainathisownriskandexpenseanyexportlicenseorotherofficialauthorizationandcarryout,whereapplicable1,allcustomsformalitiesnecessaryfortheexportofthegoods.

　　B2Licenses,authorizationsandformalities

　　Thebuyermustobtainathisownriskandexpenseanyimportlicenseorotherofficialauthorizationandcarryout,whereapplicable2,allcustomsformalitiesfortheimportofthegoodsandfortheirtransitthroughanycountry.

　　A3Contractsofcarriageandinsurance

　　a）Contractofcarriage

　　Noobligation3.However,ifrequestedbythebuyerorifitisCommercialpracticeandthebuyerdoesnotgiveaninstructiontothecontraryinduetime,thesellermaycontractforcarriageonusualtermsatthebuyer'sriskandexpense.Ineithercase,thesellermaydeclinetomakethecontractand,ifhedoes,shallPromptlynotifythebuyeraccordingly.

　　b）Contractofinsurance

　　B3Contractsofcarriageandinsurance

　　a）Contractofcarriage

　　Thebuyermustcontractathisownexpenseforthecarriageofthegoodsfromthenamedplace,exceptwhenthecontractofcarriage,ismadebythesellerasprovidedforinA3a）.

　　b）Contractofinsurance

　　Noobligation5.

　　A4Delivery

　　Thesellermustdeliverthegoodstothecarrieroranotherpersonnominatedbythebuyer,orchosenbythesellerinaccordancewithA3a）,atthenamedplaceonthedateorwithintheperiodagreedfordelivery.

　　Deliveryiscompleted,

　　a）Ifthenamedplaceistheseller'spremises,whenthegoodshavebeenloadedonthemeansoftransportprovidedbythecarriernominatedbythebuyeroranotherpersonactingonhisbehalf.

　　b）Ifthenamedplaceisanywhereotherthana）,whenthegoodsareplacedatthedisposalof'thecarrieroranotherpersonnominatedbythebuyer,orchosenbythesellerinaccordancewithA3a）ontheseller'smeansoftransportnotunloaded.

　　Ifnospecificpointhasbeenagreedwithinthenamedplace,andifthereareseveralpointsavailable,thesellermayselectthepointattheplaceofdeliverywhichbestsuitshispurpose.

　　Failingpreciseinstructionsfromthebuyer,thesellermaydeliverthegoodsforcarnagemsuchamannerasthetransportmodeand/orthequantityand/ornatureofthegoodsmayrequire.

　　B4Takingdelivery

　　ThebuyermusttakedeliveryofthegoodswhentheyhavebeendeliveredinaccordancewithA4.

　　A5Transferofrisks

　　Thesellermust,subjecttotheprovisionsofB5,bearallrisksoflossordamagetothegoodsuntilsuchtimeastheyhavebeendeliveredinaccordancewithA4.

　　B5Transferofrisks

　　Thebuyermustbearallrisksoflossofordamagetothegoods

　　fromthetimetheyhavebeendeliveredinaccordancewithA4;and

　　fromdieagreeddateortheexpirydateofanyagreedperiodfordeliverywhichariseeitherbecausehefailstonominatethecarrieroranotherpersoninaccordancewithA4,orbecausethecarrierorthepartynominatedbythebuyerfailstotakethegoodsintohischargeattheagreedtime,orbecausethebuyerfailstogiveappropriatenoticeinaccordancewithB7,provided,however,thatthegoodshavebeendulyappropriatedtothecontract,thatistosay,clearlysetasideorotherwiseidentifiedasthecontractgoods.

　　A6Divisionofcosts

　　Thesellermust,subjecttotileprovisionsofB6,pay

　　allcostsrelatingtothegoodsuntilsuchtimeastheyhavebeendeliveredinaccordancewithA4;and

　　whereapplicable6,thecostsofcustomsformalitiesaswellasallduties,taxes,andotherchargespayableuponexport.

　　B6Divisionofcosts

　　Thebuyermustpay

　　allcostsrelatingtothegoodsfromthetimetheyhavebeendeliveredinaccordancewithA4;and

　　anyadditionalcostsincurred,eitherbecausehefailstonominatethecarrieroranotherpersoninaccordancewithA4orbecausethepartynominatedbythebuyerfailstotakethegoodsintohischargeattheagreedtime,orbecausehehasfailedtogiveappropriatenoticeinaccordancewithB7,provided,however,thatthegoodshavebeendulyappropriatedtothecontract,thatistosay,clearlysetasideorotherwiseidentifiedasthecontractgoods;and

　　whereapplicable7,allduties,taxesandotherchargeswellasdiecostsofcarryingoutcustomsformalitiespayableuponimportofdiegoodsandfortheirtransitthroughanycountry.

　　A7Noticetothebuyer

　　ThesellermustthebuyersufficientnoticethatthegoodshavebeendeliveredinaccordancewithA4,ShouldthecarrierfailtotakedeliveryinaccordancewithA4atthetimeagreed,thesellermustnotifythebuyeraccordingly.

　　B7Noticetotheseller

　　ThebuyermustgivethesellersufficientnoticeofthenameofthepartydesignatedinA4mid,wherenecessary.specifythe.modeoftransport,aswellasthedateorperiodfordeliveringthegoodstohimand,asthecasemaybe,thepointwithintheplacewherethegoodsshouldbe.deliveredtothatparty.

　　A8Proofofdelivery,transportdocumentorequivalentelectronicmessage

　　Thesellermustprovidethebuyerattheseller'sexpense.withtheusualproofofdelivery,ofthegoodsinaccordancewithA4.

　　Unlessthedocumentreferredtointheprecedingparagraphisthetransportdocument,thesellermustrenderthebuyeratthelatter'srequest,riskandexpense,everyassistanceinobtainingatransportdocumentforthecontractofcarriage（forexampleanegotiablebilloflading,anon-negotiableseawaybill,aninlandwaterwaydocument,anairwaybill,arailwayconsignmentnote,aroadconsignmentnote,oramultimodaltransportdocument）.

　　Whenthesellerandthebuyerhaveagreedtocommunicateelectronically,thedocumentreferredtointheprecedingparagraphmayhereplacedbyanequivalentelectronicdatainterchange（ED1）message.

　　B8Proofofdelivery,transportdocumentorequivalentelectronicmessage

　　ThebuyermustaccepttheproofofdeliveryinaccordancewithA8.

　　A9Checking-packing-marking

　　Thesellermustpaythecostsofthosecheckingoperations（suchascheckingquality,measuring,weighing,counting）whicharenecessaryforthepurposeofdeliveringthegoodsinaccordancewithA4.

　　Thesellermustprovideathisownexpensepackaging（unlessitisusualfortheparticulartradetosendthegoodsofthecontractdescriptionunpacked）whichisrequiredforthetransportofthegoods,totheextentthatthecircumstancesrelatingtothetransport（forexamplemodalities,destination）aremadeknowntothesellerbeforethecontractofsaleisconcluded.Packagingistohemarkedappropriately.

　　B9Inspectionofgoods

　　Thebuyermustpaythecostsofanypreshipmentinspectionexceptwhensuchinspectionismandatedbytheauthoritiesofthecountryofexport.

　　A10Otherobligations

　　Thesellermustrenderthebuyeratthelatter'srequest,riskandexpense,everyassistanceinobtaininganydocumentsorequivalentelectronicmessages（otherthanthosementionedinA8）issuedortransmittedinthecountryofdeliveryand/oroforiginwhichthebuyermayrequirefortheimportofthegoodsand,wherenecessary,fortheirtransitthroughanycountry.

　　Thesellermustprovidethebuyer,Uponrequest,withthenecessaryinformationforprocuringinsurance.

　　B10otherobligations

　　Thebuyermust,payallcostsandchargesincurredinobtainingthedocumentsorequivalentelectronicmessagesmentionedinA10andreimbursethoseincurredbythesellerinrenderinghisassistanceinaccordancetherewithandincontractingforcarriageinaccordancewithA3a）.

　　Thebuyermustgivethesellerappropriateinstructionswhenevertheseller'sassistanceincontractingforcarriageisrequiredinaccordancewithA3a）.

　　FOBFREEONBOARD（...namedplace）

　　"FreeonBoard"meansthatthesellerdeliverswhenthegoodspasstheship'srailatthenamedportofshipment.Thismeansthatthebuyerhastobearallcostsandrisksoflossofordamagetothegoodsfromthatpoint.TheFOBtermrequiresthesellertoclearthegoodsforexport.Thistermcanbeusedonlyforseaorinlandwaterwaytransport.Ifthepartiesdonotintendtodeliverthegoodsacrosstheship'srail,theFCAtermshouldbeused.
