第一船二万吨，（+/-10%的溢短装由买方决定）如果第一船货物未能装运或者装运货物不合格，买方可以不续约。

4．PRICEADJUSTMENTANDREJECTIONGOODS价格的调整和拒收:

4.1Fecontenttake53%ascriterion,ifFecontentisexcess1.0%thepricewillbeincreaseUS$1.00/DMT,IfFecontentreduce1%thepricewillbedeductUS$1.00/DMT.IfFecontentLowerthan51%Buyerhastherighttorejectthegoods.

铁（Fe）含量以53%为基准，高出的部分每增加1.0%,每干吨加1.00美元，不足的部分每减少1%，每干吨减1.00美元。

若铁（Fe）含量低于51%买方有权拒收。

4.2SiO2takes10%ascriterion,every1%exceedwillbedeductedUS$0.10/DMT.Ifnotupto1%becalculatedproportionally.Ifunder8%,every1%decreasewillbebonusUS$0.10/DMT.Ifnotupto1%becalculatedproportionally.

二氧化硅含量10%为基准，超出的部分每增加1%扣US$0.10/干吨。

不足1%按比例计算。

降低的部分每减少1%奖励US$0.10/干吨。

4.3Al2O3takes3%ascriterion,every1%exceedwillbedeductedUS$0.10/DMT.

若二氧化钛含量超过0.25%买方有权拒收。

5．PAYMENTTERMS

付款条件

This20,000DMTIronOreSalesContractwillbepaidbyT/Tin3portions:

本2万吨铁矿石的买卖合约分3次以电汇付款：

5.1AfterbothpartiessignedContract,Sellershouldarrange20,000DMTofqualifiedIronOreasabovespecificationmentionedreadyforBuyer’sinspection.BuyerwillarrangeInternationalindependentSurveyor（CCIC）

toinspectatthesiteatbuyer’sowncost.Iftheinspectionresultisfulfillthiscontract’srequirement,within3bankingdaysBuyershouldT/Tthe1st40%ofthe20,000DMT’spaymentUS$336,000（USDollarsThreeHundredThirtySixThousand）toSeller.Sellerthentransportthe20,000DMTofIronOretoBuyer’sstockpileatthePanjangPort（RentalwillpaybySeller）.

买卖双方签约后，卖方应备妥如本合约规范要求的2万吨磁铁矿供买方验货。

买方将自费安排国际独立验货公司（如CCIC）到卖方现货现场取样。

报告出来如符合要求，3个工作天内买方须电汇2万吨铁矿的第一笔40%货款US$384,000（384000美元）给卖方。

卖方马上安排将2万吨的铁矿石运送到在Panjang港卖方租用的堆场。

5.2The2nd40%whichisUS$384,000paymentwillbetransferwhenIronOre

startloadingtotheMotherVessel.

第二笔40%384,000美元的货款於铁矿石开始上母船时电汇。

5.3Thebalance20%paymentUS$192,000willbetransferwhenSellerhand

overallnecessarydocuments.Thedocumentscontents:

a.Invoice（发票）

b.BillofLading（提单）

c.CertificateofQuality（品质证明书）

d.CertificateofWeight（重量证明书）

e.CertificateofCountryofOrigin（原产地证明书）

20%的尾款192,000美元於交付上述必要文件时付清。

6．PAYMENTDOCUMENTSREQUIRED:

付款单据：

6.1TheBuyeragreedtopay100%ofthecontractedshipmentvalueundertheFOBTtermwhenthefollowingdocumentspresentbytheseller.

买方同意支付依FOBT条款之合同价格数量的100%给卖方。

但卖方需

出具下列FOBT条款的文件：

A.）Invoicein3（three）originaland3（three）copiesindicatingcontractnumber,productvalueandthenameofcarryingvessel.

发票3正3副注明合同号，货物金额及承运船名。

B.）CertificateofQualityofcontractedgoodsin1（one）originaland3（three）CopiesissuedbyCCICIndonesia..TheCertificateofQualityshouldshowactualresultofthetestofchemicalcomposition.

由印尼CCIC公司签发的品质证明1正3副，品质证明显示化学成分测试的实际结果。

C.）CertificateofWeightofcontractedgoodsin1（one）originaland3（three）CopiesissuedbyCCICIndonesia.,showingtheactualweightloadedonvesselunderthecontract.

由印尼CCIC公司签发的重量证明1正3副，显示此合同实际装船重量。

D.）CertificateofOriginin1（one）originaland3（three）copiesdetailingthenameofcommodity,loadedquantity,andthenameofcarryingvessel.

原产地证明1正3副，详细注明产品名称，装货数量及承运船名。

E.）Copyoftheshippingdocumentshouldfax/emailtotheBuyerwithin5workingdaysaftercompletionofloading.Itshouldadvisecontractnumber,nameofcommodity,invoicevalue,grossweight,netweightandnameofcarryingvessel,shipmentdate,B/Lnumber,ETAdateatdestinationandthecountryoforiginal.

在完成装船后的5天之内传真/电邮给买方全套装船文件。

内含合同号，品名，发票金额，毛净重，船名，发运日期，提单号，预计到达卸货港日期

及产地证明。

7．SAMPLINGANDANALYSIS样品分折

7.1.TheSellershalldesignateauthorizeCCICIndonesia.inspection

organizationtoinspectthechemicalcomposition,physicalcharacteristicsandweightetc.attheloadingportinaccordancewiththe

internationalstandard.Theinspectioncertificateshouldbeprovidedas

statedinabovementionedArticle3and4asthebasisoftheinvoice.

卖方在装货港须按国际标准，指定由印尼CCIC独立检验机构针对货品的化学成分，物理特性，重量等，如条款“3和4“规格约定之检验提供证明，作为发票的基础。

7.2.Theinspectioncertificateshallindicatetheresultofthesurveytodeterminethequantity（todeterminethewatercontent,thecalculationshallbeenclosed）,chemicalcomposition,physicalcharacteristics,waterlossatthetemperatureof105OC

检验证明必须叙明水尺测量的数量证明（以议定查校后实际随分量并附带详细计算清单），化学成分，物理特性，摄氏105oC水分流失量。

7.3TheBuyerhastherighttoappointarepresentativeaspersupervisorto

presentatsamplinganalysisattheloadingportathisowncost.

买方有权以自费指派代表，于装货港抽样分析时，出席为监察员。

7.4TheBuyeragreesthattheSellermayappointarepresentativetopresentat

thesamplinganalysisatthedischargeportatitsowncost.

买方同意卖方可以自费指派代表，于卸货港抽样分析时，出席为监察

员。

7.5Thetwopartiesshallrespectivelypayfortheexpensesincurredinthe

inspection

双方就检验所发生的费用各自负担。

8.TheSellermustcomplyallregulationoftheIndonesiaGovernment.Seller

mustarrangetherelativeexportCustomsformalitieslegally,otherwisethe

Sellershallbearalleconomicandlegalresponsibility.

卖方必须符合印尼政府的所有规定，必须安排相关的合法出口文件，否

则卖方必须负担所有的经济损失及法律责任。

9.SHIPPINGTERM:

货运条款

9.1ShipmentshallbemadefromportofloadinginvesselarrangedbytheBuyer.

TheBuyershallnominateaperformingvesseltotheSelleratleastfourteen

（14）dayspriortothecommencementofthelaycanandtheSellershallcon-

firmtheacceptanceofthevesselwithinone

（1）workingdayfromsuch

nomination.Theperformingvesselshouldhaveatleast4cranes/derrickof

minimum15MTcapacityeachandtheloadingshallbevariedaccordingto

crane/derrickcapacity.

运货之船舶由买方安排，货运由装货港算起。

买方於母船抵港前14天要通知卖方，卖方在24小时内要确认接受。

买方来的船应该含4套吊杆及抓斗。

其每斗容量至少要有15吨。

9.2Masterofthevesselshallcabletheloadingportagentandfurthernotifythe

Seller7days,72hours,48hoursand24hourspriortothevesselestimated

timeofarrivalatPortofLoading-Panjang.

船东於船抵港7天前，72小时前，48小时前及24小时前，要通知其装货

港（Panjang港0的代理及卖方。

9.3DemurrageandDispatch:

Rateofdemurrageanddispatchmoneypertwenty（24）hoursdayorprorateforportofloading.Demurrage/Dispatchifanywillbesettledwithin9daysaftercompletionofLoadingandpresentationoflaytimesheet/noticeofreadiness/statementoffact.

Sellershouldberesponsibleforfullcargoandallnecessaryexportdocumentation&exportLicense/formalities/sufficienttransport/laborsetc.tobefullyreadon/beforevessel’sarrival
