partyBshallcompleteinstallationwithintheinstallationdates.Uponcompletionofinstallation,partyBshallsubmittopartyAwrittenchecksmaterialtofacilitatechecksforacceptancebypartyA.Uponreceivingformalwrittenchecksmaterial,partyAshalldispatchitsstafftocompleteacceptancecheckswithinthreedays.ItshallbedeemedaspartyA’sacceptanceoftheprojectifitlodgesnoobjectionwithinthethree-dayperiod.

八、付款条件

Termsofpayment:

1、本合同签定时，甲方立即支付本合同总金额之 50%即（大写）人民币为本合同之预付货款。

货物所有权：

本合同之货品，于甲方付清合同之总金额后，所有权归属甲方。

在甲方尚未付清合同总金额之前无论该货品是否已交至甲方指定之交货地点，其所有权仍归属乙方。

OwnershipofthegoodsunderissueintheContractshallbetransferredtopartyAafteritpaysupthetotalofthecontractprice.OwnershipshallremainwithpartyBbeforepartyApaysuptotalcontractprice,nomatterwhetherthegoodshavebeendeliveredtoalocationdesignedbypartyA.

九、本合同甲方采用之付款方式为（请打√） 支票 汇票 汇款至乙方指定之账户，现金。

如甲方付款之方式为现金，乙方人员至甲方收款时，乙方人员必须出示乙方盖公章之委托授权收款书，交由甲方后，甲方始得付款。

十、合同签定后，甲方若未能依约支付预付货款，乙方将不予以下单生产。

若因此乙方未能于合同所订立之期间交货及安装，其责任由甲方负责。

UponsigningtheContract,partyBshallnotissueproductionbillsifpartyAfailstopaythedownpaymentpursuanttotheContract.TheresultantfailureofpartyBtoperformdeliveryandinstallationwithintheperiodssetbytheContractshallbethesoleresponsibilityofpartyA.（Thetotalcontractpriceincludesthecostsforfurnitureinstallationanddelivery）.

十二、交货前乙方将先行派员至现场勘察甲方之交货现场环境，若交货环境不适合本合约产品进入或不适合安装，乙方将以书面形式告知甲方现场不适合交货及安装之原因。

乙方有权推迟交货安装时间，直至甲方改善现场环境，并经乙方确认，如因此而无法于本合同所定之时间内完成交货及组装，其责任不在乙方，所产生的后果由甲方自行承担，甲方不得追究乙方的责任。

PartyBshalldispatchstafftochecktheenvironmentofpartyA’sdeliverylocationbeforetheactualdelivery.Iftheenvironmentisnotsuitableforthephysicaldeliveryorinstallationofthecontractedgoods,partyBshallnoticepartyAinwritingthereasonswhythelocationisnotsuitablefordeliveryorinstallation.PartyBretainstherighttopostponethedatesofdeliveryorinstallationtilltheenvironmentofthelocationisimprovedbypartyAandtheimprovementsaresubsequentlyconfirmedbypartyB.IfforthesereasonsdeliveryorinstallationcannotbecompletedwithinthedatessetintheContract,theresponsibilityshallnotresideinpartyB.TheresultantconsequencesshallbetakenupbypartyAalone,anditshallhavenorighttoallotresponsibilitytopartyB.

十三、本合同双方在履行过程中遇有争议，由当事人双方协商解决，协商不成，当事人双方同意将争议提交上海市仲裁委员会仲裁，该仲裁裁决是终局的。

BothpartiesshallnegotiateasettlementtotheirdisputesifanyarisewhentheContractisperformed.Bothpartiesagreetosubmittheirdisputestoanarbitrationcommitteeforarbitrationifasettlementisnotpossible.Thearbitrationshallbethefinaljudgment.

十四﹑质保期:

我司产品于正常使用情况下保用五年，于一年内产品的零部件如有非因人为因素造成的损坏我司将予以免费维修。

AlltheHI-TECHproductswillbefreefrommanufacturingdefects,undernormaluseandcarewithinoneyear,overoneyearthespecifiedwarrantyperiodthepartsmustbecharged.

十五、本合同一式两份，双方各执一份，并至双方签章之日起生效。

TheContractshallbeintwocopieswitheachpartyholdingoneofthem.TheContractshallbeeffectiveonthedatewhenbothpartiessignandsealit.
