1.Introduction(介绍)
1.0.1ChinaHR(theCompany)iscommittedtomaintainingthehighestethicalstandardsintheoperationofitsbusinessandsetsthisCodeofConductandEthicsPolicy(thePolicy).ThisPolicyrequiresallthecompany’semployeestoobservehighstandardsofbusinessandpersonalethics,topracticehonestyandintegrity,andcomplywithallapplicablelawsandregulationsintheconductoftheirdutiesandresponsibilities.
2.RolesandResponsibilitiesofthePolicy(此政策的职责)
2.0.1
ThisPolicyiscreatedtohelpemployeesmakeconsistentethicaldecisionswhenconductingtheCompany'
sbusinessandtheirduties.
2.0.2AllemployeesoftheCompanyhavearesponsibilitytocomplywiththePolicyintheirroles.ViolationsofthePolicymayresultindisciplineuptoandincludingterminationofemployment.
2.0.3InorderforthePolicytobesuccessfulitneedstobeopen,transparent,andfairandhavefullbuy-infromalltheemployees.Asafirststeptoestablishingthisculture,allemployeeswillbecoachedonthePolicyandmustsignadeclarationconfirmingthattheyfullyunderstandandabidebythePolicy.
3.EthicsCulture(企业道德文化)
3.0.1ChinaHRpromotesastrongcultureofethicalbehaviourfromallemployeeswheninteractingwithcolleagues,customers,suppliers,andthewiderpublic.
3.0.2Allemployeesareexpectedto:
∙Atalltimes,exerciseduecare,skill,prudenceanddiligenceandactintheupmostgoodfaithinthedischargeoftheirfunctions.
∙Acthonestly,fairlyandprofessionallyinthebestinterestoftheCompanyandupholdtheCompany’sethicalstandardsinallofourbusinessactivitiesandrelationships.
∙Engageinandpromoteethicalbehaviourincludingseekingtoavoidconflictsofinterest(asoutlinedintheConflictsofInterestPolicy(Ref.Pol-CG-201404-2)),suchas,avoidanceofacceptinggifts,hospitality,preferentialtreatmentorbenefitsofanykindconnectedwiththeirrolewithintheCompanywhichmightaffectorappeartoaffecttheabilityoftheemployeetomakeanindependentjudgement/decisionorwhichmightbeharmfultothereputationtotheCompany.
∙Avoidanceoftheuseofconfidentialinformationforpersonalgain.
∙Actincompliancewithapplicablelegalandregulatoryrequirementsandinternalpoliciesandproceduresandconfidentialityrequirements.
∙Encourageaworkenvironmentwhereethicalconductisrecognized,valuedandexemplifiedbyallemployees.
∙Protectcompanyassetsandensuretheirproperuse.
∙Beaccountablepersonallyforadherencetoalllegislationandregulation,andcompanypoliciesandprocedures.
∙Reportanyillegalorunethicalbehaviouroranyotherbehaviourthatviolateslegislationandregulation,and/orcompanypoliciesandprocedures.
3.0.3Inadditiontothosebasicprinciplesmentionedin3.0.2above,thefollowingtopicsrequirespecialattention.Manyofthesetopicsarecoveredbyexistingcompanypolicieswhichremainineffect.
4.FairDealing(公平交易)
4.0.1AllemployeesshouldendeavourtodealfairlywiththeCompany'
sclients,suppliers,competitorsandotheremployees.Nooneshouldtakeunfairadvantageofanyoneelsethroughmanipulation,concealment,abuseofprivilegedinformation,misrepresentationofmaterialfacts,oranyotherunfairdealingpractice.
6.0.2ThisrequirementoffairdealingdoesnotaltertheCompany'
sanditsemployees’existinglegalrightsandobligations.
5.ConflictsofInterest(利益冲突)
5.0.1Conflictofinterestisasituationwherethereisanactual,potentialorperceiveddivergencebetweentheindividualinterestsofanemployeeandhis/herprofessionalandworkrelatedobligationstohis/heremployer,suchthatanindependentobservermightreasonablyquestionthattheemployee’sconductmayhavebeeninfluencedbyhisorherownprivateinterestsorpersonalcircumstances.
5.0.2Allemployeesareexpectedtoavoidactionsandrelationshipswhichmightconflictorappeartoconflictwithhis/herjobresponsibilitiesortheCompany’sinterests.Withproperandpromptdisclosure,manyconflictsofinterest,andapparentconflictsofinterest,canbeeffectivelymanagedandcontrolledwithoutnegativeconsequencesorimpactontheCompany’sreputationandintegrityortheindividualsinvolved.Potentialconflictsmustbereportedimmediatelytohis/herlinemanagerinaccordancewiththeConflictofInterestPolicy(Ref.Pol-CG-201404-2),Section10.
6.CorporateInterest(企业利益)
6.0.1EmployeesoweadutytotheCompanytoadvancetheCompany'
slegitimateinterestswhentheopportunitytodosoarises.
8.0.2Therefore,itisimproperto:
∙usetheCompany'
sproperty,information,ortheemployee’spositionforpersonalgain;
∙competewiththeCompanydirectlyorindirectly;
or
∙makedecisionsortakeactionsthatarecontrarytothebestinterestsoftheCompany.
7.ProtectionandProperUseofCompanyAssets(保护及合理使用公司资产)
7.0.1Theft,carelessnessandwastehaveadirectimpactontheCompany'
sbusiness.WeshouldprotecttheCompany'
sassetsandensuretheirefficientuse.AllCompany’sassetsshouldbeusedforlegitimatebusinessorauthorizedincidentalpurposesonly.
8.Whistle-Blowing(举报)
8.0.1Itisessentialthatanethicscultureisoverarchingandpermeateseverythingthatisdonebyallemployees.ShouldanysingleemployeeorgroupofemployeesbreachthecodeofethicsculturewithintheCompanyothersshouldbeabletoreportonsuchbreachesinamannerthatisconfidential.
8.0.2ThisPolicyencouragesallemployeessharetheirquestions,concerns,suggestionsorcomplaintswithsomeonewhocanaddressthemproperly.TheHeadofInternalAuditisideallypositionedtoaddressanyareaofconcern.However,ifemployeesarenotcomfortablespeakingwiththeHeadofInternalAuditortheemployeesarenotsatisfiedwiththeresponsefromtheHeadofInternalAudit,theemployeesshouldthendiscussthematterwiththeExecutiveManagement,ChinaCEO,oranyadedicatedthirdpartyconsultantasstatedintheWhistle-BlowingPolicy(Ref.Pol-CG-201404-1),andtheProtectionsandProceduresforReportingMisconduct(Whistle-Blowing)(Ref.Pro-CG-201404-1).
8.0.3ThisPolicyisintendedtoencourageandenableemployeestoraiseseriousconcernswithintheCompanypriortoseekingresolutionoutsidetheCompany.Inordertofacilitatereportingofbreachesorsuspectedbreaches,noretaliationwillbetakenagainstthewhistleblower(s)iftheallegationshouldproveunfounded.Thiswillbeenforcedasfollows:
∙Noemployeewhoingoodfaithreportsaviolationofthecompanypoliciesandproceduresshallsufferharassment,retaliationoradverseemploymentconsequence.
∙Anemployeewhoretaliatesagainstsomeonewhohasreportedaviolationingoodfaithwillbesubjecttodisciplineuptoandincludingterminationofemployment.
8.0.4ItistheresponsibilityofallemployeestoreportviolationsorsuspectedviolationsinaccordancewiththisPolicy,Whistle-BlowingPolicy(Ref.Pol-CG-201404-1),andtheProtectionsandProceduresforReportingMisconduct(Whistle-Blowing)(Ref.Pro-CG-201404-1).
8.0.5Anyonefilingacomplaintconcerningaviolationorsuspectedviolationofthecompanypoliciesandproceduresmustbeactingingoodfaithandhavereasonablegroundsforbelievingtheinformationdisclosedindicatesaviolationofthecompanypoliciesandprocedures.Anyallegationsthatprovenottobesubstantiatedandwhichprovetohavebeenmademaliciouslyorknowinglytobefalsewillbeviewedasaseriousdisciplinaryoffence.
8.0.6Violationsorsuspectedviolationsmaybesubmittedonaconfidentialbasisbythecomplainantormaybesubmittedanonymously.Reportsofviolationsorsuspectedviolationswillbekeptconfidentialtotheextentpossible,consistentwiththeneedtoconductanadequateinvestigationinaccordancewiththeWhistle-BlowingPolicy(Ref.Pol-CG-201404-1),andtheProtectionsandProceduresforReportingMisconduct(Whistle-Blowing)(Ref.Pro-CG-201404-1).
9.Confidentiality(保密条款)
9.0.1AllemployeesarerequiredtomaintaintheconfidentialityandrespecttheproprietarynatureofinformationentrustedtousbytheCompanyoritsclients,exceptwhendisclosureisauthorizedorlegallymandated.Confidentialinformationincludesallnon-publicinformationthatmightbeofusetocompetitors,orharmfultotheCompanyoritsclients,ifdisclosed.
10.ManagementResponsibilities(管理层职责)
10.0.1Bynatureoftheirjobandopportunities,managershavegreaterresponsibilitiesthanotheremployeesinimplementingthisPolicy,aswellanyothercompanypoliciesandprocedures.
10.0.2All
