theshipperwishestohaveitsequipmentinthecentralterminalmovedfromthecurrentaddressto新地址andthecarrierisinthebusinessofmovingservicesandassurestheshipperthatithasthefacilities,personnel,andtechnicalexpertisenecessarytocarryoutthesinglefull-servicemove.inconsiderationofthemutualpromises,covenants,andagreementscontainedherein,boththepartiesreachtheagreementasfollows,subjecttothecontractlawsofpeople＇srepublicofchina.hence,theresponsibilities,rights,andobligationsofeachpartyarespecifiedwiththeviewtoensuringthatbothpartieswillhonorablyputtheagreementintoexecution.

[免责条例]

（1）针对甲方需搬迁的设备，乙方只负责硬件设备搬迁不负责数据和软件安全。

（2）对于搬迁的设备，乙方如果需对设备进行拆装，以后因拆装引起的保修问题由甲方负责。

exemptions

1.inperformingtheservicesstipulatedintheagreement,thecarriershallberesponsibleformovingtheshipper＇shardwareonly,butshallnotinanywaybeheldliableforthesafetyorintactnessofthedatabaseandsoftwareconcerned.

2.also,thecarriershalluninstallandinstalltheequipment（asdefinedbelow）,butanyproblemarisingthereofinconnectionwithmaintenaceandrepairoftheequipmentshallbehandledbytheshipperonly.

甲乙双方在搬迁完三个工作日内：

乙方根据《搬迁验机单》统计此次搬迁设备所产生的费用，将《费用清单》以书面形式交付甲方，甲方核实无误后签字确认，此《费用清单》原件甲乙双方各持一份（《费用清单》见附件b）。

注：

因本合同所产生搬迁设备数量无法在搬迁前确认及统计，所以具体费用以《费用清单》为准。

withinthreedaysaftertheservicesagreedonarecompleted,thecarrieristoaddupthetotalcostoftheservicesonthebasisofthedeliveryreceiptdulysignedbytheshipperandthenpresentthedetailedbillinwritingtotheshipper.afterverifyingthebill,theshippershallsignonit.afterthat,eachpartyshallbegivenonecopyofthesignedbill（seeattachmentb）.

note:

sincetheworkloadinvolvedwiththeagreementcannotbepreciselyestimatedbeforethemove,theactualexpensesshalldependonnothingotherthanthefinaldetailedbill.

[甲方搬迁前准备]

1.做好所有数据备份，确保数据安全；

2.选择一条以上运输线路图，提前五日提供给乙方；

3.检测新机房温度，湿度，电源环境（注:

地线必须接地）达到设备使用要求；

4.提前办理好搬迁所需的出入门及相关手续，以便搬迁顺利；

5.甲方提供一位协调人员与乙方协调人员配合工作；

6.新机房设备摆放图，提前五天供给乙方；

7.新工作环境和现在工作环境各提供一间作为设备周转用途的工作场地。

theshippershallmakethepreparationssetforthbelow:

1.reproduceallthedigitalfilesinadequatenumbersofcopiestomakecertainthatthedatabaseisinsecurecondition.

2.selectmorethanonetransportationrouteandprovideitforthecarrieratleastfivedayspriortothemove.

3.inspectandmeasurethetemperature,humidity,andpowersupply（withgroundconnectionproperlymade）inthenewterminaltoensurethattheyareuptotherequirements.

4.securealltheentranceandexitpermitsandgothroughallthenecessaryproceduresinadvancetofacilitatethemove.

5.designateacoordinatortoworkwiththecounterpartappointedbythecarrier.

6.providethemapandthelayoutofthenewterminalforthecarrieratleastfivedayspriortothemove.

7.allocateatemporarystorageroomsuitablefortheequipmentintransitbothatoriginandatdestination.

一乙方搬迁前准备：

1.熟知甲方提供的运输线路；

2.安排好搬迁人员分工；

3.准备所有搬迁所需工具（如：

十字，一字；

t8，t9，t10，t15，t20，t30，t40；

搬迁标签，纸箱，滑车，钳子，减震材料等），车辆及相关资料；

4.经甲方同意提前三天到新机房熟悉甲方提供的设备摆放图；

（a）.thecarriershallmakethefollowingpreparationsbeforehand:

1.befullyfamiliarwiththetransportationrouteorrouteschosenbytheshipper.

2.dividetheworkloadamongitsemployees.

3.getreadythevehiclesandrelevantdocumentsaswellasallthetoolsneeded,suchasvarioustypesofscrew-drivers,t8，t9，t10，t15，t20，t30，t40,color-codedlabels,cartons,pulleys,wrenches,andshock-absorbingmaterials.

4.withtheshipper＇sapproval,inspectthenewterminalandgetfamiliarwithitslayoutthreedayspriortothemove.

二服务器,机柜拆卸

1.甲方与乙方同时检测服务器状态和服务器配置，检测完后双方在验机单上签字（《搬迁验机表》见附件a）；

2.由甲方关闭所有搬迁设备软件程序；

3.由乙方工作人员断开电源；

4.拆卸前每位乙方工作人员佩戴防静电手环；

5.以甲方现在每个机柜为一套设备进行统一标识；

6.每台服务器对应的联线、硬盘、电源贴上对应标签；

7.断开服务器所有联线；

8.将服务器拆离机柜，如果拆离硬盘应做好标识；

9.对服务器进行包装，对拆离的硬盘做减震包装；

10.搬运上车。

（b）.disassemblinghpserver＆cabinet

1.boththeshipperandthecarriershallinspectandtesttheserveranditsaccessoriessimultaneouslyandbothpartiesshallsignontheinventorylist（seeattachmenta）afterthesatisfactoryinspection.

2.theshipperistoterminateallthesoftwareemployedontheserver.

3.theemployeeofthecarrieristoturnoffthepowersupply.

4.eachemployeeofthecarriershallputonanantistaticbraceletbeforework.

5.thecarriershallnowstarttoattachacolor-codedlabeltothecabinetanditscorrespondingserverinanorganizedway.

6.thecables,disks,andpowersupplyofeachserveraremarkedwithidenticalcolor-codedlabelsrespectively.

7.thecablesoftheserveraretakenaway.

8.theserverisseparatedfromthecabinetanditsdisksareproperlylabelediftakenout.

9.theserverissecurelypackedanditsisolateddisksarewrappedinshock-absorbingmaterials.

10.theservertogetherwithitsaccessoriesisloadedinthevehicle.

6.断开所有联线；

7.对设备进行减震包装；

8.搬运上车。

（b）.disassembly

2.theshipperistoterminateallthesoftwareemployedonthedevice.

3.eachemployeeofthecarrierhastoputonanantistaticbraceletbeforework.

合建契约书

立契约书人xxx（以下简称甲方），xxx（以下简称乙方），兹因合作兴建房屋事宜，经双方协议，同意订定各条款如下：

第一条甲方所有坐落xxxx地号土地一笔，如附图所示，约xx平方米。

愿提供与乙方合作兴建房屋。

第二条本约甲方所提供的土地双方协议同意兴建四层钢筋混凝土造和集合住宅，除依法应设置的公私道路用地外，其余可建土地，乙方应依法合理充分利用。

第三条本约双方合作兴建房屋，其土地规划，建筑设计，请领建造执照，营造施工及有关的风险等，均由乙方负责处理并负完全责任，其各类费用亦由乙方负担，概与甲方无涉。

乙方营造施工过程中，甲方得随时亲自派员监督。
