为促进国际航空货物运输及对外贸易的发展，甲、乙双方经友好、平等协商，就甲方委托乙方代理空运和手提货物进出口运输事宜,达成协议如下：

Topromotethedevelopmentofinternationalairlinetransportationandinternationaltrade,onthebasisoffriendlynegotiationbetweenbothparties,voluntaryagreementisasfollows:

一、代理业务

一、Scopeofservices

甲方委托乙方为其空运和手提货物进出口货运业务代理人，代理承办如下业务：

2、责任范围ScopeofLiability

2.1甲方责任liabilityofPartyA

2.1.1甲方保证PartyAguarantee

（1）其拥有中华人民共和国政府相关机构颁发的有效的营业执照（见附件一）

PartyAshallhavetheeffectivebusinesslicenseissuedbytherelevantauthorities（SeeAppendix1）

（2）严格遵守中华人民共和国所有的法律、法规和要求。

PartyAshallhewtoalltheChineselaws,regulationsandrequirements.

2.1.2甲方订舱时须按乙方提供的货物托运书或物流服务确认书（见附件二）填写完整并加盖甲方公司章或合同章后将正本交给乙方,托运书内容应注明所托运货物之品名、规格、件数、重量、体积、目的港、出运日期、运价及特别要求。

服务确认书的复印件同样具有法律效力，在无法签署书面服务确认书的情况下，电子邮件的确认具有同等法律效力。

PartyAshallcompletetheConsignmentBookandHandCarryServiceConfirmation（Seeappendix2）providedbyPartyB,stampthecompanychoporcontractseal,sendtheoriginalcopytoPartyB.Thecontentshallindicatecommoditynameandtype,specification,numberofcases,weight,volume,destination,dateofshipment,freightrateandspecialrequirement.ThecopyoftheConsignmentBookandHandCarryServiceConfirmationhasthesamelegaleffect.Providedthatbothpartiesareunabletosignthewritingserviceconfirmation,E-mailconfirmationhasthesamelegaleffect.

2.1.3甲方承诺从己方企业邮箱（带有甲方公司域名的邮箱地址）地址发给乙方的邮件，代表其真实意思表示，自愿受到从该邮箱地址发出的邮件内容的约束。

邮件到达指定邮箱地址的时间视为邮件到达时间，即发件方做出意思表示的时间，甲方指定的企业邮箱域名见附件三.

PartyAagreesthatitshallbebindinguponthecontentsofemailwhichissentfromtheappointedemailaddress（theemailaddressshouldhavethecompanydomainofPartyA）Thetimeofdeclarationofwillisthetimeofemailwhichissentfromtheappointedemailaddressarrivesattheappointedemailaddressofeachother.SeetheappointedcompanyemaildomainnameofPartyAinappendix3.

2.1.4甲方按乙方要求提供进出口报关、清关文件，包括：

合同、商检证明、核销文件、许可证、报关单、手册、发票、装箱单及国家规定的有关批文等文件，并确保对文件的真实性、合法性和有效性负责，甲方如需更改报关文件中的任何内容，需要提供书面修改通知。

PartyAshallproviderelatedcustomsclearancedocuments,includingthecontract,certificateofcommodityinspection,verificationdocuments,permit,customsdeclaration,manuals,invoice,packinglistandanyotherdocumentsapproved.PartyAshallensuretheauthenticity,legitimacyandeffectivenessofthedocumentsprovided，anyalterationrelatedtocustomsclearancedocumentsfromPartyAshallprovidethewrittenchangenotice.

2.1.5甲方如需取消货物托运书或修改其中的内容时，须及时出具书面或者邮件修改通知，同时与乙方客户服务人员电话确认收到书面修改指示，乙方应在收到甲方修改通知后将可能产生的额外费用或损失立即通知甲方确认。

如甲方在航班起飞的4小时前取消货物托运书或物流服务确认书,甲方需承担专差费的30%和其他已经发生的包括机票费,提货费,报关费等费用,如甲方在航班起飞的4小时内取消货物托运书，甲方需承担专差费的40%和其他已经发生的包括机票费,提货费,报关费等费用,但最低不得少于2000元人民币，航班一旦起飞，则无法取消，甲方需承担全部费用。

因承运人、机场当局或海关原因导致无法更改的，乙方应立即通知甲方。

因甲方原因导致更改或取消的动作而产生的任何责任和后果，以及给乙方造成的直接损失，由甲方承担。

Intheeventthatthetransportationisterminated,shipmentsarereturned,thedestinationisalteredortheconsigneeischanged,entrustmentiscanceled,etc.,PartyAshallgivenoticetoPartyBwhoisentrustedbywritingorE-mail,andconfirmwithcustomerservicepersonnelofPartyBforreceivingwrittenmodification,PartyBshallinformPartyAimmediatelyfortheextrachargesorlosses..

ShouldtheAssignmentsarecanceledbefore4hoursaheadofthedepartureoftheflightbythePartyA,itshallpay30%ofcourierfeesandmiscellaneousfeeswhichhaveoccurred,suchasairfare,picking-upcharges,customersclearancefees,storagechargesandsoon,totheotherparty.

ShouldtheAssignmentsarecanceledwithin4hoursaheadofthedepartureoftheflightbytheentrustingparty,40%ofcourierfeesandmiscellaneousfees（airfare,picking-upcharges,customersclearancefees,storagecharges,etc.）shallbepaidbyPartyAandthetotalexpenseshallbenolessthan2,000RMB.Oncetheflightstakeoff,thentheentrustmentcan’tbecanceledandthetotalexpensewhichisgotbeforetheentrustmentshallbepaidbyPartyA.

PartyBshallnotifyPartyAforthefailureofthechangeorcancellationresultingfromthefreighter,airportauthority,orthecustoms.AlltheconsequencesanddirectlosstoPartyBcausedbythealterationandcancellationfromPartyAshallbebornebyPartyA.

2.1.6甲方须按约定的方式、时间和地点交付所托运的货物及相关单证,并确保单单相符、单货相符。

所交付的货物必须经妥善包装且坚固适货的,能经受正常装卸运输，并符合承运人要求。

乙方如发现货物包装存在问题，应立即通知甲方，并可要求甲方重新包装。

PartyAshallhandovertheconsignmentandrelateddocumentstoPartBonappointeddate,atappointedplaceandinappointedmanners,andensureconsistenceofdocumentsanddocuments,documentsandconsignment.Theconsignmentshallbeproperlypackagedandstrengthenedcargoworthinessandcanwithstandnormalhandlingandtransportation,andconformtotherequirementsofthecarrier.Oncepackingproblemisfounded,PartyBshallnotifyPartyAimmediatelyandholdtherightsforrequestingrepackaging.

2.1.7甲方有义务保证所交运的货物，不得夹带未经申报的易燃、易爆、有毒物品等相关危险品（参见《航空运输危险品管理条例》），以及国家禁止进出口的物品。

PartyAhastheobligationtoensurethatprohibitedshipmentsorarticlesstipulatedintheRegulations,e.g.explosive,flammable,poisonousshipmentsorarticles,noimport-exportorrestraintonimport-exportofshipmentsorarticles,etc.shallnotbeconveyedwithoutdeclaringandobtainingpermissionofthegovernment（Seethe《regulationsonthedangerousshipmentofairtransportation》）.

2.2乙方责任

2.2.1乙方保证PartyBguarantee

（1）其拥有中华人民共和国政府相关机构颁发的有效的营业执照（见附件一），可提供甲方本协议下所需的相关服务。

PartyBshallhavetheeffectivebusinesslicenseissuedbytherelevantauthorities（SeeAppendix1），andcanprovidethefollowingservicesinthisagreement.

PartyBshallhewtoalltheChineselaws,regulationsandrequirements.

PartyBagreesthatitshallbebindinguponthecontentsofemailwhichissentfromtheappointedemailaddress（theemailaddressshouldhavethecompanydomainofPartyB）Thetimeofdeclarationofwillisthetimeofemailwhichissentfromtheappointedemailaddressarrivesattheappointedemailaddressofeachother.SeetheappointedcompanyemaildomainnameofPartyAinappendix3.

2.2.2乙方负责代理甲方所委托货物的发运手续，包括：

订舱、接货、膳制运输单据、报关、报检、装货、交运、费用结算等手续。

乙方应根据甲方的要求及时同合适的航空公司联系办理运输手续。

PartyBisresponsiblefortheformalitiesofshipmententrustedbyPartyA,including:

tobookfreightcargospace,topickupanddeliver,tomaketransportdocuments,customsclearance,customsinspection,loadingshipment,deliver,paymentandotherformalities.PartyBshallarrangeappropriateairlinetransportformalitiesinaccordancewiththerequirementofPartA.

2.2.3乙方应按照甲方要求的方式进行货物的运输，并提供合理高效的服务。

PartyBshallprovidereasonableandefficienttransportationserviceinaccordancewiththerequirementsofPartyA

2.2.4乙方应遵守甲方对物流服务供应商的审核规定，并配合提供相应文件。

PartyBshallabidebytheauditregulationsforlogisticsservicesupplierofPartyA,andproviderelevantdocuments.

2.2.5由于航空公司、机场原因而造成货物的不正常运输，包括航班延误、航班取消、临时拉下中转站拉卸、错卸、漏装、有单无货或有货无单，乙方有责任将货物不正常运输的信息反馈甲方，并敦促航空公司采取相应补救措施。

PartyBtakenoliabilitiesforthesituationsthattheabnormaltransportationwhichiscausedbyairlinesorairports,suchasthedelayofflight,thecancellationofflight,temporaryunloading,delayordischargeintransferstation,mistakendischarge,documentsomission,nodocumentsbutshipments,noshipmentsbutdocuments,etc.,whileithastheresponsibilitytotimelytellthePartyAthecircumstancesandurgetheairlinestotakeactivemeasurestomakeupthepossibleloss.

2.2.6乙方对于货物处于航空公司控制下、不可抗力或其他非乙方过失造成的货物遗失、灭失、损坏或迟延不承担赔偿责任；

但有义务协助甲方向承运人提出索赔。

对于确由乙方过失导致的损失，乙方将依法承担相当的赔偿责任（按照华沙公约或蒙特利尔公约的规定）。

PartyBdoesnotassumeliabilitytopaycompensationforloss,damageordelayresultingfromairlinecontrol,forcemajeureoranyothernon-PartyB’sfault,buthasobligationtoassistPartyBclaimindemnityfromfreighter.ForlossescausedbythefaultofPartyB,PartyBshallundertakeliabilitytopaycompensation（AccordingtotheWarsawconventionortheMontrealconvention）。

2.2.7乙方或航空公司在出发港若发现甲方出运货物的体积、重量若与预报的有差异，乙方应及时通知甲方，并以航空公司确认的数据为准。

Ifdifferencesarefoundedinportbetweenthevolume,weightoftheshipmentandforecast,PartyBshallnotifyPartyAtimely,andbesubjecttotheconfirmdataoftheairlinecompany.

三、结算条款

3.1甲方同意按照事先与乙方确认的货物托运书或物流服务确认书的收费标准，向乙方支付所产生的业务费用。

在无法签署书面服务确认书的情况下，电子邮件的确认具有同等法律效力。

PartyAagreestopayforfreightfeeaccordingtotheconfirmedfeeintheconsignmentbookorhandcarryserviceagreementconfirmation.Providedthatbothpartiesareunabletosignthewritingserviceconfirmation,E-mailconfirmationhasthesamelegaleffect.

3.2每票结算,在业务发生之日的15日内甲方将全部款项汇入乙方指定的帐户,逾期付款按照每天应付款项的0.05%收取滞纳金；

针对甲方委托乙方操作的第一票业务的结算方式如下：

甲方需要至少预付总运费的70%，业务发生日起10日内付清余款，延迟付款每
