经甲、乙双方友好协商,本着合法、公平、平等自愿、协商一致、诚实信用原则就乙方在巴基斯坦卡拉奇项目施工期间的人身安全及福利待遇达成如下协议,并共同遵守。
Ontheprinciplesoflegal,equalityconsensus,honestyandcredit,freewill,andThroughfriendlynegotiations,PartyAandPartyBhavereachedthefollogagreementonissuesofsafetyandwelfareofpartybduringtheconstructionperiodinKarachiproject,Pakistan.

一、甲方权利和义务
I.
PartyArightandduty:
1、甲方负责为乙方办理出国体检及签证、协议履行期间的往返国际旅费、住宿(含卧具)、上下班交通、劳保用品和工作安全措施等由甲方承担费用。
1.PartyAshalltransacttheoverseasphysaleamination,visalation,provideround-tripinternationaltravelcostsduringcontractperformingperiod,accommodation(includingbedding),commuting,laborprotectionsupplies,andworksafetycosts,andothercostsshouldbebornebypartyA.
2、甲方负责向乙方支付工资,以公司确认的工资标准为依据,甲方实行月工资制度(日历天数),乙方在国外工作期间月工资为小写______(大写_________)元人民币/月。
试用期工资为小写______(大写_________)元人民币/月(工资内包含一日三餐费用,包含五险一金的个人代扣部分的费用)。

3、甲方应为乙方购买境外人身意外伤害保险,承担保险费用。
当保险条款发生效力时,其保险金额受益权及其支配权归甲方所有,该款项用于发生人身意外情况时的善后处理及补偿。

PartyAshallbuyoverseaspersonaccidentinjuryinsuranceforPartyB.
Whenthevalidityofinsurancetermsandconditionsoccurs,PartyAownthebenefialrightofinsuredamountanddisposerightoftheinsurancemoney,theinsurancemoneyisusedforpersonalaccidentandaftermathtreatmentandcompensation.
4、乙方在国外期间发生工伤事故或非个人原因患上工作所在国的地方性疾病时,甲方承担乙方治疗费用;
若经医院鉴定需回国治疗的,甲方将负责安排乙方回国,并按照国家《工伤保险条例》的相关规定承担相关费用。
因违反外事纪律和甲方国外项目部的各项规章制度而造成伤亡事件的,乙方应自行承担全部责任,不得向甲方主张权利。

WhenworkinjuryhensonPartyBduringtheperiodofworkingabroadordevelopinglocaldiseaseinthecountryPartyBwork,PartAisresponsibleforthecostoftreatment.ifPartyBhavetoreceivemedaltreatmentinChinaaccordingtohospitalidentifation,PartyBisresponsibleforarranngPartyBreturntoChinaandbearrelatedcostsaccordingto“InjuryInsuranceRegulations”.
CasualtyandinjuryIncidenthenduetotheviolationofdisciplinesrelatedtoforeignaffairs,andPartyA&

soverseasprojectsdepartmentrulesandregulations,PartyBshalltakefullresponsibility,shallnotclaimtoPartyB.
5、在执行本协议期间,若因不可抗力(如战争、瘟疫、内乱、经济危机、政策变化、自然灾害等)和其他意外事件发生导致协议中止,甲方须负责及时安排乙方安全回国。

Duringtheeecutionofthisagreement,iftheforcemajeure(suchaswar,plague,civiluest,naturaldisasters,economcrisis,polychange,etc.)andotherunepectedeventsleadtothesuspensionoftheagreement,PartyAshallberesponsibleforarranngPartyBreturnhome.
6、乙方有下列情况之一者,甲方有权解除协议并协助其回国,回国单程机票费用由乙方承担,该费用由甲方项目部从乙方的国外收入中扣除。

1)经工作实践证明,乙方的工作能力与所述工作经历不符合录用条件,三个月内仍不能胜任其工作岗位要求的。

sworkingabilityandeperiencedonotaccordwithemploycondition,andPartyBstillnotcompetentforjobsrequireinthreemonths
2)在国外工作期间如发生违法违纪或严重违反外事纪律以及因工作渎职而造成工程事故,使甲方遭受重大经济损失和恶劣社会影响的。
2)Anyviolationsoccurredwhileworkingabroadorseriousviolationofdisciplinesrelatedtoforeignaffairsaswellastheenneeringaccidentscausedbyworkmalpracte,resultinginsignifanteconomlossesandbadsocialinfluence.
3)隐瞒个人身体状况,出国后被医院查出患有高血压、心脏病、糖尿病等慢性病、旧伤、癌症、精神疾病等非当地特有的传染病及先天性疾病的而影响工作,在当地治疗的医药费由乙方个人负担。
3)PartyBconcealpersonalphysalconditionandPartyBisdiagnosedwithhighbloodpressure,heartdisease,diabetes,oldwounds,cancer,mentalillnessandnon-localcharacteristinfectiousdiseaseandcongenitaldiseaseswhhinfluencetheworkaftergoingabroad,medalepensesinthelocalshallbeborneatthePartyB&
scosts.
4)违反我国及当地法律被追究刑事责任的。
4)Violationofourcountryandthelocallawandinvestigatedforcriminalresponsibilityaccordingtolaw.
5)未经项目经理同意或违反项目规章制度,私自外出的人员.
5)ThepersonnelwhogooutWithoutthepermissionoftheprojectmanagerorviolationofprogramrulesandregulations.
二、乙方权利和义务
II.PartyBrightandduty:
1、乙方根据甲方的要求应遵纪守法、并提供其真实的个人简历及相关证件复印件,保证严格遵守外事纪律。
遵守当地法律、尊重当地风俗习惯。
1.AccordingtotherequirementsofPartyA,PartyBshouldbelaw-abiding,andprovidetherealpersonalresumeandrelatedcertifatescopies,guaranteestrtlyabidebythedisciplinesrelatedtoforeignaffairs.abidebylocallaws,respectthelocalcustoms.
2,协助甲方按照国家《工伤保险条例》相关规定,与因工伤、病回国人员(或家属)以及在国外发生意外人员的家属协商处理经济补偿等善后事宜及家属的抚慰
工作,补偿的费用由甲方承担。
2.PartyBshouldassistpartyatodealwiththeeconomcompensationforReturnedstaffbecauseofillnessorworkinjury,allcostsshallbebornebypartya.
3、为保证乙方的人身安全及防止大家的护照丢失,进入施工现场后,护照交由甲方统一保管。
InordertoensurePartyB&
spersonalsafetyandavoidthelossofpassport,afterenteringtheconstructionsite,passportunderthecustodyofPartyA
4、乙方不能擅自单独离开施工场地,有事需外出时,应打书面报告经过甲方项目部批准方可外出,若在没有经过批准擅自外出发生意外时,甲方不予承担任何责任,全部责任由乙方承担。
4.Partybcan&
tleavealonefromtheconstructionsitewithoutauthorization,ifPartyBhavetogoout,PartyBshouldmakeawrittenreportrovedbyPartyA&
sprojectdepartment.Ifaccidenthens,whenPartyBleavealonefromtheconstructionsitewithoutauthorization.
PartyAshallnotbeheldresponsibleforanyandallliabilityshallbebornebyPartyB.
5、乙方每年有一次回国探亲的权利,每次不超过20日历天,探亲期间的工资正常发放,且发生的差旅费由甲方承担。
5.PartyBhastherighttoareturnhomeforvisit(nomorethan20calendardays),normaldistributionofwagesduringthehomevisitandthetravelingepensesshallbebornebyPartyA.
三、其他
IIIOthers:
1、在本协议履行中,如双方发生争议应通过友好协商解决;
协商不成时,可通过调解、仲裁等途径解决;
仲裁由宝鸡市劳动争议仲裁委员会裁决;
争议解决期间,双方应继续履行本协议无争议部分。

Intheperformanceofthisagreement,Ifdisputeoccurs,twosidesshallsettleitthroughfriendlynegotiation;
Ifitcannotbesettledafternegotiation,twosidescanresolvedisputesthroughmediation,arbitrationandotherchannels;
ArbitrationbytheBaojilabordisputearbitrationcommittee;
Duringthesettlementofadispute,bothpartiesshallcontinuetoperformnon-controversialpartofthisagreement.
2、本协议未尽事宜经双方协商一致可对本协议进行补充,达成的补充协议与本协议同具有同等效力。
2.Forthemattersnotmentionedinthisagreement,bothpartiescanmakesupplementaryagreementtothis
agreementthroughfriendlynegotiation;
supplementaryagreementhasthesameeffectwiththisagreement.
3、本合同用中文书写,一式两份,双方各执一份。
具同等效力,自双方签字盖章之日起生效,乙方人员完成工作内容回国之日,该协议终止。
ThisagreementiswritteninChineseandshallcontain2copies,PartyAandPartyBshallhaveonecopyeach,Thisagreementwillbeeffectivestartingfromthedayofsigning.
TheterminationoftheAgreementformdateofPartyBfinishhisworkandreturntoChina.

“SecondedEmployees”meansthoseEmployeeslistedinSchedule1tothisAgreementwhowillbesecondedbyYunchengAluminumtotheCompanypursuanttothisAgreementtoprovideServesduringtheTransitionPeriod.
“派遣员工”指本协议附件一所列的,将由运城铝业按照本协议规定在过渡期内派往公司提供服务的员工。

SECONDMENTOFEMPLOYEESANDFEES
派遣员工及费用
2.1InconsiderationoftheCompanyagreeingtomakethepaymentsprovidedforinArtle2.2below,YunchengAluminumwillprocurethattheSecondedEmployeesaresecondedtotheCompanyonafulltimebasistoprovidetheServesduringtheTransitionPeriod.
2.1以公司同意支付下面第2.2条规定的款项为对价,运城铝业将促成派遣员工在过渡期内派遣到公司,全职提供服务。
2.2InconsiderationoftheprovisionoftheServesbytheSecondedEmployeesandsubjecttotheprovisionsofArtle2.5,theCompanyagreestopaylaborservefees(the“ServeFees”)toYunchengAluminumduringtheTransitionPeriod.
SubjecttotheprovisionsofArtle2.5,theServeFeesshallbetheaggregateamountofthemonthlySalary,theContributionsandtheWelfareFeespayablebyYunchengAluminumtooronbehalfoftheSecondedEmployeesplus,wherelable,anyovertimecompensationpayabletotheSecondedEmployees.
IfthereisanychangeinthenumberofSecondedEmployees,theSalarylevelortheamountoftheContributionsortheWelfareFees,theServeFeesshallbeincreasedordecreasedaccordingly.
2.2以派遣员工提供服务为对价和在遵守第2.5条规定的前提下,公司同意在过渡期内支付劳动服务费(下称“服务费”)给运城铝业。
在遵守第2.5条规定的前提下,服务费为运城铝业应支付给派遣员工的月工资和应支付给派遣员工或代派遣员工支付的社保费和福利费的总和,加上(适用时)应付给派遣员工的加班费。
如果派遣员工的数量、工资水平或社保费或福利费金额发生变化,则应相应增减服务费。
2.3DuringtheTransitionPeriod,thetheSalaryoftheSecondedEmployeesforthepurposeofcalculationoftheServeFeesshallbereasonablydeterminedbytheCompanyinaccordancewiththeaverageSalaryleveloftheSecondedEmployees,whhshallbedeterminedinaccordancewithYunchengAluminum’scurrentSalarypaymentmanagementsystem.
2.3在过渡期内,为计算服务费之目的,派遣员工的工资应由公司根据派遣员工的平均工资水平作出合理的决定,该平均工资水平应按现行的运城铝业工资支付管理制度予以确定。
2.4BeforethecommencementoftheTransitinPeriod,YunchengAluminumshallprovidetheCompanywithalistofContributionsand
