PartyA,PartyBandPartyCshallbehereinafterindividuallyreferredtoasa“Party”andcollectivelyreferredtoasthe“Parties”.

PREAMBLE

WHEREASPartyAintendstoappointPartyBandPartyCasitslocalConsultantforthe“CONSULTANCYSERVICEAGREEMENTFOR_____________________________________________________________________________（hereinafterreferredtoasProject）,conductedby__________________________________________（hereinafterreferredtoasProjectOwner）,tobeexecutedin________（hereinafterreferredtoasthe“Place”）,andPartyBandPartyCintendstoacceptsuchappointmentfromPartyA。

WHEREASthePartieswishtosetforthcertaindetailedrulesofcooperationbetweentheminabindingwrittendocument;

NOWTHEREFORE,thePartiesherebyagreetobeboundbythefollowingtermsandconditionsinthecourseoftheircooperationunderthisAgreement:

Clause1 NatureofrelationshipbetweentheParties

1.1ItisexpresslyunderstoodandagreedbetweenthePartiesthatbyenteringintothisAgreement,itdoesnotmeantoformorestablishanypartnershiporotherformofbusinessassociationbetweenthePartiesheretoandeachPartyshallremainaseparateentityfromtheotherParty.

1.2DuringthevalidityperiodofthisAgreement,PartyBandpartyCshallnotworkforanythirdpartythatintendstowinthebidfortheContractorotherwisepursuittheContractofthesameProjectagreedbythePartiestobepursuitbyPartyA.

Clause2 ScopeofConsultancyService

2.1PartyAherebyappointsPartyBandpartCtoactasitsConsultantfor”CONSULTANCYSERVICEAGREEMENTFOR”___________________________________________”projectandPartyBandpartCacceptssuchappointmentfromPartyAinaccordancewiththetermsandconditionsspecifiedunderthisAgreement。

Clause3 ObligationsofPartyB

3.1InthisAgreement,andduringthetender,PartyBshall:

a.）Adviseonthestrategiesandtacticsofitsparticipationinthepublictenderingprocess，orselectedinvitationforcontractnegotiationsoastoenablePartyAtodevelopacompetitiveandviablequalificationapplicationortenderfortheProject.2）Duringthebiddingstageandbidevaluationstage,PartyBshallberesponsibleforcommunicatingwithprojectoffice,providingguidancetotechnicalandcommercialdocumentsandassistinwinningthebid.

b.ProvidePartyAwithtimelyadviceastothebestandpossibleactionstobetakenorfollowedbyPartyAatdifferentstagessoastoenablePartyAtorespondtotherequirementsoftheProjectowner（hereinafterreferredasthe“Employer”）and/ordifferentsituationsinatimelyandcorrectmanner,duringthetenderprocess.

c）Collect,gatherandprovidePartyAforitsconsiderationallavailableinformationinrespectofthetenderprocessfromvarioussources,includingbutnotlimitedtoinformationrelatingtotheEmployer,thegovernmentauthoritiesinvolved,andthelocalorotherinternationalparticipants.

d）ReviewandassistPartyAincompletionoftheformats（AnnexestobefilledbyTenderers）includedintheTenderDocumentsissuedbytheEmployertoensuretheformats,ascompletedbyPartyA,complywiththeContractor’srequirementsandpractices.However,PartyAmay,ifitdeemsnecessary,contractanexternalattorneytoverifywhetherPartyA’sdocumentationinthisrespectsatisfiesthetenderrequirementsandconformstothelawsandregulationsoftheterritory,inwhichcase,PartyAwilldirectlycoverthisattorney’sfees.

e）AssistPartyAtocollectandsortoutprice,marketandlegalinformation（regulations,laws,by-lawsanddecrees,etc.）oncustomsclearance,import&exportofequipment,plantandmaterials,landtransportationandmarineshipment,etc.PartyBrecommendstohirespecialistsforthispurpose.PartyBwillassistinrecommendingthesespecialiststoPartyA,andalsoprovideitsopinionwhenrequested.CostswillbeonPartyA.

f）AssistPartyAtocollectandsortoutinformationrelatedtorecruitment,employmentanddismissaloflocalstaffandlaborers（includingbutnotlimitedtolawsandregulationsandtradepracticesonsalary,wages,overtimecompensations,welfare,socialinsuranceandmedicalinsurance,incometaxes,etc.）;PartyBwillassistinthemannerofrecommendingthespecialistforthispurpose,andwillprovideitsopinionwhenrequested.CostswillbeonPartyA.

g）AssistPartyAtocollectandsortoutinformationandregulationsonexpatriatestaffworkingintheterritoryforsimilarproject（includingbutnotlimitedtoentryvisa,work/residencepermit,incomeandothertaxes,feesandduestobepaidbytheexpatriateemployeesandthecompany,etc.）;PartyBwillassistinthemannerofrecommendingthespecialistforthispurpose,andwillprovideitsopinionwhenrequested.CostswillbeonPartyA.

h）AssistPartyAtocollectandsortoutinformationoflocaltaxationsincludingcustomduties,royalties,stampdues,incometaxesandanyothertaxes,fees,duesorleviesimposedbygovernmentalagencies,semi-governmentalentitiesornon-governmentalbodiesinrelationtotheperformanceoftheContractfortheProject.PartyBwillprovidebasicinformation.Specificinformationmaybeprovidedbyspecialists,orspecificlocalpersonnelhiredbyPartyA.

i）AssistPartyAtocollectandsortbasicoutpriceinformationoffuel,gas,electricity,waterandlocalmaterials,equipmentandproducts,etc.aspertherequirementofPartyA;

j）AssistPartyAtoobtainbasicinformationonprojectinsurance,includingidentifying,recommendinglocalinsurancecompanies,collectinglaw,by-lawandregulationsinrespectofinsuranceforexecutionandperformanceofContractfortheProject;

K）PromotePartyAtotheEmployerandrelativegovernmentauthoritiesoftheTerritoryaswellaslocalengineeringandconstructioncommunitiessoastogainPartyAafavorableandpositivepositiontopursuetheContractfortheProject.

l）CoordinateandkeepclosecontactwiththeEmployerandPartyAsoastokeepPartyAupdatedofthedevelopmentsand/orchangesinthetenderingprocess;

m）TrackandkeepPartyAinformedoftheactionsoftheEmployerand,ifpossible,ofpotentialparticipantsandcompetitors.

n）AdvisePartyAandprovidingPartyAwithbusinessintelligenceinitsnegotiationswiththeEmployer,therelevantgovernmentauthoritiesoftheTerritoryandanyotherrelevantpartiesinthetenderingprocessfortheProject.

0）Supportintheactionsforopeningthetechnicalandfinancialproposals.PartyBshallparticipatewithPartyAintheseeventsandadvicePartyAastoresponsestoanyEmployer’squestionsorconcerns;

P）AssistPartyAastoprinting,bindingandpackagingofPartyA’stenderdocumentations;

q）AdvisePartyAtogetthenecessaryformalitiesanddocumentstocometotheterritory,includingentrancevisa,laborvisasandworkpermits,recommendtravelplans.

r）CoordinatevisitsandschedulemeetingsforPartyA’sexecutivesintheTerritory,aswellaspublicrelationsactivities.Itisstatedthatthisdutyhasbegun;PartyBhasprovidedtheassistance.

s）AdvisingthePartyAinhavinganybankguaranteeorotherformsofguarantees,issuedbyPartyArelatingtoProject.

3.2 Inadditiontotheabove,PartyBshallalsorenderbusinessintelligenceservicesconcerningthetenderingprocessandconcerningsigningofContractwiththeContractorinrelationtotheProject.BeforetheContractororanygovernmentalandnon-governmentalagenciesorentitiesinterveneintheProject,advisePartyAinadvancetotakepromptactionsanddamage/risk-controlstrategies,andassistPartyAbycontinuouslyprovidingliaisonservicesinconnectionwiththedifferentstagesoftheProject.ServicestoberenderedtoPartyBbyPartyAunderthisAgreementwillbehereinafterreferredtoasthe“ConsultancyServices”.

3.3 Unlessotherwiseexpresslystipulatedherein,allcostsandexpensesincurredbyPartyBinthecourseofprovidingConsultancyServicesunderthisAgreementshallbesolelybornbyPartyB.However,ifPartyAentrustsPartyBtoincurcertaincostsorexpenseswithexpresspriorwrittenconsenttoreimbursePartyB,PartyAwillsubsequentlyreimbursePartyBaccordingtosuchconsent.Fortheavoidanceofdoubt,intheabsenceofsuchexpresspriorwrittenconsent,nosubsequentreimbursementwillbemadebyPartyA.

3.4 PartyBshall,andshallensurethatitsemployeesthroughwhomitprovidestheConsultancyServiceswill,complystrictlywithallapplicablelaws,nationalandlocalregulationsinconnecti
