教育教学合作协议

EducationCooperationAgreement

甲方：

江汉油田广华中学（以下简称甲方）

经甲乙双方友好协商，就教育教学合作事宜达成如下协议。

Afterinternaldiscussions,bothsides（Guanghua HighSchool and Saint Martin’s University） havecometoanagreementoneducationcooperationasfollows.

一、合作双方

甲方是具有独立事业法人资格的省级示范高中，具有自主办学资质。

可与外国教育机构开展学生遊学、教师交流培训与实习、学生留学预科教育等教育教学国际交流与合作。

乙方是美国西北部华盛顿州西雅图地区的著名大学，是美国高校联合会和美国高等教育联合会的成员，也是中国教育部最早认证的美国大学之一。

Ⅰ.Co-operationsofpartyAandpartyB

PartyAisaprovincialdemonstrativehighschoolinHuBei,withindependentrunningqualification.Andcancooperatewithforeigneducationinstitutionsatthefollowingaspects:

students’study,teachers’trainingandpractice,students’preparatorytogoingabroadandetc.

PartyBisthefamousuniversitylocatedinthenorthwestWashingtonStateinSeattlearea.AnditisthememberoftheFederationofAmericanUniversities,itisalsooneoftheearliestauthenticatedAmericanuniversitiesinChina'sMinistryofEducation.

二、合作目的

甲乙双方以诚信友好、互利互惠为原则，利用各自的资源优势进行教育教学合作，相互提供教育平台，交流教育经验，探讨教育方法，达到增进双方友谊，提高教学质量，提升教育品牌，创造良好的社会和经济效益之目的。

Ⅱ.Co-operationdemonstration

Bothsides’cooperationshouldfollowprinciplesthatarehonestyandmutualbenefits.UseBothsides’resourcestoprovideeducationteachingcooperation,anddiscusstheeducationexperience.Sothatbothsidescanpromotefriendship,improveteachingquality,andcreateagoodeducationpromotionofsocialandeconomicbenefits.

三、合作项目

1、学生暑假活动；

2、语言文学科目教师培训；

3、美方学生实习和社会实践活动；

4、“广华中学国际教育模式”。

以上合作项目可根据实际情况选择进行，双方应互相谅解。

四、合作内容

1、甲方学生暑假遊学活动

甲方选派中学生到乙方参加为期12周的遊学活动。

每期由12-25名学生、1-2名教师监护人组成团队。

参加乙方安排的英语学习、夏天训练营、实地考察以及短途旅行和访问、寄宿家庭等活动。

IV.CooperationContents.

Project1:

Students（ofPartyA）visitingtoAmericainsummerholidays.

EveryyearGuanghuaMiddleSchoolsends12-25studentsand1-2teachersasguardianstoSaintMartinCollege.PartyBseestoarrangingthemtoliveinhostfamilies,studyEnglish,takepartinSummerCamp,gooutforshorttrips,visitAmericansandsomeotheractivities.Theywillstaytherefor12weeks.

2、语言文学科目教师培训

甲方将派遣英语教师到乙方参加ESL高级英语教师培训。

这些英语教师将陪同参加暑假遊学活动的学生一起在5月中旬到乙方。

他们将充当暑假遊学学生的监护人，并参加同一时期由乙方教育学院提供的ESL英语教师培训研讨会。

Project2:

Thetraining（toPartyA’steachers）ontheEnglishlanguage.

PartyAsendsEnglishteacherstoSaintMartinCollegetotaketheadvancedtrainingcoursesonaregularbase.TheseteachersarriveinSaintMartinCollegeinmid-MaywiththeabovementionedGuanghuaMiddleSchoolstudents.MeanwhiletheyactastheguardiansofthestudentsinAmerica.

3、美方学生实习和社会实践活动

乙方派遣其教育专业学生2-3名在秋季或春季学期到甲方进行为期3-4个月的英语教学实习

Project3:

PartyB’sstudents’practiceinGuanghuaMiddleSchool.

PartyBsendsstudentswhomajorineducationtoGuanghuaMiddleSchooltopracticeteachingEnglishfor3-4monthsinthespringorautumnsemester.

4、广华中学国际教育模式（简称GIET）

甲方将选拔推荐学习成绩优秀的学生，经两年完成高中学业，第三年到乙方参加英语学习，取得乙方入学资格后进入乙方就读大学课程。

Project4:

TheinternationalteachingmodelofGuanghuamiddleschool

PartyAselectsthetopstudentswhofinishestheirseniorcoursesintwoyears,andinthethirdyeartheygotoSaintMartinCollegetostudyEnglish.ThosewhocanachievetheentrancerequirementswillbeadmittedtoSaintMartinCollege.

五、合作期限

双方合作期限暂定为3年，2010年月日至2013年月日。

合同到期，自然终止。

Ⅴ.Cooperationtime

Cooperationtimebetweenbothsidesistemporarilysetfrom,2010to,2013.

六、费用标准及支付方式

1、暑假遊学项目学生费用由甲方向学生收取后按约定方式支付给乙方。

每满10名学生免1名监护人费用。

2、甲方参加语言文学科目培训的教师在美期间的培训费用由甲方按约定方式支付给乙方，其余费用甲方自行承担。

3、乙方参加实习和社会实践活动的学生在中国实习期间的往返机票、医疗保险费用由甲方按约定标准承担。

4、参加GIET的学生在中国学习期间发生的费用由甲方收取，在美国学习期间发生的费用由乙方收取。

5、所有合作项目费用标准另行约定。

6、每次合作项目履行时乙方提供符合正式票据，甲方先行支付合作款的70%，项目结束后一周内支付剩余的30%。

Ⅵ.Feesandmeansofpayment

1.ThefeefortheSummerCampis$perstudent（includinginternationalround-trip airfare,education,accommodation, meals,travel,entranceticketsforscenicspots,transportation, airfareintheUSA,and travel insurance,exclusiveoftraveltips）.Every10studentswitha chaperonefreeofcharge（exclusiveofthetrainingfee）.Guanghua Middle SchoolchargethestudentsfortheSummerCampandthenpaySaint Martin’s Universitybythemeansarrangedinadvance.

2.Guanghua School will send its English teachers to Saint Martin’s University for advanced ESL teacher trainingandwillpaySaint Martin’s UniversityfortheirtrainingfeesintheUSAbythemeansarrangedinadvance.Guanghua Schoolwillpaytherestexpensesforthetrainingteachers.Allofthefeesforthechaperone（s）willbeprovidedbySaint Martin’s University.

3.For Saint Martin’s students doingsocialpractice（teaching） at Guanghua School, Guanghua School will provide Saint Martin’s student（s） round-trip airfare, accommodation, meals and medical insurance. 

4.Thefeesforthestudents in the GIETathomearechargedbyGuanghua School.Thefeesforthestudents in the GIETabroadarechargedbySaint Martin’s University.

5.Wheneachcooperationprogrammeisfulfilled,thepayeewillprovidereceiptsforthepayer.Thepayerwillpay70%ofthewholepaymentatthebeginning.Therest（30%）ofthepaymentwillbepaidwithinaweekaftertheendoftheprogramme.

七、甲乙双方的权利与义务

（一）甲方

1．负责合作项目的宣传及人员的选拔、推荐。

2、负责办理赴美人员的签证等出国手续。

3、负责乙方教学质量的监控，确保合作项目的顺利实施。

如乙方提供的师资质量出现问题，甲方有权提出整改。

4、负责乙方实习学生在中国的教学、食宿安排，提供医疗方便。

5、负责督促甲方派遣人员在美期间严格遵守美国的法律规定。

6、负责乙方实习学生在中国期间的安全保障条件。

7、负责代为收取甲方赴美学生的相关费用。

8、负责按照本协议的约定，将乙方应得合作款项及时、足额支付给乙方。

RightsandObligationsforbothsides

Guanghua School

1.Guanghua Schoolwillpromotetheprojectsandchooseproperstudentsandteachers.

2.Guanghua Schoolwillmakesurethatthestudentsandteachersgetavisaandothernecessarydocumentsneeded.

3.Guanghua SchoolwillcloselymonitortheteachingqualityoftheprojectinSaint Martin’s Universitytomakesuretheprojectsarefulfilledsmoothly.IftheteachersfromSaint Martin’s Universityinthetheprojectsarenotqualified,Guanghua Schoolhavetherighttodemandreformandconsolidation.

4.For Saint Martin’s studentsinChina,Guanghua SchoolwillprovideSaint Martin’s teachingpractice, accommodation, meals and accesstomedical care. 

5.For Saint Martin’s studentsinChina,Guanghua SchoolwillprovideSaint Martin’s safetyinsuranceinChina.

6.Guanghua SchoolwillchargethefeesfromthestudentsintheprojectsforSaint Martin’s University.

7.Guanghua SchoolwillpaySaint Martin’s Universityforthecooperationpaymentsintimeandinfull.

（二）乙方

1、负责在签订专项合同前30日提供各合作项目在美期间的书面活动计划。

2、负责提供甲方人员赴美邀请函。

3、负责甲方赴美人员的学习、食宿、交通安排，提供医疗方便。

4、负责安排专人对甲方人员进行接待、翻译、联络与指导等。

5、负责按约定提供高质量的英语教学，保证甲方赴美人员在规定的时间内完成学业。

6、负责督促乙方派遣人员在中国期间严格遵守中国的法律规定。

7、负责指派专门管理人员每三个月与甲方沟通甲方赴美学生的学习、生活情况。

8、负责甲方学生及教师在美期间的安全保障条件。

Saint Martin’s University

1.Saint Martin’s UniversitywillprovidetheschedulefortheprogrammesintheUSA.

2.Saint Martin’s UniversitywillprovidetheinvitationstotheprojectsintheUSA.

3.Saint Martin’s UniversitywillprovideGuanghua School’sstudents’training,accommodation, meals,transport and accesstomedical care. 

4.Saint Martin’s Universitywillarrangeaspecialpersonforreception,translation,contactandguide.

5.Saint Martin’s UniversitywillprovidehighqualityEnglishteachingtoguarenteethatthestudentsintheprojectsfinishthetrainingwithinaspecifictimespan.

6.Saint Martin’s Universitywillcommunicatethestatusofthestudents’learningandlivingwithGuanghua School.

7.Saint Martin’s Universitywillbeinchargeofthestudentsandteachers’safetyintheUSA.

八、保险

1、双方为各自人员购买医疗（健康）、意外伤害等保险。

负责向保险公司索赔或向社会保险机构费用申报，自行承担相应费用。

2、因一方过错造成对方人员伤害的，由过错方负责向保险公司索赔或向社会保险机构费用申报，并承担保险公司和社会保险机构赔偿以外的全部损失。

Ⅷ.Insurances

1.Bothsideswillprovideitspeople’smedicalinsuranceandaccidentalinjuries.Bothsideswillmakeaclaimontheinsurancepolicytotheinsurancecompanyorsocialinsuranceorganizationsattheirownexpenses.

2.Ifpeopleinonesidegetinjuredbecauseofthefaultoftheotherside,thedefectivesidewillmakeaclaimontheinsurancepolicytotheinsurancecompanyorsocialinsuranceorganizationsandwillpayalltheotherloss.

九、保密

1、在协议履行期间，任何一方对所获得的一切原始资料及在服务过程中所取得的与履行协议有关的对方既有工作成果及相关资料负有保密义务。

未经另一方书面同意，不得在协议期内或协议履行完毕后以任何方式泄露。

2、对于属于一方所有的新技术和新方法，另一方负有保密义务，未经拥有方书面同意，不得以任何方式泄露。

3、双方必须严密保存好涉及国家秘密的文件、资料以及涉及对方工作秘密的一切有关资料、记录、软盘等电子信息；因保密纪律不严格，措施不得力造成泄密事故，由过错方承担行政或法律责任。

发生泄密事件，不得隐匿不报，必须立即采取积极措施，并立即向对方保密工作部门报告。

4、双方必须严格遵守保密纪律。

不得以邮寄、发送电子邮件等任何方式向他人发送对方秘密事项，不得向他人面谈（包括在网络聊天室中谈论）和在无保密措施的电话中谈论本人知悉的甲方秘密事项。

5、双方复印拷贝秘密工作资料，必须征得对方原定保密部门的同意。

绝密级的资料严禁复印拷贝；不得私自留存对方秘密文件、资料，在最终成果验收时，回收在研究过程中提供的所有资料、磁盘、磁带等。

6、未得到对方的许可，任何一方不得利用从本协议中获得的研究内容、成果、秘密文件、资料、讲话稿等公开发表或出版任何有关文章或书籍，一律不准擅自对外公开发表，确需发表的应事先由对方有关部门同意并进行保密审查或保密技术处理。

7、在涉外研究协作时，确因工作需要携带有关资料出境的，要严格遵守国家、甲乙双方所在地外事保密纪律。

必须按照有关保密规定办理相关手续。

8、涉密的计算机系统应当采取保密措施，未采取技术安全保密措施的涉密计算机系统不得与国际互联网连接。

9、一方违反本协议条款保密规定，另一方除终止协议外，将按单项合同款的10%-30%进行处罚，同时将依照有关保密规定追究对方有关泄密的行政责任，对造成严重后果的，直至追究其法律责任。

12、本保密条款在本协议终止后，三年内仍具有法律约束力。

NO.9Confidentiality

1.BothPartyAandPartyBshallstrictlyabidebythelawsofChinaandtheUnitedStates.

2.Duringthefulfillmentofthecontract,eitherPartyAorPartyBshallundertakeconfidentialityobligationsandliabilitiesofanyoriginalmaterialobtainedoracademicachievementincludingrelevantinformationgainedintheprocessofservice.NeitherPartyAno
